Voorhees Acquisition Corp. (the "Company") was incorporated under the laws of the State of Delaware on May 6, 2004. We were formed as a blank check company for the purpose of seeking to complete a merger or business acquisition transaction. ...
We will attempt to locate and negotiate with a business entity for the merger of a target business into the Company. In certain instances, a target business may wish to become a subsidiary of the Company or may wish to contribute assets to the Company rather than merge. No assurances can be given that we will be successful in locating or negotiating with any target business.
Management believes that there are perceived benefits to being a reporting company with a class of publicly-traded securities. These are commonly thought to include (1) the ability to use registered securities to make acquisition of assets or businesses; (2) increased visibility in the financial community; (3) the facilitation of borrowing from financial institutions; (4) improved trading efficiency; (5) stockholder liquidity; (6) greater ease in subsequently raising capital; (7) compensation of key employees through stock options; (8) enhanced corporate image; and (9) a presence in the United States capital market.
A business entity, if any, which may be interested in a business combination with us may include (1) a company for which a primary purpose of becoming public is the use of its securities for the acquisition of assets or businesses; (2) a company which is unable to find an underwriter of its securities or is unable to find an underwriter of securities on terms acceptable to it; (3) a company which wishes to become public with less dilution of its common stock than would occur normally upon an underwriting; (4) a company which believes that it will be able to obtain investment capital on more favorable terms after it has become public; (5) a foreign company which may wish to gain an initial entry into the United States securities market; (6) a special situation company, such as a company seeking a public market to satisfy redemption requirements under a qualified Employee Stock Option Plan; or (7) a company seeking one or more of the other perceived benefits of becoming a public company....
It is anticipated that any securities issued in any such reorganization would be issued in reliance upon exemption from registration under applicable federal and state securities laws. In some circumstances however, as a negotiated element of its transaction, we may agree to register all or a part of such securities immediately after the transaction is consummated or at specified times thereafter. If such registration occurs, of which there can be no assurance, it will be undertaken by the surviving entity after we have entered into an agreement for a business combination or have consummated a business combination and we are no longer considered a blank check company. The issuance of additional securities and their potential sale into any trading market which may develop in our securities may depress the market value of our securities in the future if such a market develops, of which there is no assurance.
While the terms of a business transaction to which we may be a party cannot be predicted, it is expected that the parties to the business transaction will desire to avoid the creation of a taxable event and thereby structure the acquisition in a tax-free reorganization under Sections 351 or 368 of the Internal Revenue Code of 1986, as amended.

The B L O G is one of the reasons that I have surmised that it is William Tay. The other reason is that He sold his interest in the company to Rufus, since he holds no position in the stock I don't believe he is violating any rules. Also the question has been asked many times why would Rufus allow us penny traders to get rich on this play. Think william Tay's words about PAY-IT-FORWARD might have anything to do with it.

Listen everyone. When all this happens like it was said it would, every shareholder will be glad they had the strength and courage to stick it out. Anyone of you who have done your due diligence already know the answers to what this can do for your lives. I have only tried to help you understand that and hopefully have helped you from losing a chance at an opportunity that many of you may never see again.
To find a unique situation like this from the beginning is not easy and you are in it because you were at the right place at the right time. I believe everyone who has held through what has been a battle of the worst emotions will be able to better their lives and the lives of their children financially. This experience will also teach you a lot about human emotions and how to understand and better your own understanding of others. You should all be enriched in many ways from this.
You have weathered the storm and fought the battle and in the end you will reap the rewards. You all deserve it. I wish you all the best.

Ok, i want to let the imagination roam a bit since Tut is around again tonight.
AISS is a smart structure company with goals towards A LOT of different structures, including building materials. Tut likes to mention the Phoenix rising from the ashes. Whats the status of the WTC rebuild? Who is involved?
Little far fetched? Maybe, but Rufus has pushed me into dreaming big. That would be pretty big.

BB you have an incredible knack for DD. The Tay connection makes perfect sense.
I have a feeling that next week we will be laughing at our past couple months antics... Hindsight will be more than 20/20 and the reality of what occured will astound us.
I am exhausted physically and emotionally...Thanks for all the hard work guys and gals and God bless

im looking for someone who spells 'flavor' with an "ou"
go to Tut's post.
That is a secondary or added spice that just gives this some addtional flavour like some added gravy. Your reason for being shareholders is what the company can do for your future financial well being and because it presents what is now becoming potentially a "once in a lifetime" opportunity that many of you may never see again. Remember you are either with or without.
now go to William Tay's b log:
In the same context, I am betting that the SOAP protocol would be obscure one day as well and just be known as "Web Services" or whatever flavour rule the day.
....
But since we are on the subject of Open-source and php being the flavour of the day...
...
I have added 2 of my own pre-packaged flavours into the mix ...
and TAY LIVES IN SINGAPORE. all those 3 AM posts on HSM? yeah it's 3 PM there. heheah!!!
