I don't know if it would be public eventually or not, but it would be interesting to know how much Fan paid for the 185 billion shares.

As a good will, he should consider selling some of his shares back to the company at the current market price to bring the share count down.

I'm not trying to be negative, but you should not be telling anyone to buy or sell any stock. This is no ones decision to make but the one buying and selling shares.

You can tell people what you are doing but don't instruct anyone to buy or sell. That way no one can blame you for their actions.

Don't buy or sell on anyones recomendation. Do your own DD ans decide what your risk tolerance is and invest accordingly. Never let a pearson on a stock board that you have never met, tell you to buy or sell

IMHO

they wont let me use VCD. they can tell from my IP that im in Canada and wont let me even see the preview.

all i see is the small video from all the channels, but it looks like it is not live video, they allways seem to be comercials.

i wonder if there is a way that i can redirect my ip through a us site.

im sure there is, the virus hackers do it all the time.

im glad that there is now a way that everyone can at least get a chance to see what they are investing in now.

I think this is going to be great exposure.

Just now readying yesterday's PR... So there is 140B in float - not surprising (thanks Frankie the Fraudster!).

I wonder why Lloyd and his "investors" dont just buy it up? That is only $14M. Either that, or do a 100:1 or 10:1 reverse split. I could totally live with a 10:1 R/S. Better than bankrupcty, that is for sure.

3/17/2005 - RE: Outstanding / Authorized Shares

There has been much speculation concerning the share count of Triangle Multi-Media. While the company is still awaiting the final outstanding share count the company will not release un-audited numbers, but they feel confident that the number of shares is closely in line with what was discussed on the last conference call. The 50 billion authorized shares ARE NOT part of the issued outstanding share count. The authorized shares do not affect the float nor the issued O/S and will remain authorized as protection if QTelevison were to require additional equity. The company has significant funding in place and does not see any reason in the forseeable future why it would become necessary for those shares to be issued.

Q Television -- Valued at Ten Times its Current Market Capitalization -- Issues Financials

...current revenue is three hundred thirty thousand dollars per month and it expects twenty-four million dollars in revenue for fiscal year 2006. This number is based on existing contracts with advertisers, conservative subscriber increases based upon the regions available, and finally, commitments from partnerships (i.e. Gay Games, etc.)

...projected revenue of seven million dollars in confirmed sponsorship and/or advertising in the next twelve months.

...shares outstanding total fourteen billion and five and one-half billion shares restricted. The time constraints placed on the restricted stock is for three to five years. The share increase in 2004 was due to acquisitions, previously restricted shares coming due, and was prior to secured financing.

The shares bargained in 2004 were strictly utilized for growing Q Television.

TMM has no future intention of raising its outstanding share count and/or authorized share count. TMM will also buy back stock when liquidity is available.

...current outstanding debt is two million dollars. This minimal debt should be satisfied by Q2, 2006. Q Television expects profitability in eleven months.

9/15/2005 - For Shareholders (Updated)

One year ago, Triangle Multi Media was a shell with great plans and approximately 91/2 billion shares outstanding. With restricted shares committed against the Gay Games, films, contracts, stock bonuses, etc. the outstanding shares are now 19.5 billion, but only 14 billion are actually in the float as the rest are long-term restricted shares. This has allowed us to buy production studios in Burbank, California worth $25 million, a film library worth $2 billion...
...the value of a library is for an indefinite amount of time and is calculated by monthly rental revenue and the high turnover each movie gets from different networks leasing them out

we are going to be a teleport, a production company, a gay television network and voice for the GLBT community...
...We currently have an appraised market cap of $150-$200 million and we are trading way below that cap, we have recently been offered a nine digit figure for our company and tangible assets of over $1,000,100,000.

We will begin very shortly with a new page on the website outlining our financials, specific breakdowns of deals we have put into place and all necessary information the shareholders should view.

Q Television President & CEO Addresses Shareholders

Triangle Multi-Media owns Q Television Network. If Q Television Network is sold, Triangle Multi-Media shareholders will be paid.

The additional assets of Triangle Multi-Media will also be disclosed in the audit, and this audit will ultimately bring us to reporting status. Please allow another 60 days for this to be completed. Due to government agency reporting, we cannot pinpoint or control the exact date for completion of the audit and fully reporting status. I understand this information has been a long time coming and well deserved for the shareholders. This audit will show that the financial side of Triangle Multi-Media is just as structured as the creative side of Triangle Multi-Media.

The teleport has become an income-producing entity, and more importantly, the land we purchased with the teleport is on high ground with minimal damage. We have been running fiber uplinks throughout the country, and by week’s end we will have digital uplink service throughout the country.

...we should break even by January 2006 and profitable by May 2006.

you guys are rich. i been taken to task here for 2 years pointing out frank olsen's inconsistancies and lies, and to NOT believe what he says, but what you can prove he has done.
and you now think that i 'believe' what he says. L O FU K'N L

the scourge of all of the investors in this company.

i was merely pointing out that 'even frank' understood that he had to file if he sold his shares.

apparently something that some here do not understand.

you know, i do some serious research. takes time.
i post here, which also takes time. don't post all my stuff, don't need this kind of grief. some people here don't want to know ALL of the truth.

what i DON'T have is enough time.

time to explain every little detail about every little thing that i post.
the rules are the rules. i do not have the time nor the inclination to educate the people here on our securities laws. read them yourself.

you people aren't children, we're all 'supposed' to be adults.
do your own reading and research.
you so-called experts on this unregulated securities market.

have i posted some wrong information? don't think what i'm saying is true?
then go do some of your own digging and prove what i said is wrong.
with links. verifiable.

where's the links validating your theory that frank DOES NOT have to file anything when he sells his shares?

well, i went back and checked. everyone should decide what to conclude for themselves. YOU decide if mr. fan is in violation.

i will keep saying it....state of washington and sec filing. period.

here's my links...i can find this information, you guys can't?....

all securities offered in the U.S. must be registered with the SEC or must qualify for an exemption.

is that clear enough? anything you don't understand?

now...what exemption does frank qualify under?
...keeping in mind that the company (olsen himself) has acknowledged in prs going back to 2001 that there are many thousands of shareholders.

...and how do you get around "Form D"?
Form D is a brief notice that includes the names and addresses of the company’s owners and stock promoters, but contains little other information about the company.

Registration Under the Securities Act of 1933

Often referred to as the "truth in securities" law, the Securities Act of 1933 has two basic objectives:

To require that investors receive financial and other significant information concerning securities being offered for public sale; and
To prohibit deceit, misrepresentations, and other fraud in the sale of securities.

The SEC accomplishes these goals primarily by requiring that companies disclose important financial information through the registration of securities. This information enables investors, not the government, to make informed judgments about whether to purchase a company's securities.

Here’s how an overview of how the registration process works. In general,

all securities offered in the U.S. must be registered with the SEC or must qualify for an exemption from the registration requirements. The registration forms a company files with the SEC provide essential facts while minimizing the burden and expense of complying with the law. In general,...

Regulation D Offerings

Under the Securities Act of 1933, any offer to sell securities must either be registered with the SEC or meet an exemption. Regulation D (or Reg D) provides three exemptions from the registration requirements, allowing some smaller companies to offer and sell their securities without having to register the securities with the SEC. For more information about these exemptions, read our publications on Rules 504, 505, and 506 of Regulation D.

While companies using a Reg D exemption do not have to register their securities and usually do not have to file reports with the SEC, they must file what’s known as a "Form D" after they first sell their securities. Form D is a brief notice that includes the names and addresses of the company’s owners and stock promoters, but contains little other information about the company.

http://sec.gov/answers/regd.htm

Rule 504
offer and sell up to $1,000,000 of their securities in any 12-month period, company can use this exemption so long as it is not a blank check company

Rule 505
only offer and sell up to $5 million of its securities in any 12-month period, unlimited number of "accredited investors" and up to 35 other persons, receive "restricted" securities

Rule 506
"safe harbor" for the private offering exemption of Section 4(2), can raise an unlimited amount of money, must satisfy standards

and you have...

Forms 3, 4, 5

Corporate insiders-meaning a company's officers and directors, and any beneficial owners of more than ten percent of a class of the company's equity securities registered under Section 12 of the Securities Exchange Act of 1934-must file with the SEC a statement of ownership regarding those securities. On August 27, 2002, the SEC adopted new rules and amendments to Section 16 of the Exchange Act, implementing the provisions of the Sarbanes-Oxley Act of 2002 that accelerated the deadline for filing most insider ownership reports.

The initial filing is on Form 3. An insider of an issuer that is registering equity securities for the first time under Section 12 of the Exchange Act must file this Form no later than the effective date of the registration statement. If the issuer is already registered under Section 12, the insider must file a Form 3 within ten days of becoming an officer, director, or beneficial owner.

Changes in ownership are reported on Form 4 and must be reported to the SEC within two business days. You can find the limited categories of transactions not subject to the two-day reporting requirement in the new rule.

Insiders must file a Form 5 to report any transactions that should have been reported earlier on a Form 4 or were eligible for deferred reporting. If a Form must be filed, it is due 45 days after the end of the company's fiscal year.

Since June 30, 2003, the SEC has required insiders to submit forms electronically through the SEC's EDGAR system. (Prior to that date, insiders could choose, but were not required, to file electronically). The SEC also requires companies that maintain websites to now post the forms by the end of the next business day after filing them with the SEC.

Schedule 13D

When a person or group of persons acquires beneficial ownership of more than 5% of a class of a company’s equity securities registered under Section 12 of the Securities Exchange Act of 1934, they must file a Schedule 13D with the SEC. The term "beneficial owner" is defined under SEC rules. It includes any person who directly or indirectly shares voting power or investment power (the power to sell the security).

Schedule 13D reports the acquisition and other information within ten days after the purchase. The schedule is filed with the SEC and is provided to the company that issued the securities and each exchange where the security is traded. Any material changes in the facts contained in the schedule require a prompt amendment. The schedule is often filed in connection with a tender offer.

Section 16 -- Directors, Officers, and Principal Stockholders

DISCLOSURES REQUIRED.--

(1) Directors, officers, and principal stockholders required to file.-- Every person who is directly or indirectly the beneficial owner of more than 10 percent of any class of any equity security (other than an exempted security) which is registered pursuant to section 12, or who is a director or an officer of the issuer of such security, shall file the statements required by this subsection with the Commission (and, if such security is registered on a national securities exchange, also with the exchange).
(2) TIME OF FILING.--The statements required by this subsection shall be filed---

(A) at the time of the registration of such security on a national securities exchange or by the effective date of a registration statement filed pursuant to section 12(g);

(B) within 10 days after he or she becomes such beneficial owner, director, or officer;

(C) if there has been a change in such ownership, or if such person shall have purchased or sold a security-based swap agreement (as defined in section 206(b) of the Gramm-Leach-Bliley Act (15 U.S.C. 78c note)) involving such equity security, before the end of the second business day following the day on which the subject transaction has been executed, or at such other time as the Commission shall establish, by rule, in any case in which the Commission determines that such 2-day period is not feasible.

tmm
12/19/05 amendment a/s + to 100b
02/07/06 amendment a/s + to 350b

what purpose??
...'poison pill' to preserve frank's 53% majority?

...fan in place at company 2/27
"185,500,000,000 were issued to me and my investment team on March 7, 2006"

so, those shares weren't issued, and he had to issue them to mr. fan as 53%.

that dilution is on ALL the common shareholders.

from 100b to 350b.......250%

somebody want to explain to me how it's not?

all to mr. fan.

gonna take good friday (market closed) and the weekend to digest this latest information and compose a serious correspondence to mr. fan via richard brown as per company pr. we'll see what happens.

i don't need this crap. i don't post much anyhow.

from Pink Sheets.com, first line of OTC Guide: "It is important to note that the Pink Sheets is not governed by a securities regulatory authority. It is not a stock exchange." the market makers are regulated, but the stocks are not.

from SEC website: "The Pink Sheets does not require companies whose securities are quoted upon its systems to meet any listing requirements."

all the rules you posted are correct, except they apply to registered securities. the pink sheets market is not an exchange

from SEC website: "A company named Pink Sheets LLC, formerly known as the National Quotation Bureau, publishes the pink sheets in both hard copy and electronic format. Pink Sheets LLC is not registered with the SEC as a stock exchange, nor does the SEC regulate its activities."

from SEC website: A company must file reports with the SEC if:

it has 500 or more investors and $10 million or more in assets; or

it lists its securities on the following stock markets:

American Stock Exchange
Boston Stock Exchange
Chicago Stock Exchange
Cincinnati Stock Exchange
International Securities Exchange
Nasdaq Stock Marke
New York Stock Exchange
Pacific Exchange
Philadelphia Stock Exchange; or
its securities are quoted on the OTCBB.

do you see pink sheets anywhere on there KC? I sure don't.

SEC website again: Companies that trade their stocks on major exchanges and in the Nasdaq Stock Market must meet minimum listing standards. For example, they must have minimum amounts of net assets and minimum numbers of shareholders. In contrast, companies on the OTCBB or the Pink Sheets do not have to meet any minimum standards.

Now KC, show me where in all those rules you posted a pink sheet stock would qualify or fit the classification. you provided good a securites law analysis, but your mistake is in thinking that all stocks have to report. only REGISTERED stocks have to report. again the pink sheets is not a market that has to meet registration requirements.

i am not trying to deceive anyone; I was a stockbroker for 5 years, working with an online firm where many of our clients were interested in pink sheets and OTCBB stocks. because of that, i had to be extremely familiar with the rules of the pinks. you do post some good info, but you are mistaken with frank's requirement to file the sale of his stock. there are no filing requirements on the pink sheets. final. you don't have to insult me just because you are mistaken.

LOL Somebody needs a hug [Big Grin]

Seriously though, a lot of us appreciate your postings King. I just don't get too worked up over it anymore as I have mentally written this off as a loss. Anything that happens from here on out is interesting and fun to talk about, but that is about it. I am honestly surprised that as many people are doing active DD on this one. Being mad at Frank doesn't help me, so I hope Mr. Fan is legit, and I will work on making money elsewhere.

Someone was inquiring earlier as to the new markets we entered last month, March. Well, I think Lloyd was talking about Verizon FiOS. Here is a list of some regions from the FiOS web site.

Ca, Southern California
Fl, Gulf coast
Ma, North shore
Md, Howard County
NY, New York area
Tx, North Texas
Va, Fairfax County

http://www22.verizon.com/FiosForHome/Channels/FiosTV/channel.aspx

Lloyd said 8 new regions, I’m unsure about the 8th. I do know that FiOS TV will be available in 6 million households by the end of this year and in 18 million by the end of ‘09.

Uh, PT... I don't know any offhand, but I'm sure a google search will provide some...

I think there's also anonymous surfing portals (anonymizer.net??) that send any web requests through their proxy.

Goal of 12,000 In Sight; Late Registration Begins 16 April

CHICAGO, IL - Chicago organizers of the 2006 Gay Games announced today that they now have more than 10,000 participants from more than 45 countries committed to attending the 7th Gay Games, 15-22 July 2006.

"With just 100 days to go before the 2006 Gay Games open in Chicago," said Brian McGuinness, Gay Games Chicago Executive Director, "our registration rates remain ahead of expectations with 12,000 participating athletes and artists expected to march into the 15 July 2006 Opening Ceremony at Chicago’s Soldier Field."

Gay Games "Late Registration" begins Sunday, 16 April 2006, with significant fees assessed for those who register late. Gay Games VII registration opened in July of 2004, earlier than any previous Gay Games. "Historically, 20% of Gay Games participants register in the last three months before the big event," said Suzanne Arnold, Gay Games Chicago Board Co-Chair. "We strongly encourage athletes to register by 15 April 2006 to ensure access to their preferred sport and so they can make appropriate travel and lodging arrangements."

Register by April 15th: http://www.gaygameschicago.org

Sports Reaching Capacity
Badminton, Soccer and Ice Hockey are nearly full. Tennis, Swimming, Volleyball and Basketball are running significantly ahead of projections and organizers encourage participants in each of these sports to register soon. Two sports are full – Golf and Sailing.

Find a Team or Teammate
Individuals looking for teams and teams needing players can use the online Gay Games "Team Sport Matchmaker" system. “All athletes will be matched with teams,” said Nancy Harris, Gay Games Chicago Sports Director, “so there is no need to delay registration.” Gay Games "Matchmaker" and registration are open at http://www.gaygameschicago.org.

Travel & Housing
With tens of thousands coming to Chicago for the 2006 Gay Games, many athletes, artists, family and fans are now turning their attention to travel, housing and immigration issues. Gay Games Chicago offers discounted travel and lodging but many housing options are filling fast. Complete information is available at http://www.gaygameschicago.org.

Immigration Assistance
Gay Games Chicago immigration staff are working directly with several U.S. embassies throughout the world to ensure the smooth entry of participants into the U.S. International participants who might require assistance with immigration and visa issues are encouraged to contact the Gay Games immediately at info*gaygameschicago.org or via phone at +1 (1) 773-907-2006.
