I really like this part 1. issued 9,515,000 Series A preferred shares in exchange for 291,350,000 Common Shares 2. Issued 20,654,167 Series B Preferred shares in exchange for 103,270,835 3. Issued 100,000 Series C Preferred shares in exchange for $100,000 4. Issued 995,000 Series C Preferred shares in exchange for conversion of notes payable for which the issuance of the notes originally generated cash proceeds tothe company in the amount of $995,000
note here they sold Preferred C shares for $ 1 for one shares. Thats really goood good sign, someone ready to buy for $1.

Obvious question is, "Why didn't mgt release it in the regular manner?" Quarter income looked OK, but 9 mos. not good. Am remembering earlier projections of huge profits for 2005....am disappointed with 9 mos results. Balance Sheet (Current Assets vs Current Liabilities) looks good.

Year is not over. Begin shipping Pro.Sec orders in 4Q as per previous PR releases($5.5M and $2.5M). 4Q numbers should be huge. They should hit projections just on existing orders in hand.

Okay guys, here is I’m interpreting the balance sheet into simple way. Why I call company is excellent level.
First Quarter Sales Income => 197,937 Gross Profit => 120,574 Cost for goods sold = (77,363) Administrative expense = (373,502) So total expense = (- 450,865)
So the Loss => 197,937 + (-450,860) = (-252,928) So Net Loss $-252,928
Company don’t have any Cash = 0 Deposit = 17,378 Total Asset 1,218,758
This (-88,162) loss carry from last year. Total Deficit = (-88,162) + (-252,928) = (-341,090)
Common shares => 828,700,188 Company don’t have any well planned share structure, exactly same like pinksheet company.
2nd Quarter Sales Income 237,133 ( Sales increased to $39,196 compare to 1st quarter, that is 19.8% increased sales)
Cost for goods sold = (82,848) Administrative expense = (136,366) Other expense = (11,508) So total expense = (82,848 + 136,366 + 11,508) = (-976,722)
Gross Profit = 154,285 ( Gross profit increased to $33,711 compare to 1st quarter, that is 28% increased gross profit) Net Profit => 6,411
Deficit = (-341,090) + 6,411 = (-334,679) ( Deficit decreased by $ 6,411, that is 2 %)
Common Shares => 731,857,658 Preferred Shares => 4,500,000
3rd Quarter Sales Income => 880,670 ( Sales increased to $643,537 compare to 2nd quarter, that is 262.4% increased sales)
cost for goods sold = (321,401) ( This is good sign, because they are spending add and shows, that brings revenue) Administrative expense = (539,854) (Another good sign paying good salary to employ and good environment and good place)
So total expense = (321,401 + 539,854) = (-861,255) ( Total expense is reduced to $115, 467, that is 12% reduced expense compare to 2nd quarter)
Gross Profit = 559,269 ( Gross profit increased to $404,984 compare to 2nd quarter, that is 262.4% increased gross profit)
Net Profit = 19,415 ( Net profit increased to $13,004 compare to 2nd quarter, that is 203% increased Net profit)
Cash = 648,535 ( Cash increased to $99,868 compare to 2nd quarter, that is 18.2%) Inventory = 559,847 (Inventory increased to $301,977 compare to 2nd quarter, that is 117%) Software = 995,752 ( Software investment increased to $708,419 compare to 2nd quarter, that is 247%, This is very good, because CyberTracker need good working application and it will return more money to company, monthly fee) Deposit = 17,378
Total Asset => 3,307,632
Deficit = (-334,679) + 19,415 = (-315,264) ( Deficit is decreased by $ 19,415, that is 6% compare to 2nd quarter, lots of people say, look the deficit, Though compare to sales and total expense, this deficit is nothing, no need to compare or think about this deficit, because total expense is $861,255 and sales income is 880,670.)
Common Shares => 756,139,998 Class A =>14,015,000 Class B => 20,654,167 Class C => 2,773,864 ( This is very good value, sold for $1)
The share structure is very well defined and well handled. Some people say, look class A, B and C shares, they can convert anytime, but HISC has cash on hand and also, Class C shares sold for $1, that means huge future and potential for this stock)
So from this, 4th quarter can pay off the Deficit and very profit and value will increase more and more.
Now the company really going forward to corporate culture. I love that.

Wallace... I never thought or meant to imply you were bashing. Was just pointing out the larger numbers that will be in play for 4Q. Also, I would think the last 9 months would have alot of R&D costs for Cyber Tracker, new hires(ie. Barry Bennett and others), and store overhead, as well as operating expenses incurred that would account for the deficit for the previous 9 month period. But as you pointed out, they turned a profit in the 3Q.
So my extrapolation of that is that the 4Q numbers should be huge, matching or surpassing earlier projections by the company.
As far as why they haven't PR'ed the 3Q numbers, I'm not certain. If the numbers came out AH on Friday, maybe there will be a PR Monday? Your guess is as good as mine on that point.

Okay guys, I did some Ratio Analysis for HISC. HISC is very STRONG
Performance Analysis:
1. Cash Flow to Assets:
For 3rd quarter is 27% and For 9 months 40%. It is very good and positive. If Cash Flow ratio is above 25% always good. And company shouldn’t run into any problems generating cash. When the ratio declines below 10% then there is real problem to pay bills and cash. So HISC is really well good level.
2. Gross Profit Margin Analysis ( Gross profit margin analysis is not an exact estimate of the company’s pricing strategy but it does give a good indication of financial health.)
For 3rd quarter is 64% and For 9 months 63.3%. HISC has gross margin of 64% and also stable. Therefore HISC mark-up is over 100% of the cost.
3. Profit Margin
For 3rd quarter are around 1% that means, for each dollar of sales that HISC generates it is contributing less than one cent to its bottom line (net income). This ties in with gross profit margin, HISC has a very healthy pricing strategy which is evident in Gross Profit Margin Analysis. HISC is new startup company, so they are spending money for add, shows and research. That’s good for company future growth.
Activity Analysis:
1. Asset Turnover ( This ratio is useful to determine the amount of sales that are generated from each dollar of assets)
For 3rd quarter is 27% and for 9 months 40%. This ratio is more useful for growth companies to check if in fact they are growing revenue in proportion to sales.
2. Collection Ratio Analysis
For 3rd quarter are 301.6. Collection ratio is not look good. Though HISC is new to market, they will be alright in future. Most of case 37 days for customers to clear their invoices.
3. Inventory Turnover
For 3rd quarter is 1.7. Though HISC need inventory to meet demand.
Financing Analysis:
1. Debt-Asset Ratio analysis
For 3rd quarter is 24.3%. Not a particularly exciting ratio, but a useful one. HISC debt/asset ratio is fairly low, meaning that its assets are financed more through equity rather than debt. And if you notice HISC has zero long term debt and shouldn’t have worry about creditors getting nervous. Companies with high ratios are placing themselves at risk, especially in an increasing interest rate market. Creditors are bound to get worried if the company is exposed to a larger amount of debt and may demand that the company pay some of it back. So HISC is STRONG.
2. Debt-Equity Ratio Analysis ( If the ratio is high ( financed more with debt) then the company is in a risky position- especially if interest rates are on the rise)
For 3rd quarter is 0.32. For the most part a rise in share capital is better than a rise a debt. 0.32 means that HISC is exposing itself to a large amount of equity. This is certainly better than a high ratio of 2 or more since this would expose HISC to risk such as interest rate increase and creditor nervousness. This will improve when issue debt or use revenue and use the cash to buyback some of outstanding shares. HISC is great position.
Liquidity Warning Analysis:
1. Acid Test A stringent test that indicates if a firm has enough short-term assets (without selling inventory) to cover its immediate liabilities. It is similar but a more strenuous version of the “working capital” ratio, indicating whether liabilities could be paid without selling inventory.
For 3rd quarter is 5.71. HISC ratio of 5.71 means that HISC have enough liquid assets to cover a unexpected drawdown of liabilities. This ratio shows STRENGTH of HISC.
2. Working capital ration ( Current Ratio) (If the ratio is less than one then they have negative working capital)
For 3rd quarter are 12.1. That means, HISC is very comfortable. This ratio indicates something, HISC holding inventory and working capital to fill the orders in 4th quarter. That’s very STRONG

Corndo, Class A, Class B and Class C share structure good for company. It help company for major voting power, and take over issue.
And also see, Class C shares sold for $1 that means, one dollar value. Investment community believe HISC is worth. and also consider Class A share value is $7 and class B share value is $.70 as per today market value.
and also see HISC Working capital ratio it is almost 12.1. It is huge and too much. just between 1 to 2 is enough for good operation. So they re-invest the money or buy back
Conversion, they will not do just like or sell like common shares. Most of times company will buy the class A,B,C stocks from officers and give them common shares.
