I think he is hoping the price will inflate itself up to or close to $15 by that time? Anyone else?

Says 15.00 per share equivelent to EOD 10/16 which was 1.80- from that they put the formula to work and we get 6x divi. I think its regardless of current PPS on 10/30 but I can easily be wrong [Wink]

I would recommend that you DO NOT SELL until you have the divy!
You could very well be selling your shares with the divy attached.

I highly doubt they can legally "back-date" a dividend issue.

For one, divvies are supposed to be filed with NASD/NASDAQ, which then causes same to be posted on OTCBB's dailylist.

In other words, I don't think you can have a "secret" divvy.

If this is coming down as an f/s, it will have to be filed...if it's common stock? it *should* have an ex-date: restricted shares and cash divvies have slightly different regsm wherein the T+3 does come into play...

Now...that being said, GVRP/MAMG has been mentioned before...that company was able to pull off what was essentially an illegal reverse split, which has been never filed or posted. It was apparently a "back-channel" agreement through NASD legal and an attorney in New York, and by brokers acting off company PRs and TA instructions. However, the company never traded out on open market again, either; months passed and they shuffled assets off to yet another company...

this is also true...

some of us went thru this with another stock last year...

i hate to EVER tell people to hold, but there is a chance the shares would go forward...

talk to your broker and get the answers in writing if you are thinking of selling before the 30th...

Oh...and pay special attention to that second paragraph...if I'm reading it right...you can really screw yourself here if you sell before the divi date...

http://www.sec.gov/answers/dividen.htm

quote:
Sometimes a company pays a dividend in the form of stock rather than cash. The stock dividend may be additional shares in the company or in a subsidiary being spun off. The procedures for stock dividends may be different from cash dividends. The ex-dividend date is set the first business day after the stock dividend is paid (and is also after the record date).

If you sell your stock before the ex-dividend date, you also are selling away your right to the stock dividend. Your sale includes an obligation to deliver any shares acquired as a result of the dividend to the buyer of your shares, since the seller will receive an I.O.U. or "due bill" from his or her broker for the additional shares. Thus, it is important to remember that the day you can sell your shares without being obligated to deliver the additional shares is not the first business day after the record date, but usually is the first business day after the stock dividend is paid.

ok, it said we get the 6 shares on the 30th. So those 6 shares will be worth whatever price their at that day.

thus, you wont get 6 more shares per share now at this price of 1.80.

my guess is they pump it up to close to $15 by end of week, so they are basically giving you free shares, but at current price and not also giving a % gain to boot. any thoughts?

i'm not listening to simon...

BUT? i can tell you that he is wrong...

if i or you bought shares today?

i or you am/are the OWNER today...

this settelment thing is BS...

i've bene thru it several times... just call the broker and tell them, they'll get your shares...

the shares may be delivered to the incorrect place? but they are owed to the buyer...

this paly is unique, but the PR says clearly that if you owned them at CLOSE today the new shares are yours:

"The Threshold Price Reset means that for every share you owned as of the close of business today you will receive 6 additional share (no fractions will be issued and will be rounded down to the nearest whole) of CSHD on or around October 30, 2006.

when you buy? you OWN...

agree & disagree...

yup, we been through it--and seen PR's "rule" over regs--but to keep trading the company will have needed to file properly. In other words, we've also seen hundreds of companies screw up PRs on divvy plays...

am not up to speed here, but if this is turning out to be a "traditional" div play? Needs to be filed...

If you currently have 1,000 shares you get 6,000 FREE ones for a total of 7,000 shares no matter what the pps is on the 30th.

Yes be very careful if due bills are attached. In essence you would be trading away your rights to the 6 additional shares. As before we need more information.

the divi resets the price Chad...

Have you actually read the PR this evening? It states that with all of the assets...some 7.2 billion...the book value is 71.00

Divide that by the multiplier for the divi and you get around a 11.00 book value...stocks usually trade at twice that value...so essentially the stock was just reset anywhere from 11.00 to 2 or 3 times that...

I think Wally posted this earlier. Basically, he said we need to quit thinking like this is a little company. Rufus is playing this like a massive company, and making decisions likewise. If we make our decisions like it is still a penny stock, we're lost.

As for those who sold? Why not stay long? Who can say, it is a personal belief. One person looks at it and is fine, someone else sees the same thing and it scares the hell out of them. I am thankful beyond belief that my shares haven't moved since they were bought.

The windfall for all of us is there, just as Rufus always promised. The

I never got a reply though, and they never changed my name.

Guess question is, do ya think it goes up or down and why?

The Corporation hereby chooses option (c) to reset the Share value to an equivalent of $15.00 by issuing additional shares to each shareholder of record as of the close of business on October 16, 2006, the issuance date of the Reset shares is October 30, 2006 10 business days from the filing of this form 10-KSB.

The ratio of share issuance will use the following formula ($15.00 divided by the Actual Closing Price on October 16, 2006 (X) minus Actual Closing Price on October 16, 2006) (15 / X - X).

A 10-KSB/A was filed and accepted at 6:50PM and will show up on the Edgar System first thing tomorrow morning.

'The Threshold Price Reset means that for every share you owned as of the close of business today you will receive 6 additional share (no fractions will be issued and will be rounded down to the nearest whole) of CSHD on or around October 30, 2006. This transaction will take the total issued share number to 618,813,942 giving the corporation an estimated book value of $11.78,' stated Rufus Paul Harris, Chief Executive Officer.

THis is what is written. No mention of Dividend or Forward split. THey are saying reset the share value. Could be a difference don't know because this is a new one on me.

Man there are so many bashers on the other pages, I am hanging right hear until the first of next year. I have gotten out of good stocks before that rocketed. BSIT - people bashed RSHN at .0005 yes .0005 and people bashed PAIM .0001 people bashed LFWK .002 people bashed now SLJB it went up over .10 and I had 135,000 shares. When bashers are out its time to stay in the house and hold em tight because the main thing is the assets this company has and the amount of money and people behind them. Better to not read than to read get nervous, sell, and kick yourself later for listening to mindless dribble from people who work at TACO BELL on 2nd Shift and try to get rich quick during the day. That is why they are still working at TACO BELL.
