Sherri: Richby26 tried and nobody was home. Let me start by saying that I think everything will be fine once the 10-k is filed and the price is re-set. Until then, it's not going to be pretty. I might try to flip on Monday morning, but with my luck, the thing will get done as soon as I get out. There is no logical explanation for these guys to be pulling a scam...what could they possibly gain from this latest event? I believe in them. Chances are, they were proofreading the darn thing today and noticed something was wrong. They most likely had no choice. I'm sure they are as upset as we are (except they know the truth 100%...we do not). I have also considered that this might be part of the negotiations with the SEC to let the shorts cover. As much as some of us want to see AMTD and others go out of business over this, it's just not going to happen. They are one of the big kids on the block.
To answer your question about my gut...yes, I feel as if I just blocked a point blank shot while standing in the wall protecting my goal in the final few minutes of the World Cup. As much as I want to fall to the ground and cover my jewels, the game ain't over yet. We have to remain strong people.

2.6 AVERAGE CLOSING PRICE ADJUSTMENT.
In the event that the Actual Average Closing Price is less than $15.00, the Surviving Holdings Company shall deliver written notice to the Company no later than the second (2 nd ) Business Day preceding the Closing Date pursuant to which the Surviving Holdings Company shall elect, in its sole discretion, to: (a) maintain the Average Closing Price at a price equal to the Actual Average Closing Price; (b) set the Average Closing Price at $15.00 and pay the holders of Company Shares receiving shares of Buyer's Stock as Merger Consideration (after giving effect to the allocation procedures set forth in Section 2.4 ) an amount in cash equal to $15.00 minus the Actual Average Closing Price per share of Buyer's Stock to be received by such holders of Company Shares; or (c) set the Average Closing Price at $15.00 and pay no additional consideration to the holders of Company Shares receiving shares of Buyer's Stock as Merger Consideration (after giving effect to the allocation procedures set forth in Section 2.4 ). In the event that the Buyer elects option (c) described above, the Company may terminate this Agreement by providing the Buyer written notice of termination no later than one (1) Business Day prior to the Closing Date.

I think that I remember reading somewhere that they normally have 5 days to put out their 10KSB, and they asked for the extention so that they can have it out in 15 days instead. I think that this isn't a slammer that everyone is making it out to be. Also, I think that the real important document will be the 10Q, so that everyone can see the 5 Billion dollar bond, and regain confidense to make the bond soar. Or at least thats what I think.

but I still want an explaination. this 8K/a is 91 pages long and I do not have time to look at it this evening. I am glad I got all weekend to compare it to the other.
I really want to know the full reason for the delay!

OK, rufus put out NT 10k to fool MM who likely received it earlier in day, hence more shorting or a trap, he then releases super 8k with audited financial and merger completion news. The financials are only for period ending 6/30 (giving book value of $7), this does include a couple bonds but not the new 5 billion bond...all a trap and amazing news...look for 10k on monday IMO No more FHAL, we are officially CSHD!!!!
