purl, if you stepped out above 1 dollar and stepped in today in the seventies that is the most perfect scenario which could occur for me not? :-) because of bad pr this stock came down and i have to admit i like it because i added more and made a nice profit.... this will all be fine after the 8K you will see

Looks like short sellers will be pushing this even more. I only predicted a 20% drop from monday. Hanging in there for the come back. Waiting a little longer for the buy in.

bottom at 74 on my chart but i see us closing somewhere around 85 again and ndol should release the 8k after hours would be good for the next week

I am not in NDOL but have been following this thread for some time now. All I can say is Dow Theory didctates that everyone KNOWS that the merger is coming and the stock is already priced considering this news. Everyone should re-evaluate their positions IMO. THe company "should" be worth $2.27 a share but market says it isn't. If it went up to $2.00 ps, how many of you would sell? How many would wait for $2.10 ps? Guys, everyone is waiting for $2.17, so nobody is going to buy it UP TO $2.17.

I agree with you that the current price is what the new company is worth, however I do feel (and really hope) that current price is lower then it should be do to some uncertain issues that will hopefully be cleared by the 8k.

Can I sell my securities under Rule 144? If you want to sell your restricted or control securities to the public, you can follow the conditions set forth in Rule 144. The rule is not the exclusive means for selling restricted or control securities, but provides a "safe harbor" exemption to sellers. The rule's five conditions are:
1. Holding Period. Before you may sell restricted securities in the marketplace, you must hold them for at least one year. The one-year holding period begins when the securities were bought and fully paid for and only applies to restricted securities. Because securities acquired in the public market are not restricted, there is no holding period for an affiliate who purchases securities of the issuer in the marketplace. But an affiliate's resale is subject to the other conditions of the rule. Additional securities purchased from the issuer do not affect the holding period of previously purchased securities of the same class. If you purchased restricted securities from another non-affiliate, you can tack on that non-affiliate's holding period to your holding period. For gifts made by an affiliate, the holding period begins when the affiliate acquired the securities and not on the date of the gift. In the case of a stock option, such as one an employee receives, the holding period always begins as of the date the option is exercised and not the date it is granted.

Management will proceed to fill the appropriate forms with the SEC such as the PRE 14C and 8K required to make said merger effective . Complete disclosure on the North-West Oil Group will also be provided on form 8K on or before May 15, 2006.
