Today and probably the next two or three weeks, many cable/satellite providers AND advertisers will be signing on. I expect they will be extremely busy this month.

We are due for information regarding the O/S, advertisers and cable providers as wel as possible satellite companies. (I honestly think we will get a PR informing us DirectTV has signed us on. Deveney has already proven to use their established resources to help other customers as well as Deveny in obtaning all their perspective goals. DirectTV is or has been a client of Deveny.)

I think June will be a steady month of postive PRs! Let's hope so!!

June 1 (Bloomberg) -- Viacom Inc. President Mel Karmazin unexpectedly resigned from the third-largest U.S. media company after three years of tension between him and Chief Executive Officer Sumner Redstone.

``The fact that they've stayed together this long is impressive,'' said Dennis Fitzpatrick, who helps manage $2.9 billion at First Investors Management Co. in New York and owns about 150,000 Viacom shares. ``There can only be one alpha male in the group and Sumner Redstone controls a good portion of the company.''

Redstone, 81, named Tom Freston and Leslie Moonves co- presidents and co-chief operating officers and said he would relinquish the CEO role within three years. Freston is head of Viacom's MTV Networks unit and Moonves runs the CBS television network, New York-based Viacom said in a statement.

Investors credit Karmazin, 60, with cutting expenses and spurring profit growth at Viacom since it acquired Infinity Broadcasting Corp. in February 2001. Karmazin signed a three-year contract extension last year that allowed him to leave Viacom without penalty if he could show that Redstone unfairly overruled one of his decisions.

``Clearly over the past year and half, there has been a lot of tension at the top between Redstone and Karmazin,'' said David Joyce, an analyst at Guzman & Co. in Miami, who rates Viacom ``outperform'' and doesn't own Viacom shares. ``It has been something that has put downward pressure on the stock.''

Shares of Viacom fell $1.27, or 3.4 percent, to $36 at 9:31 a.m. in New York Stock Exchange Composite trading. They have declined 20 percent in the past year.

Succession Race

Viacom's first-quarter profit rose 60 percent to its highest in more than seven years as advertising sales climbed at CBS, helped by shows such as crime-drama ``CSI.''

Moonves and Freston manage some of Viacom's most successful businesses, said Uri Landesman, who helps manage $30 billion at Federated Investors Inc. in New York. Moonves is responsible for turning CBS around, he said.

``Over the next three years, they're going to have to work out some type of governance. My guess is that one gets named CEO,'' Landesman said. Federated owns 4.1 million shares of Viacom. ``My guess is that Les Moonves ends up running this company at some point.''

Redstone has said that his daughter, Shari Redstone, 49, who is president of National Amusements, will probably inherit his control of Viacom. He also said she won't run the company. His son, Brent, 53, a former New York state prosecutor, is an attorney in private practice and not a candidate.

Indecency Concern

Viacom has come under fire from viewers and a Congressional panel over the Super Bowl's halftime show, when singer Janet Jackson's breast was briefly exposed during the performance, produced by MTV. The U.S. Federal Communications Commission said it received more than 200,000 complaints about the show in the week following the Super Bowl.

Karmazin told Congress in February that the company's TV stations are developing a system of delaying broadcasts to avoid similar incidents.

The company's Infinity radio network is being investigated by the FCC over possible indecent material aired on its Howard Stern radio show. Clear Channel Communications Inc., the largest U.S. radio broadcaster, earlier this year pulled the Stern show from six of its stations.

Military gang... we left town late friday night & just got back, but did want to add that our thoughts and prayers are with you guys & gals everywhere in the military. Where ever you are you are truly adored and thought of so very highly here at home. Our amazed love to you always. Do you all get any of the prepaid USO phone cards? My hubby and I send a bunch every month and hope they actually get to the military folks. That seems like all we can do right now since we can't just send mail or packages to "anyone" at this time. Any ideas?

Back to Q! Looks like some readers didn't get to read the old thread. I can relate to some concerns about advertising, but then I thought back to some of the projects I've worked on. Remember... when you've worked so hard on a project and are the "unknown, little guy" trying to break in with the big boys... sometimes it's best to be a mystery and sneak in so the bigger known competition doesn't get too much wind of what you have accomplished & of course try to steal ideas. Viacom & MTV know that QTV are on to something big and are doing everything they can to let everyone know they have & G&L program in the works... at the very same time QTV IS doing their programming. Frank & Deveny are playing it smart, keeping much to themselves until the launch exists which then BECOMES their proof of a job well done. Ideas will be taken at that time... but the ideas & programs can not be stolen once QTV IS launched.

Stock price... first the launch, talk & excitement, reporting, more excitement, then the price moves. The price is a tug-of-war right now between real buyers and day traders. Patience. IMHO!!!

I tracked down many articles from entertainment writers around the country from various newspapers. Logo, of course, generated much buzz, but invariably Q was not mentioned. So, I wrote a nice note to each journalist with Q's pedigree and link. I just received a reply from the writer at the Palm Beach Post who hadn't heard of Q and thanked me for the heads up! Now if a guy who's in the know doesn't know, imagine when everyone knows. You know?

I remember couple of months ago, somebody posted saying he can see the soft launch signal as he works for a cable company. Not sure if that person sold the stock or still has it.

Diane stated that Frank told her july 1 that is were the 1st is from but nothing official.

as far as im concerned i will expect hard launch for July 31 untill otherwise stateded officially

Illegal insider trading refers generally to buying or selling a security, in breach of a fiduciary duty or other relationship of trust and confidence, while in possession of material, nonpublic information about the security. Insider trading violations may also include "tipping" such information, securities trading by the person "tipped," and securities trading by those who misappropriate such information.

Examples of insider trading cases that have been brought by the SEC are cases against:

* Corporate officers, directors, and employees who traded the corporation's securities after learning of significant, confidential corporate developments;

* Friends, business associates, family members, and other "tippees" of such officers, directors, and employees, who traded the securities after receiving such information;

* Employees of law, banking, brokerage and printing firms who were given such information to provide services to the corporation whose securities they traded;

* Government employees who learned of such information because of their employment by the government; and

* Other persons who misappropriated, and took advantage of, confidential information from their employers.

Because insider trading undermines investor confidence in the fairness and integrity of the securities markets, the SEC has treated the detection and prosecution of insider trading violations as one of its enforcement priorities.

The SEC adopted new Rules 10b5-1 and 10b5-2 to resolve two insider trading issues where the courts have disagreed. Rule 10b5-1 provides that a person trades on the basis of material nonpublic information if a trader is "aware" of the material nonpublic information when making the purchase or sale. The rule also sets forth several affirmative defenses or exceptions to liability. The rule permits persons to trade in certain specified circumstances where it is clear that the information they are aware of is not a factor in the decision to trade, such as pursuant to a pre-existing plan, contract, or instruction that was made in good faith.

Rule 10b5-2 clarifies how the misappropriation theory applies to certain non-business relationships. This rule provides that a person receiving confidential information under circumstances specified in the rule would owe a duty of trust or confidence and thus could be liable under the misappropriation theory.
