figured i'd look further into frank's "new" partner in the September 2005 "Transponder and Services Agreement" (lawsuit p 27, #52) with "Frank Olsen and FTP Corporation, Inc." and Firestone.

...a nevada corp (since 1979) but only licensed in wa in 1998--the same year frank let Franklyn Broadcasting be dissolved (just like qtn). both doing business with Firestone.

frank olsen, FTP Corp, WBM, personal private holding corporation Franklyn Broadcasting, dilution by Rule 144a and PIPEs transactions....

Triangle took over without "Commission" (FCC) approval, FTP Corp. filed application seeking Commission approval.

February 4, 1998, an application was filed seeking Commission approval of the assignment of Station KBRO/KNTB from WBM to FTP Corporation.

Triangle did not seek authority from the Commission to transfer control of the station until it filed its FCC Form 315 application on April 21, 1998.

broadcast content....

Triangle Broadcasting, "America's First Gay Broadcasting Network" (unless you count American Movie Classics). The L.A.-based company just opened its second branch operation here (the first is in Philly). It runs low-power transmitters out of Bremerton (1490 on the AM dial) and Tacoma, plus a three-person sales office in Pioneer Square. All the programming's beamed by satellite from Calif. They plan to include lotsa Seattle-based events listings and talk-show guests, but that'll diminish as more network-owned stations start up around the country. The debut lineup's mostly talk, with some dance-music hours at night. One host is described as "the queer Rush Limbaugh;" there's also a Dr. Laura-like tuff-advice lady and a wacky-wacky morning dude. The company's PR literature's light on discussing station content, but big on praising gays and lesbians the way corporate America likes to hear people praised--as upscale, upscale, upscale! I suppose it's progress or something like it if queers can now be depicted as not only non-threatening but as a key economic sector. But to effectively reach all those double-upper-income-no-kids households, they'll have to grow into something beyond gay/ lesbian topics tacked onto regular dumb ol' talk radio formulae piped in from out-of-state.

December 17, 1997 frank (Triangle) engineered the unauthorized (illegal) take-over of ownership and control of WBM, and ALL of the controlling shares of the company.

the Commission (FCC) caught him and imposed fines.

NOTICE OF APPARENT LIABILITY FOR A FORFEITURE (NAL)

December 16, 1998
On February 4, 1998, an application was filed seeking Commission approval of the assignment of Station KBRO from WBM to FTP Corporation (File No. BAL-980204EH). Fred Lundgren, the former president of WBM, filed a petition to deny the application. He alleged that he had entered into an agreement with Triangle Broadcasting Co., Inc. ("Triangle") for the transfer of control of WBM to Triangle and that Commission approval had not been obtained for that transaction.

Both Lundgren and Olsen admitted that ownership and control of WBM were transferred to Triangle without prior Commission authorization.
Olsen approached Lundgren with a proposal for Triangle to purchase WBM. Lundgren agreed to the sale and the agreement was signed on December 17, 1997. Pursuant to the terms of the agreement, Triangle acquired 100% of the stock of WBM. In addition, Lundgren resigned as president of WBM and was replaced by Olsen. Lundgren admitted that as of December 17, 1997, Olsen assumed all responsibility for the operation of Station KNTB, including the critical areas of personnel, programming, and finances. Triangle did not seek authority from the Commission to transfer control of the station until it filed its FCC Form 315 application on April 21, 1998.

According to Lundgren's response, the finances of the station are handled by Olsen, Tim Mauch, the station's engineer, Chris Handley, WBM's local business manager, and Rene Schenk, the comptroller of both WBM and Triangle.

Triangle is in control of the day-to-day operation of the station, including its programming, personnel, and finances.

WBM advised of its apparent liability for a forfeiture of $8,000 for the unauthorized transfer of control of the license for Station KBRO (AM), Bremerton, Washington
WBM advised of its apparent liability for a forfeiture of $7,000 for failing to maintain a meaningful managerial and staff presence in the main studio

DAILY DIGEST Vol. 17, No. 242 December 17, 1998

WASHINGTON BROADCAST MANAGEMENT CO., INC, LICENSEE OF KBRO (AM), BREMERTON,

Washington Broadcast Management Co. Inc.
Former Licensee, KBRO(AM), Bremerton, Washington

FORFEITURE ORDER
Adopted: June 23, 1999 -- Released: June 24, 1999

2. The NAL proposed a forfeiture of $8,000 for the unauthorized transfer of control and $7,000 for the violation of the main studio rule. Lundgren seeks a rescission of the forfeiture. For the reasons that follow, we conclude that rescission is not appropriate and that the forfeiture imposed on WBM should remain at $15,000.

3. Lundgren and Jerome Friemel ("Friemel"), the persons who legally controlled WBM, sold without prior Commission authorization all of their stock to Triangle on December 17, 1997. Consistent with this action, Lundgren resigned as president of WBM and was replaced by Frank Olsen ("Olsen"), Triangle's president. Thereafter, at least up to the date of the NAL, it appeared that Olsen continued to act as WBM's president, and, as such, exercised operating control over the station.

6. Olsen's LOI (letter of inquiry) response "At the present time [September 1998] Triangle Broadcasting Company owns 100% of stock in Washington Broadcast Management Company." the LOI responses made it plain that, prior to Commission authorization, Triangle, a new entity, had taken legal control of WBM as well as control over the day-to-day operation of the station from Lundgren and Friemel. Accordingly, we conclude there is no basis for rescinding this aspect of the NAL, nor is there any basis for reducing the $8,000 forfeiture for the unauthorized transfer of control..

8. We thus conclude that violations of the staffing aspect of the main studio rule occurred and that there is no basis for rescinding or reducing the forfeiture proposed in the NAL.

9. Washington Broadcast Management Co., Inc. FORFEIT to the United States the sum of fifteen thousand dollars ($15,000) for willful and repeated violations

MEMORANDUM OPINION AND ORDER
Adopted: January 11, 2000 -- Released: January 14, 2000
By the Commission:
1. In this Order, we deny an application for review filed September 7, 1999, by Washington Broadcast Management Company, Inc. ("WBMC"). WBMC seeks review of two decisions of the Chief, Mass Media Bureau ("Bureau"), DA 99-1607 and DA 99-1608, both released August 13, 1999. In those decisions, the Bureau denied reconsideration of forfeiture orders, DA 99-1230, released June 24, 1999, and DA 99-1255, released June 25, 1999. In the forfeiture orders, the Bureau concluded that WBMC willfully and repeatedly violated Section 310(d) of the Communications Act, 47 U.S.C. Section 310(d), and Sections 73.3540 and 73.1125 of the Commission's Rules, 47 C.F.R. Sections 73.3540 and 73.1125, and ordered that WBMC forfeit a total of $30,000 to the United States.

2. The staff properly decided the matters raised below, and we uphold the staff decisions for the reasons stated therein. There is no reason to disturb those decisions. In addition to arguments previously raised before the Bureau, WBMC raises two new arguments. These new arguments that the licensee should not be held responsible for violations that occurred while it had unlawfully transferred control to another, and that the proceeding should be delayed pending a further investigation by the Office of General Counsel are untimely and will not be considered. 47 U.S.C. 155(c)(5), 47 C.F.R. 1.115(c).

3. Accordingly, IT IS ORDERED, pursuant to authority granted by Section 5(c)(5) of the Communications Act, 47 U.S.C. 155(c)(5), and Section 1.115(g) of the Commission's Rules, 47 C.F.R. 1.115(g), that the application for review filed September 7, 1999, by Washington Broadcast Management Company, Inc. IS DENIED.

MEMORANDUM OPINION AND ORDER
Adopted: April 6, 2000 -- Released: April 10, 2000

By the Commission:
1. In this Order, we dismiss a petition for reconsideration filed February 22, 2000, by Washington Broadcast Management Company, Inc. (“WBMC”). WBMC seeks reconsideration of a Memorandum Opinion and Order (“MO&O”), FCC 00-11, released January 14, 2000. That MO&O denied review of two decisions of the Chief, Mass Media Bureau (“Bureau”), DA 99-1607 and DA 99-1608, both released August 13, 1999. In those decisions, the Bureau denied reconsideration of forfeiture orders, DA 99-1230, released June 24, 1999, and DA 99-1255, released June 25, 1999. In the forfeiture orders, the Bureau concluded that WBMC willfully and repeatedly violated Section 310(d) of the Communications Act of 1934, as amended (the “Act”), 47 U.S.C. Section 310(d), and Sections 73.3540 and 73.1125 of the Commission's rules, 47 C.F.R. Sections 73.3540 and 73.1125, and ordered that WBMC forfeit a total of $30,000 to the United States.

2. Section 405(a) of the Act, 47 U.S.C.§ 405(a), provides that a petition for reconsideration of a Commission order must be filed within 30 days from the date upon which public notice is given. In the matter before us, public notice was given upon the release of the MO&O, that is, January 14, 2000. Thus, to be timely, WBMC’s petition for reconsideration had to be filed by February 14, 2000. As noted above, however, the petition was filed on February 22, eight days late.

3. Accordingly, IT IS ORDERED, pursuant to Section 405 of the Act, 47 U.S.C. § 405, and Section 1.106 of the Commission’s rules, 47 C.F.R. § 1.106, that the petition for reconsideration filed February 22, 2000, by Washington Broadcast Management Company, Inc. IS DISMISSED.

well now, since Triangle owns and controls WBM.......

seems the FCC takes these things seriously. laws and things.
frank really wrangled himself a beauty here.

and the saga of these 2 small AM radio stations (and licenses) continues with frank's new partner FTP Corporation--apparently conducting business in the same manner as the previous people that the FCC says aren't doing it right.

I have a rather large stake but that is none of your business anyways.
I have tried to write Frank and even called him once... he swore at me and told me he did not like getting calls from shareholders. So I took matters into my own hands once he destroyed Q (JMO) with the false hopes and 100 billion shares.
It's worthless to the shareholders now (especially those who bought in at higher prices based on Frank's PRs and another certain poster's hype (He who can not be named).
Do you really think that you will make any money? I think not (JMO) and from my contacts in the gay games the contract can become null and void for any number of reasons, so it is not iron clad. (second hand info at best)
Thanks for your interest but I think if other posters can pump this POS with falsities, I can let folks know that they can actually do something besides taking the loss.

All of the above is my personal opinion based on Q Company PRs and Statements by Q CEO Frank Olsen in an open public forum.

Do you have any idea what the hell this guy's point was CaliGuy? He said you can do something besides taking a loss, yet all he did was call Frank and get yelled at. He hasn't done anything. I don't fully understand this post.

Not that it's substantial, but it's the first time in almost a month I've seen one for Q. Don't see it helping, though:

Dec 30, 2005 (M2 PRESSWIRE via COMTEX) -- Market Gainer Briefs is a conglomeration of companies that we will be watching and potentially continuing research on for 30 days following this release. Each of the below-mentioned companies possesses at least one unique quality that brought them to our attention. For non-biased research on small cap opportunities, visit the company website at www.**************** for a free trial.

[Blah Blah]

Triangle Multi-Media (OTCPK:QBID), well known as the Q Television Network, is organized to create, develop and feature television programming for the gay and lesbian community, including live & interactive content every weeknight, plus sports, information and entertainment. The television company is showing some positive movement in the market today up 50 percent with over 63 million shares traded. For the entire trading week, the share price has jumped back and forth between $.0002 and $.0003. Today is no different as the share price is currently $.0003. The last press release issued by the Company came on December 23, 2005, which stated that Q television will air "The Judy Garland Show: Christmas Special" from the legendary Judy Garland series, over the holiday weekend.

One down, one to go...I wonder how many freakin' shares Frankie Boy offered for settling out of court.

UPDATE!
Lawsuit filed against Q Television Network Settled
December 29, 2005
Wilkes-Barre, PA

Archbishop Bruce J. Simpson, President of Benedictine Enterprises, LLC, which entered into a contract with QTN to provide hosting services for a television show hosted on QTN, has announced that an agreement was reached today to settle the lawsuit between the parties, out of court.

“I’m pleased that we were able to work the issues out prior to spending a lot of funds on both sides to litigate this contract. Now that a relative peace has been reached between the parties, we can all return to normal operations,” said Simpson.

The exact details of the settlement were not being released as part of the agreement and Simpson would not rule out future participation with Q Television Network.

Well, that is just what was expected to happen, next step is that the Bishop will get his program "Bishop's Roundtable" on the "Q" network. [Big Grin]

What we, our friends and our enemies had to say about gay in 2005

By
Dec. 30, 2005
Whether it was happening in entertainment, in legislation and politics, or the world of science and research in 2005, people were talking about gay issues. Here’s our roundup of the most notable quotes of the year.

“Top Ten Shows on the new gay cable network:
10. ‘Everybody Love Raymond — Especially Steve’
9. ‘CSI: San Francisco’
8. ‘Inside the Actor’s Studio Apartment in the West Village’
7. ‘Law & Order: Special Antiquing Unit’
6. ‘King of Queens’
5. ‘Desperate Houseboys’
4. ‘Stone Phillips — Unleashed’
3. ‘Malcolm in the Middle’
2. ‘My Wife & Kids — Have No Idea’
1. ‘Press the Meat’
David Letterman’s Top 10 suggestions for the Q Television Network, one of several gay cable channels launched in 2005 (CBS’ “Late Night,” Jan. 10)

-----------------------------------------------
QTN was listed at the top...and then a lot of other topics were mentioned (all having something to do with the main title)

Turning off 2005
While gay characters dwindled on network television, all-gay cable channels arrived to fill the void for TV fans.

By BRIAN MOYLAN
Dec. 30, 2005

THE BIGGEST NEWS on the television for the past year was the push and pull for gay audiences in terms of content. While we made some headway with the number of characters on network television, the number of gay and lesbian characters and content on both cable and broadcast seems to have dropped off from the heights of the past several years. At the same time, we saw the rise of three gay-centric channels that are all gay all the time.

The biggest blow to gay audiences was the ending of two of our most beloved series, Showtime’s “Queer As Folk” and HBO’s “Six Feet Under,” both after five seasons. To make matters worse, NBC announced that this would be the final season of seminal gay comedy “Will & Grace” as well.

Some gay critics (like this one) didn’t appreciate “QAF” while it was around, but its ubiquitous presence — in gay media, at Gay Pride and with its tour to gay clubs — will be sorely missed. We still have “The L Word” (which returns with its third season on Jan. 8) but this grandfather of gay dramas was truly a pioneer.

“SFU” had verged on the absurd for the last few seasons, but went out on a creative high note with some of the greatest episodes in the series’ history. Between Nate’s funeral and the heart wrenching final episode, which foretells all the characters’ deaths, there wasn’t a dry eye in the house.

HBO tried to replace it with the epic “Rome,” which had some good lesbian action, but not nearly enough hunky gladiators and “The Comeback,” a fake reality show about a washed up gay icon that proved that Lisa Kudrow could be the only one of the “Friends” crew to do something interesting.

AS FAR AS adding new shows with gay characters was concerned, this year wasn’t so hot. The only one that seems to have taken root is CBS’s medical family comedy “Out of Practice” while others like ABC’s terrific “Eyes” (which featured a gay P.I.), Fox’s “Kitchen Confidential” (gay waiter) and NBC’s “Inconceivable” (gay lawyer) were all cancelled after only a few episodes.

We’ll have to pin our network hopes on some of the new gay-inclusive shows that are rolling out in the beginning of 2006, like NBC’s “Four Kings” and “Book of Daniel,” CBS’ “Love Monkey” and ABC’s “Emily’s Reasons Why Not” and “Crumbs.”

CABLE HAS CONTINUED to target gay audiences and 2005 saw the arrival of three new cable channels devoted to gay and lesbian programming. Logo, the all-gay digital channel from MTV Networks got off to a rollicking (though delayed) start on June 30. While its schedule is filled with reality shows, music specials and the like, its first original offerings have been fresh. “Open Bar” was a cute reality show in the MTV spirit and a new version of the gay black drama “Noah’s Arc” is gaining in popularity.

Here! Television, most widely available as an on-demand service on digital cable, continued to provide quality movies, including some of its own originals. The Chad Allen detective movie “Third Man Out” was good if a bit uneven and the slightly raunchy Gothic series “Dante’s Cove” is the ultimate in guilty pleasures. Luckily, it will be back for more next year.

Fledgling Q Television Network expanded to several major markets in 2005, though it’s not yet available in D.C. QTN has continued to add to its stable of programming and talent. With some more hard work and tenacity, it could be the TV story of 2006.
--------------------------------------------------

I especially liked that last line-- "with some hard work and tenacity, it could be the TV story of 2006." I'm just hoping the story isn't something like "Frank Olsen defrauded investors and the gay community." haha

Ok, well I dig a little digging (AKA scrolling down to the bottom of the page).

Houston Voice and Southern Voice are connected. They seem to both be part of Window Media Corporation. W-M Corp owns/operates Washington Blade, Southern Voice, New York Blade, Express South Florida, Genre Magazine, David Atlanta, The 411 Magazine...

On the bottom of the page...there's listed Window Media and Southern Voice for the Southern Voice article...I would assume the Houston Voice one has something similar... However, there are a few topics listed under each many topic.

Under Southern Voice-- national | local | world | health | letters | viewpoint | arts | classifieds
| real estate | blade personals

Under Window Media-- Houston Voice | Express Gay News | New York Blade | Washington Blade | David Atlanta

Maybe it's a "gay-friendly" or "gay-aimed" publication?? Idk...

OK, now it's on the Washington Blade site as well...I guess they share a majority of their news articles between the sites that Window Media Corp runs...

http://www.washblade.com/2005/12-30/arts/feature/say-what.cfm

What's funny, is that there is a different image next to each article, depending on the site visited.

For example---the Washington Blade-- President Bush is the image to the right...

Kanye West (if you don't know who he is, I feel bad for you)... was on the Southern Voice (to the right of the article)

Then a photo with this caption--- In 2005, gay chums Brian (Gal Harold, left) and Michael (Hal Sparks) bid audiences farewell after five seasons on Showtime's gay soap 'Queer as Folk.' (Photo by L. Pief Weyman/Showtime) is for the other article on Southern Voice

hmmm, I found that funny...

And the article names are different--- either Tuning out in 2005 OR Turning off 2005

Just some more exposure...good or bad...

I think Frankie boy should publish a book for launching businesses. It should be called "The Frank Olsen/Olsan Guide for starting your own business by Scammming Investors." LOL!
