Q Television Network Acquires Extensive Film Library; Partners with ValCom, Inc. to Purchase 143 Films

PALM SPRINGS, Calif.--(BUSINESS WIRE)--May 24, 2005--Q Television Network (Pink Sheets: QBID) announced today that it has finalized an agreement with ValCom, Inc. (OTC Bulletin Board: VACM; Frankfurt XETRA: VAM) to acquire a comprehensive video library. Q Television Network is now the exclusive distributor of the entire 143 film video library, and intends to market the videos on a worldwide basis.


Q Television anticipates the video library will bring six figures of revenue a year to the company, since the agreement gives Q Television worldwide distribution and sales rights for the library, which includes drama, comedy, romance, made-for-television, and feature films. Aside from bringing in revenue, the films will be used as a barter position to accumulate more gay and lesbian television content. With worldwide rights, Q Television will be able to barter for films distributed internationally, including Germany and Australia.

"This is a great deal for us as we are always looking for ways to increase revenue and to partner with quality entertainment companies like ValCom. Some of these must have been settling and the rest were buyback shares!

or...

can they buy shares such that what they buy are included in the daily total...

i.e.
100 million is 33% of 300 million, but
100 million is 25% of 400 million (if you include the buyback shares in the daily total)

"When" Frank gets an offer it will be for much more than current value. I don't know when but he will sell. The deal could be for the buyers equity (shares), could be for cash or it could be a combination. You will have choices. Personally I will sell very close to the day of the event to get as much as I can from the deal. Hope that helps.

Based on the amounts that have been bought 10 minutes before closing since it was announced, I am wondering if frank has bought back more than 1 Billion this time around.Also when was the official buy back date? I am sure it began before the announcement. The more the merry in my book. I guess the true numbers will be evident when he begins reporting. [Cool]

I have not caught up on the posts yet today. I just got in and could not help but notice that the aftermarket purchases added up to 106 million shares. again this is 4 million over 25% of the total daily sales. yet more evidence that he buyback continues.

and still the prices stays in the range where they want to buy at.

a little pr came out with enough good news to prevent us from falling below these levels. Anyone that thinks that Frank doesn't know what he is doing should surrender thier shares to him at these prices. eventually there will be no weak hands to buy shares back from and then the buyback will have to be over or raise the prices that they buyback at.

we are averaging roughly 80 million shares bought back each day, you do the math. the number of shares being bought back is very aggressive. Frank is looking after his faithful investors. He has repeatedly stated his dislike for day traders. You can see where he is trying to minimize thier opportunities to take money out of the Q. He knows that his longs are not looking to get out at these levels and knows that we will not mind sitting here at these levels while he buys back shares to better our position in this company, and better the companies position in the reporting end of things and moving off the pinks.

I feel confident that when we get the full reporting status that we are impatiently waiting for, there will only be a few long faces. the long faces will be on the ones that are not long on this baby.

again as always, don't buy or sell on my posts. these are merely my own opinions that i freely share with all here. no one has to agree or disagree with me, they just will because that is thier right.

Volume Limitations Amended to Include Block Repurchases
Prior to these amendments, Rule 10b-18 limited an issuer’s daily repurchases to a maximum of 25% of the average daily trading volume of its shares. Because block purchases were not subject to this volume limitation, and shares repurchased in block trades were not included in calculating the average daily trading volume, issuers could make unlimited block repurchases. Under amended Rule10b-18, issuers must include block repurchases in their calculation of the 25% average daily trading volume limitation, and can include these block repurchases in calculating the average daily trading volume for the security, which increases the amount of stock that some issuers may repurchase within the safe harbor. Amended Rule 10b-18 also allows issuers to repurchase one block per week, in lieu of complying with the 25% average daily trading volume limitation, provided that the issuer does not make any other Rule 10b-18 purchases on that day. However, the issuer may not use the volume increase from such a block repurchase to increase its 25% average daily trading volume limitation.


so the answer is yes they can buy 25% including the shares they purchases. so 104 million shares is approx 4 million over the 25%. the 4 million could easily be corrections on the day as that amount is common right after the bell .
