i got a question, and i am not a basher, just something thats been on my mind lately, if you were rufus and this was such a sure deal wouldnt you tell your family and friends to buy as much stock as possible, even to take out a huge loan, because this thing is going to $15, then they would tell their friends uncle rufus is promising us this 1500% gain who would tell their friends and so on, that alone should be creating some major buying pressure and the pps should be going up, if it is such a sure thing wouldnt he want all of his family and friends to capitalize on this? and they should be holding alot, i know if he was my uncle or pawpaw and he promised me $15 i would do it, and no it wouldnt be insider trading, because he has told us this information,

I can dig-it, and that would be wise. I like to get deep off into things, enjoy the excitment,the humor, the uncertainity all with a common goal, which is to satisfy my needs. It quotes the old rule; the rule the SEC changed because pump-and-dumpsters were abusing it. Under the old rule, you could announce a merger and then have 60 days to pump the stock (government contracts, institutional investors, inflated pps, short squeezes [Wait, where have I heard this before?]) before you had to release the true info on the new company. Now the SEC only gives you 4 days before you have to spill the beans.

we resolved that last night. fhal was not a shell, it was an operating company with 9 employees. The new shell rules do not apply, it is a simple reverse merger in the eyes of the SEC.

what rufus may be trying to do is two reverse mergers- fhal - to cvsu - to chsc. look on deleware sos website to see origins of corps. dean has a valid point although he did a poor job of stating it - what is being done other than promises to create value to shareholders?

So, anyone bored today? Ive just been reading stuff to pass the time and thought this was an interesting read. It mentions our money bag AISS a bit. Sorry 10, still no official docs like an 8k but gives a peek into the past of Mr Harris some more.

Can we revisit GA Aerospace again? Part of this deal is a big JV between CVSU and them correct? I work in the govt. contracting arena and have been trying to find info on them. They have 20 employees and ~$5 million gross revenue (as of 07/05). I can't find any past performance, contracts awarded or task orders on existing contracts. Not that unusual for small businesses.(from input.com)
The point is that they are not a big company with loads of money. Classified as small business, minority owned, veteran owned. These are all "set aside" factors, which is a good thing. DOD is supposed to "set aside" 30% of ALL contract spend for these companies (billions of $) but rarely meets that number.
They very well could have partners (ie. Lockheed) that hold major contracts, my question is to what extend this merger, our new pps etc., rely on the JV with GA. A penny for your thoughts...

The new JV Corporation will manufacture composite plating and other products for Strategic and Stealth Defense contracts and some commercial applications. The shareholders of CVSU will hold a 40% equity position in the new corporation.

the merger agreement that was filed later does say 40% so it can be be given it's fair weight.

These numbers and the info I found (published within one month of each other) don't seem to add up. Who/what are the subsidiaries? 50mil tangible assets but only 5mil gross rev? I'm just asking questions here.

William Tay is definitely the source for most of the funds. I DD him a while back and he has some seriously deep pockets. Made a mint off the Internet Bubble from what I can tell. Has International contacts galore. I think he is a silent partner but definitely the source for a major portion of the funds.

By the way Tay sold Rufus the shell (via shares), he didnt invest. 7. The Issuer has effectuated a change of control.
On April 22, 2005 Mr. William Tay, President & CEO and the Majority shareholder entered into a Stock purchase agreement with Rufus Paul Harris, CEO of Waatle Holdings Corp for the purchase of his 22,890.000 shares, the agreement had an original closing date of May 4, 2005. Thru a contract extension the closing date was moved to June 7, 2005. On June 7, 2005 all closure documents were finalized.
A shareholders meeting was called on June 7, 2005 and Mr. Rufus Paul Harris was appointed as Chairman and CEO of the corporation and Mr. William Tay resigned.
