bb to me section 368 reads as a way to structure a reorganization so that the acquiring company does not have to recognize a gain or loss for tax purposes, and thus resets the pps on the acquiring companies books to equal the audited net assets of the acquiring company.
good dd btw. this was supposed to be a short squeeze play that did not appear on the short list and never materialized. shorts were spooked jumped out but today's interview restored confidence and people jumple jumped back in ihmo.

I kinda believe its him. The only way it would continue is if he flat out doesnt know its happening. There is so much conversation with Rufus and EVERY shareholder that i think someone would have asked. This is just my opion of course, i thought on the subject myself however.

Small correction here BB I read your post earlier but listened to the posted interview on t r a d e r s - c o r n e r and he did say 1.75, but he said what I would have expected from NASDAQ which is a "sustained" price per share of $1.75. Making it to $1.75 is not enough it has to clear it and stay above.

Just to let you know I just got off the phone with the SEC. For the idiots that is Securities and Exchange Commission. I explained the whole deal of the R/M and even stated both symbols (FHAL and CVSU) one private and one public. I stated that the CEO said even if FHAL is trading at 1 dollar at the time of the halt that it would reopen under a different symbol (CVSU) at 15 dollars a share on a 1 to 1 RATIO. I asked him is this possible and is this legal?
HE STATED....YES!!
I would give you the number to the SEC but that would make it too easy for the bashers. Look it up yourself.
So shut up about it being illegal. Have a good day.

When the filing is complete, there will be a link inside the first HTML page saying "Notice of Effectiveness". Until this is posted, it isnt effective. The SEC regualtions says 15 days from filing. IT was filed with them on the 12, so, that is the 27th (today). But, SEC is always one day behind in posting Effectivenss. So, it may be there tomorrow.
Oh yeah, BTW, Please Note .... This paperwork was file by Furia, not FHAL or CVSU. So, if you have been looking for the paperwork, you wouldnt find it.

I've really enjoyed this board... you do your homework and give credible ideas with references. Much better than the ihub. Didn't Rufus confirm that he regular participated in the ihub forum? I thought he did.

why would the SEC accept filings and continue with paperwork from a company that was a suspected scam?
surely if a brokerage house reported it the SEC would start an investigation?

the cvsu symbol change today is all in line with the IRS code section 368 we've been discussing...
merger then sub merger, ie cvsu.pk to fhal.ob to cvsu.ob
well theres no chance i can watch/trade/be online tomorrow, so it's all in fate's hands for me.

Babe, typically (not always, of course) when brokerages (finally) start realizing a given issue has problems, they will start restricting buys, sells--or both. That's a strong clue to SEC suspension may be pending. "We" can't tell when SEC has begun investigation, or necessarily even when it's ended.
I had this happen with Scottrade on a number of stocks in the past. Where they would allow sells only and no buys. I think BKMP was one and also months ago IVOC. When I saw IVOC on the list I sold fearing the worst. That was when they were trading at .0008. Lo and Behold shortly there after the stock PPS ran up. They did later do a R/S but have also spun off 3 SUBS as dividends. They have done pretty well. My understanding from a branch manager was that they would do this at times because of getting too many FTD's (Failure to Delivers). Both companies are now selling on Scottrade with no restrictions at this time.
Now it could be as you stated something is comming down or it could be as many have been speculating that there is a huge short position and the FTD's have gotten completely out of hand. Only time will tell.

I haven't posted here that often. I am a long share holder. I just wanted to give you guys your Kudos for great work and mostly keeping a level head. Ihub has gotten rediculous. It's to bad there are some really good people over there as well. GLTA
I was thinking (didn't hurt too much) that, maybe Rufus will let the 10k out to help support the $15 pps. He said yesterday he was not concerned with the current pricing.
