the ground work for a merger began awhile back according to this DEF 14C filing from 7/28/2004 that dealt with a R/S:

An amendment of its Certificate of Incorporation which: o reverse splits the outstanding shares of its common stock one-for-five; o changes the number of shares of common stock the Company is authorized to issue to 200,000,000 par value $.001. The amendment our Certificate of Incorporation is being made because Management is of the opinion that it will better position the Company to effectuate a merger with, or acquisition of, a viable business entity. While, Management has, from time to time, engaged in discussions with potential acquisition candidates, no formal agreements have been entered into regarding any merger or acquisition.
. . . The shares of Common Stock are the only class of voting securities currently outstanding. The Company is authorized to issue 200,000,000 shares of Common Stock $.0001 par value. Each share of Common Stock is entitled to one vote per share on all matters submitted to a vote of the shareholders. As of July 2, 2004, the Company had 43,714,209 shares of Common Stock outstanding, which is the same number of votes this class is entitled to cast. The Company has no significant assets and is a "shell" company with no operations. Look.. may I'm too simple to see it this way... but I don't think that there is anything more going on than painting a favorable picture to the SEC. The origin of the loan does not seem as important as to how the financial landscape looks for each of these companies:
Fronthaul, as a company, is completely defunct and bankrupt with a structure that showed one man as owner of 70% company stock. CVSU wants to become public thru this shell and has to resolve this guy's shares, but they sure as hell are not going to give him 70% of the billion-dollar CVSU combined company! As Rufus said "we have to figure out who gets and how many" shares this guy gets before it can even be started. This was already negotiated. FHAL defaulted on the loan to do it which served 2 purposes: 1) Cleared out the private stock owner 2) Further demonstrates how bad the financial situation of FHAL is.
Lo! Here comes CVSU, the savior to the rescue of this wreck of a company, and they can even pay the loan back.
Would not this be favorable for the allowance of this merger?

This is really distracting from what this particular board is about. Dust it seems that you have a problem with Glass. Fine but that should be handled in a different forum so that we can continue to attempt to decipher what is happening with FHAL/CVSU.
I'm not taking any sides here just wanting to get back on topic.

OK. After reading back through there are some nice finds here. The default on the loan may have been a catalyst here. Now I remember reading in the 8K that CVSU was assuming FHAL's debt. I believe it was around 1.8M. Could that debt include the repayment of the loan and penalties? Just thinking out loud.

i have had to bit e my tongue so many time at the longs and the shorts.... it would take a short book to clear this up..
Rufus is not CEO of FHAL YET...
FHAL appears to have cnacelled all of the PIPES and convertibles... it's like mice tho..every time you think you got 'em all nailed down? another one pops up... and Rufus should feel ten times as frustrated as i do... since i have very little riding on this...

since i started trading pinks for a living, i NEVER held a stock for as long as i held this...i dont know if im being an "investor" or a "bag holder"...Rufus better get this ish straight by tomorrow or at least give us a PR about why he has been so late.
