the ground work for a merger began awhile back according to this DEF 14C filing from 7/28/2004 that dealt with a R/S:

This information statement is also being mailed to the shareholders of The Furia Organization, Inc in connection with a proposed action by written consent to authorize and approve:
1. An amendment of its Certificate of Incorporation which:
o reverse splits the outstanding shares of its common stock one-for-five;
o changes the number of shares of common stock the Company is authorized to issue to 200,000,000 par value $.001.
The amendment our Certificate of Incorporation is being made because Management is of the opinion that it will better position the Company to effectuate a merger with, or acquisition of, a viable business entity. While, Management has, from time to time, engaged in discussions with potential acquisition candidates, no formal agreements have been entered into regarding any merger or acquisition.

. . . The shares of Common Stock are the only class of voting securities currently outstanding. The Company is authorized to issue 200,000,000 shares of Common Stock $.0001 par value. Each share of Common Stock is entitled to one vote per share on all matters submitted to a vote of the shareholders. As of July 2, 2004, the Company had 43,714,209 shares of Common Stock outstanding, which is the same number of votes this class is entitled to cast. The Company has no significant assets and is a "shell" company with no operations. Moreover, the "bid" and "ask" prices for the Common Stock of the Company are not quoted in any established market and the Common Shares trade sporadically.

. . . The Company's Common Shares have not actively traded for several years. Moreover, no bid or ask prices have been quoted for a like period. Resultantly, no established market for the common stock has existed for several years. During that period, we have, from time to time, engaged in discussions with potential acquisition or reverse merger candidates. In almost every instance, concerns were raised over the number of common shares issued and outstanding and the potential impact on the future price of the Company's common stock should we successfully effectuate an acquisition or a reverse merger.

PRE-REVERSE SPLIT POST-REVERSE SPLIT
----------------- ------------------
Number of issued and outstanding shares of
common stock 43,714,209 8,742,842

Number of shares of common stock reserved for
issuance 0 0

Number of authorized but unissued and
unreserved shares of common stock 156,285,791 191,257,158
----------- -----------

Total 200,000,000 200,000,000

Look.. may I'm too simple to see it this way... but I don't think that there is anything more going on than painting a favorable picture to the SEC. The origin of the loan does not seem as important as to how the financial landscape looks for each of these companies:

Fronthaul, as a company, is completely defunct and bankrupt with a structure that showed one man as owner of 70% company stock. CVSU wants to become public thru this shell and has to resolve this guy's shares, but they sure as hell are not going to give him 70% of the billion-dollar CVSU combined company! As Rufus said "we have to figure out who gets and how many" shares this guy gets before it can even be started. This was already negotiated. FHAL defaulted on the loan to do it which served 2 purposes:
1) Cleared out the private stock owner
2) Further demonstrates how bad the financial situation of FHAL is.

Lo! Here comes CVSU, the savior to the rescue of this wreck of a company, and they can even pay the loan back.

Would not this be favorable for the allowance of this merger?

glassman, quit messing with my posts...After the fact, you state "cleaning up a mess" that no one can judge..

Are you sure the exchange the other night is not logged?

Would you like our courts to operate in such a manner?

Now do you understand my statement " lay it all out there " I was reffering to that exchange..

Frankly it was you who attacked first, and made a fool outa your self, I retaliated just like you knew I would.. The proof is in the exchange you deleted.

Any reasonable person can see you did the same here tonight.

i hope they are all logged somewhere dustoff...

you are embarassing yourself...

you asked your question in an acusatory manner, just as you have done the last three time you have come into the conversation and responded to me... no-one else..just me...? you have your answer... a CEO can talk about shorts without manipulating his stock...

your responses don't really make sense to me...

you accuse me of dishonesty... that is just laughable. i have nothing to gain or hide..
you accuse me of working on popularity like in High school, yet i argue all the time... do yourself a favor and leave me alone... i have left you alone since you started doing this...

This is really distracting from what this particular board is about. Dust it seems that you have a problem with Glass. Fine but that should be handled in a different forum so that we can continue to attempt to decipher what is happening with FHAL/CVSU.

I'm not taking any sides here just wanting to get back on topic.

OK. After reading back through there are some nice finds here. The default on the loan may have been a catalyst here. Now I remember reading in the 8K that CVSU was assuming FHAL's debt. I believe it was around 1.8M. Could that debt include the repayment of the loan and penalties? Just thinking out loud.

IMO? the default on the loan was intentional...

that goes double here smelly...

i have had to bit e my tongue so many time at the longs and the shorts....
it would take a short book to clear this up..

Rufus is not CEO of FHAL YET...

FHAL appears to have cnacelled all of the PIPES and convertibles...
it's like mice tho..every time you think you got 'em all nailed down? another one pops up...
and Rufus should feel ten times as frustrated as i do...
since i have very little riding on this...

Under the agreement CVSU will consume all obligations of FHAL as filed in the last FHAL 10Q.

here's the 10Q
