They will announce specific details of the transaction;
and the transaction will be contingent upon closing of the deal and/or approval of shareholders, if required.

I think that second sentence in your post Bax is just boilerplate. On every buyout merger I have ever seen they put that in until they pr the actual event. Does anyone know why they filed to stop filing since they have been doing so? Just wondering. TMAN...

JUPITER is pleased to announce that the Company is in the final stages of completing a prospective merger transaction with an acquirer/merger candidate. The Company now anticipates the announcement of a transaction is imminent.
Today, the Company filed a Form 15 with the U.S. Securities and Exchange Commission, which terminates or suspends the Company's duty to file periodic reports with the Commission and effectively makes JUPITER a non-reporting company. The Form 15 filing is a prerequisite of the merger transaction and is a positive development for the Company and its shareholders, as the filing of the Form 15 completes another step in a series of steps needed to accomplish the completion of a merger transaction.
Although Management is encouraged and remains optimistic at this stage of its prospective merger, no assurances can be given that an acquisition or merger transaction will be actually closed by the parties or that such a transaction will be approved by our shareholders, if required.

"JPHC: This is great news. We felt that the other day that there could be something negative coming out, but this certainly clarified some things. We now believe that the deal will be announced between Tuesday and Wednesday of next week. We still believe that the deal could be anywhere between $0.005 - $0.01. The key word in today's release was the word imminent. This will not drag out any further than the next couple of days in my opinion. The Stock right now is probably a screaming buy. Just my humble opinion. Good luck to all."

GUYS, GUYS, GUYS, let's not talk ourselves into believing that they are going to announce a merger this afternoon. COW, go to class a mind is a terible thing to waste (I heard that once). THey just submitted form 15, now there are more hoops to jump through. It will happen (IMO) just give it a little time. As for me, I am scarfing up all the cheap shares that I can buy, my goal is 10 mil. Almost 1/2 way there, I wish IVOC would get of their a$$abd do something so I could free up some capital. GLTA

the Form 15 clears them of most of the hoops, that form also means that this will be a true acquisition, no reverse merger or something stupid like we see with alot of these pennies. I believe we see a true stock buyout. Also, I believe that the acquirer will be another pubic company, I doubt it is another micro. However, about 10% of my gut tells me this is a private company that will offer a cash deal.
