I found it interesting that they Legends Intl. Holdings corp. debenture contract was between Micheal Tay and William Tay. Upon further searching, it looks like Micheal is William's dad. This is off of zoom:

Michael Tay, Chief Executive Officer, President and Treasurer of the Company, is the father of William Tay, the Company's Vice President and Secretary.

Don't know if this matters any.

As for the whole Tay, Rufus thing. From what I read, Tay owned CVSU. He "sold" his 20 odd million shares to Rufus. Rufus then merged CVSU with Waatle.

I'm not sure if Tay is still a player here. I think Rufus's side of this holds the players.

I'm about ready to hear from our new CEO again.
It seems like there has been enough going on already in the recent past to get an update about something.
A duel to the death between Harris and Arlitt.
Arlitt needs to threaten Harris shares being taken back to get him to cooperate, whatever.

SherriT did you get a letter fromthe SEC with some answers to questions? If so could you post it.

I actually wrote letters to my two state senators and my local US congressman. All three responded - one was a total loser who will never receive my vote because this is the SECOND time he has ducked helping on a legitimate issue, the other two responded, and the congressman managed to get me a letter back from the SEC Atlanta division. Kudos to him! It really doesn't answer all that many questions, but provides a summary and timeline from the SEC on the steps they have taken and how CSHD has responded. If I were them, I would have sued too. The congressman even followed up to be sure I'd received my copy of the letter....wish all politicians were as good as this guy!

Would be happy to post, but I don't think the scanned image would be very readable. I will be happy to share a fax copy for those who request it.

Posts: 166 OKAY, it's confirmed...there IS a Santa Claus and he just made an early visit. The company IS going in the right direction now that JA is in charge, but "we are IN the storm" (i.e. not through it). Also, TonySoprano was right about everything he said.

Well, since a couple of people have asked about it, I have decided to type the contents....from Stephen E. Donahue Asst. District Administrator, Atlanta District Office:

"I am responding to you October 27, 2006 e-mail to Congressman Jo Bonner, at his request. You have expressed concern about the basis for Commission's recent action against Conversion Solutions Holding Corp.

As you know, on October 24, 2006, the Commission, acting under its statutory power, announced a 10-business day temporary trading suspension of Conversion Solutions's securities. The Commission suspending trading the securities of Conversion Solutions because of questions that had been raised about the accuracy and adequacy of press releases and public filings with the Commission concerning, amoung other things, the Company's purported ownership and control of two bond issuances, in the face amounts of E5 billion and $500 million, respectively, issued by the Republic of Venezuela, and the Company's purported contractual relationship with Deutsche Bank.

That same day, the Commission filed suit against Conversion Solutions and its CEO, Rufus Paul Harris, in the United States District Court for the Northern District of Georgia (Securities and Exchange Commission v. Conversion Solutions Holding Corporation, et al., 1:06-cv-02568-CC), alleging, among other things, that Conversion Solutions and Mr. Harris had violated the anti-fraud provisions of the federal securities laws by making false claims in the press releases and filings referenced above. Upon filing its suit, the Commission asked the Court for emergency relief, including a temporary restraining order against both Conversion Solutions and Mr. Harris. In support of its request for emergency relief, the Commission also filed a Memorandum of Law, which outlined some of the Commission's investigative steps taken before filing the suit - including its repeated unsuccesful attempts to obtain information from the officers of Conversion Solutions--and set forth the Commission's basis for believing that Conversion Solutions and Mr. Harris had made false claims concerning the two Venezuelan bond issuances, noted above, and the Company's purported contractual relationship with Deutsche Bank.

On October 25, 2006, the court held a hearing on the Commission's motion for emergency relief. Conversion Solutions's officers Rufus Harris, Sabra Dabbs, and Benjamin Stanley attended the hearing, and were allowed by the judge to speak on behalf of Conversion Solutions and submit several items of documentary evidence to the court. Following the hearing, Judge Clarence Cooper granted the Commissions's motion for a temporary restraining order and other equitable relief. The next day, on October 26, 2006, the Court issued a written order memorializing that decision.

On November 7, 2006, the Court issued preliminary injunctions as to both Mr. Harris and Conversion Solutions. In granting the preliminary injunctions, the Court noted that Mr. Harris had consented to the issuance of the injunction and that Conversion Solutions, through its then-CEO, Michael Alexander, had indicated that it did not oppose the issuance of the injunction.

On November 17, 2006, the Clerk of Court, on the Commission's application, issued an Entry of Default against Conversion Solutions, which had failed to file an answer in the lawsuit.

We hope this addresses your concerns about the basis of the Commission's enforcement action against Conversion Solutions and Mr. Harris.

I can see the storm part.
I guess thats why we got a PR company and SHC, so we could pick little clues off of the boards. Some little crumb of hope to cling to like getting a whole pea put on our plate on thanks giving day. [Big Grin]

This is what we were discussing (from SherriT letter to congressman) the other night.

During the "hearing" held on oct 25th I believe the TRO could have included ceasing the operations of the company during this time if CSHD would not have submitted adequate evidence on this date.

That is not to say they are vindicated- just that they must have showed the court SOMETHING in order to keep the doors open and RPH not to be forced into stepping down. When I say shut the doors- it doesn't mean close the company down, I am merely talking about freezing the company while its determined if its 100% fraud or not.

The part that I really got out of the letter (because most we dissected from Pacer documents) was that CSHD has done a really poor job all along of responding to, or addressing the SEC's issues.

so what! ------- what does this mean?, the company has told us NOTHING! we do not KNOW what direction they are moving in! we do not KNOW if they are doing anything!. and what did tonysoprano say and why should i care? is he an officer of the copmany? we only have one of those (confirmed) thats ARLIT who is silent so far.

Mad, I have become somewhat of a skeptic too only because I have been bombarded with things going wrong lately. I will say that as much as I want to know what the company is doing, I feel very good about the fact that JA isn't jumping on couches and professing how golden we are...I am having blind faith that the company IS moving in the right direction if for no other reason than we haven't seen the SEC aim for receivership, and we feel like JA is actually working with them. Surely, there have to be SOME assets, hopefully the big ones, because that Euroclear account does exist...IMHO

I still believe in Santa [Big Grin]
