mrbj - agree- I have been playing with the numbers on the 8K-
1. Cash on Hand - only 6mths worth but already 500% over 2006 yearly number....
2. Accts Receivable - again only for 6mths up 150% over 2006 yearly total..
3. Inventory - 6 month total just above yearly total for 2006..it seems like they are beefing up for the demand...
4. Current Liabilities should be as 10/19/07 (IMO)- Accts Payable 1,085,968.00 Notes Payable 944,063.00 Total Liabilities 2,030,000.31
Note: these notes where paid in shares with a value of .01 & .02 cents...
So what is out complaint..that is where we are at now..they expect to get more out of those shares that is why they took them.
5. You do the math for Note #8 - I calculate that Aero shareholders paid $2.00 - 3.70 for their shares....
Maybe pietro & 4kids are right...they both stated they were here for the long term...it seems the original AERO shareholders feel the same way along with the creditors...
Mr Richards doesn't seem concerned....neither does Morgan Mclure...
P.S. Everybody print off a copy of this 8K and read it closely..Because none of us should be surprised that a R/S is in AERO's future...

Franchise Capital Corporation Announces Letter of Intent to Acquire Dr. Gas, Inc., Manufacturer of Exhaust System Components
Market Wire "US Press Releases "
MURRIETA, CA -- (MARKET WIRE) -- 10/22/07 -- Franchise Capital Corporation (PINKSHEETS: FCCN), which recently closed its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner, today announced that it has entered into a preliminary agreement in the form of a letter of intent to acquire 100% of the common stock of Dr. Gas, Inc., a producer of the finest racing performance exhaust systems for street and pro-race performance exhaust applications. Dr. Gas produces 90% of all exhaust systems used in NASCAR, Nextel Cup Series, Busch Grand Nationals, Craftsman Truck Series, and many more.
Once sufficient due diligence is completed by the parties, Franchise Capital and Dr. Gas, Inc. expect to enter into a definitive agreement related to the acquisition.
Dr. Gas Exhaust Systems produces performance exhaust Xscream® crossover, y-pipe, oval tubing performance exhaust, and h-pipe systems that have changed the performance exhaust sound of NASCAR, IROC, drag racing, and pro-street. Dr. Gas designed and patented the revolutionary Spin Tech racing mufflers. Many standard and custom sizes of mandrel bends and oval tubing are the absolute best for high performance exhaust and ground clearance applications. The company has performance exhaust parts for car, truck, RV, motorcycle, marine, aircraft and industrial applications.
At its first NASCAR race, Dr. Gas shocked the sport with its new performance exhaust sound and added power on Sterling Marlin's winning 1995 Daytona 500 racecar. Many of its patented NASCAR performance exhaust systems can be used in street rod performance exhaust applications.
The acquisition of Dr. Gas, Inc. is expected to provide the company with multiple benefits due to its significant synergies with the operations of Aero Exhaust. Once the planned acquisition is consummated, Dr. Gas will contribute to increased revenues and asset valuation for Aero. Possibly even more significant for the business of Aero itself is that Dr. Gas, Inc. is expected to contribute to the growth of Aero through the fabrication of components for Aero products, including recently launched full exhaust systems. Dr. Gas, Inc.'s fabricating capabilities are expected to increase the availability of Aero's new line of full turbo and cat-back systems diesel exhaust systems, referred to in marketing documents as "kits," which include all parts from the catalytic converter, turbo charger or muffler back to the tailpipe. Improved supply will help Aero to meet the demand for its products in the automotive supply market.
"We are extremely pleased to announce our initial agreement to acquire Dr. Gas, Inc.," stated Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust. "While the demand for Aero's products has been high, distribution has been limited by the lack of sufficient inventory of piping for our full exhaust systems. The company's 2007 financial performance was hindered by a lack of supply of products for distribution, and the acquisition of Dr. Gas is expected to remedy this shortfall. Aero's distribution partners are anxious to have a larger supply of our full exhaust systems and we strongly believe that through the acquisition of Dr. Gas, Inc., Aero will be better able to supply our distributors and improve the company's revenue performance.
"Dr. Gas, Inc. is not only a highly respected name in racing circles, but it is also a mature company with significant revenues and the machinery and manpower in place to deliver the necessary components to accelerate the availability of Aero's products. We look forward to providing additional information related to Dr. Gas, Inc. in the near term, so that our shareholders begin to understand the tremendous upside potential of our latest strategic acquisition," added Mr. Hunsaker.

Good day to all! IMO, Aero is playing the cards well ... they knew the 8k basically sucks, but, what, realitively knew growing company, is any different. It's all about reinvestment and return on investment IMO. I am holding tight ... Aero will come out with more news soon and some may get caught with their pants down. Good luck to all Aero longs.

MURRIETA, CA, Oct 23, 2007 (MARKET WIRE via COMTEX) -- Franchise Capital Corporation (PINKSHEETS: FCCN), which recently closed its acquisition of Aero Exhaust, Inc., a world lea der in performance exhaust airflow technology and NASCAR Performance Partner, today issued a brief statement from management addressing language that was included in the share exchange agreement between Aero Exhaust and Franchise Capital regarding a potential future reverse split.
"The language included in the share exchange agreement was drafted long before the stock structure of the post-acquisition public company was known," stated Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust. "It allowed for the fact that there might have been an insufficient number of shares to consummate the share exchange transaction, so language was included that indicated that management intended to pursue a reverse stock split soon after the acquisition closed. Given the current structure of the company, management has no plans to pursue a reverse stock split in the foreseeable future.
"Shareholder value will continue t o be a priority for the company as we work to increase distribution of Aero Exhaust products and execute our expansion strategy, which includes the acquisition of Dr. Gas, Inc.," he added.

This PR is smoke to me, they saw the damage, and they know that a reverse at this level would be in their words "substantial" I don't buy their sympathy.
It will maybe go up a little in response, but they could shoot one at any moment.
Seems to calculated to me.
