Franchise Capital Corporation Announces Meeting to Finalize Details and Closing Date for Acquisition of Aero Exhaust

Market Wire "US Press Releases "

MURRIETA, CA -- (MARKET WIRE) -- 09/11/07 -- Franchise Capital Corporation (PINKSHEETS: FCCN) today announced that at a meeting with senior management of Aero Exhaust, the two companies reviewed the details necessary to close Franchise Capital's acquisition of Aero Exhaust, Inc. and reached agreement on the terms of the transaction.

Franchise Capital has been positioned to serve as the public vehicle for Aero Exhaust (www.aeroexhaust.com), a leader in performance exhaust airflow technology and NASCAR Performance Partner. The company achieved fully reporting status in May 2007.

Steven R. Peacock, chief executive officer of Franchise Capital Corporation, traveled to Aero's corporate offices in South Jordan, Utah during the week of September 3rd and met with Aero Exhaust CEO Bryan Hunsaker. Mr. Peacock subsequently met with the Board of Directors and a major shareholder of Aero Exhaust.

"This was our first opportunity to formally meet with virtually all of Aero's upper management, including the entire Aero Board, and I was impressed with the leadership and vision that they provide to the company," said Mr. Peacock. "After hearing from the key members of Aero management, we are even more convinced of the quality of Aero's technology and future of its product lines. We are pleased with the results of our meetings and are happy to advise our shareholders that Franchise Capital and Aero Exhaust are in agreement on all of the major details required to close the acquisition on a timely basis.

"As a result of our meetings and the agreement on the details of the transaction, we expect to close the acquisition in less than three weeks -- during the week of September 30th. Our focus from the beginning of our involvement with Franchise Capital was to deliver long-term value for our shareholders, and after confirming the final details of the acquisition, we believe that this transaction will do just that," added Mr. Peacock.

If GGI continues to dump shares with VFIN this might have one more retrace before the merger.

Its a guessing game.

I won't be suprised if this goes back down to .012 before going back up again.

On the other hand it might continue back up now...

Franchise Capital Corporation Announces Anticipated Closing Schedule for Acquisition of Aero Exhaust
Monday September 17, 9:51 am ET

MURRIETA, CA--(MARKET WIRE)--Sep 17, 2007 -- Franchise Capital Corporation (Other OTC:FCCN.PK - News) today announced the anticipated schedule for the close of the company's acquisition of Aero Exhaust, Inc., which has been set for the week of September 30, 2007.

Aero Exhaust (www.aeroexhaust.com) is a leader in performance exhaust airflow technology and NASCAR Performance Partner. Franchise Capital, a fully reporting "shell" company, has been positioned to serve as the public vehicle for Aero Exhaust and has provided $1.9 million in financing in the form of a commercial loan to Aero as part of the transaction. The value of the loan and any accrued interest are convertible into Aero Exhaust common stock at the time the share exchange closes.

In order to maintain the timely reporting of the public company financials, Franchise Capital expects to file its annual report for the 2007 fiscal year, which ended on June 30, 2007, by Friday, September 28, 2007.

Franchise Capital and Aero Exhaust expect to close the acquisition during the week of September 30, 2007. Within four days of the close of the transaction, a Current Report on Form 8-K will be filed with the Securities and Exchange Commission, which will include the details of the close, the financials of Aero Exhaust, the consolidated financials of Franchise Capital including the Aero financials, and the terms of the acquisition including the final share exchange between the two companies.

Shortly thereafter, the company will file the appropriate documents to execute a name change and trading symbol change to properly reflect the fact that Aero Exhaust will be the focus of its operations.

Current Franchise Capital shareholders are not expected to be required to tender shares as part of the close of the transaction. Aero Exhaust shareholders will, as part of the close, tender their shares of Aero Exhaust and will be issued restricted common stock of the public company in a percentage commensurate to their percentage ownership of Aero Exhaust and the final percentage of Franchise Capital stock that Aero Exhaust shareholders will receive in the transaction.

"As we prepare to close the acquisition of Aero Exhaust, Franchise Capital management thought it would be helpful to lay out the expected closing schedule for our shareholders," stated chief executive officer Steven R. Peacock. "This transaction has generated a significant following in the public markets, and we want to keep Franchise Capital stockholders apprised of our expectations related to the timing of the close, the disclosure of Aero's audited financials, the name change and stock symbol change, and the exchange of private shares of Aero Exhaust for shares of the public company.

"We hope this clarifies the process to some extent, and we will endeavor to keep shareholders updated as the closing schedule is executed. Beyond just the close itself, we continue to be excited by the possibilities of the Aero acquisition, its future potential as a public company and the long-term value that we expect to be delivered to shareholders as a result of this transaction," Mr. Peacock added.

I still think .03 is a reasonable guess.

Posted by FrankNitti on :

I would say a slow decrease to around .018-.016, then with the finalization of the acquisition at the end of the month (along with a PR)...I would speculate .06-.065....JMO...One can only hope....right? LOL

and with penny's it is 10 percent hope 20 percent research and 70 percent luck.

RSI Just above 70 (an overbought territory)
MACD Just getting started
CMF Has plenty of room
Accum Near recent highs
STO 59 plenty of room to rise.

Unless there's massive profit taking we should see .027-.03 Then there probably will be massive profit taking. JMO

its CON from the CSHD board. a friend from FL just told me about this merger. what are we expecting for a price jump here and when. if u could catch me up a little or tell me what pgs. to look closely at I would appreciate it. thanks in advance-CON

Posted by a surfer on :

They are definitely still dumping....the question I have and every other person in FCCN has is How will the merger effect this dumping??

Are they finally going to have GGI paid off or is it going to continue??

Anyone want to guess the scenarios that could play out here...

1. The merger happens and we know exactly what happens with GGI through an 8k and find out they have been paid in full, the price rises accordingly...

2. The merger happens and we are still left guessing whats up with GGI....price stagnates

3 The merger does not happen for a 3rd. time and the price falls to .0003 within a week...

come on give it a shot.... I'll give all my CSHD shares to the winner....LOL

Its anyones guess BUT.... I am hoping for a succesful merger.

As I just posted there are several things that could happen and I am only GUESSING.

There are a couple of threads from before that you might want to read to catch up..

I am hopeful that this will happen...

Might be able to make a few bucks untill next week on the hype alone....just get ready to hit that sell button fast by next fri. just in case...

actually the last p.r states thw time frame check that out too.

LMAO...CSHD shares? I'm not even going to attempt a guess for the fear of maybe winning and getting those CSHD shares...LOL.

IMO...the merger goes..price does a sharp increase and then a quick fall back to .02...or lower...
Surf...if I am right..I GIVE you my CSHD shares...

Well TLW this week will be interesting...

If they confirm the merger by thurs. or fri. A.M. we should be O.K.

If not I see a sharp sell off on Fri. especially in the P.M. if nothing is heard.

Just Bumping the last P.R. so we can verify their time frames.

This is the line that could have a few meanings IMO

"Franchise Capital and Aero Exhaust expect to close the acquisition during the week of September 30, 2007"

Is that the previous week of the 24th. to the 28th. or the 1st. to the 5th.

Anyone??

IMO Surf..the "week of the 30th would be NEXT Monday thourhg Friday...NOT this week...
HOWEVER the first step would need to be the financials filed BY this FRIDAY the 28th if they don't come across the wires by about 2-3 pm...this will start falling then...if they don't get filed after market close on Friday? or prior to Monday open? I think it will fall hard Monday a.m.
I am hoping those financials come by this Thursday in order to keep the momo going for this...

Me too 10...

Its critical hour for FCCN.... again...

I will most likely cover my capital expenses at some point this week. The good news is I only need to sell 1/3 at this point to do so.

Oh wait thats 10's rule #1

What a great rule.

Posted by Uncle Smelly on :

I agree with the above statement - if no filing by 2pm Friday this will tank hard, if that filing isn't out by Monday open this is subpenny again in an hour.

The sad thing is that Aero Exhaust is a good company with a great product. I just have that 'feeling' again that something is amiss - just like I did when CSHD ran to $4 and then hovered around $2 while waiting for the magical 10k... I sold out and took profits, 2 days later it was halted.

Be very very careful here and take your original investment off the table - do not trust Pink Sheet stocks under any circumstances, no matter how good it may seem.

Maybe I'm just getting the 'hee bee gee bee's but I sold out 500K of my million share position today from .012. Took my original 12K investment back and another 3K in profits for my troubles.

I'll let the other 500K ride free, I feel like I can sleep at night now knowing I've made some cash on this and won't lose a dime.

Again - be careful, they have delayed once before and it is definitely in the realm of possibility to delay again until Jan 08 for some crazy reason.

Held pretty good yesterday as noted by Surf. Normally I'd be look'in to get out at these
RSI and STO levels, but with the merger hopefully happening on the 30th and the accum. level busting out it sure is hard not to wait and see.
The RSI does look to have reset below 70 even if for only a short time. I guess if a 100% gain is all you were looking for here it's time to cash in those chips. GL

Well, I sold out even at 03 this morning. Doesn't look like there's much faith in this merger as the pps doesn't reflect it.

This is one of those stocks where you either get lucky or you don't because it could go either way. Remember the old saying...buy on rumors, sell on news. That's what scares me the most with this one...

Posted by 10of13 on :

Just seems there is going to be one more small run...the finantials need to be out...they come and it will have another one...
they don't?...it falls...
And then perhaps you are right Homer and the sell on news will come when the merger happens...

Posted by Uncle Smelly on :

Here's my take on things:

The run up the recent PR's was expected, however, there are still too many unknowns at this point.

- Is GGI done?
- If not, how much is left?
- Will they delay again at the last minute?
- Aero's financial state, who really knows?
- R/S ?

I don't think the next week is going to go perfectly, that being said I still think they will complete this merger. They have put out too many PR's recently assuring everyone.

I don't think we'll see the 10K until AH tomorrow, which is fine. The 8K for Aero and the merger completion is what we are really looking for next week.

I'm still holding 500K shares, my first target is .09 if everything goes well. Should be an interesting few weeks, that's for sure!

Post #of 76979

OK Guys.. just spoke with Andrew.. and I'll preface my statements with two things.. first I mis-spoke on a couple of things regarding timelines and I apologize for that.. as Andrew put it, things are very "fluid", therefore what he told me a few weeks ago may or may not apply now.. that is why they want us to pay attention to the press releases.. second, I have spoken with Andrew a number of times over the past nine months and at no time have I felt that he was anywhere close to as excited as he was today about this transaction and the goings on at AERO.. I highly suggest that anybody who has questions give him a call..

Anyway, here goes..

1) The 10K will be out sometime tomorrow.. while they were shooting for pre-open it really depends on when the Auditor review is complete and the sign off is given for them to file. Nothing that he is aware of will prevent that from happening tomorrow, but there is no guarantee it will be first thing tomorrow.. so don't freak out if it's a bit late.

2) The filing will be followed up by a PR which should announce the filing and emphasize and perhaps clarify some of it's disclosures.. for example, the status of the debenture will be included in the 10K up to a very recent date.. Andrew though it would be "days" not "weeks".. and it may very well show the debenture balance not fully redeemed.. he did not know the status.. but the PR should then emphasize that per the agreement, the debenture will not survive the close of the acquisition.. i.e. any remaining balance will be cancelled.. in addition to the remaining escrowed shares.

3) The close of the merger is currently planned for sometime next week.. I thought it would be Monday but Andrew said that it could be anytime next week.. they haven't definitively stated the day because AERO and FCCN management have to get together for the physical exchange of shares and they may not be able to arrange it for Monday.. Again the whole thing should be fairly seamless for us.. i.e. no cert exch, trading restrictions.

4) If the acquisition does not take place on Monday or Tuesday, he anticipated releasing a PR to allay the fears of some and let everybody know that everything is still on schedule.

5) 4 days after the exchange, the 8k will be filed.. Andrew actually thought they may lean towards having it straddle a weekend to allow the lawyers more time to review the filing.. and there is going to be alot of disclosures in it..such as the share exchange specifics, AERO audited fins.. details on AERO's new board.. etc. He seemed pretty excited about it. I asked him about the % that we will get of AERO and he said he knew it but wouldn't tell me..lol.. I could almost see him smiling when I told him my prediction.. which is 18%. His only comment was that Mr. Peacock believes he has delivered an excellent value for shareholders and that they will be very pleased.

6) He thought that AERO would want to affectuate a symbol change ASAP.. although he did mention that the other option is to call an annual meeting and schedule it around that timeline.. still he was leaning towards a quick changeover to the new symbol.. Again though, it should be completely seamless for us.

7) Andrew fully anticipates that AERO will want to begin telling their story immediately.. And he seemed really excited about what AERO has going on... Honestly, I have spoken with Andrew many, many times and I have never heard so much excitement and optimism in his voice.. He said there are definitely exciting things going on at AERO and he can't wait to get on the other side of this transaction so that they can come out!!

Anyway, hopefully that clarifies some things.. sorry for being so long-winded.. but I wanted to get it all out.. I have to say after this conversation I am even more pumped about that potential here.. call me a pumper, I DON'T CARE!!!

If that 10K doesn't come out I fear they will lead a lynching mob tonight over to FCCN HQ, lol.

Andrew is a pretty bad IR guy, I would never tell people calling like the guy yesterday and make these claims about something coming out... Just causes more mayhem than actually helps.

I'll be back here at 5:30pm PST, if I don't see a 10K I'll be selling my final 250K shares first thing Monday am!

Isnt it kinda strange to "spread the word" that you are dumping 500k shares? Its really none of my business, and im not trying to tell you what to think say or do, but some people reading this thread could potentially panic sell when they read stuff like this. Just a thought. [Wink]

Another Pink Sheet stock whose IR guy makes promises all week long...and then fails to deliver.

Not even a band aid PR from FCCN. Really, I'm not surprised. They all made their money, GGI has probably made a few mil, Aero got 1.9 mil, I'm sure Peacock and FCCN got a nice cut...

What a shame...even I almost believed that 'maybe' this one would be different. Thank God I sold 750,000 shares of this and only have 250,000 left which I will dump first thing Monday.

The only saving grace is if they actually have something out pre-market Monday. Otherwise it's pretty obvious what this has been all along in my opinion.

Again, this is the only Pink or OTCBB I own, simply because they 'seem' to be on the ball. But that has now changed and it looks to me like every other POS on these exchanges - either total incompetence or total BS.

I feel it's time to shut down the Pink Sheets and the OTCBB for good. Give everyone a month to sell out their positions, and end this sham.

Oh sh!t, here comes the gap down! Filings must not be out, sad.

Oct 1, 2007 9:17:00 AM

MURRIETA, CA -- (MARKET WIRE) -- 10/01/07 -- Franchise Capital Corporation (PINKSHEETS: FCCN) chief executive officer, Steven R. Peacock, has issued a statement regarding the status of the company's annual report for fiscal year 2007, which covers the fiscal year ended June 30, 2007.

"As stated in a previously issued press release, Franchise Capital management expected that the 10-KSB would be completed and filed by Friday, September 28," stated Mr. Peacock. "Although this was our expectation at the time of that previous announcement, the annual report was not filed within the anticipated timeframe. We would like to assure shareholders that despite the fact that the report is not yet filed, there are no issues out of the ordinary that are delaying this report, and we do expect to have it filed as soon as possible. Annual reports, even for a 'shell' company, are comprehensive documents that require audited financials and detailed review by the company's independent auditing firm. In addition, this is the first annual report undertaken by the company's new auditors. We have every confidence that all of parties involved in the completion and filing of the annual report are working as quickly as possible while maintaining all of the proper procedures related to public company financial reporting," Mr. Peacock said.

"Furthermore, because the annual report is not a step in the process of closing our acquisition of Aero Exhaust, we do not expect the delay in the filing to in any way affect the closing timeline. The acquisition is still expected to close this week as previously announced. We understand that there is significant interest in our pending acquisition of Aero, and we remain committed to completing all of the necessary steps to bring the acquisition to completion," added Mr. Peacock.

Aero Exhaust (www.aeroexhaust.com) is a leader in performance exhaust airflow technology and NASCAR Performance Partner. Franchise Capital has been positioned to serve as the public vehicle for Aero Exhaust and has provided $1.9 million in financing in the form of a commercial loan to Aero as part of the transaction. The value of the loan and any accrued interest are convertible into Aero Exhaust common stock at the time the share exchange closes.

It just yanks my chain to see yet ANOTHER pink sheet stock dilluting the crap out of itself.

And people pumping it like get rich quick scheme...it's lunacy. Aero is a totally unproven entity.

Personally, and this may be a bit extreme, I think the entire Pink Sheet market should be shut down. Anyone who has a position would just be liquidated and that would be that.

The Pink Sheets are a breeding ground for scams, lies, and garbage. It's time to shut it down.

Anyway that's my opinion, sure there are a few diamonds in the rough.... I don't think this FCCN/Aero merge is one of them.

I hope though for the Longs sake that I am completely wrong, I would rather this run to $1 and look like a fool here than have what in my opinion will happen:

Continued dillution, Massive R/S and a paltry pps.

Franchise Capital Corporation (PINKSHEETS: FCCN) today announced the close of its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner. Franchise Capital and Aero Exhaust have effected the exchange of shares necessary to close the acquisition.

As a part of the close of the acquisition, Franchise Capital has also announced that the balance of the debenture owed to Golden Gate Investors as part of a debt obligation that dated back to June 2004 has been satisfied, and the escrow account set up as part of the settlement has been closed.

With the entire debenture redeemed, approximately 400,000,000 shares of restricted common stock that remained in escrow are being returned to the company's treasury for cancellation.

Details of the satisfaction of the debenture and close of escrow will be included in an upcoming Current Report on Form 8-K filed with the Securities and Exchange Commission. The Form 8-K is expected to be filed by October 11, 2007.

The definitive agreement between Franchise Capital and Aero Exhaust was executed in January 2007, and at that time, Franchise Capital announced that it expected to exchange up to 95% of its total issued and outstanding capital stock in exchange for all of Aero Exhaust's issued and outstanding shares. Franchise Capital provided $1.9 million in financing in the form of a commercial loan to Aero as part of the transaction. The value of the loan and any accrued interest were converted into Aero Exhaust common stock as part of the share exchange, which increased the percentage of the public company's issued and outstanding common stock retained by Franchise Capital shareholders. The final number of shares exchanged, including the additional percentage retained by Franchise Capital shareholders, will be included in the upcoming Form 8-K filing.

"We are extremely pleased to report the successful close of Franchise Capital's acquisition of Aero Exhaust, completing a process that was initiated over 9 months ago," commented chief executive officer Steven R. Peacock. "It was our expectation when Aero Exhaust was first identified as the acquisition target for Franchise Capital that the close would be a highly anticipated event in our shareholder community, and we are confident that the close will be greeted with enthusiasm by Franchise Capital stockholders.

"Although the details of the share exchange, including the additional percentage of the issued and outstanding common stock retained by Franchise Capital stockholders, will be disclosed next week in the 8-K filing, I do believe that we have secured a percentage of the public company that will position our current shareholders to benefit from the long-term growth of Aero Exhaust.

"We are also pleased to announce the payoff of the debt obligation entered into by previous management and that approximately 400 million shares of common stock are being returned to the company's treasury for cancellation. Payoff of this debt was an essential element of the clean up of Franchise Capital to make it the appropriate public vehicle for Aero Exhaust.

"We expect there to be frequent updates on the transition process over the next several days, including an introduction of the management team that will lead the company from this point forward. We believe that this new management team is as committed as we have been to consistent and substantive communication with shareholders, and we expect them to provide as much information as possible to keep the public markets informed during this transition period and into the future as Aero moves forward as a public company," Mr. Peacock added.

Congratulations Longs:

I will say that I was wrong on this one. They met the deadline, got rid of GGI, and completed everything they said they would.

99.9% of Pinks are trash: Today has proven to me that FCCN is the .1% that is the real deal.

Again, shame on me, I was wrong.

And I will be buying shares tomorrow along with the rest of the world.

WOW!

And their burning the 400,000,000 shares too..

Awesome..........

Like I said before, good thing the few here who dumped earlier, did it then, made some room for some huge gains now!!!!

I almost feel sorry for them.

I think my .034 prediction EOW still has a chance.

8k makes it offical.

I've found stocks usually run up to a big event/pr/filing. On the day of, the stock usually runs outta steam and trails off. I don't see why this is any different.

GGI gone, should go into 04's I would expect.

Should move nicely at least until the 8k is filed!!
Will be interesting!

Posted by 10of13 on :

IMO..if this breaks and holds above .03...it should move even nicer...

Posted by Homersbud on :

Hmmm, surprised this isn't past 03 yet.

Posted by 10of13 on :

It could just be the old "buy on rumor...sell on news"...but the volume is rather high...

Posted by Homersbud on :

Ya, vol is high for a 001 move. VFIN been at 032 since this morning too.

Maybe it's the employees selling their shares?

If it hits .025 I think I'll jump on the band wagon.

I thought on the news this would have ran more...

I wonder why it hasn't....any thoughts?

Posted by Homersbud on :

I believe 10 is correct.....buy on rumors, sell on news. Only thing I can think of cuz I thought this should be above 03 at least by now.

Posted by Jenna on :

So do I Homer...thought the same thing....

Do you think it will go up steadily from here though because of the merger?

Posted by Homersbud on :

Really, I don't know anymore. I thought this news last night would push it past 03 and slowly move up to at least 04 before the 8k comes out next week.

All this vol and it's even isn't good.

Posted by Jenna on :

Very strange....

Posted by Uncle Smelly on :

I think the lack of movement is pretty simple. Yes, the merger was completed - but really how much is Aero worth ? Even with 500,000,000 shares out there if Aero is worth 5 million thats a pps of .01, lol.

But we know there are a ton of Aero shares as well, realistically at .027 this may be over priced right now.

Sure in the future with growth, the pps will increase. But I think that 8K is going to be very disappointing and will show that well, yeah, actually this is only worth about 2 cents per share.

But as you know I've been wrong before.

Posted by Homersbud on :

Ya, not sure what to think of it. I'm not in as I was waiting for the 03 break but never happened.

I wish you luck and I'll be watching for that 03 break.

Posted by Benjiman on :

Hmmm, to cancel or not to cancel. That is the question.

Just got back from lunch and see it's at .0261 so I may get my .025 buy in but dunno if I want it anymore after reading the post......

Franchise Capital Corporation Announces Continued Management Transition Following Close of Acquisition of Aero Exhaust
62 minutes ago - Market Wire

Franchise Capital Corporation (PINKSHEETS: FCCN), which has closed its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner, today announced the resignation of Steve Peacock as chief executive officer of Franchise Capital and the appointment of Bryan Hunsaker to the position of chief executive officer. Subsequent to Mr. Hunsaker's appointment, the Board accepted the resignation of Robert McCoy as a director.

Mr. Peacock was appointed to the position of chief executive officer of Franchise Capital on September 12, 2007, and his primary responsibility was to lead Franchise Capital's efforts to complete clean up efforts for the company, including bringing Franchise Capital current with its financial filings. He was also responsible for identifying an operating company for acquisition that would deliver long-term value for shareholders and completing the acquisition process.

The acquisition of Aero Exhaust by Franchise Capital was completed on October 4, 2007 with a share exchange between the two companies.

Upon accepting the position of CEO, Mr. Hunsaker stated, "Mr. Peacock's commitment to this acquisition and his desire to deliver value for the public company shareholders has been unwavering, and we would like to thank him for his tireless efforts to bring this transaction to completion. Mr. Peacock and Javelin Advisory Group will continue to be involved with the compliance, financial reporting and additional work related to operating the public company, and we look forward to their ongoing support."

Mr. McCoy, who served on the Board since September 27, 2005 and as chairman since September 12, 2006, was integral to the transition of Franchise Capital to become the appropriate public vehicle for Aero Exhaust.

"We would like to thank Robert McCoy for his service on the Board and laud his leadership through the transition of Franchise Capital from a restaurant franchise company, then to a shell, and finally through its acquisition of Aero Exhaust," stated Mr. Peacock. "The Board played an important role, and without Mr. McCoy's strong presence as chairman, there is little chance that this acquisition would have been completed."

The details of the management changes will be included in an upcoming Current Report on Form 8-K filed with the Securities and Exchange Commission. The Form 8-K is expected to be filed by October 11, 2007.

LOL too bad for cassity...

Here is a definition of multiple or P/E ratio right from stockcharts...

Price/Earnings Ratio: The P/E ratio is figured by dividing the price of a stock by the company earnings per share. For example, a stock selling at $50, with earnings at $5 per share for the previous year, has a P/E ratio of 10 (50/5 = 10). This value is also called the multiple.

If Ford stock had no Multiple the price would be probably .25 instead of 7 or 8 bucks which it has been trading at.

One last thing....

I am not claiming this will hit a dime next week.

Just giving an example above.

It might show on the 8k that AERO only did 2 mil. in sales last year.... who knows

I think long term, if and only if everything follows through with the merger, we have a winner here. IMO

Surf; just wondering where your 2-5mil in sales from aero is coming from. is this your estimate? im not questioning just wondering how you came up with that guess based on the lack of info from this play. Hope ur right! were undervalued by a lot if that is the case.

im in at 2.4 cents, how about some of u?

Buy the way I posted about UVE when it was still uvih.ob many months ago. Anyone own it. I got all I had left after CSHD into it at $3.88 and turned 10k into 24k+. I really needed that after loosing all my CSHD profits. I guess I should count my blessing cause I know some of u guys lost a few grand on it but I was up over 100k at one point. Ouch!

Franchise Capital Corporation Issues October 2007 Edition of Investor Newsletter Highlighting the Close of the Acquisition of Aero Exhaust, Inc.

via COMTEX

Oct 8, 2007 1:05:00 PM

MURRIETA, CA, Oct 08, 2007 (MARKET WIRE via COMTEX News Network) --

Franchise Capital Corporation (PINKSHEETS: FCCN) today announced the release of its October 2007 investor newsletter, which reviews the recent close of the company's acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner.

The acquisition of Aero Exhaust by Franchise Capital was completed on October 4, 2007 with a share exchange between the two companies.

A PDF version of the newsletter is posted in the media archive of the company's website, http://www.franchisecapitalcorp.net, under the "Newsletters" tab, and a notice has been distributed through Franchise Capital's website-based mailing list.

The October 2007 newsletter includes details of the recent close of the acquisition of Aero, including changes to the management both prior to and after the share exchange was completed. The chief executive officer and Board of Directors of Franchise Capital have resigned to make way for the management team from Aero, led by Bryan Hunsaker, who has been appointed to the position of CEO of the public company. Steven R. Peacock, who served as Franchise Capital chief executive officer through the clean-up process and preparations for the acquisition, also provides a short greeting in the newsletter.

Also in the newsletter is an article reviewing the recent filing of the company's annual report for the 2007 fiscal year and another that discusses the next anticipated steps for the transition of the public company to a focus on Aero Exhaust and the automotive supply industry.

In addressing the company's shareholders in the newsletter, Mr. Hunsaker stated, "The core focus of the Aero Exhaust management team is to deliver long-term value for shareholders through the growth of Aero Exhaust and to steadily increase that value through continued growth its operations.

"Included in this strategy is the potential to execute a roll-up of additional synergistic operations in the automotive supply and performance products market segments. The details of this strategy are expected to be articulated in the very near future, and we hope that all of our stockholders, both those who came from the public company and those who were formerly stockholders in the private company, will be pleased with the direction that we plan to take the company. We believe that acquisition opportunities that are now being presented to us have the potential to dramatically increase the long-term potential of the public company. Being a public company provides Aero the vehicle to execute on this strategy."

The details of Franchise Capital's acquisition of Aero Exhaust will be included in an upcoming Current Report on Form 8-K filed with the Securities and Exchange Commission. The Form 8-K is expected to be filed by October 11, 2007.

Back up to .021

My guess is with the 8K coming out this coming Thursday this puppy will slowly climb back up to around .027 or .028 then when the news comes out, (as long as it's as good as surf thinks), it will go up quite a bit. On the other hand... eh let's just stick with the positive stuff right lol.

Had to buy more at .017 .018

Had no problem getting to .03 before the news.
Many dumped at the .03 mark and dropped this to .02, which means new hands on this.

8K will have an effect on this, and it's already starting to climb again.

Is .04 out of the question?
Maybe more.

They retired the 400,000,000 remaining shares, and there was only a small amount of dilution to get the merge deal done.
Key word small dilution.
Pinks do this crap to the tune of billions...
Not this company thankfully.

Franchise Capital Corporation Announces Identification of Additional Synergistic Acquisition Candidate

Tuesday , October 09, 2007 09:14ET

MURRIETA, CA -- (MARKET WIRE) -- 10/09/07 -- Franchise Capital Corporation (PINKSHEETS: FCCN), which recently closed its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner, today announced that the company has identified a new acquisition candidate that presents significant synergies with the operations of Aero Exhaust. The acquisition candidate operates in the automotive supply market.

The company expects to enter into an initial agreement in the form of a letter of intent with the acquisition candidate in the near term and progress to a definitive agreement after all due diligence and negotiation of final terms is completed.

"While the growth of Aero Exhaust is expected to be the core focus of management, we will continue to seek out opportunities to build shareholder value through the acquisition of additional synergistic operations in the automotive supply and performance products market segments," stated Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust.

"We believe that this type of roll-up strategy will have the potential for a dual benefit for the company and its shareholders. First, the additional revenues and assets that can be acquired through this process will potentially improve the company's valuation in the public markets. Second, but possibly even more significant for the future growth of Aero, is that certain synergistic acquisitions may also contribute to the growth of Aero Exhaust itself. These opportunities may be in the supply of parts for the mufflers and exhaust systems that Aero distributes.

"We expect to have this acquisition candidate signed to a letter of intent very shortly, and we look forward to providing additional information regarding the potential of this acquisition as soon as the appropriate agreements are in place," Mr. Hunsaker added.

SHORT HISTORY OF AERO EXHAUST
The Aero Exhaust Company was formed in 1999 in order to develop an idea for a new type of vehicle exhaust. The Aero Exhaust company has evolved from a couple of reducers built in a garage, to a global manufacturing and distribution company with the most technologically advanced muffler in the world today. After three years of research and development the Aero Exhaust was finally perfected. In January of 2003, the company began aggressively marketing the Aero Exhaust product in its current form. The Aero Exhaust product has been met with enormous industry acceptance and demand. The Aero Exhaust has been approved for a US patent (patent 6,679,351) on its innovations and development in the exhaust industry.
A BREAKTHROUGH IN HIGH PERFORMANCE EXHAUST TECHNOLOGY!
When the incoming exhaust air stream enters the Aero Exhaust it is rapidly expanded and split via an airfoil cone with an orifice similar to a jet engine. The outer airflow velocity is increased due to the increased distance the outer air must travel. The higher density inner air stream also creates a low pressure vacuum in the outer expansion chamber that assists in drawing the air out of the exhaust pipe. The outer air stream accelerates as it recombines with the inner air stream. The recombining of the air streams muffles the exhaust sound and increases the exhaust flow. Thus allowing your engine to breathe easier and dramatically increases your vehicles performance.

The Turbine series as well as the Turbine XL series allows for more efficient combustion to create added power instead of simply dumping more fuel into your engine. Aero Exhaust achieves incredible performance and improved gas mileage while creating the smoothest low throaty turbo sound on the market.

The company evolved this technology into a new exciting stainless product line designed and manufactured completely out of T-304 stainless steel.

FYI - there are a couple of people that have been manipulating the crap out of the price - large holders. I believe once the 8K comes out, they will stop flipping and let it run. All IMHO.

Good luck, and hello all!

Hey Sher!!

Posted by TruthLiesWithin on :

the manipulation screwed some already I believe.

there was a large sell earlier last week that caused a nice drop and then a nice bounce.
The person selling didn't have the chance to see the news that they were waiting for come out that evening.
needless to say, some had to buy back in just in case.
This is how I see it, and glad it happened, because it opened the door for some bottom feeders like myself.

FCCN looks like it should move along nicely.

I think we will have a strong close today since the 8K comes out tomorrow.

Posted by Benjiman on :

So much for a strong close. Anyone have any predictions for tomorrow?

.03

Posted by Uncle Smelly on :

Lol, if Aero has revenues over 2 million I'll be surprised.

And if FCCN shareholders get more than 10% I'll be even more surprised.

My prediction; revenues around 1.5 million, growth rate of 10% and FCCN shareholders get 5 - 9%.

Then after the pps completely collapses to sub-penny, there will be a 100:1 R/S.

Again all my opinion. But hey GGI made out really well over the past year, Aero got a nice 1.9 mil payday, and the FCCN management made some cash as well.

Smart traders who flipped this pancake did well this year also. So it's not all bad, lol.

And just to say...those are my 'best case' scenario numbers. It could be a lot worse in my opinion!

Of course I will, I always do ! Actually I'll be surprised if they even file this thing on time, my call for today is a 'delay' PR AH, lol.

These goof balls couldn't even get a simple 10K out on time, I doubt they'll get the 'Super 8K' out today.

But as you all know I've been wrong before.

Posted by TruthLiesWithin on :

Really, what's the rush?

So they were late with the last one by what? a day.

They completed the aquisition, as planned.

8k could come end of day, would it matter?

Posted by Benjiman on :

Not to me as long as the numbers look good.

Posted by TruthLiesWithin on :

Same here.

Posted by TruthLiesWithin on :

For some reason 2 million revenues sounds low.

This exhaust is in hundreds of locations, has a good deal of exposure, and is widely talked about.

Then I look at the price and wonder who says this is even expensive?

Looks cheap enough to be appealing to most.

I didn't even know the price of these things until now..
half the price of what I was almost about to buy for my Dodge Ram.

If the quality is good, it should compete well.

My guess is over 2 million Revs.

Posted by Uncle Smelly on :

I'll be STUNNED if they file today, lol.

My bet, a delay PR tomorrow Am. Then sub-penny by noon, lol.

Look at their history, they were late with a simple 10K. In my opinion this won't be out on time.

However me being the savvy trader, I've set a buy in at .023, I figure if we run tomorrow and we hit that we're going much higher.

I would not want to be holding shares tonight, lol.

GLTA longs.

Look, I was hoping I would be wrong here. But the fact is the FCCN is always a few days late, but they get it done eventually.

I'm pretty sure that the 8K will be out AH on Friday, of course the stock will tank tomorrow. The MM's will kill this tomorrow. But if that 8K is decent it will run hard on Monday.

FCCN however has really mishandled this, the pps should be over .05 right now. Several things killed it:

# 1. The 10K delay

# 2. The merger completion announcement AH, should have been pre-market Friday. It gave the bashers a chance to develop a tactic - which they did by focusing on a 2 year old law suit.

# 3. The 8K not being filed on time today.

These 3 things tell me that FCCN management is not to aware of how the Pinks work. Maybe they don't care, maybe Aero is worth 50 million and is heading through the roof.

I don't know, all I know is that if I were running things:

# 1. The 10K would have been filed on time.

# 2. The merger announcement would have been at 9:15am Friday to throw off the bashers

# 3. I would have filed the 8K on time.

Simple.

Franchise Capital Corporation Issues Comment on Status of 8-K With Details of Aero Exhaust Acquisition
Franchise Capital Corporation (PINKSHEETS: FCCN) today issued a statement on the status of the Current Report on Form 8-K that includes details of its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner.

"The Form 8-K is a comprehensive filing that includes financial information audited by our independent auditing firm and a review by legal counsel that has been retained specifically for the 8-K," stated Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust. "We realize that there has been a great deal of interest generated by the acquisition of Aero Exhaust by Franchise Capital, and all parties involved in finalizing the 8-K are working hard to complete and file it as soon as possible, so the details of this transaction can be disclosed to our shareholders and the public markets."

The definitive agreement regarding the acquisition of Aero Exhaust by Franchise Capital was executed in January 2007, and at that time, Franchise Capital announced that it expected to exchange up to 95% of its total issued and outstanding capital stock in exchange for all of Aero Exhaust's issued and outstanding shares. The final number of shares exchanged, including the additional percentage retained by Franchise Capital shareholders, will be included in the 8-K filing.

The 8-K will also include the audited financials of Aero Exhaust and additional detailed information on the company.

Hunsaker had better grow the F up quickly now that he is a CEO of a publicly traded company.

If this is the kind of shoddy, incompetent management he is capable of providing then he needs to hire a real, experienced IR and SEC compliance dept. to handle these things. Andrew isn't up to par imo.

On the Pinks this kind of crap is tolerated for whatever reason, but on the big boards he will be slaughtered for filing a late 8K. And that's where he supposedly wants to take Aero - although I have my doubts on that as well.

Look Aero has a great product with a patent. DD has shown that dealers are moving 15 - 20 systems a month:

Low ball 800 dealers X 15 mufflers X 12 months * $100 profit to Aero = 14,400,000.

And that's low ball, add in another 500 dealers, and OEM and we have a 50 - 100 million company pretty quickly.

But Hunsaker needs to stop acting like a POS Pink Sheet CEO and run this ship tighter.

There is a saying from Boiler Room: "Act as if". Aero needs to "Act is if" they are a 1 billion dollar company on the Amex and on the ball with everything. Then we will see some real pps appreciation here.

That begins with getting your filings done ON TIME.

I'm not if it's that they either;

1. Don't care
2. Are totally incompetent
3. Don't care
or
4. Are totally incompetent, lol

Either way this is just getting silly.

Posted by TruthLiesWithin on :

well Smelly, funny you estimated 14million revs.

I was going to paint you as someone intentionally lowballing the revs with your 2 mill guess so when the 8K came out and showed higher, it would have looked better.

I estimated myself at least 8-10 million on those very figures you posted.
If this is sold at Napa, I may be able to get numbers for all of Northern Texas.

Either way, they need to stop this crap and get this out.

I see the potential, however what I don't see is an 8K that was supposed to be out on Thursday, lol.

Again they may have a good product and revenues, but if this is the kind of BS that Hunsaker is going to pull on his shareholders then he needs to be replaced with a CEO who has experience in dealing with the public markets.

Demote Hunsaker to like VP of Sales or something and get a real CEO in his position.

Come Monday, are we going to get another excuse PR? I mean really if they have to spend all weekend getting this thing done - THEN DO IT.

Yes, I own shares now, because ONCE, God knows when, they get off thier asses and get the 8K out I feel this will run. Purchased 1 million at .0165 this week, already up a grand. [Smile]

Again - great product, great potential, lousy management. At least they have 2/3 things most pinks have 0/3 and a bunch of lies, lol.

GLTA !

US..did I miss something? Looks like you are thinking the 8K will be out Monday...I didn't "read" that...but I did read that they are working on it...
My point is that right now, at this moment...there is NO TIME frame that FCCN needs to produce the 8k...It's a pinksheet...it doesn't have to do anything in any time period...
That is where FCCN is at right now...IMO...

Really amazes me the level of incompetence on these Pink Sheet stocks. Had FCCN done everything right - and met deadlines THEY set, this would be well over .10.

Instead it just looks to me like they are stumbling along like a bunch of drunk sailors, lol.

I'll buy this again at sub-penny, which is where it's going.

Yep, seems to me that FCCN/Aero is pretty much incompetent here. I dumped my shares today for a very minor loss.

I expect a bigger dump tomorrow, people are just getting fed up with this joke.

IHUB is going crazy! Bashers are out in force.

Anyone here think we've still go a winner?

Posted by Jenna on :

Lock- what is your take on it?

Posted by Benjiman on :

No doubt Lock. The one thing about it I read was apperently people are looking at the numbers for months and are trying to compare them against yearly numbers.

I for one will stick with them because I have this far.

On a personal note I don't think I have ever heard anything positive about Ihub postings. They seem negative about everything. The sad thing is when that dude posted that old info last time we ate it and I really hope the same thing don't happen because of alot of propaganda over there.

We have a whole weekend for everyone to take their time and look this over so everyone have a good weekend and lets make some money Monday.

I have a user name on IHUB. I posted how the PR on the 8K intra day was a ploy to move PPS up one last time because the 8K is gonna SUCK. Then I got 50 hate mails saying how FOS I am.

I have been dancing around those people now , I told you so's. Even though I have (had) 300.00 in this. Ofcourse I wouldn't have if they did not send the emails to me.

I put in a limit for Mon. They for months flaunted this thing and 'fell in love'.

Just think of those people who put THOUSANDS of dollars in this ?

Can you fathom the sick feeling of losing most of that?

I struggle to pay the mortgage sometimes.

8k is horrible. All the hype is now gone and she's gonna fall with these numbers...

Sell what you got left, you'll be able to buy sub-penny again.

Damn that 8k is the worst thing I've read. Thank God I only have 25,000 free shares left. Finally, we can put this play to rest. Good luck to all who are in this.

[i]As of October 11, 2007 there were 5,000,000,000 shares of Common Stock authorized with a stated value of $.0001 per share, of which approximately 1,714,285,700 are issued and outstanding, with 3,285,714,300 shares authorized but not issued[i]

Totally saw this coming seeing VFIN and MAXM on ASK all day today and they would'nt let it go.

Posted by TruthLiesWithin on :

I assume that 60 percent of the shares are restricted right now, considering shareholders hold the other 36 something percent?

Liabilities are up there a bit.
Share count is up there, but not totally alarming, however the potential flood that could happen is.
I hope the game plan builds from here, because this company needs a good kick in the ass.

I think there are too many in at this level to just let it go.
May just hang around levels.
If it tanks, then the company will forever be in the cellar, and this will become another forget about it scam.

Another stinky pinky is what we got here.....delay in 8k filing should of been a warning sign to most. Good luck to those still holding.

Posted by T e x on :

isn't there sumpin about "a substantial reverse split" ?

Posted by Lockman on :

From other boards it seems the bashers have taken a breather and people with some knowledge of reading financils have emerged.

This is not the lottery pick everyone was hoping for but should hold it's own.

As TruthLiesWithin pointed out their are a lot of heavy holders involved who probably couldn't dump their shares.

Most of the debt was turned into shares of fccn.
Would you accept shares of a company you didn't expect to prosper. Next week will be kind of unsettling at first but hopefully cooler heads will prevail. jmo

FCCN

FRANCHISE CAPITAL CP
Daily Commentary

Our system posted a BUY CONFIRMED today. The previous SELL recommendation was issued on 09.26.2007 (23) days ago, when the stock price was 0.0325. Since then FCCN has fallen -43.08% .

BUY-IF is confirmed by a white candlestick which has an open equal to the previous close but closing higher. The buying price is the previous close ( 0.0140 ) according to the Rules of Confirmation.

The recent bullish formation leading to the BUY-IF signal is confirmed today. The market is ready for a new bullish move. Though the market opened lower today, the day’s activity created a white candlestick that closed above the previous close. This is a valid confirmation criterion.

We hope that you acted quickly and already bought this stock . Your important benchmark was the previous close. You were supposed to watch the session carefully, feel its bullish tendency despite the lower opening, and go long after making sure that the prices stay over the previous close.

If you bought, continue to hold this stock until the confirmation of the next SELL-IF signal. You are on safe grounds as long as the future prices continue to trade above the benchmark price. What to do if you did not buy? Maybe, you did not have time to follow the session or you simply delegated the delicate job of confirmation to us. Well, it is a bit late, but not too late. You may still find suitable prices for buying in the following sessions.

The market is currently cold for short-sellers. Avoid any short sales and cover the short positions immediately if there are any.

mrbj - agree- I have been playing with the numbers on the 8K-

1. Cash on Hand - only 6mths worth but already 500% over 2006 yearly number....

2. Accts Receivable - again only for 6mths up 150% over 2006 yearly total..

3. Inventory - 6 month total just above yearly total for 2006..it seems like they are beefing up for the demand...

4. Current Liabilities should be as 10/19/07 (IMO)-
Accts Payable 1,085,968.00
Notes Payable 944,063.00
Total Liabilities 2,030,000.31

Note: these notes where paid in shares with a value
of .01 & .02 cents...

So what is out complaint..that is where we are at now..they expect to get more out of those shares that is why they took them.

5. You do the math for Note #8 - I calculate that Aero shareholders paid $2.00 - 3.70 for their shares....

Maybe pietro & 4kids are right...they both stated they were here for the long term...it seems the original AERO shareholders feel the same way along with the creditors...

Mr Richards doesn't seem concerned....neither does Morgan Mclure...

P.S. Everybody print off a copy of this 8K and read it closely..Because none of us should be surprised that a R/S is in AERO's future...

It will open lower, but finish higher.

People panic over a company that actually took the initial steps to be better recognized and get listed.

How about your trillion share diamond company of old?

Besides the liabilities, and the shares O/S, 36 percent is held by shareholders.

The shares from the deal if I read right are restricted, which means, if this is going down tomorrow, it is because of you and me.
Not the company.

At quick glance, this 8K looks just like every other company, except this is a pink which is more this company can say in retaliation to others.

Tomorrow

EOD .018

FCCN News:
Monday, October 22 2007 8:29 AM, EST

--------------------------------------------------------------------------------

Franchise Capital Corporation Announces Letter of Intent to Acquire Dr. Gas, Inc., Manufacturer of Exhaust System Components

Market Wire "US Press Releases "

MURRIETA, CA -- (MARKET WIRE) -- 10/22/07 -- Franchise Capital Corporation (PINKSHEETS: FCCN), which recently closed its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner, today announced that it has entered into a preliminary agreement in the form of a letter of intent to acquire 100% of the common stock of Dr. Gas, Inc., a producer of the finest racing performance exhaust systems for street and pro-race performance exhaust applications. Dr. Gas produces 90% of all exhaust systems used in NASCAR, Nextel Cup Series, Busch Grand Nationals, Craftsman Truck Series, and many more.

Once sufficient due diligence is completed by the parties, Franchise Capital and Dr. Gas, Inc. expect to enter into a definitive agreement related to the acquisition.

Dr. Gas Exhaust Systems produces performance exhaust Xscream® crossover, y-pipe, oval tubing performance exhaust, and h-pipe systems that have changed the performance exhaust sound of NASCAR, IROC, drag racing, and pro-street. Dr. Gas designed and patented the revolutionary Spin Tech racing mufflers. Many standard and custom sizes of mandrel bends and oval tubing are the absolute best for high performance exhaust and ground clearance applications. The company has performance exhaust parts for car, truck, RV, motorcycle, marine, aircraft and industrial applications.

At its first NASCAR race, Dr. Gas shocked the sport with its new performance exhaust sound and added power on Sterling Marlin's winning 1995 Daytona 500 racecar. Many of its patented NASCAR performance exhaust systems can be used in street rod performance exhaust applications.

The acquisition of Dr. Gas, Inc. is expected to provide the company with multiple benefits due to its significant synergies with the operations of Aero Exhaust. Once the planned acquisition is consummated, Dr. Gas will contribute to increased revenues and asset valuation for Aero. Possibly even more significant for the business of Aero itself is that Dr. Gas, Inc. is expected to contribute to the growth of Aero through the fabrication of components for Aero products, including recently launched full exhaust systems. Dr. Gas, Inc.'s fabricating capabilities are expected to increase the availability of Aero's new line of full turbo and cat-back systems diesel exhaust systems, referred to in marketing documents as "kits," which include all parts from the catalytic converter, turbo charger or muffler back to the tailpipe. Improved supply will help Aero to meet the demand for its products in the automotive supply market.

For more information on Dr. Gas, Inc., please visit http://www.drgas.com.

"We are extremely pleased to announce our initial agreement to acquire Dr. Gas, Inc.," stated Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust. "While the demand for Aero's products has been high, distribution has been limited by the lack of sufficient inventory of piping for our full exhaust systems. The company's 2007 financial performance was hindered by a lack of supply of products for distribution, and the acquisition of Dr. Gas is expected to remedy this shortfall. Aero's distribution partners are anxious to have a larger supply of our full exhaust systems and we strongly believe that through the acquisition of Dr. Gas, Inc., Aero will be better able to supply our distributors and improve the company's revenue performance.

"Dr. Gas, Inc. is not only a highly respected name in racing circles, but it is also a mature company with significant revenues and the machinery and manpower in place to deliver the necessary components to accelerate the availability of Aero's products. We look forward to providing additional information related to Dr. Gas, Inc. in the near term, so that our shareholders begin to understand the tremendous upside potential of our latest strategic acquisition," added Mr. Hunsaker.

MURRIETA, CA, Oct 23, 2007 (MARKET WIRE via COMTEX) -- Franchise Capital
Corporation (PINKSHEETS: FCCN), which recently closed its acquisition of Aero
Exhaust, Inc., a world lea der in performance exhaust airflow technology and
NASCAR Performance Partner, today issued a brief statement from management
addressing language that was included in the share exchange agreement between
Aero Exhaust and Franchise Capital regarding a potential future reverse split.

"The language included in the share exchange agreement was drafted long before
the stock structure of the post-acquisition public company was known," stated
Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust.
"It allowed for the fact that there might have been an insufficient number of
shares to consummate the share exchange transaction, so language was included
that indicated that management intended to pursue a reverse stock split soon
after the acquisition closed. Given the current structure of the company,
management has no plans to pursue a reverse stock split in the foreseeable
future.

"Shareholder value will continue t o be a priority for the company as we work to

MURRIETA, CA, Oct 25, 2007 (MARKET WIRE via COMTEX) -- Franchise Capital
Corpo ration (PINKSHEETS: FCCN), which recently acquired Aero Exhaust, Inc., a
world leader in performance exhaust airflow technology and NASCAR Performance
Partner, today announced that Aero has recently established relationship with
two additional regional distributors for its products. The new distributors,
Franks Supply Co. of Houston, Texas and Wynne Exhaust of Wynne, Arkansas are now
stocking Aero products and join Allied Exhaust and Full Line Exhaust as regional
distributors of Aero Exhaust products.

The major regional distributors make periodic purchases of Aero products,
usually on a monthly basis, and distribute to performance muffler retail outlets
in their respective areas. The outlets these distributors service include a
variety of retail locations, including independent and franchised automotive
repair and supply shops. These four major distributors cover territories that
range from California to the west, the Canadian border t o the north, the Mexican
border and Gulf of Mexico to the south and the Atlantic Ocean to the east, and
include approximately 30 states.

Frank Supply Co. (www.franksupplyco.com) has been in business for nearly 30
years, providing performance exhaust components and automotive accessories to
thousands of installation and accessory shops. With a five state delivery area
and five warehouse locations servicing Texas, Louisiana, Southern Mississippi,
Southern Oklahoma, and New Mexico, Frank Supply Co. is "the performance/exhaust
specialist." Aero mufflers have recently been added to the performance muffler
products on the Franks Supply Co. website.

Wynne Exhaust, based in Wynne, Arkansas distributes in all or portions of six
states, including Oklahoma, Arkansas, Missouri, Mississippi, Illinois, and
Tennessee.

Allied Exhaust (www.alliedexhaust.com), founded in the 1960s, is the largest
independent warehouse distributor of automot i ve exhaust in the country with 16
distribution centers spanning 18 western states. Allied Exhaust began stocking
the Aero product in a limited number of warehouses early in 2007 and has
continued to roll the product out to the remainder of its warehouses throughout
the year. Allied is now stocking the Aero products throughout its entire system,
and links to Aero's website are included in on the Allied Exhaust website.

Full Line Exhaust (www.fulllineexhaust.com), which has also carried Aero
products since the beginning of 2007, services nearly 3,100 independent and
franchised under car repair shops in Alabama, Florida, Georgia, Illinois,
Indiana, Kentucky, Mississippi, Missouri, North Carolina, South Carolina, and
Tennessee. Full Line Exhaust carrying an impressive line of 8,000 to 9,000
exhaust parts. Aero Turbine XL Muffler Series are listed as featured products on
the Full Line Exhaust website at http://www.fulllineexhaust.com/featur e s.asp.

"Through agreements with our distribution partners, Aero mufflers and exhaust
systems are sold as core products to shops covering most of the United States,"
commented Bryan Hunsaker, chief executive officer of Franchise Capital and Aero
Exhaust. "We will continue to seek to expand distribution of Aero products,
especially as a greater inventory is secured through our developing relationship
with Dr. Gas, Inc. As has been stated several times recently, we believe that
the manufacturing capabilities of Dr. Gas, Inc. represents an effective solution
to Aero's supply challenges and will allow us to meet both the current and
future demand for our product lines.

"Aero's business is selling our performance exhaust products, and our major
focus at this time is increasing the sales of those products, thereby increasing
the revenues and value of the company. The distribution partnerships we have
developed are the vehicle to sell t o a large segment of the performance exhaust
market, and we look forward to increasing the number of products we supply to
our distributors," Mr. Hunsaker added.

Franchise Capital recently entered into a preliminary agreement with Dr. Gas,
Inc. to acquire 100% of the common stock of Dr. Gas, Inc., a producer of the
finest racing performance exhaust systems for street and pro-race performance
exhaust applications. Dr. Gas produces 90% of all exhaust systems used in
NASCAR, Nextel Cup Series, Busch Grand Nationals, Craftsman Truck Series, and
many more. In addition to its racing applications, Dr. Gas, Inc. also
manufactures for Original Equipment Manufacturers (OEMs) such as Freightliner.

Franchise Capital also recently announced that Aero Exhaust will exhibit with
Dr. Gas, Inc., at the 2007 SEMA Show scheduled for Tuesday, October 30 - Friday,
November 2, 2007, at the Las Vegas Convention Center. The SEMA Show
(http://www.semashow . com) is the premier automotive specialty performance
products trade event in the world featuring performance, accessories,
restoration and motorsports products. Aero's booth number for the show is 21036.

Dr. Gas, Inc.'s fabricating capabilities are expected to increase the
availability of Aero's new line of full turbo and cat-back systems diesel

Depends on what angle you look at if from Lock lol. I am more like 75% down lol.

I actually just picked up 4 times what I bought originally to average down. I still have a good feeling about this one. The company is doing a lot so maybe we will still see our nickel or dime in time.

I have .0111 in my shares now.

Good morning ... these stocks get overbought and oversold creating volatility giving us the opportunity to make some $$$$$!

Currently I believe we are oversold for where Aero truly is now. The 3Q report and revs will tell all ... IHUB has been rallying for 10 months on this, pumpers and bashers alike. As I recall, about a dozen over there held 1m to 15m shares, most saying they are holding long term. Ofcourse, we really do not know who holds what!

I expect to see this to turn up as pr's about OEM deals, distribution expanse, profits, etc. come forward. In the "mean" time, I'm buying at these levels ... just added some this am. The best to all!

BTW, the macd's and trends seem to be turning to the positive side this am ... Good luck all!

Am I reading this correctly that the increase in value is attributed to "good will". I've always understood that to be something considered in the sale of a company, but not on the day to day value of a company.

If it makes the pps go up great. Maybe it's something considered by future investors but I don't think it's gonna buy Dr. Gas. jmo

Franchise Capital Corporation Files Pro Forma Financials in Form 8-K/A
Oct 26, 2007 9:52:00 AM
MURRIETA, CA -- (MARKET WIRE) -- 10/26/07 -- Franchise Capital Corporation (PINKSHEETS: FCCN) filed a Current Report on Form 8-K/A to provide pro forma financial information related to its recent acquisition of Aero Exhaust, Inc. and adds the report of the company's independent registered public accounting firm regarding the audit of Aero's two-year financial statements. Aero Exhaust is a world leader in performance exhaust airflow technology and NASCAR Performance Partner.

Shane H. Traveller, chief financial officer of Franchise Capital, stated, "The pro-forma financial statements are designed to reflect what the company's financial condition would have looked like had the merger taken place on June 30, 2007. Unfortunately, accounting principles require the recording of certain non-cash items associated with an acquisition of this type, which can skew the operating results and give a potentially misleading view of the company's operations.

"In the case of the share exchange between Aero and Franchise Capital, the exchange rate was negotiated at a time when Franchise Capital's stock price was considerably lower than the price per share on the date we closed the transaction. This resulted in an overstated amount of goodwill being recorded and an overstated amount of settlement cost of debt that was retired through the issuance of stock at the time of the share exchange. We therefore elected to reduce the amount of goodwill to the value of the stock on the date the final share exchange terms were negotiated, since we believe that price represented the fair market value. While this treatment more accurately reflects our asset value, it also resulted in a considerable non-cash loss, which is in no way indicative of the actual operations of the company.

"We anticipate that being able to produce Aero's cat-back kits through the merger with Dr. Gas will allow us to substantially increase the supply and the current demand for Aero products and allow it to achieve break-even cash flow in the near term."

Franchise Capital recently entered into a preliminary agreement with Dr. Gas, Inc. to acquire 100% of the common stock of Dr. In addition to its racing applications, Dr. Gas, Inc. also manufactures for Original Equipment Manufacturers (OEMs) such as Freightliner.

I was able to procure a very large sum of shares at .006 when the cowards were selling like fools.

I have my negatives on this, but come on this is easy money now. I'm sure Aero and Dr. Gas are not at SEMA this week for the french fries.

IR keeps putting out positive PR's, at .008 this is still severely undervalued. It should be at .05 imo.

I bought it at .025 so it's been nothing but damage control for the past few weeks.

I'll admit it - I've been flipping this stock back and forth like a pancake at IHOP all year.

And I've made a lot of money doing so, I bought in for another flip, I expect to run to 3 cents again in 2007.

Look at the chart for the past year, it's been a dream stock to flip.

I can appreciate everyone who has been involved in this stock for awhile. I am new to this one and hope to learn from everyone here. FCCN came up on my radar when it gained 25 or 30% a couple of days ago. With the past history and what the charts look like, I believe that we have establshed a base and have lots of room to move in the right direction on this undervalued stock. The candlesticks look very good for this to move ahead. Hope I can help out the cause along with everyone involved

CNBC .. next segment .. Las Vegas .. I think the SEMA show where AERO/Dr.Gas are showing ... someting about cars and multi-B$$ business.

Posted by cool AZ on :

CNBC reports: 35 billion $$ business ... 75%of new car buyers add "parts" to customize their cars ... consumers want to customize their vehicles at the dealerships ... auto makers want piece of the action.

I would think given an option list to choose from, a "part" like Aero offers, should be a high priority given todays gas/oil prices.

Well I got a very small partial fill of 5040 shares at .008 perhaps I will get the rest tomorrow. After that it can shoot through the ceiling for all I care.

A preliminary 23-item integration strategy has been drafted, which includes both
production and marketing elements. Several of Aero's diesel exhaust systems have
already been delivered to the Dr. Gas manufacturing facility in Sandy, Utah, and
tooling for the fabrication of Aero's diesel kits is underway.

In add i tion to the manufacturing integration, Aero Exhaust and Dr. Gas, Inc.
have begun combined marketing and promotion efforts, beginning with the 2007
SEMA Show, which begins this week in Las Vegas, Nevada. Aero Exhaust will
exhibit with Dr. Gas, Inc., at the SEMA Show from Tuesday, October 30 through
Friday, November 2, 2007 at the Las Vegas Convention Center. The SEMA Show
(http://www.semashow.com) is the premier automotive specialty performance
products trade event in the world featuring performance, accessories,
restoration and motorsports products. Aero's booth number for the show is 21036.

"Even as we move forward to reach a definitive agreement to acquire Dr. Gas,
Inc., we are concurrently initiating an integration strategy that makes the most
effective use of the synergies between Aero Exhaust and Dr. Gas," Bryan
Hunsaker, chief executive officer of Franchise Capital. "With the demand for
Aero's products, particularly the diesel ex h aust kits, currently outpacing the
available supply, ramping up production is an immediate priority. This process
has begun, and we will continue to expand the tooling and fabrication efforts
through Dr. Gas, Inc.

"We also recognize the need to begin marketing the combined capabilities of Aero
and Dr. Gas under the banner of a single public company to the automotive
performance automotive supply market. The exhaust market is a very cyclical
market, and we are using this opportunity ramp up for the 2008 season, and the
SEMA Show is just the beginning of these efforts," Mr. Hunsaker added.

Looks like a decent PR.

You would think but we went down instead of up again. This is one backwards stock. On the bright side I got the rest of my fill at .008

Now let's just hope for some bad news so it goes up....

Benjiman

Glad to see that you got your order filled at .008
I might have thought that the price may have gone up a bit today with the news release but the release was mainly about which direction the company was heading rather than concrete profits. It is nice to see that everything is being put in place and they have a good marketing plan for the near future.

I do like fact that the PPS is gaining slowly and firming up the support base. We should get some good profits in the near future.

I feel the same way Brain. I saw one fill at .007 today for 20000 and a few others picked up some at .0075 but I am happy with my .008

The charts look really good and we have been closing either even or .0005 up so things seem steady.

.007 with .0065 x .007

Did I miss a PR or something? ............

Posted by Braindamaged on :

The overall market was hurting today. Seven out of the nine stocks I hold are in the red.

I bought in at .0075 last week so I am down a bit. Since I am new to FCCN I did set aside some funds to average down and double my shares. I was going to use these funds to average down or throw in if we had a run.

I do believe that today was just an off day for FCCN and most other stocks.

Well now, I didn't know if the site was ever coming back up. Anyhow, no SEMA news yet. I hear from some that its a good thing because if they made any deals they would need time to get things in order before releasing it. Makes sense to me anyways. Im in to buy more at .006

Posted by Braindamaged on :

I bought some more at .0065 yesterday. Right now I am sitting with just a little over 350,000 shares. I will be putting these aside for some time as that uses up my spare money on this one.

Good luck with buying some more at .006 Benjiman

Posted by Benjiman on :

Well I got my .006 buy which puts me at 110,000 shares averaged at .0072

Sadly enough it keeps teetering between .0055 and .006

We need some good news.

Wow, .005 .........

This is just getting uglier every single day that goes by, very sad.

They put out decent PR's but it's not helping at all.

I have to think the company is just dumping as many shares as possible into the float. Pretty amazing to read Ihub about a month ago and then now.

People that were strong longs have become more negative than the bashers. And the bashers are all gone....

I've seen this happen so so many times; GZFX, CSHD, SLJB, the list goes on and on and we can now officially add FCCN to the hall of fame of Pink Sheet POS!

Good luck if you are still in this play.

There comes a point when you have to take your losses and try to find another winner somewhere. I think people are abandoning ship here and looking for better plays.

Posted by Braindamaged on :

I will have to remain as a mid term or long on this one. I invested what I could afford to loose and will put my shares to bed until it comes back around. I believe that it is shorter term than everyone is thinking at this point. Good luck to everyone involved

Posted by Braindamaged on :

Guess the site has been down for a couple of days. Am I the only one left in this stock. On the bright side the charts show the minor walk down for a couple of days. They also show support at .006 with buying pressure. Hopefully this will be a platform to see some upward direction.

Hello lo lo lo lo anyone else around

Yeah it seemed the site had some technical difficulties. I had to resort to reading the trash talk on iHub but there was nothing useful there.

Still waiting on a PR. I looked at the PR's for last month and they didn't have a period this long without one the whole month. I think we are back to wait mode for a while honestly. I would like to think the news coming out in the next few weeks would help but it didn't last time.

Good to see that you are still around Benjiman. I am just lurking in the background for a bit with my shares in my pocket. I made out on a run with NTCI two days ago. That gave me some more cash for FCCN shares at .005. Because of this I am going to ride my shares and will not be tempted to sell.

Good luck to you and every one involved. Right now I am at 450,000 shares that the MM's can't play with for some time.

Very fluffy, but they need to do something here.

The 'Good news' is that there has been NO dilution here by the company - that makes this a buy at this level imo.

Posted by Benjiman on :

I agree sir Smelly. Their last 2 PRs have been fluffy but atleast they have been positive and since there hasn't been any dilution I still think they are heading the right way. I would rather they give us PR's with out names of interested companies rather than they name a bunch of people interested and come up with nothing. Respectable IMO.

Why no mention on their Quarterly report?

November 15, 2007 - 9:02 AM EST

Franchise Capital Corporation Announces Successful Exhibit at SEMA Show and Reports Strong Interest in Dr. Gas Products From Automotive Supply Distributors
Company Also Files Quarterly Report for Period Ended September 30, 2007

Posted by Benjiman on :

My theory is they let the fluffy PR out to throw us a bone because they will be late on the QR's

Posted by 10of13 on :

Benjamin...
the bolded print in my post was what came across my news feed...and it says it is filed...but they don't mention it in the fluff-n-stuff?

I haven't checked pink sheets to see if there was indeed a filing...
edit...just checked

http://pinksheets.com/edgar/GetFilingHtml?FilingID=5544447

Posted by Benjiman on :

True, but they are always late with their PR's. That's the only reason I suspect them not releasing it today.

Posted by 10of13 on :

Well...looking at their filing...they did some diluting ...hard to tell if they will do more...but I wonder if people are selling because they think there will be more...??

There goes the neighboorhood.

.004

.0037 x .0049

Posted by Uncle Smelly on :

I don't know here now, .004, This thing could collapse to the .000s pretty quickly. I'm holding off on buying.

Man do I feel bad for people who bought over .025, they aren't going to see that for a long time if ever.

I think people who bought in the .01 - .015 range may have half a chance to walk away from this break even if they put through the Dr. Gas Def.

If that Dr. Gas deal falls that will be the end of this stock forever.

I came in at .025 originally. I averaged down to .011 then to .072 but now it cost to much for me to double up so I am stuck with .072

From this filing in Sept to Nov 8th they have diluted the stock with over 750 million shares. I will not buy as I am def afraid with the AS as high as it is. This is the best I could do 10. Hope it helps!

Sheesh, where down to .004 and theres pressure on the Ask. This is where I have to think about selling to mitigate loss and buy it back when I think it bottoms out.

Posted by Uncle Smelly on :

I would say .0001 soon, and then Aero will go bankrupt. I think the Dr. Gas thing is BS, they just wrote up an LOI to stave off some selling after the 8K. Hunsaker should not be running this company, he's a terrible CEO in my opinion.

Posted by Braindamaged on :

Rough day today. I don't see this going up in price anytime soon. If we do rebound from these prices a bit I may consider selling and then getting back in at these lower prices. I do have a good number of shares and have lost a good chunk of cash so far.

Hey Moneyx3! Thank ya Kind sir!

For the record...I'm not in... [Wink]

I was hopin' that maybe some that were in would:

~look at the shares that FCCN has diluted [Mad]
~look at the current PPS [Mad]

~see the possiblity that FCCN could very well throw a few more shares into the market

~Be open to the possibly that all this volume is the company selling/diluting...every day. [Eek!]

I have learned...Sometimes it is better to cut your losses and move on...or you can hold and HOPE...(which I have done plenty of times and kicked my butt 99% of the time)
I'd only be holding right now if I had totally "free shares"
But then again...miracles do happen...and maybe it will...GLTA! [Smile]
