MURRIETA, CA, Oct 19, 2007 (MARKET WIRE via COMTEX) -- Franchise Capital Corporation (PINKSHEETS: FCCN) today announced that the company expects to file t he Current Report on Form 8-K that includes details of its acquisition of Aero Exhaust, Inc., a world leader in performance exhaust airflow technology and NASCAR Performance Partner, before the end of business today.
Bryan Hunsaker, chief executive officer of Franchise Capital and Aero Exhaust, commented, "We apologize for the protracted delay in filing the Form 8-K. We have received assurances that the necessary information will be included in the document and all the appropriate reviews will have been completed, so the Form 8-K can be filed by 5:30 Eastern time today.
"We are anxious to file the Form 8-K, so we can move forward with the business of Aero and articulate its strategy as a public company. There is a great deal to discuss regarding the current operations of the company and its future expectations. It is in the best interests of Aero and our shareholders that we have the Form 8-K filed as soon as possible, so we can be g in these discussions.
"Again, we regret the delay and look forward to the Form 8-K filing later today," he added.
The definitive agreement regarding the acquisition of Aero Exhaust by Franchise Capital was executed in January 2007, and at that time, Franchise Capital announced that it expected to exchange up to 95% of its total issued and outstanding capital stock in exchange for all of Aero Exhaust's issued and outstanding shares. Franchise Capital provided approximately $1.9 million in financing in the form of a commercial loan to Aero as part of the transaction. The value of the loan and any accrued interest were converted into Aero Exhaust common stock as part of the share exchange, which increased the percentage of the public company's issued and outstanding common stock retained by Franchise Capital shareholders. The final number of shares exchanged, including the additional percentage retained by Franchise Capital shareho l ders, will be included in the 8-K filing.
The 8-K will also include the audited financials of Aero Exhaust and additional detailed information on the company.

No doubt Lock. The one thing about it I read was apperently people are looking at the numbers for months and are trying to compare them against yearly numbers.
I for one will stick with them because I have this far.
On a personal note I don't think I have ever heard anything positive about Ihub postings. They seem negative about everything. The sad thing is when that dude posted that old info last time we ate it and I really hope the same thing don't happen because of alot of propaganda over there.
We have a whole weekend for everyone to take their time and look this over so everyone have a good weekend and lets make some money Monday.

I have a user name on IHUB. I posted how the PR on the 8K intra day was a ploy to move PPS up one last time because the 8K is gonna SUCK. Then I got 50 hate mails saying how FOS I am.
I have been dancing around those people now , I told you so's. Even though I have (had) 300.00 in this. Ofcourse I wouldn't have if they did not send the emails to me.
I put in a limit for Mon. They for months flaunted this thing and 'fell in love'.
Just think of those people who put THOUSANDS of dollars in this ?
Can you fathom the sick feeling of losing most of that?
I struggle to pay the mortgage sometimes.

Damn that 8k is the worst thing I've read. Thank God I only have 25,000 free shares left. Finally, we can put this play to rest. Good luck to all who are in this.

I assume that 60 percent of the shares are restricted right now, considering shareholders hold the other 36 something percent?
Liabilities are up there a bit. Share count is up there, but not totally alarming, however the potential flood that could happen is. I hope the game plan builds from here, because this company needs a good kick in the ass.
I think there are too many in at this level to just let it go. May just hang around levels. If it tanks, then the company will forever be in the cellar, and this will become another forget about it scam.

From other boards it seems the bashers have taken a breather and people with some knowledge of reading financils have emerged.
This is not the lottery pick everyone was hoping for but should hold it's own.
As TruthLiesWithin pointed out their are a lot of heavy holders involved who probably couldn't dump their shares.
Most of the debt was turned into shares of fccn. Would you accept shares of a company you didn't expect to prosper. Next week will be kind of unsettling at first but hopefully cooler heads will prevail. jmo

Our system posted a BUY CONFIRMED today. The previous SELL recommendation was issued on 09.26.2007 (23) days ago, when the stock price was 0.0325. Since then FCCN has fallen -43.08% .
BUY-IF is confirmed by a white candlestick which has an open equal to the previous close but closing higher. The buying price is the previous close ( 0.0140 ) according to the Rules of Confirmation.
The recent bullish formation leading to the BUY-IF signal is confirmed today. The market is ready for a new bullish move. Though the market opened lower today, the day’s activity created a white candlestick that closed above the previous close. This is a valid confirmation criterion.
We hope that you acted quickly and already bought this stock . Your important benchmark was the previous close. You were supposed to watch the session carefully, feel its bullish tendency despite the lower opening, and go long after making sure that the prices stay over the previous close.
If you bought, continue to hold this stock until the confirmation of the next SELL-IF signal. You are on safe grounds as long as the future prices continue to trade above the benchmark price. What to do if you did not buy? Maybe, you did not have time to follow the session or you simply delegated the delicate job of confirmation to us. Well, it is a bit late, but not too late. You may still find suitable prices for buying in the following sessions.
The market is currently cold for short-sellers. Avoid any short sales and cover the short positions immediately if there are any.

Candlestick Analysis Today’s Candlestick Patterns: Long White Candlestick
Today a Long White Candlestick was formed. This shows that the prices advanced significantly from open to close during the day under strong buying pressure. For more about this candlestick click here.
