The 8K... ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On January 12, 2007, Franchise Capital Corporation (the Company) executed a definitive agreement with TTR HP, Inc. d.b.a. Aero Exhaust, Inc. (Aero) which calls for a share exchange of common stock between the Company and Aero. Under the terms of the definitive agreement, the Company can exchange up to 95% of its total capital stock for up to 100% of the total capital stock of Aero. The specific share amounts will be determined at closing, which is anticipated to take place once the Company is current with its financial statement filings and Aero has completed an audit of its historical financial statements, presently anticipated for the second quarter of 2007.
In conjunction with executing the definitive agreement, the Company agreed to a revolving commercial loan to Aero in the amount of $1,500,000, of which $850,000 was drawn down on January 12, 2007. The loan bears interest at the prime rate and is due and payable in 18 months. Notwithstanding the payment terms, the loan and any accrued interest are convertible into Aero common stock at the time the share exchange closes.

Who says they really NEED it? Sometimes companies will take on debt for expansion so they don't drain their cash resources. To put a sticker on every car, sponsor another as primary, sponsor a race, up distribution, etc. - that will take some cash flow...JMHO
Not to mention maybe the interest paid is intended as a gain for FCCN...AERO has additional funds, FCCN makes money in the form of interest, everyone wins...

What really raises eyebrows is that they took on a 1.5 million dollar loan because they don't want to drain their cash resources. What does that tell you about their current value?

...Of course they don't have to give you audited financials on AERO until June 30th.
Have a nice wait. I predict a sell off tommorrow on the uncertainty and questions surrounding the 'loan'. Unless a PR comes out explaining those issues.

That was just my opinion...they obviously have a good product, and a good market for it. It simply tells me that they wanted (or needed) more cash flow to make bigger things happen. Do you not borrow when you want a bigger house? Even if I had the cash, I would still get the loan simply for the write off and to have my cash available - that was my point...
Since you edited ( ) - what it tells me is that they don't have a lot of liquid assets. They probably have everything tied up in the form of real estate and/or manufacturing equipment. The potential revenues are as real as before though...

That's right 10of13. There are certain people who should stay in this stock and certain people who shouldn't. -The people who should stay: Free riders. The people who bought at 3 cents and were smart enough to sell half their position at 6 cents during the massive speculation are in a good position to profit off this a few months from now. -The people who shouldn't stay: The ones who bought recently. I'm predicting 2-3 cents for PPS by closing tomarrow. If someone has a lot of their money tied into this stock, they should head for the hills tomarrow at 9:30 EST sharp.

Wow, there are a couple of pretty bad apples in this thread. I can understand why some folks would be disappointed in todays filing but is it necessary to point out to everyone that they should sell as a result?

Wow I_ub have real idiots. A public shell, by definition, means no assets, no liabilities, nothing - thus a "shell". 850K is an asset. Where did FCCN get 850K, and where do they intend on getting the rest of the 1.5M from??

Well you have to diversify, you can't put everything into the pinks. I own SOFO, FL, GE, a few others that are pretty consistent and produce dividends.
But those will never make you a million, or even 100K. The Pinks and the OTCBB is where most people that can't throw 50k into a $5 stock go to try and hit a big one. CSHD from .04 to $4 was a big one. SLJB from .002 to .18 was a big one.

folks, when your up 500%+ on a stock and don't cash out at least 50% of your position (minimum 25% of your position) then you can you really blame yourself, C'MON 500%+....and no profits to show !
