UNCSMEL-If it is not worth anything then you see it going under, but it is in no way going under. If their Earns improve and the Conversion is over you'll see it going up again as there will be a point the sellers are out and the Earns will make the news and it shall be looked at for what it iss worth on paper.

At present someone has done an analysis and found it only to be selling under it's future Earns potential.Once that is confirmed again and the CD period is through then it should go up.

Any news that is of a posittive Earns nature withput CD's to worry bout should easily take this up.

It will be flat for sometime probably and then take off unless there is news first. The longer it stays in this range the higer it shall go when it does go according to Technicals.MACD hs bottomed and that is a positive if you re going long term.It might go anytime now ,but that has happend in the past.

I am still young and I have time for 5-10X on my $$.Maybe you do not.

Will be interesting to hear what they have to say. There may even be news before then ,who knows.

One thing is for sure the small cap and penny issues are looking really undervalued and that might start to change soon.
This might just pop on it's own.

=========================
From IHUB

First post on this board, but I've been watching this to see if I should get into it when I sell some other company.

The biggest negative I see is those convertible debentures. Someone asked about the 10Q. Here is what I think is significant:

"On March 1, 2005, DDSI and CGM Sub acquired substantially all of the assets of CGM, for (i) $1,500,000 in cash and (ii) a 2.86% promissory note (the "Note") in the principal amount of $3,500,000, subject to adjustment (the "Acquisition"). The assets of CGM were acquired pursuant to an Asset Purchase Agreement among DDSI, CGM Sub and CGM dated as of February 25, 2005.

The principal amount of the Note is subject to adjustment based upon the average of (i) the gross revenues of CGM Sub for the fiscal year ending December 31, 2007 and (ii) an independent valuation of CGM Sub based upon the consolidated audited financial statements of the Company and CGM Sub for the fiscal years ending December 31, 2006 and 2007. In addition, the Company has granted CGM a secondary security interest in substantially all of its assets and intellectual property.

In connection with the Acquisition, the Company entered into a letter agreement with certain of its investors (the "Investors") which extended the maturity date of debt instruments issued on November 30, 2004 until March 1, 2008, and amended the conversion price of the debt that is held by the Investors to the lower of (i) $0.0005 or (ii) 60% of the average of the three lowest intraday trading prices for the Company's common stock during the 20 trading days before, but not including, the conversion date. In addition, the exercise price of the warrants held by the Investors was amended to $.001 per share."

In a listing of debts the 10Q also indicatd that there was over $$2mil due within a year and over $1.5mil due in a timeframe greater than one year.

The HIGHEST conversion price is .0005. That equates to 4+ bil shares AT THE HIGHEST PRICE.

With the recent low of .0001 the share convert rate becomes .00006 (yes, 4 zeroes). That equates to 33+ billion.

Those figures are based only on what is due within a year as of March 31, 06. Just how many debentures have already been converted? How many more to go? The debenture conversions need to be stopped somehow like they did at BKMP. Otherwise they are killers. If that can happen, this stock has some potential I think. I'd really like to feel comfortable getting into it because I think it has some unique products.

If BKMP was in so bad of shape due to CD Dilutions like DDSI then why has it ran recently.

I'll look at the news, but it is an example of how things can turn quickly.

BKMP moved on Sprint News which is what this co. needs to do .They need IMO to announce deals that they may create that will show they will not have any problem sustaining revs.

They have shown repeat improvements in Revs over previous qtrs. ,but it lacks in creating excitment to own the issue with CD Dilution getting out of hand.

ABEX,
This may be the answer you are looking for. BKMP - "NO more conversions of the debenture to common stock for the next 18 months"

Blackout Media Corp. Clarifies Convertible Debenture
FRIDAY, MAY 26, 2006 10:30 AM
- Market Wire

TORONTO, May 26, 2006 (MARKET WIRE via COMTEX) -- Blackout Media Corp. (PINKSHEETS: BKMP) is pleased to inform its shareholders that it has worked out an arrangement with the holders of the convertible debenture that there will be NO more conversions of the debenture to common stock for the next 18 months, in addition to the moratorium on the conversion the company at its option can repay the debenture at any time during the next 18 months without any penalties or bonuses of common stock and the final terms of the negotiation was the debenture can be converted, at the option of the debenture holders, into a long-term loan to the company payable in five years with a 10% interest rate on the loan.

"We are very pleased that we could work out these very favorable terms on the convertible debenture and that this stops the dilution of the common stock. Now we can focus on the business and building shareholder value for the long term," stated Sandy Winick, President of Blackout. "We are optimistic that we will be able during the next 18 months to either retire the debenture or have the holders convert the debenture into a long-term loan," he added.

Well I know people that have talked to the CEO\Mr.Shupin and of what I understand he is well aware of concerns.

I can't believe I could be stupid enough to get this deep into this co. without a firm understanding of the CD affair.I was looking at the products and hopeing the CD's were done with.

They could turn this around, but iit will take the effort of the co. to get contract news and stop the shoort selling and CD concerns.

Just for laughs, can anyone at all give me a good reason to get into this stock? It has been going to move for months now.
They did reach record revenues. Yes, a whopping 870k for a 3 month period. Take out salaries, building & equipment leases, taxes, etc. etc. and what is left? Possibly 10K to split between how many billion shares?
Please give me reliable reasons to get into this one. For me and any others who might possibly be considering it. I ask because I have done enough dd on it to know that I should run, far and fast from this. Give me a reason not to.

Instead, Perhaps you can tell us why we should bother to respond.

If you've done enough DD on DDSI to know that you should run then I suggest you go with your gut and run in the other direction.

If you're here to make fun of, laugh at or ridicule then I suggest you check out RB. It's filled with all sorts of folks like yourself who enjoy what you do.

Well,

Amswap, you want our help to convince you to invest......

We want your help to convince us not to.

You tell me, what is it that you think is so bad about this company - and, mind you, you are comparing it to other micro penny stocks (most of which have no reporting numbers, can't get on the OTCBB, and change their name/ticker symbol more often than a baby changes a diaper).

I'm all ears.

A lot of you guys have been pumping this one
for months with nothing but bad PR.
I don't consider .0001 to .0002 a double bagger
when you're going to give that extra point to
the MM just to get out.
Not trying to be rude.
I know some of you guys are very seasoned and
expereinced traders in here and I respect that.
However, I'm not, I'm sitting on 2 mil. shares,
and wondering if this is a dead horse.

It's a dead horse IMHO if you are trying to roll your dice and get out tomorrow.

But, if you are interested in buying into a company that appears to be in an extremely good position with lots of long term potential, and very good quarterly earnings - and presumably about to turn profitable, then you have found a stock that may be a very good play for you.

Look on their web site for all the info the put out. Also, if you want to ask any questions during the q&a session on the 11th, then submit them here. I will make sure they get added to the list for the CEO and CFO.

I am in it still, nut very wary as to where this toxic financing is going to take this.If the Dilution continues It is a calamity for the pps and the co. will be forced to do something.

It is up to DDDSI and CGM's President to make the arrrangements to hault this CD COnversion till they get the pps leveled up.It's in both's best interest and ours.If they do that and things develop to bring in the big people with news and contracts then this will be a great play long term.If not we all are going to lose whattever we have put into it IMO asa they cannot sustain anymore dilution ,PERiOD at this time tiill they get it working upward.

Great prdts. soes not always deliver ggreat financial results. If they can show there is a major buying source then this will rocket.

The Gov't and some big Cos. might be buying stuff, but we will not know till next month.

The new EVI BAGS will not come to the bottomline till the qtr. after this.

They need the buying power to exceed 200Mil.Shrs. a day soon and attract interest.Paid Promiotionals worked bad.

They need the buying power to exceed 200Mil.Shrs. a day soon and attract interest.Paid Promiotionals worked bad. They were done to offset the onslaught of the CD Conversions and it worked to no ones advantage, but the Perks are still there and I will freak if they give themselves any more pay raises or perks.Even more days of a yr. would make me sick!25 days a yr. plus paid Car expenses is to much for me.They should have to think about the $$ being spent also.

Cashflow positive in 2006 was said and time is running out.I am holding more than the ave. days Vol. which is sickening to see. Hope they have a surprise ,a positive one in the works!

Guys:

Here is the latest list of questions for the Q&A next Tuesday. Can anyone please add anything else to the list?

1. What's your position on an R/S?
2. Where do you see the company growing in the next 12-18 months?
3. Do you have any deals/ contracts in the works?
4. Will you be reducing the O/S any time soon?
5. Can we be kept more in the loop with what is going on with the company more frequently via PR's?
6. Any chance you would redo the DDSI web site to look more like CGM?
7. How is turn over in your company?
8. How has the acquisition played out with CGM and did you have any culture conflicts/shocks?
9. How many employees do you have today?
10. Any new deals on the horizon/from the expo?
11. You had a great quarter in Q1. Should we expect another great 10Q for Q2?
12. You had a great 10Q for Q1. Why don't you think the pps moved higher? Was it because of the CD's?
13. Do you think the stock is correctly priced at .0002? Where do you think it should be?
14. If you generate enough revenues, do you plan to retire shares or do a stock buyback to minimize the float? That would certainly bring the value of the shares up and bring attention to the stock?
15. What is the reaction to the new Evidence Tamperproof Bags? Did they win the crowd at the Expo?
16. Can you tell us more about further R&D projects going on?
17. Has there been any interest from the government for products concerning the Tamperproof ID's or any other security products that the co. carries since the Bills Congress has initiated concerning Port & Border Security?
18. What is the approximate number of CD's that are slated to be retired in the coming year? We are all hoping that period is over!
19. Any chance you might initiative a stock buy back program, and, might that help get the stock off the ground?

--------------------
You can't afford to risk, what you can't afford to loose.

Yeah.

Guys, we should begin to strategize about this Q&A session.

I'm going to email Tony today with instructions on how to find our post. I'll also send him a reminder next Tuesday.

Tuesday, at about 11:50 am, I'll start the new post with the new topic name "DDSI executives provide short Q&A"

My first post will be a welcome letter to Tony and Mike. I'll then submit another post with the list of questions....

I'm hoping they take about 30 minutes to type answers to everything. Also, I hope everyone here will be very polite and submit a welcome post to say hello and to thank them for their time.

Thoughts on this strategy?

Me too. My only fear is that all stocks locks it.

If that happens, I'll ask them to email me some answers to the questions and I'll post them here.

But, either way, I think it will be really nice for all of us to actually connect with the CEO and CFO and get some questions answered.

I really hope they provide some personal insights too - so we can get a feeling for them personally.
