I am down BIG on this - I have no choice but to ride it out...I just hope that if I have to go into the share conversion stage that APO shares will NOT be restricted.
Are they gonna PR the details?
Dang - I knew I should of bought more PAIM instead.

JUPITER Global Holdings, Corp. Comments on the Merger Agreement With APO Health, Inc. via COMTEX
April 27, 2006
LAS VEGAS, NV, Apr 27, 2006 (MARKET WIRE via COMTEX News Network) --
JUPITER Global Holdings, Corp. ("JUPITER") (OTC: JPHC) today provides its shareholders with comments on the merger agreement entered into with APO Health, Inc. ("APO"), which was fully disclosed in a Current Report filed by APO Health, Inc. Tuesday, April 25, 2006, with the U.S. Securities and Exchange Commission. Management of the Company feels that the negotiated price of $0.005/common share the shareholders will receive in the common stock exchange with APO is a substantial improvement in shareholder value.
Ray Hawkins, CEO of JUPITER, said: "Our shareholders are going to be part of a brand new exciting company. This upcoming merger with APO provides both companies with a lot of opportunity moving forward. We are pleased we were able to negotiate a value of $0.005 per common share that we felt was a great benefit to our shareholders."
Ray Hawkins, CEO of JUPITER, in closing commented: "JUPITER acquired Macro Communications, Inc. ("Macro") last year with the belief that, over the long term with Macro as the foundation, we could build a large operation that could grow rapidly and hopefully over time deliver sales and earnings results to provide the shareholders with steady increases in value. Acquiring Macro and completing its audit was the first step. The merger with APO Health, Inc. is a key next step that we believe will lead to enabling the growth that we envisioned. We look forward to the closing of the previously announced merger transaction and are very excited about the future."

Honestly, to me it sounds like he's confirming ROI's take that the share price of .005 is the part that is set, not Chad's interpretation that the 1/4 share of APO is set.
Sounds like very good news to me. You guys seem to disagree, what am I missing?

That's just BS. An easy way to get people to sell everything. If they were going to do a RS they would not have had to increase the A/S to 125B. I cold a RS if they were going to run out of shares that could be issued bit that was already handled. I still believe there is a chance for an exemption to be filed for the APOA shares. They have a couple of valid circumstances that would allow for it. IMHO, the only way they could identify the shares at this point in time is restricted because no exemption has been filed. The way it was worded in the PR and 8K hinted at this. This all could just be wishful thinking but then again all the talk of RS and being screwed is specualtion also.
Anyway GLTA Wally

Forgive the question if it sounds stupid. I am a relative newbie.
My understanding of todays realease is that the shares will be common stock not restricted and we will get .005 (for each share of JPHC), worth of APOA. Then can hold or sell that. Isn't that a good thing for us. I bought in at .0011 right before the bloodbath and couldn't even look at my ameritrade yesterday. I was thinking of bailing if it got back to .0011 and just take the loss of fees. Now I am thinking to hold and take my shares of APOA. But if I am not reading this properly PLEASE let me know.

All we need now is for APO to put out a PR about how they struck gold in Nevad while drilling for oil with rig#42j, which is powered by a hybrid fuel source devloped in their own laboratories which, if drank cures bird flu, cancer, aids, and drops terrorists dead on contact. THEN we would be in the money.

Or how about they put out a PR saying they bought PAIM?
