I am sitting on 5 million shares of this based on a tip weeks ago...it only hit .0003 once since I bought it and it was for only an hour or so,is this going anywhere at all before a RS?
Damian Guthrie has been involved with as many as three (possibly more) different companys within the last two years. All have "merged" with other companies in a matter of months. None of them ever showed income.
Damian took over as president and ceo of CWFG, has posted PR's about submiting bids for contracts for rebuilding the devestated gulf coast areas.
None of the contracts have been awarded to CWFG as of yet.
CWFG never showed any income or revenue, and never posted any financial statements in the time that Guthrie was President.
The company offered a forward split when the PPS was around 0.0005. Guthrie stated that this forward split was "for the investors" in appreciation of their support.
Commonwealth does/did in fact have a small office in St. Petersburg, however when a call was placed to a secretary in the same office building, she noted that CWFG does in fact rent that office space, she has never seen anyone in the office, and as far as she knows, there is a small desk and a fax machine in the office. The office does not display the CWFG name on the door. No one has ever seen anyone go in or out of the office, and no one has ever met Mr. Guthrie, as far as she knows.
Mr. Guthrie is in the pinksheet shell business. He owns and maintains http://www.pinksheetshells.com. Until recently, he listed the same phone number and email address at the bottom of the mentioned web page as the one published as the contact information of CWFG. Recently, that information has been removed, and has been replaced by a new *yahoo.com address. Guthrie still owns the web site domain, which is public information.
Initially, CWFG announced the addition of Ms. Ryals to the company, and her postion would be President and COO. That PR never mentioned what role Guthrie would maintain, but his current title was CEO, so it was assumed that Guthrie was still the CEO of CWFG.
Note in that same PR Ms. Ryals statement: "I would like to thank the Board of Directors and my predecessor Mr. Guthrie..."
A follow up PR announced a new, wholly owned subsidiary, however wording in the PR lists Ms. Ryals as "President and CEO".
The next PR announced an agreement to a Joint Venture with NW Capital Partners, LLC. In the opening paragraphs, the joint venture is "subject to all applicable laws and the complete execution of definitive contracts". Note that there was no official statement from NW Capital Partners, LLC.
Note the "definitive contracts" wording.
The most recent PR announces the resignation of Damien Guthrie. Notice the incorrect spelling of "Damien" throughout the PR. This PR now lists Ms. Ryals in the contact information, along with a new phone number.
The CWFG website has changed, and is now www.cwfgroup.net. On this site, the corporate headquartes has changed from St. Petersburg to Miami. Notice the new address is:
If you do a little digging with this information in mind, you will find a company called Knowledge Protection Company, LLC, with a website at http://www.kprotect.com.
The location of this company and the telephone number is listed as:
In effect, you have a publicly traded pinksheet company formerly run by a guy who sells pinksheet shells, all of a sudden in the same office as an LLC, with the same contact information.

I followed your steps and dug deeper. I found some very interesting background behind new CWFG. Knowledge Protection Corporation (KPC) is U.S. sales/installing representative for Optenet, a Spainish software firm (see link below). Eric Schaer, owner of Falcon Capital LLC (Private Equity Investment firm), runs KPC. He has been in computer training business for more than 20 years and has been looking for an opportunity to go to the stock market lately. However, he had trouble with authority to run a public traded company due to a labor lawsuit, then he recruited Ms. Ryals to buyout CWFG from Damian (I should say operate CWFG for Damian...they must have an undertable deal). I believe Mr. Schaer will use CWFG shell to reverse merge with KPC. Since Damian has nothing in asset or contracts, Schaer didn't waste too much money on it (I believe it is less than $1M).
But why Ms. Kristin Mary Ryals? Who is she? She is a a seasoned professional and resident of Florida according to a PR. Actually she is a real estate agent living in Miami. She is an attractive female (single?) and very smart capable individual. I believe she will be much better than Astrom and Damian.
Now let's go back to the stock. IMO, this stock could run up as high as 500 - 2000% depending on how much asset KPC has. The real challenge is that we don't know the true share structure such as O/S and A/S. I hope someone can contact Ms. Ryals and post info here. If you know PRRM, you know what I mean.
November 9, 2005 Commonwealth goes after disaster cleanups Commonwealth American Financial Group Inc. is forming an emergency services division.
The new division will engage in the negotiations of prearranged emergency service contracts with municipal, city and state governments. The contracts will include prepaid fees, which the company says will expedite disaster cleanups.
St. Petersburg-based Commonwealth (PINK SHEETS: CWFG) is also considering additional opportunities either by acquisition or mergers to increase its existing operations such as acquiring a general contracting firm with approved contracts already in place.
"We believe, per the increased yearly damage due to hurricanes and other natural disasters in the communities served by the company that this is a natural fit for the company's operations and will generate another stream of revenue," said Kristen Mary Ryals, president and chief operating officer, in a release.
Commonwealth's mission is to invest in land development projects either as developer, joint venture partner or lender.

Hmmmm. Wonder if we are going to get any news about contracts that were forthcoming with Guthrie. Thank God he is gone. I feel so much better about this stock now.

It's simple. To free up some cash to trade in something that's not in the dumper and has some potential for growth. This stock is virtually impossible to sell at 0.0002, and has done nothing since the FS despite the PRs and all the talk about contracts and value. I've just about had it with this company, and if it means taking a loss at 1 to move on, well that's just the way it is. Way too many shares and no money coming in means this is going to stay a dog for a long time. All this just IMHO. I'll probably try to stay in long enough to recoup to break even, but have no hopes beyond that.

I must say I sold about half my position today, I've got a real bad feeling a r/s is coming real soon, the past couple prs are nice but they are market "gut-checkers", meaning that if the pps doesn't move mgmnt knows that something needs to be done, still holding some for a miracle though

A lot of volume still happening for a stock that isn't lifting above the floor... I'm really concerned we're still seeing dillution and not just panic sells. People who were panicking should've finished selling last week. Anybody got a line on this?
If CWFG was a shell and this other company bought CWFG so they could get listed, what are the odds that the PPS will improve when the new company merges into CWFG -- and what are the odds that this will only cause more panic and/or the new company will start another round of dillution? Is anyone still actually hoping that we'll see contract news?
I've almost averaged down to 3 on this one, but CWFG has stopped making much sense to me. Good news -- anyone?

most of the time mm HDSN is the diluter for most companies on the pinksheets-he had been on the bid of .0001 with 3 other mm's the last few trading days-jmo-dilution is over, just people sold flat yesterday to move on to something else-jmo-G/L
