NEWS: Triangle Multi-Media Limited, Inc. President announces acquisition of new company
Palm Springs, CA, Nov 20, 2001 (M2 PRESSWIRE via COMTEX) -- Triangle Multi-Media Limited, Inc. (OTC - QBID) President, Frank Olsen, today announced the acquisition of a company called Liquidation by Satellite, or LBS. LBS is a liquidation company specializing in large inventories of television equipment, heavy machinery, electric equipment, education materials and other products primarily related to the airline industry. LBS began in 1991 and has continued to do business up to this date. LBS`s main source of merchandise is the Boeing Company. LBS has purchased and resold millions of dollars of merchandise over the past 10 years and, with the help of Triangle Mutli-Media Limited over the past 24 months, LBS has helped to open up the California market. With the current downsizing of airlines, there are numerous inventories for sale. There are also numerous customers. LBS has a specialized list of customers developed over the last 10 years that have other uses for airline equipment and this customer list continues to grow. LBS owns Rolling stock and leases warehouses in several areas.
When the original founders of LBS sold their interest in 1994, they remained active in consulting and sales. During the year 2001 Triangle Multi-Media has been involved in sales, advertising and marketing for LBS, generating substantial income for QBID. Due to the health concerns of the remaining principals of LBS, they offered, as of the first of the year, to sell LBS to Triangle in exchange for stock.
Olsen stated, "We are happy to announce that as of today Triangle Multi-Media will be taking over the LBS operation. PALM SPRINGS, Calif., Sep 14, 1999 (ENTERTAINMENT WIRE) -- Triangle Broadcasting Company (OTCBB:GAAY) announced today that it is increasing its share offer to Triangle MultiMedia Limited (OTCBB:QBID) for the purposes of facilitating a Business Combination.
Management has requested that Triangle MultiMedia Limited "sticker" their current proxy to include the increased offer. Previously, management had offered a 1 share for 1 share exchange. The new offer is three and three-quarter shares of GAAY for each share of QBID. The offer is made to the QBID shareholders based upon the following items: (1) Net Asset Value of each company. (2) Number of shares outstanding in each company. (3) Management of each company. (4) Share Price and Market Capitalization of each company.
Shareholders of QBID will be asked first to consider the new offer in their current proxy. If the offer is not accepted by QBID shareholders each company will continue as an individual entity. If the offer is accepted then it will need to be ratified by GAAY shareholders in a proxy within the next 30 days following the end of the QBID proxy period. If GAAY shareholders do not ratify the combination ratio then each company will go on as individual entities. If GAAY shareholders do ratify the combination ratio then the companies will be combined into a new entity also called Triangle MultiMedia Limited on a ratio of three and three-quarter GAAY shares to one QBID share.
Due to a potential conflict of interest with GAAY shareholders neither management nor Frank Olsen will vote any of their GAAY shares. The decision to combine or not combine on the proposed ratios is solely in the hands of the public shareholders of GAAY at that point. Prior to the GAAY proxy, if it is needed, independent appraisals of QBID's assets and liabilities will be available for review by GAAY shareholders in the offices of Triangle MultiMedia Limited.
Triangle MultiMedia is in the process of beginning its audit so that it may become a reporting company. If these audits are available to management on a completed or nearly completed basis they too will be made available to the shareholders of Triangle Broadcasting Company. Additionally a business plan for Triangle MultiMedia will be available to GAAY shareholders for review if complete at the time of proxy.

This will provide much revenue, it will also give them a foothold in that market for future development. I would not be surprised to find out that Firestone Communications is also behind them. A future NTI purchase could give them an independent feed into a market that they want.

I completely disagree pennies. Doing a good thing is great and all, but Q would not be involved if they weren't planning on taking over. Also, this line in the PR indicates they will purchase all of NTI.:

No I agree with everyone that this is good. We are looking to buy them out, but this IMO is for free maybe to sweeten up the deal in Q's favor. Either way it is great news.
