BTW, the A/S info on Pinksheets does not include preferred shares so if they update it to 5 Billion, do not assume the preferred shares have gone away.

increase from 1.8B to 2.3B o/s.....increase of 500M shares...

increase in float from 500M to 690M....increase of 190M.

I was estimating WDCO and VFIN sold between 300 - 600 million shares from sept thru mid nov. so the 2.3 B makes sense(500 million). I think JT lowballed the float. Probably closer to 1 billion, IMO. These numbers do not come directly from the transfer agent and JT did not give up the authorized, that came from Pinksheets after they were pointed to the WY filings.

Now if outstanding, float and number of shareholders increases as the stock goes down they need to answer why they aggressively tried to give the impression they were not diluting the stock. Clearly, they did just that. The talk of retirement and even future buybacks makes this all the more unacceptable.

I would hope investors, especially those who have direct access to JT and BH, would make the effort to demand they answer for their actions. Its easy to brush off one or two investors, but a chorus gets harder to ignore.

i would like to believe that insiders were not selling ...or at least explain the reason why they did...

just makes it more difficult when the company has been silent.

Excellent forensic stockology, stock. CSI: Stockhunter.

What chain of reasoning leads you to conclude that JT lowballed the float so much? Sounds like the wdco/wfin shares you estimate track very nicely with the increase.

Wouldn't take exception if you're saying that based on PLNI's shall we say weak attachment to investor relations... but I'm curious if you have something else in mind as well.

For starters with a stock we can buy or sell or hold. Having lost more than 50% of my initial investment here, I'm greedy enough to hope I can make at least some of this back so will hold for a bit.

Stock makes a good point about investors demanding an explanation, but I don't know if Turek & co. actually respond to outside stimuli. I can't tell if it's arrogance or stupidity. I really meant it when I said five or six weeks ago that it was inconceivable that PLNI wouldn't quickly, officially confirm the promold and semco acquisitions after repeatedly announcing the closing dates for weeks, because otherwise it would damage the pps. But the dates passed, nothing official was stated, and here we are struggling to stay above .006!

I am terrible at predictions, but tomorrow could be interesting unless PLNI puts out a pre-market PR 1. explaining all of this 2. With positive news. In a normal world confirmation of dilution would hurt the pps absent countervailing info. I was about to write "Turek has to know this" but I'm no longer sure what he must know, and if he does know, whether he cares. I don't say that out of (too much) malice, just based on the track record.

Never watched CSI, but if it involves solving riddles then I'd probably enjoy it. At least on TV uncovering the truth doesn't cost me money like here.

As to the float, if WDCO/VFIN sold 500 million for the company then both the O/S and float should increase by the same amount. The float only went up by 190 million. If the float were accurate then there would be 310M newly issued shares unaccounted for. I'm sure WDCO/VFIN sold more than 190M and had estimated 300-600 million. The low end of my estimate was based on the possibility of duped trades. My gut feel is that duped trades don't account for as much volume as they used to during my MM days, so 500M sounds right.

I've had many conversations regarding this company over the past couple months that have helped shape my opinions. My suspicion regarding the float is based on first on logic, but also my opinion shaped by these conversations.

Success, I do not believe company insiders sold shares. I've felt all along that the shares were sold to finance their needs. This is not a total sham company by any means. That's what makes this so difficult to sift through. I think the insiders want to hold stock and expect its value to grow. The problem is that when we buy shares that the company sells our stock goes down, plus we get diluted. When they acquire shares, they can protect their position.

The a/s went up by 2 billion as the o/s went up by 500 million. One way they could have done this without hurting their position is by issuing 70% (1.4 billion shares) to themselves leaving 600 million to finance their operations. Their position stays the same and they finance the company on our backs. Not saying this is exactly what happened, but its one way they could do it while still showing they believe in their company.

I suspect even the insiders agreed to have their position diluted, but for the advantage of getting ProMold and Semco. IMO, we will find that the Sem's will hold a stake in this company through some sort of convertible securities - warrants, options, preferred stock -- that will kick in as the company grows and finish converting the rest of those 5 billion shares. Its hard to believe they'd sell such a promising combo without participating in its synergies.

We are ulitmately responsible for how our investment pans out. The company will not offer explanations unless/until it suits their needs. They may have already sold all the stock they need to and no longer will need to care much about the current pps.

The SEC will not automatically involve themselves in this. While I have discussed this with them I have no idea how much time and effort they will put into a pink. The more investors who file complaints the greater the chance they will investigate. This increases the pressure on the company to become more transparent. They won't want to be on the wrong side of the SEC just as they're putting together their company.

The next step is really up to us. Contact the SEC and let the company know they need to clear the air now or more people will do the same. Do nothing, and nothing will change.

Okay, couldn't turn down this price. I just backed up the truck for another 500000 shares. I feel good about my position now, ahving averaged way down with this buy. my only concern is a RS, but IMHO, we'll see some major announcements before that is up for discussion.

The increase to the o/s could be to pay for that Sarbanes-Oxley crapola. Most companys at this stage would have done a R/S by now so those companys can dilute all over again with no concern for retail shareholders. On that one subject, I will give Turek & company some major brownie-points!

From RB: Seems like today's action was a sell-off on rumour:

i just got off the phone with bill howe. ok her goes...according to bill there has been no increase to the as...sice he has been with the company 9 months...i also asked about the gag order from the sec...there is none...i asked why no pr's in the last week i said you guys bought semco and promold why no pr's about them...he said that the they aren't puttting out pr to support the pps...( not his words)...

he told me they will address the pink sheet data monday...i told him that it would of been nice to at least let it's shares holders that they are still alive...

they are waiting for the audit ..so are we....lol
i hope he's answer rrm e-mail so we can get it in writing

Not to mention the increase to 3 billion plus 100 million preferred in April. Maybe its a matter of translation. He could have said "there hasn't been a single increase in 9 months", which would be true, since there were two. I wonder if the RB poster is the same one who promised a PR explaining the 5 billion share surprise. That never materialized. The RB posters name and history are needed to handicap the credibility of the claim.

I read somewhere where BAC supposedly said the dilution was not for the acquisitions, but for buying equipement. That's what I expected they'd come back with if ever forced to answer. They play games with semantics/legalities and protect themselves with safe harbor forward statements.

If they borrow to buy Semco and sell shares to buy a machine, how is that different from borrowing to buy a machine and selling shares to finance Semco. Its like changing the order of entries in your checkbook. If the final balance is the same, don't try to tell me there's a difference.
