Jen: I never did get a return call from "Roger" at POD Channel after I called him on Wed. I have been checking the Paid programming in my area but no luck during the day or eve. As you maybe aware paid programming can be slated on a large number of channels especially during the off prime time hours.

I plan on checking between 1-5AM tomorrow morning to see if it's being broadcast in my area. The times may vary depending on where you live.

In addition, I plan on calling POD again on Monday to see if I can get a channel lineup.

Milwaukee Cable Might Offer Q Network
Milwaukee - Time-Warner, the city's cable provider, is considering offering the Q Network, according to a report published in the Milwaukee Journal Sentinel. The claim came in an Internet chat transcript between the paper's TV critic Joanne Weintraub and an online participant who identified himself as "Lance Bass," who wondered if the cable provider would be offering the recently-launched gay cable channel LOGO.
"If you're talking about Logo, the MTV gay channel," Weintraub responded, "it actually launches today in New York, L.A. and eight other cities, Milwaukee not included. At the moment, local cable carriers have no plans to pick it up. But another gay-oriented channel, Q, may be available on digital cable later this season. These pick-ups are driven by consumer interest, so by all means write to your cable or satellite provider and say "I want my Logo and/or Q!"
Weintraub also noted that "here!", a third gay cable channel was running the "under the radar."

SEC Orders More Disclosure By Shell Companies
Investor Information
July 6 2005
Shell companies are about to step into the light and only time will tell which of these entities can survive the glare. On June 29, 2005, the SEC adopted a series of rules calculated to assure that investors in shell companies will have access to timely material information. The new rules will require shells to make information publicly available when assets or operations are acquired.

Until now, companies have been able to become public and still avoid detailed disclosure by engaging in reverse-mergers, where a private business takes control of an existing public shell. Reverse-mergers have been appealing because they allow these private companies – which often are tiny and under-capitalized – to enter the public marketplace without the time consuming, exhaustive process imposed by an initial public offering. That is about to change.

When a company becomes public through an initial public offering it is required to file a detailed registration statement with the SEC, providing material information about the company’s financial condition, operations, management and controlling shareholders. This process is designed to protect investors by giving them access to facts which may guide their investment decision.

Reverse-mergers have flown under this regulatory radar. Shell companies often file Forms 8-K disclosing such acquisitions – but little else. While the shell may provide limited financial information for the acquired company, details about management, shareholders, promoters and operations are often scarce. The information may be incomplete, and in some instances misleading or inaccurate, but shares of the former shell have continued to trade without prior review by the SEC.

The lack of disclosure and regulatory input leaves such transactions prone to fraud and abuse. The new rules, which are intended to address those problems, relate to the use of Forms S-8, 8-K, and 20-F by public shell companies.

Form S-8 is a registration statement used by public companies to register shares issued pursuant to employee benefit plans. Shares can be registered for such plans without identifying the individuals who will be receiving stock. And, unlike other registration forms, Form S-8 becomes effective as soon as it is filed, without any SEC review. Form 8-K is used by public companies to report certain significant corporate actions, including acquisitions and mergers. Form 20-F is a multi-function form used by foreign private issuers.

The new rules define a shell company, generally, as an issuer with no or nominal operations and either (i) no or nominal assets; or (ii) assets consisting solely of cash or cash alternatives; or (iii) assets consisting of any amount of cash and cash equivalents and nominal other assets. In other words, companies can not avoid shell status solely by holding cash.

Under the new rules shell companies shall

• be prohibited from using Form S-8;

• be permitted to use Form S-8 (i) once they have become operating entities; and (ii) they have filed with the SEC the same detailed information about the operating company that would be required in a full-blown registration statement; and (iii) 60 days have elapsed since such information was filed.

• File a Form 8-K relating to any acquisition or disposition of assets or change in control within four business days of the transaction, including the same information that they would be required to provide if they were filing a registration statement.

Similar rules will govern foreign private issuer shell companies, which now will be required to disclose material information about newly acquired operating businesses.

The new rules, most of which will go into effect 30 days after they are published in the Federal Register, promise to provide investors with a wealth of information that has not been available previously. Promoters, on the other hand, are likely to start looking for loopholes.

Someone had a great idea of helping Q. Then many others pitched in with their wonderful thoughts. We are investors who want to do our part. All ideas should be explored. Between the various Q boards, a sizeable number of dedicated warriors (Qarriers!) are willing to help. Some have started, on their own, to get the word out. Their actions are commendable. We are the “grass roots” and that is where our strength lies. Another positive for us is our diverse geography. Being scattered would seem, to some, a negative; but I see it as strength.

Like others, I’ve been pondering what we could do by utilizing our assets.
1. We know far more about Q and the gay media industry than most.
2. We are our own support group. We have shown each other that we are capable of working together and sharing to get the job done.
3. We are a very creative group.
4. The straight members are at ease with the gay members and don’t seem to carry that “Homophobia” non-sense with them.
5. We know our fortune is tied with the success of Q.
6. We are willing.

I want to say that I’m very proud to be a member of this board. It is you who make me proud. I wish to make my little contribution to the thought process of how to help Q. This is what I came up with:

How many gay oriented/friendly establishments (clubs, bars, retail, restaurants, etc.) are there in the US? My guess is that it’s in the tens of thousands. That is where I propose to go. If each, on an average, signs up 15 prospective subscribers we could give Frank possibly a million potential new subs.

How do we do it?
We need to work with Frank. Q’s web site has a sign-up page with a drawing for a trip to The Gay Games. We expand on this. If Frank offers a trip for six, we could get a beer company involved (I’ll tell you why 6 later). Q prints an advertising package for these various establishments to promote Q and The Gay Games. Included would be how to get to the Q web site and how to register for the drawing by requesting Q on their local cable carrier. You, me or anyone can request the packets and distribute them to our local gay establishments; from gay bars to gay friendly dry cleaners these packets would advertise Q and the drawing. The straight investors and supporters would have no problem distributing and setting up gay supportive establishments alongside the gay investors.

The web site would have a space to fill in for the establishment who would also win six tickets. The person bringing the packet to the establishment and getting them to display it would win six tickets. Motivation is the name of the game here. People are motivated to canvas their community to place Q’s posters. The establishments are motivated to display and encourage their clientele to request Q service on their cable carrier thru Q’s web site and the clientele are motivated to act and tell their friends. The prize for each tier is large enough that everyone in each tier would be aggressively promoting Q. As people learn about Q and register they are motivated to get packages and distribute them to their frequented establishments. QTN is thus spread far and wide.

We (with Q’s assistance) could approach a beer company to help sponsor the drawing and distribution. Their logo would be on the posters too. We could call this something like “take 3 SIX packs to the Gay Games” in reference to a six-pack of beer. Who ever wins is probably a local customer of the establishment and the packet poster person is a local too! What a party this could make for the winning establishment. Everyone knows everyone. It would be worth a Q On The Move segment to deliver the winning notifications!

Could we get Orbitz, American West, The Hilton Hotel Chicago, a beer company and The Gay Games to help sponsor? (More poster logos.) We need QTN to set it up and WE would do the legwork to bring in every gay establishment in the country. Just think of the name recognition!

“Brought to you by the investors of QTN in conjunction with Orbitz, America West Airlines, Coors (?) Beer, Hilton Hotels (?), The Gay Games 2006 and QTN.”

“We investors in QTN (stock symbol QBID) are investing in the gay community and the ONLY gay television network that the public, and you, can be part of.” This subtly gets those new to Q the concept of investing in their community and QBID.

Q is our community and our community is Q.

Nice to see someone is here that experiences the other way of lfe for personal input.I think if you read back over the last couple of pages, there is a letter that was signed by Frank that explains why we are not with the big carriers as of yet.It does put a lot of questions to rest.I might suggest, although it may be a lot of reading, to start back at the begining of this thread.It will answer a lot of questions.Of those that are not answered feel free to ask.

Hi ya'll. I've been lurkin in the shadows for a while. Just wanted to say I believe in Q and I appreciate all the brains that do [Wink] their DD.
