"...when you buy a stock, it takes three days from the transaction date (T) for the change to be entered into the company's record books. As mentioned, if you are not in the company's record books on the date of record, you won't receive the dividend payment. To ensure that you are in the record books, you need to buy the stock at least three days before the date of record..." http://www.investopedia.com/articles/02/110802.asp

I faxed this about an hour ago to investor relations.
quote:If I buy GXXL today, Wednesday, July 28, will I be too late to receive the 5 for 1 stock dividend of FNRP?
Please reply via email to:

An immediate reply would be most appreciated.
Thank you,
I received this reply:
quote:The record date is July 30th. So you would receive the shares as long as you own the stock before July 30th.
Atul
Looks like there's still time to buy. Investopedia's reasoning was that on the record date, your shares might not appear in their books yet (if you bought too close to the record date). Well, if they wait until 3 days AFTER the record date, they'll see ALL of the owners of the stock as of the record date, right?

Another business contract signed, the consumer product on its way, and talks of dividends and splits. It all sounds good to me!

I was still not convinced, so I emailed him again:
quote:Thanks for your quick reply. But I'm still confused by one thing. I've heard the ex-dividend date is 3 days before the record date, as it takes 3 days for my shares to settle.
Are you saying people who buy GXXL even up until Thursday will receive the 5 for 1 dividend?
I received this reply:
quote:Yes,
Settlement has nothing to do with this.

So go for it, if you want to. I picked up a few earlier @ .008

RESTON, VA--(MARKET WIRE)--Jul 28, 2004 -- Global Explorations Inc. (Other OTC:GXXL.PK - News) hereby increases the special share distribution. Previously it was announced that the company was declaring a 7 for 1 stock dividend, however it has been increased. "For every 5 shares of GXXL, shareholders shall receive 1 share of the Feinstein Report (FNRP)," stated Atul Mehta, PR Manager for Global Explorations Inc.
Global Explorations Inc is quoted on NQB Pink sheets as "GXXL."
Okay, what I am getting out of this is that you will get 1 additional share of gxxl for every 7 shares of gxxl. Plus you will get 1 share of FNRP for every 5 shares of gxxl.
So If you have 100,000 shares of gxxl you will end up with and additional 14,285 shares of gxxl plus 20,000 shares of fnrp. Is that correct?

Now, you will get 1 share of FNRP for every 5 shares of GXXL. So I bought 50k shares today. I will get 10k shares of FNRP, and later, my 50k of GXXL will split and become 500k.

Dividend: Take the number of shares you own in GXXL and divide by 5. That's how many shares of FNRP you get.
10 for 1 Split: Take the number of shares you own in GXXL and multiply by 10, that's how many shares of GXXL you will end up with. Of course, the share price will drop by a factor of 10. The overall value of your shares will remain the same.
1. What is Global and why dont they have a website? I see Millennium SMS and their website.... [Okay I might have already answered my own question, apparently GXXL acquired both Millennium SMS and The Feinstein Report as subsidiaries, but that still doesnt explain why the parent company doesnt have a website]. The one company currently being traded and the other isnt. Isnt that kinda backwards...I mean..the one company you can actually buy right now, unrestricted shares is GXXL, yet they dont have a website..
EDIT: Are they just a couple investors who created a company, went public with it, and now buy up other companies?
ANSWER?: Reading through all their press releases...apparently they used to be an ISP? ...with a website at http://www.bharatisp.com/ ..which no longer works...
2. How long has the M SMS website been out? Why havent they fixed the grammar and spelling errors? That doesnt exactly help investor confidence.
3. "We are currently negotiating with various different groups to acquire an OTCBB shell as this would be the quickest way to become a fully reporting company." What is an OTCBB shell?
4. What the HECK IS THE FEINSTEIN REPORT?
5. How are they getting all their cell phone numbers? As of June 23rd they claimed to have 1 million in their database...are the users of their products basically agreeing to have their numbers used?
EDIT: I hope I'm not pissing off anyone with my questions, but I sure would like some clear answers.

Thanks for emailing him. I didnt like the price after you posted so I held off...and I'd still like the answers to my questions before I consider adding more to it...so if someone could spiff up my questions and send them to the PR guy I'd appreciate it. Done all the DD I feel like doing on this stock today.

Got another question. Do you still have to have the stock at the close of trading on the 30th or just when it opens. Meaning if you sell your shares on the 30th does that mean you lose the dividends or not?

Call your broker. That's the best way to get the answers. Have them email it to you to have a print recort of the answer...then, you can go ahead an take a decision to get more or not for friday's dividend.
The broker is the key to all your question here.

Well according to the rules of the NYSE, if this was a stock traded on that exchange, then yeah, any stock bought today or later wouldnt get the stock dividend. How the OTCBB and pinkies do it, is anyone's guess. Maybe because they altered the dividend amount it reset the date as well? <shrugs>. If I were you Winsumlosesum, I'd keep a copy of that email for a record. Who knows, we might need it (I know, I'm pessimistic).

Well I just called Scottrade. They have no information on the dividend being put out by GXXL.
They said there are 3 dates. Ex-dividend, record date, and pay date.
The guy (Jim)-- he said (this being a different case) that we have to hold the stock til the DIVIDEND PAY DATE, and presumably have to own it before Friday (the ex-dividend date not applying).
So I dunno what to think. I advise you all to call your brokerages and see what they have to say, especially before you sell.

About the OTCBB shell, my guess is before any company is allowed to trade on an exchange they must meet certain reporting and disclosure requirements, so after that they would be issued a "shell" stock symbol, and probably after a certain amount of time has passed the symbol would trade on the exchange.

Here's an article about how a company can go public without the hassle of an IPO. Instead they do a "reverse merger" into an existing "shell". It's way too long to post here, so read it at your leisure. http://tinyurl.com/4gzgq

The record date is the day you must own the stock. I don't think there's any problem selling the day after that. BUT DON'T FORGET... we don't know the record date for the split yet. July 30th is the record date for the dividend only.
DIVIDEND "All shareholders as of record of July 30th..."
SPLIT "The record date will be announced shortly..."

Well, see, that's the strange thing..when I first looked at my Scottrader screen at this stock, I saw "March 12" and an "Undefined" stock exchange listed...cause isnt that what GXXL said...they arent listed on any exchange but GXXL wants to get FNRP on the OTCBB. But today (June 28th that is) I saw them listed as OTCBB with today's date being the last trade...but just checking this now at 2:20 AM, they're back to March 12, Undefined.
I dunno, all. I think I'm just gonna stay away from this stock in the morning, barring hearing anything interesting. If it works out, I'll have some decent gains. If it doesnt...shrugs. Maybe I'll try daytrading it after it plunges down after the split. Gonna call the broker again -- not happy with my answers.
EDIT: Thanks for that link and emailing the guy, Winsum I'm most curious as to what he has to say about the Feinstein report. Heh, I asked my niece about it, (cause she works in this industry field) and she goes..."which one..?"

RESTON, VA, Jul. 29, 2004 (MARKET WIRE via COMTEX) -- Global Explorations Inc. (GXXL) SMS software will be used to power Equity Retirement Savings Distributors.
"This is the 18th company to partner with Global. Equity Retirement Savings will be using our SMS technology to notify their clients of price movements in stocks, volume alerts and IPO opportunities," stated Atul Mehta, PR Manager for Global Explorations Inc.

"With Global's SMS Technology, everyone will be informed at the same time. The company hopes that this will become a standard in the financial community in the near-term future," continued Atul Mehta.

I think I'd be less concerned about the state of things if FNRP was actually a company whose website we could check out, actually was trading on an exchange with some volume currently, and people could actually find out what The Feinstein Report actually is. All we really have is Mr. Atul Mehta's WORD that we're going to receive 1 share of FNRP for every 5 shares of GXXL. Dividends can and do disappear. Simple fact. One example...Schering Plough I believe it was that cancelled or reduced their dividend some time back because they simply couldnt afford it. I'm not trying to be cynical here, but you know the old adage regarding pennies/pinks..100,000 stocks....90,000 are scams, 9000 are worthless, 900 are trying their best, leaving 100 that are worth buying (goes something like that anyway). After getting my nose bloodied this year by pennies, I'm not so keen anymore to step into the stock boxing ring again w/o some research. I just bought Revlon (REV) at $2.20 and SimpleTech, Inc (STEC) at $3.06. Think I may have a better chance with these, seeing as Scottrade wont let me play some of the .0001 stocks like USCI anyway.
Well anyway, not trying to be negative. I bought some GXXL on the 22nd. Let's see how the poker hand plays out.
