J? *if* the co _is_ trying to pull a fast one? First, they would be banking on much better odds than 1 in 100. Second, they would be reassured by the SEC's glacial response time.
All, please notice: I say "if"...

Understood...that's why it's up to *us* to figger it out, lol
Anybody checked the SoS sites, for involved companies?

The line i simply do NOT understand is the option a) in the 8K.
a) maintain the Average Closing Price at a price equal to the Actual Average Closing Price;
This is what led me originally to believe that they maintain the average closing price at time of merger UNLESS its above $15 in which case it will be valued at no more than $15. Hence b) or c). Keep in mind this is at the surviving companies discretion so CVSU calls the shots.
(b) set the Average Closing Price at $15.00 and pay the holders of Company Shares receiving shares of Buyer's Stock as Merger Consideration (after giving effect to the allocation procedures set forth in Section 2.4 ) an amount in cash equal to $15.00 minus the Actual Average Closing Price per share of Buyer's Stock to be received by such holders of Company Shares; or
(c) set the Average Closing Price at $15.00 and pay no additional consideration to the holders of Company Shares receiving shares of Buyer's Stock as Merger Consideration (after giving effect to the allocation procedures set forth in Section 2.4 ).
Even after speaking with him im still unsure of what our future holds. But, im still sticking by the idea that they will choose a). But, then again, what does this do to the CVSU shareholders....surely they dont want to see their own stock valued under $1.00!
Brain is mush today, i need answers and then i need sleep...........

if I remember correctly, m n 1, didn't show that Harris was scheduled last time - so, it's possible they may be throwing him in, again, without actually showing him on the schedule

Yea, but I still don't "believe" anyone will be getting 15$ for their shares. Theres no way they can't afford to "give" money away when they borrow so much. Right!?

Kinda reminds me of the JPHC thing and how good and grand they were to treat the stockholders. Then "wham" there you have it, cloud cover gone and all, left in the sun to rot. Luckily I was not in that fiasco!
