ya know the more I'm checking into this new company I think they may just get to $30 a share rather quickly. And with all the spin off stocks.... I'm thinking of holding a $15.00 stock!

now i'm confused... i talked to rufus yesterday and he said he was releasing a PR today. it wasn't supposed to be anything great just one like yesterday.... about new hirings or personnel... i'll give him benefit of the doubt:D he's usually pretty good on his word... i'll let it slip this time. then again maybe afterhours......

this may be an odd question but what what he wearing during the interview?

the only reason I ask is...a $500 suit and a $3000 suit can say different things...then whether it's something from Brooks Brothers or Brioni says two totally different things as well...neither necessarily good or bad...

if you'd like to get it straight atomic i guess ill have to really spell it out for you, seeing as you only have 28 posts here...

when a ceo opens up a very important conference call by discussing his ailments as THE REASON WHY his business is making this offering... and further says it is to make himself rich so he can retire...

well i look at the fact that this man holds 9 mil shares personally, and even at $1 HE WILL become rich off of the deal. at $1 we are all holding the bag.

He also has an OUT from this whole $15 offer which is in the 8-K, section 2.6 option A, an option thats wording was CHANGED in a PR to read differently (the 8K is the legal doc not the PR. it says they can take the average recent pps (say around $1) and use that INSTEAD OF THE $15 when the symbol changes.

but by then, all the shareholders will have paper certs and it'll take them so long to execute their trades because of it that the whole thing will be a moot bagholdin point.

that said, i took my multi-thousands out today, i dont care what anybody digs up over the weekend and i will sleep well.. the pps didnt go any higher than i sold at, so if i want i can jump back in should my perception of the deal change.

you probably havent been here long enough for the "flashback" statement to make any sense, but there was a television station with a CEO who had many ailments and liked to play them up - it brings out people's empathy. there was also a company that, besides diamonds, liked to issue dividend shares in worthless companies so that we could have lots of symbols in our trading accounts...


and you are right, who are you to disagree. i'm bringing up my concerns because my butt sat thru 2 1/2 hours of talking last nite trying to figure this chit out. and when i tried to bring up the above concerns i was "muted" ie banned from posting in the room.

if my PMs are any indication, i aint the only one feelin a lil sketchy about it all.

What concerns me most about what he has personally said is, he continually says they will choose option C from the 8K. A lot of people have asked me how and why he would offer up this information before the day of the merger. If he wants to retire in 3-4 months, like he has said, he would surely benefit more from B...especially since FHAL is still trading near a buck! He would bank about $14 a share X 9 million shares! Plenty enough to retire on i imagine. Now, i know he is a nice guy and all but if he REALLY is choosing C he must be incredibly positive about this merger! Keep in mind im holding shares and have been since June 15th but his comments about the $15 a share dont seem legit, I would think he would have to wait to announce that.

On the OTHER side of things, by saying that about option C there is a chance it will pump the stock. IF this pumps the stock to $15 (which it isnt doing so well) then he COULD go for option C and make out well. Why would he attempt this when B is much easier? Good question.

I spoke with a broker today regarding this and no real "problems" were evident to him but he had the same questions i mentioned above. He was skeptical like the rest of us. However, he also commented that if the $7.21 book value was correct and the $500,000,000 bond or whatever is correct then yes, it could be feasible to open at $15.

I dont know about his phone conversations but now we know for sure he has been recorded making these statements (last night). Im interested to see how this plays out with that MP3 out there for everyone to hear. Could he come out the day of merger and say "The major shareholders met and decided to take option B since FHAL isnt performing well"? I wish I knew the answer to that one.

Anyway, this is just my 2 cents for the day. Im just trying to keep my feet well planted on the ground going into this weekend. I hope to start dreaming again on Monday! [Smile]

Oh yea, with all of this said he DID say that the merger was complete so maybe option C was chosen already and they cant back out of it. Hence the attempt to boost the pps in fhal before the symbol change?

he didnt SAY anything wrong. he didnt say anything concrete. it was all his hopes, his opinions, but never ever ever did he promise.
would he buy all the shares he could right now?
he said yes.
well hey, sure, theres a profit to be made... nothin wrong with him saying that!

regarding the 8K filing options A-B-C, he never committed he simply stated that they are 9-% (95% or something) sure that they will go with optC. he barely touched on optA, never expanded on it, he gushed the good stuff and avoided the potentially bad stuff.

his exact words were "the corporation decides if it should maintain option B..." (notice he deflects the responsibility from himself)
and also when pressed about the $15 he states "there is no guarantee"

that's what put me on my guard, and this was in the 1st 10 minutes!

then he said, and i quote cuz i wrote it down...
regarding a r/s etc, the merger is done...

"we can't if we wanted to it would be against the rules of an SEC merger... we MUST PROCEED IN THE MANNER PUT INTO THE FILING"

that means option A is still an option, and we wont know what choice they are making until trading is halted and were all sittin like lame dux on halted shares.

imo. and from my notes of the conference.

Yea, im not crazy about that lame duck scenario. You got close to the same feel as I did from the internet chat. He has me ALMOST convinced that he is in this for the good of all involved. He definately comes off strong and confident and hasnt really stuttered much when questioned or challenged IMO. I know one thing FOR SURE, he isnt sitting around like i am wondering if he is getting a windfall next week, his already happened!

The 2 new execs do look like an excellent addition, im not sure why this isnt mentioned more. An Energy guy and a Defense guy? I guess that solves Coastal Seas Energy and AISS.

Im bummed out about the connection with the Brittenum Brothers though. Those guys worked American Idol over like it was a play toy to them. They leave a bad thought in my head.

Damn, im comin off real negative tonight. I better stop thinkin about it for a bit and drink or something. [Smile]

I just want this thing to break $3 -- am I asking too much? flipped 1/2 on july 19 riding cleared shares and after the buzz last night on paltalk i was think this would have closed closer to $2. we'll see what next week brings -- should be good imho. glta!
