Sec State can only tell you what the available share count is as stated on the company's articles of incorporation. That document has to be filed showing how many total shares can possibly exist. It doesn't let you know how many are actually issued vs. how many are in the treasury.
Then from investopedia...
Transfer Agent: A trust company, bank or similar financial institution assigned by a corporation to maintain records of investors and account balances and transactions, to cancel and issue certificates, to process investor mailings and to deal with any associated problems (i.e. lost or stolen certificates).

Correct me if I am reading it wrong, but you asked for the O/S (outstanding shares), not the A/S (available shares. Actually I have received the o/s for many companies from their transfer agent. I have had instances where the TA was "gagged" by the company, but this is the first one I have called that didn't give out o/s info as a matter of policy.
Technically they should even be able to provide an ownership list of all shareholders.

I just tell them I am calling to request the outstanding share count for a company that they represent and then I usually get transferred to the right person (or given their fax number if it has to be a written request)

We all know that there can’t be zero common shares. I think all he is doing is showing that (as I noted before) Frank never converted any of his shares over to preferred shares as that PR said he had.
I remember that during the last CC, Frank said that he had not finished converting his shares yet. If you keep that in mind and also consider that this recent PR said, “Triangle Multi-Media common shareholders control one hundred percent of Q Television Network,” it becomes clear that for Frank to still control the company, he must own common (not preferred) stock.

A Gay Easter? Gay-rights groups make covert plans to crash the annual White House Easter egg roll. by Mark D. Tooley 01/17/2006 2:40:00 PM
FOR OVER A HUNDRED YEARS children have gathered on the South Lawn of the White House on the Monday after Easter to roll Easter eggs across the yard and meet the Easter Bunny. Seemingly few (if any) Washingtonians have ever tried to exploit the annual White House Easter Egg Roll for political purposes. Until now. A church-based homosexual rights group is planning to crash the event with a "family visibility action" to spotlight their non-traditional families.
"On April 17, 2006, when the White House lawn is opened to families for the Annual Easter Egg Roll, imagine if the first 1,000 families onto the lawn were LGBT [lesbian, gay, bisexual, transgender] families," enthused a January 4 email alert from Soulforce. Once America sees the White House lawn awash in LGBT families, "there will be no going back," Soulforce promised.
Soulforce is the political organizing tool of self-described "militant gay activist" Mel White, the former Jerry Falwell speech writer who discovered his gayness and became a clergyman in the predominantly homosexual Metropolitan Community Churches.
White and his supporters routinely show up at church conventions and other events to protest, perform acts of civil disobedience and demand that denominations change their teachings about homosexuality. They apply the "soul force" of principles from Martin Luther King, Jr. and Mahatma Gandhi to the "struggle for justice for sexual minorities."
According to Soulforce, "LGBT" participants are being urged to gather at the White House gate the night before so as to be the first to enter the next morning. Volunteers will stand in line for "LGBT" parents who cannot do it themselves.
Although Soulforce insists this will not be a political protest, only a gathering for families, its supporters will arrive with special "non-political" t-shirts to identify themselves as "LGBT."
THE WHITE HOUSE EASTER EGG ROLL dates back to Rutherford Hayes, who opened up the South Lawn to children after the Easter egg roll at the Capitol was shut down. In typical fashion, a fusty Congress became concerned about damage to its lawn and turned the kiddies away. President Hayes and his successors have been glad to compensate for Congress' lack of hospitality. Besides thousands of children and parents, the roll often includes prominent entertainers, the Easter Bunny, and sometimes the president and first lady.
The Easter Egg Roll has remained non-controversial for too long, apparently. Soulforce, in cooperation with other homosexuality advocacy groups, such as Family Pride, wants same-sex couples and other non-traditional "sexual minorities" to bring their children to the White House so as to expose America to "LGBT" families.
"The media will be there (they are always there for the egg roll) and millions of Americans--many for the first time--will meet our families," the Soulforce email explained. "This is an amazing opportunity to reach homes in blue states and red states with positive images of our families participating in this great American family tradition."
Soulforce went on to promise: "This event will be like nothing anyone has ever seen before. The White House lawn--the Bush [italics in original] White House lawn--will, quite unexpectedly, be filled with gay and lesbian families. This is something people will be talking about for a long time, an event that will make history!"
According to Soulforce, "It is time to claim our place at the table. Come to our nation's capital and let America see who we really are." Less any of its supporters be lacking in enthusiasm, the email promised: "It is basically going to be the biggest LGBT family party ever, you and your kids will have a great time."
Recipients of the Soulforce email were asked to be "discreet" and not to post the information on websites because the "success of this action depends on keeping it under the radar of the media and the administration!!!"
OVER THE YEARS Soulforce has become well known for its disruptive demonstrations and acts of civil disobedience at the conventions of religious denominations that do not share its views on sexual ethics. Invariably these churches, even the liberal mainline ones, are portrayed by Soulforce as "anti-gay."
Soulforce's main partner in crashing the White House Easter Egg roll is the Family Pride Coalition (FPC), which is the "only national non-profit organization solely dedicated to equality for lesbian, gay, bisexual and transgender (LGBT) parents and their families."
"There is no more powerful way to change the national discussion around our families and our rights than to introduce ourselves to our neighbors on a grand scale," the Family Pride Coalition promises on its website. "Join us in making history, having fun and showing off our amazing families to the country!" (Like Soulforce, the FPC also wants its members to be secretive about the plan. A passage on its page about the event reads: "Important Note: If word about this reaches the administration or any of our opponents, there may be an effort to keep our families from participating. Please tell as many LGBT families as possible about this event, but please DO NOT post a link to this page on a searchable website. It is fine though, to forward the link directly to LGBT families.")
Other sponsors of the Egg Roll crashing include: the Metropolitan Community Church, PFLAG (Parents and Friends of Lesbians and Gays), COLAGE (Children of Lesbians and Gays Everywhere, National Gay and Lesbian Task Force (NGLTF), Love Makes a Family, the BLGT Office of the Unitarian Universalists, and the unofficial Reconciling Ministries Network within United Methodism.
Soulforce and the Family Pride Coalition warned that if the Bush administrations gets wind of their special plans, the White House Egg Roll may be declared an invitation-only event. If somehow blocked from entrance, the "LGBT" families are encouraged to still stick around outside the White House and talk to the media.
When he invited in the children turned away from the Capitol's lawn, President Hayes probably had no idea of the controversy the White House Egg Roll would bestir more than a century later. Welcome to Easter 2006.

How about this for A theory? Frank is tapped for funds, and all the cash he can come up with is going for daily operations and growth. He plans on buying back shares, but can't right now. Atleast not until a certain day when funds come in from (who knows where, but somewhere) hopefully soon. so he doesn't want to release the audit until he can buyback shares, on that day. He was planning to buyback and release the audit before. In the upcoming weeks. unfortunately, or fortunately things at the Q have been progressing very very fast, and there have been too good of opportunities to pass up. Thus they have had to make decisions to grow the company with the funds, instead of buying back shares and driving the pps up. Also this growth would further produce momentum when the buyback and audit are released.
In addition to these delays the fourth quarter has ended, and would look nice included in the audit. I know from experience, during the infancy stages of a new business there are daily changes of plans and shifting of funds. Especially with all the talent flocking to Q. I can only imagine at the speed of growth the Q has, and the timing being so crutial with the competition. also the timing with society itself. The timing is so perfect for Q to be where they are. I can't help but be otimistic. I definately consider this a once in a lifetime opportunity. Hopefully not a lesson of a lifetime.

This is what i still cannot get past. I know that everyone has been doing the happy dance and all because of maybe big news on the way, but who is selling?
If Frank really is diluting shares at this level of .0001 then i truthfully find it hard to believe he knows of any news that will bring the pps up. This is because if he had news, he would have releaesed it.
If the audit was good, then he would have released it 5 months ago so that he could have diluted at .005 instead of .0001 and could have saved an extra 25-75Billion shares.
I truely do think there is some big announcements in the future because of all the changes at Q headquarters, but this will go nowhere if whoever is selling stops.
And i find it hard to believe that QTN or Frank is NOT diluting at these levels considering the AS has been raised to 100B. Now, my guess is that the OS is about 75B right now, but i highly highly doubt anybody BUT Frank (QTN) is selling at .0001.
The other thing is even if it isnt Frank (QTN) selling, then why is anyone with upwards of 25-75Billion shares wanting to sell at this level unless they know something is not right.
So yes, big news may be in the pipeline and was shown to DOC and IMAK, but i doubt anything to big unless whoever it is selling would stop.
I just cant get past it, thats all.

Miller Time, You've made some really good points. The way I understand it the mm's tend to drive the pinks down if they want to. I probably don't understand the pinks as much as you. I just think that Frank has been planning on releasing the audit right after buying back. Yes even months ago. He has had so many opportunities and changes that it has been delayed. Also shares have been made available to him to sell on a moments notice if needed. How can you make things happen without having liquid capital. I do think Frank has made them available just in case. Maybe he has sold some, who cares right now. It takes money to make money. This company is growing in leaps and bounds. That doesn't happen without capital. I say it again, he is doing what he has to do to grow the company.
I try to imagine myself in Franks shoes. What would you do if you had all these great things happening and finally coming to fruition? Big names and expansion opportunities that take funds to start up, up front. I heard from someone on here that it takes 100-200k to start up each area. Well if Direct t.v. says lets do it, but you need to put up $$ for the trial period. (sounds like the industry standard). Would it be worth it to find the money, even if you had to sell shares. I would do whatever it took to make it happen.
As far as the news that he would have released if he had any good news??? I don't know , maybe you're right. Or maybe he can't until he has the funds to fulfill the contract agreement, or until a certain timeframe agreed upon. Maybe he only needs to complete the 7 hours of daily programming. There are so many if's right now. Lots of speculationby the yays and the nays. We have a great company in the making and a lot of potential. We have a very very low pps. We also have a ceo with a dirty past. I'm sure most start up companies go over budget. Imagine one thats front loaded with expenses for trial periods. Now imagine one that's also growing faster than they anticipated. I assume they are struggling for $ to continue growing.
Anything can happen. I just really hope were right about this one.

Los Angeles, CA - Queer Lounge will return to Park City, Utah for a second year to support and promote lesbian, gay, bisexual and transgender (LGBT) films playing at surrounding festivals in late January. Queer Lounge, a hospitality and event space, dubbed last year as “the most accepting, comfortable, clique-free place in Park City,” will be located just off Main Street at the Gateway Center during the 'dance' film festivities, including Sundance and Slamdance. As the hub and gathering spot for queer and queer-friendly festival-goers, Queer Lounge provides support for queer-content films or those made by queer filmmakers.
“This year there are over forty films of queer-interest playing at the various Park City film festivals,” says Queer Lounge founder and Executive Director, Ellen Huang. “And more and more we see ‘mainstream’ films being counted in this lineup. It’s wonderful to see these films which feature some of the top stars, filmmakers and emerging talent in the country become more inclusive and representative of queer-characters and storylines.”
Queer Lounge will also be promoting LGBT films playing at smaller festivals that have cropped up because of the swell in industry-ites that have invaded Park City. These include the Freedom Cinema Festival screening films with current political topics; SchmoozeDance, playing films of Jewish-interest and the Park City Film Music Festival which showcases music in film. Filmmakers will also have the opportunity to hold press conferences in the venue and the Lounge will supply publicity support (a program guide of all discussion panels will be available at the Queer Lounge and by visiting www.queerlounge.org).
“I think the Queer Lounge helps give us more visibility as a group,” explains Saving Face director Alice Wu, “and a sense of a community that might otherwise get lost in the frenzy of the festival.
