Dec. 16, 2005, 2:00AM TV FEATURE Gay-friendly network hits cable QTN targets community with premium lineup
By MIKE MCDANIEL Copyright 2005 Houston Chronicle
Queer television has finally found a cable home in Houston. But you'll have to pay to see it.
Q Television Network joined the Time Warner premium cable lineup earlier this week. Available on channel 537 for $7.99 a month, QTN features content friendly to the gay, lesbian, bisexual and transgender community, including five hours of live content Monday through Friday.
"When our CEO, Frank Olsen, was coming up with the idea of Q Television, he felt it was important to be live so the GLBT community could interact with us through phone calls, webcams and e-mails," said Scott Withers, executive vice president, programming. "It also allows us to react to major stories taking place that day so we could influence and educate the community we serve."
Live shows include Brunch, a daytime entertainment/talk show that Withers hosts; QTN WorldNews (6 p.m.), a half-hour newscast; On Q Live, a nighttime version of Brunch; The Reichen Show, a call-in program hosted by The Amazing Race's Reichen Lehmkul; and The Q Edge, which Withers describes as "our version of The Tonight Show but way out there in queer interest."
The content appears aimed at young adults, based on what has aired so far. It can be titillating at times (shirtless go-go boys) but not prurient (in a Q Live segment on 2006 calendars, care was taken not to show nudity).
Some of the shows are repeated in the overnight hours. Otherwise, the remainder of the lineup consists of a library of some 2,000 mainstream and independent movies (Camelot, for example), documentaries and such preproduced shows as Q on the Move, a travel show, and Life's a Drag, in which a drag queen travels across the country, primarily small towns, in search of drag shows.
The movies run commercial-free, but the live programs include commercials (mostly public-service announcements so far). This provides QTN income on top of subscription fees — a practice not common on premium channels. One of the draws of premium TV is not having to deal with ads.
It's possible that the double-dipping policy will be altered in the future.
"We're always going to be a pay station," Withers says. "We don't want our network thrust into everybody's homes, because there are places, especially in parts of Texas, that don't want a GLBT network."
As for the commercials, "we'll cut back," he says.
A portion of QTN's income will be devoted to developing more original programming. Withers says plans for next year include "several" reality-based shows and a game show.
"One of the drives for us will be an episodic show," he says. "We're not sure if it's going to be a comedy or drama. I'm personally pushing for a GLBT science-fiction show, but I don't know if I can find a staff that can pull that off."
QTN televised the Houston gay pride parade earlier this year. Ironically, Houston couldn't see it.
"We brought live coverage from seven cities around the country," Withers says. "Houston has a unique pride parade — it's at night, which made it absolutely gorgeous. So we were happy to share it with our viewers who were not in Houston, and we're really excited that Houston will be able to see it this year on Time Warner."

We know that the A/S is 60 Bil because it is public information and many people have jumped to the conclusion that the O/S is the same. The last time Frank stated the O/S (the conference call on October 19, 2005), he said it was 44 Bil.
We won’t know how much the O/S count is for sure until the audit is released and at this point the audit is getting so old that there will be many people that speculate that the O/S has increased since the audit was done.

Dear XXX,
Yes! I have good news. We plan to launch QTN at the end of this year. The tentative launch date is 12/31/05. It will be a premium channel, positioned on channel 392. The monthly rate will be $7.95. A converter box is required to receive the service. Once the channel is up and running feel free to call customer service at 421-0300 and a representative can get it added to your account. If you already have a converter box, this can be taken care of over the phone. If you do not, they can schedule to have one delivered to your home or you can pick one up in our office.
We are please to bring this new channel to Southeast Nebraska!
Sincerely, Cheryl Davis

Dear Sir/Madam,
I understand you currently do not carry the gay channel, Q Televison Network. I am writing to inquire whether Time Warner Cable would soon grant carriage to this channel in the Lincoln, Nebraska area.
Thank you in advance.
Cordially,
XXX

whats up group.it doesnt take more than 30 days(if filed correctly)to get his audit certified. If he is holding out on us,,which he has the right to do,he cannot hold out public information that the audit was certified. either way we win unless he literally set out to rape some shareholders...and if thats the case, then we shouldnt feel so bad because he literally lied to us the whole way through.from start to finish. what can we do from that one? he lied to me ,one on one, telling me an audit will be released... the only thing i can think of,is that hes gonna release the next level of statements ,,,,certified audit, attempt to move on to the otcbb , and this thing well jump right up again.. no more names but somebody told me its probably gonna happen the early part of january. so thats why i assumed that by then he would have already had it certified..either that or we got ripped off.only time will tell.

Hi all... I'm on vacation and don't have much computer access. One point about the audit, reporting companies are audited once a year and report quarterly. So the date of the audit, regardless of how "old" it is, will be followed with quarterlies. The audit and quartlies will also, in all probability, have a looking forward projection. My brother will try and attend the Holiday Party for the NLGJA at the Q Studios. He has a ticket. We under stand that Q has something big in the works... in addition to the audit. If We find out anything, I'll call my friend JimS and he will post it this evening sometime after 10:00 pm eastern.

I'm pretty sure QTN is 100% owned by QBID (several people in the company have repeatedly said so and there's been no ambiguity to indicate otherwise on that matter), and Olsen has gone on record stating that QBID shares are the sole equity claim on TMM.
I hear the audit delay is because Frank disagrees with some of the asset values the auditors have used. They're trying to figure out how those figures were arrived at since they don't agree with them. God help us, Olsen is an absolute nightmare for shareholders. He is the reason audits were invented.
He has to certify (sign off) that Management provided correct information to the auditors, and he thinks he didn't because the asset values aren't what he expected them to be. Ugh.

Just in case you lost mine, here is mine resent below
----------------------------------------------------------- Good morning Itsprit,
You said,
"I heard there is internal disagreement over some of the figures in the audit and Frank is not releasing it until the disagreements are cleared up"
I assume this is from the person you spoke with last night that told you this?
Maybe his market cap is down to $100 from $150 million after the auditors straightened him out. --------------------------------------------- Posted by: ltesprit In reply to: seren who wrote msg# 198503 Date:12/16/2005 10:49:24 AM Post #of 198584
Seren, I spoke to two people yesterday, and the answer is 'yes': One of them told me that.
And I believe it. I have no doubt that Frank is capable of such stupidity as disputing an auditor's valuations while characterizing it simply as the 'certification process.'

If Frank spins off QTN, he must do it at at least the ownership ratio of the QBID shares. I.e., if the new entity were to have 10 million shares outstanding, we'd get 47% of them and Frank gets 53%. This would mean that for every (44 billion / 10 milion) = 44,000 shares you own of QBID you'd get 1 share of QTN. There are two reasons for this: we want to get our 'fair share' of QTN (ie, at least 47%) and we want QTN shares to meet the minimum listable price of $4 per share. At 10 million shares, QTN should be worth at least that much. (It implies a market cap of only 10 million * $4 = $40 million). In fact, it should be over 10 times that within a year, if carriage and growth continue.

Yes, Q Television will be providing some Gay Games coverage live. They are scheduled to provide several hours of coverage each day July 15-22, some of which will be live and some of which will be tape delayed.
You put your corporate affiliation into this email but it is typical for corporate inquiries to come from corporate emails. Is there a special reason that Ford Motor Company might be interested in information about Q Television, or was this a personal inquiry and you just happen to be employed by Ford?
