He did tell me that Semco and Promold BOTH, did not add to the dilution and was financed privatly. My thoughts are if they were going to use stock as collateral why not just say so and then retire them when loan paid.

Said that Turek and officers/directors owned around low 70%'s.

I asked about whether the no R/S stands per the PR and he said he would never advise one of his clients to do a R/S and that the share structure is a major concern among the investors and they will be releasing something "in the near future" on the issue.

At least he's on the same page now and telling everybody the same thing!!! Im gonna start recording ALL my damn calls with these clowns for future reference.And were down to .015

For clarification, I use o/s for "outstanding shares" which includes float and those held by insiders but not traded. The difference between authorized and o/s would be shares held in treasure but not issued to anyone or any entity.

Is that the terminology most everyone is comfortable with? I don't want anyone to confuse outstanding with float. That could be where some of today's confusion has come from. Let me know if there is a more common convention people would be comfortable with.

And whoever the post was earlier stated that Big Apple's numbers are already included in the numbers and per Matt "our compensation or stock(couldnt disclose how they are paid),is in escrow"

So I guess the bright side is everybody is already paid, they are already at A/S,Turek still owns tons and we SHOULD have some contracts and money flowing in shortly!!!

I think its time for someone to step up to the plate and retire some shares......I got an idea...lets retire Iren Tureks 90m since shes 89 years old, she dont need them, that would at least be a good start...then we would only have another BILLION to go!!!!!

Super hands-on DD today by all you guys though I don't know what it all means. I was out for most of today and just caught up on my reading here. I've paid for reports that were less well written and informative than what y'all produced today.

I just caught up on all the days reading. I was at the doctor today. Looks like we have finalized the O/S issue..thats good and we finished flat...Okay guy you know why we were not Green today...NO COLD INDICATOR.....

Per the 7/04 sec filing the majority shareholders had 938m (65.2% of the 1.3b issued and outstanding) and now that number is suppossed to be low 70%'s based on todays number of 2b outstanding.......so someone within the company bought the difference of 65% of 1.3b and now it equals lets say 73% of 2b (8% difference x number of increased shares) and that equals approx 522,000 shares, which is whats in the float per Matt.

The moral of the story is...since the additioanal shares are majority shareholders(which require filings to sell I believe??)and 500k is in the PUBLIC float and at least its not like typical pinks that are 90-95% public float I think we are Ok at this point....Until the next kink of course!!!

Its easy to create confusion using financial terminology. Here's 2 different definitions of "outstanding shares" with 2 different meanings.

From Investopedia.com

Outstanding Shares:
Stock currently held by investors, including restricted shares owned by the company's officers and insiders as well as those held by the public. Shares that have been repurchased by the company are not considered outstanding stock. They are also known as "issued shares" or "issued and outstanding".

From InvestorWords.com

shares outstanding:
The shares of a corporation's stock that have been issued and are in the hands of the public. also called outstanding stock.

The first definition clearly includes both public and privately held shares, while the second definition implies that privately held shares might not be included.

Apparently they issued roughly 500-600m (bill said the O/S was 1.3b and change) to someone for something.

Maybe a couple hundred to Traders nation and a couple hundred to BAC......BUT....what about the meeting they had with Gen. Alexander Haig in Florida last month????
Did anything come out of that or did Haig refer them to BAC....Haig is a promoter with a TV show and BAC is a PR firm, two differnt worlds.

Hell, for a 100m shares I would have personally went on CNN and talked the shi* out of them and called congress and made em put that they needed recycled plastic in the transportation bill or it wouldnt pass!!!!!!

Good work on the math. I hadn't realized the insider percentages had changed. If these guys issued the remaining treasury shares to themselves when they already had 65% of the company then that's pretty bad Mojo, IMO. They had been making noises to the effect that dilution would be avoided as best they could. I would rather they use those shares to bring in new management talent or make aquisitions. Actually, if they have brought in new management but not yet announced it, that could account for increased percent for insiders.

Maybe they're going to use the furniture store model with the shares. Double the price then hold a 50% off sale. Issue yourselves all the shares then announce you're retiring shares. There may be some legal logic behind that strategy. It may be more difficult to retire treasury stock than personal stock, though I'm not an expert in the area.

I need a hobby so I'll stop speculating. We'll find out for sure when they get around to the PR. It would be nice to have one on a Friday for a change since Friday's are usually rotten days in pinky land. BTW, Matt said the company issues the PRs and has total control over their timing, including time of day.

good post george....i looked at all of them and the mojority seem to be resellers. The key is going to be who can get them out to market and we WILL HOPEFULLY at some point be in all 63 warehouses. Jim stated to me in one of our many conversations that the next closest competitor has 6 dist centers and only serviced the U.S.

I think our target market is the big companies that do the roads and bridges and big structures, all of them use some sort of federal money(espicially now with the bill) and anything they do has to be approved, which we have.

biz plan leakage. heres what was seen...

so who read it? i see that the original contract with bluelinx was signed under promotional containers inc. thats jim tureks tblu company. odd. looks like they want to have earnings of 1.3 million by 2007. on revenue of 6 million. this year they want earnings of 440k. hope they bring the amount of shares down. seems they may have another aquisition of plastic lumber. better close one first.

anyone know legal mumbo jumbo? maybe turek signed contract under tblu to keep the debt in their name, leaving plni with less debt. i guess thats good for plni? still gonna need to do something about the shares.

math

if we are to make 400k this year, we have a P/E of 75. if by 2007 we make 1 million, we will have a P/E of 30. not sure how the value of the patents will fit into that.

Well, after all of this, I can truly say that I am glad they have hired someone to help them get to where they need to be. I think it was really the right thing to do, and I look forward to the next few weeks as things iron themselves out. Seems there are ripples here and there, but so far I haven't seen one that is earth shattering or causes me great pause about the future potential of this company or my investment.

Screw this for the night -- I am going to bed -- have a good one huys and here's to a good Friday for all of us in whatever positions we are in!

This one is a 400-pound marlin. You catch halibut and sea bass in a very short time... but the big ones fight you for a while. You sweat, you pull, you worry that you might not made it. And then you come though on the other side a winner. This ain't gonna happen tomorrow (oh please GOD let it happen tomorrow), but it is going to happen, and it will be worth the fight
