Yes a cash div would work on a per share basis and the reason I figure it could happen is the line in the PR that says!

"The spin off of assets should result in a premium to shareholders (to be determined) once the transaction is completed."

That comment is in addition to the one about free trading shares! shown here!

"The company intends to execute this agreement as a stock dividend with free trading shares of a fully reporting OTCBB company to ICAN shareholders"

Call it a hunch but if you want to launch a rocket and get it to the moon it takes the right fuel.

In ICAN's case that fuel could be a cash "Premium"

Cheers
Rick

Just off the phone with Ed Hayter and he said hold onto your hat shareholders, because this move up should be a major plus for everyone who owns it! He was traveling but said he would review the question that many have here once he got where he was headed and that he may issue a clarification PR if there are to many confused shareholders. He said this is a good thing for the company and the shareholders.

As I have said over and over again! The assets and revenues speak for themselves here! The mere magnatude of ICAN tells all it does not belong on the Pinks any longer than it has to be! Ed wants the values out there in audited filings, so they are no longer questionable.

Cheers
Rick

Here we go again! Another day of trading and speculation.

If you read thought the PRs it is very easy to see that Ed Hayter has been working on pulling many assets into one company, and not only assets but also revenue generating assets. The market has choosen to iggnor for the most part what he is pulling together here with IBAC Corp.

Two large real estate assets have been closed on and added here.

A Sanibel Steak House with $2.5 mil annual revenue
and
The Royal Arkansas Hotel, with 200 rooms renting at $75-$129 per night, it also 2 restauraunts and a lounge. The revenues on this on are huge for a pink sheets company!

On top of these 2 closed on assets, we have 2 more Sanibels with closing dates of 5/1/05 and 7/30/05 that will add about $6. million more in revenue and the statement from the company that they plan to add new Sanibel location to this money maker.

Next we have National Hospitalitys with $2 million in projected revenues through many smaller contracts and a long term contract with the Little Rock Convention Center

next we have the statement that IBAC is in negotiations with a Arkansas restaurant chain that could add $13.5 million in revenues.

All this adds up very quickly to a very large corperation that does not belong on the Pink Sheets Market! So Ed plans on moving all or part of it up to the OTCBB through a spin off into an OTCBB approved and fully reporting company.

I assume that he bought this company and still plans to control IBAC corp or whatever its new name may be.

We the open market shareholders are the winners here, because as Ed has built value into his own restricted portion of IBAC he has also built value into ours. Value much greater than the Pinks Market is willing to reflect for us.

What that value is will soon be a reality to the rest of the market. The word premium speaks loudly in the spinoff PR from the 16th.

For The Sanibel Group alone IBAC had a buyout offer of $8.4 million. Now add the rest!

Get On, Hold On, or Just Watch! but this one will show us all something good real soon!

Rick

I think yesterday was alot of daytraders trying to make the quick buck by buying in the morning and then dumped it in the afternoon. As I have read in many articles there seems to be a trend of investors using automated programs to sell a stock at a certain time or price. You also probably had a lot of people trying to turn over the buying at .0004 and selling at .0005 as much as they could. All this leads to the same shares being traded multiple times in a day. If you look at today's volume it is what I expect now. It is low because people are locked in now and not selling. I don't think you will see another 500 million trade day without the price moving up.

Okay, tell me if I am wrong. What I am getting out of all of this is that IBAC is selling off assests in exchange for stock in the company they are selling to which is a fully reporting company (which they will distibute to it's shareholders). In addition to this IBAC is also going to become a fully reporting company once the audit is done to be listed on the OTCBB or NASDAQ Small Caps.

do the math x $12 to 14 million in annual revenue.

Does it add up to .0004?

Nope

$12,000.000.00 divided by 7,338.015.586 = .0016

$14,000.000.00 divided by 7,338.015.586 = .0019

These are minimum PPS projections base solely on the $12-14 million 1 yr projected revenue that Ed Hayter stated in a PR and without any multipiers at all. There are also no hard assets added into this multiplication.

As you can see the PPS is at a minimum, only 1/4 of what it should be! Now you know why the CEO is buying shares for his own personal account and putting out PRs saying ICAN is undervalued.

The move up to the OTCBB will show everyone just what kind of legs this stock has, and quick!

Good Luck! I'm IN!!!!!!!
Rick

I read back through the old PRs and noticed that they rejected an offer of 8.75 Million dollars for the company saying it was too low. Which I also feel it is. But what this tells me is that the company is at a minimum worth that which if you divide that by the number of outstanding shares comes to a pps of .0012. That alone tells me how undervalued the pps currently is.

I think the reason for the pps drop right now is there are some people that are scared that the shares that we get of the "other" company will be restricted. I would hate to have him revise his PR again but I know that would stink if the shares he got from the sale were restricted.

I don't think that the low PPS has anything to do with the PR's. I feel that the MM's are having their way with this stock.

I hope that the management has a plan to deal with the MM's.
