why are all pr's stupid and ambigious? is good straightforward english that challenging? does anyone have the slightest clue as to the play before the conversion? Hold? Sell? Stab Voodoo dolls? The more i look into this play, the more confused i get. Any insight(like a laymans intrepretation of the pr) would be wonderful for a newbie like myself who tripped and fell into a gold mine...

sure...FHAL shareholders guaranteed nothing; CVSU shareholders apparently get share-for-share exchange + any difference between that pps and $15...
unless "the company" (apparently Rufus & Ben) decides different.

This is not as complicated as you are all making it out to be. Seller believes they have more asset value than Buyer. Hence, Seller is really the winner and this is reflected in the Board/Officer changes.
Buyer is purchasing via stock transfer (no cash). Since Sellers asset value is "believed" to be $15 * (shares) Seller wants a securing of value. Therefore, this value is reflected in the merger agreement.
FHAL is not the payer of the differential, interestingly enough. The "Surviving Holding Company" is on the hook to pay. Otherwise known as the NEW company.
There is no way to review combined financials until they release them and there is no way to gauge if the new company could handle the debt load.
My take is they know it can't handle the debt load or they can make long term arrangements to deal the debt and offset it over the long term if they own the shares. They are therefore aquiring shares.
This aquisition and mis-interpretation are pushing the price right now. As soon as one or the other is realized or stopped the house of cards falls.

From reading the arquement between Tex and Glassman, we have what appears to be an exellent source for comparisan...
I know both these men to be honest and forthwright....
I do not mean to or intend to leave out others who are doing honest hard work on this stock..Thankyou all for your work so far...
It does appear to me we have a good chance for another go at more trading profits..But that decision has to be made by the individual, after all, it is your money.

So there are more or less basically three scenarios, right?
Scenario 1 Everything is all that the FHAL shareholders hoped for. As promised by Rufus and Ben thru all the conversations people had with them: The stock will be worth $15 per share after the merger with no R/S.
Scenario 2 FHAL pays the final difference between CVSU's $15 share value and whatever FHAL's worth when merger day arrives. (This would mean that they will buyback as many shares possible to put to work the supply demand theory, since R/S will cause a huge drop in pps)
Scenario 3 FHAL and CVSU are both scams, and it's all momentum play from now on until D-day. (But if there are more news for moving to Nasdaq, details on Amazon contract, etc continues to come, today's good looking chart, and the huge after-hour block buy, it may actually still move further ahead)

this must have jumped from the post on ihub plus excitement that is in this stock from its previous 3 days performance. it seems to have a lot of support around 1.50. like dusty said yesterday, this would make an interesting study.
