good call Jmoove, that's how I understand it as well. "After the filing of the s-4" is the key phrase. We know that the symbol will change to CVSU, and we know that we will then all be holders of CVSU. Any wording in the 8-k or PR subsequent to that statement is geared toward all of us.

If the Market Closing Price on the Completion date exceeds $15.00 (Fifteen) USD the Surviving Holdings Corporation (OTC Bulletin Board: CVSU - News) may option to maintain that days Market Closing Price.
Note the Surviving Holdings Company. Thats us. No need for worry. FHAL shares and CVSU shares are the same. At least thats what i can Interpret.

I see how the PR reads...and I went back to the 8K...in the 8k..I am "happier"..but that PR was a little scarey for a few minutes..
all of this won't happen until the merger is complete...and at that time I will then be a "CSVU" share holder...now i am seeing it...you all will have to take a look at the 8k...

Yes, i just got off the phone with an Etrade rep and after us both mulling it over for a while we also came up with this. FHAL holders are going to continue on with our ride and CVSU will jump on board with 1 to 1, their stock for ours. But, since they are much higher valued they will get the difference between their value and ours.
Id like to believe that FHAL will then spike up into that range anyway but it could take a lonnnnnng time....if it does.
Im as confused as everyone else so dont take my post as fact.

hey guys, just play it like it was an everyday stock, dont let emotions cloud your judgement, get your initial investment out and ride the free shares, if you can and are brave enought flip it on the way up, just remember not to get greedy, if you are riding free shares if it goes it goes and if it doesnt go all the way to 15 you sell and still make money

Ok, I think I finally got this figured out - this is all C/P from the 8K:
THIS MERGER AGREEMENT (this "Agreement" ), dated as of the 8th day of July, 2006, is by and among:
FRONTHAUL GROUP INC., a Delaware corporation (the "Buyer" ); and
Conversion Solutions, Inc., a Delaware corporation and a holding company (the "Company" ).
FHAL and CVSU intend to file an S-4 registration statement / prospectus in connection with the proposed Merger for the registration of the CVSU share pursuant to the Merger agreement.
2.2 COMPANY SHARES.
(a) Each share of the Company's capital stock (the " Company Shares " ), par value $0.001 per share, issued and outstanding immediately prior to the Effective Time shall, by virtue of the Merger and without any action on the part of the holders thereof, be canceled and converted at the Effective Time into the right to receive the Merger Consideration (as defined below) in accordance with this ARTICLE II.
(b) Each Company Share , by virtue of the Merger and without any action on the part of the holder thereof, shall at the Effective Time no longer be outstanding, shall be canceled and retired and shall cease to exist, and each holder of certificates representing any such Company Shares shall thereafter cease to have any rights with respect to such shares, except for the right to receive the Merger Consideration.
(c) Notwithstanding anything contained in this Section 2.2 to the contrary, any Company Shares held in the treasury of the Company immediately prior to the Effective Time shall be canceled without any conversion thereof, and no payment shall be made with respect thereto.
(d) From and after the Effective Time of the Merger, there shall be no transfers on the stock transfer books of the Surviving Holding Company of Company Shares that were outstanding immediately prior to the Effective Time. If, after the Effective Time, certificates representing Company Shares are presented to the Surviving Holding Company, they shall be canceled, and exchanged for the Merger Consideration as provided for herein.
2.3 MERGER CONSIDERATION.
(a) Subject to Sections 2.2, 2.4, 2.5, 2.6 and 2.8 , at the Effective Time, the holders of Company Shares outstanding at the Effective Time, other than the Buyer and its Affiliates, shall be entitled to receive, and the Buyer shall issue and deliver, for each Company Share held by such Person: (i) 1.0 share of the Buyer's stock or
(b) No fractional shares of the Buyer's Stock shall be issued or delivered in connection with the Merger. Instead, the number of shares of the Buyer's Stock to which a holder of the Company Shares is entitled to receive pursuant to this Article II shall be rounded to the nearest whole share (with 0.5 share rounded up to the nearest whole share).
(c) In the event the Buyer changes the number of shares of the Buyer's Stock issued and outstanding prior to the Effective Time as a result of a stock split, stock dividend or other distribution payable in Buyer's Stock or securities convertible into Buyer's Stock or similar recapitalization with respect to such stock or effects a reclassification, combination or other change with respect to Buyer's Stock (each a "Stock Adjustment" ) and the record date therefore (in the case of a stock dividend) or the effective date thereof (in the case of a stock split or similar recapitalization, reclassification or combination for which a record date is not established) shall be prior to the Effective Time.

The thing that bothers me is, Rufus said to me on the phone that "Yes, FHAL will be worth $15 a share at time of merger". I wouldnt think it would be legal for him to say this as a way to pump FHAL shares. Of course he wants FHAL as close to $15 at time of merger but he can not manipulate right?

Hi first post..iv been lurking in this board for less than 2 weeks so please to forgive.
regarding FHAL I read it like this.
.1. IF the stock goes up past $15, Rufus will give CVSU share holders FHAL stock on a 1 to 1 ratio and then after filing the S-4 and symbloe the stock will open at market .
2. IF the stock closes under $15, Rufus will let CVSU take the difference in cash of closing price from the $15, then take a 1 to 1 ration of FHAL, then after the filing of the S-4 and symbole change the stock will open at market prices.
IT WILL BE IMPORTANT FOR RUFUS TO HAVE THE STOCK AT $15 OR MORE TO KEEP THE CVSU SHARESHOLDERS FROM TAKING THIS OPTION. THIS CAN BE A WORST CASE SCENERIO FOR US FHAL HOLDERS AS THE STOCK CAN REOPEN AFTER S-4 AND SYMBOL CHANGE UNDER $15.
3. CVSU share holders will get a 1 to 1 ratio in FHAL stock, then after the S-4 and symbole change the price will me set at $15 pps and Rufus owes noone anything and the market will determn the new price.

Have attempted to call up "Conversion Solutions, Inc." and/or CVSU.PK through Scottrade tools and get a return message of "The symbol you entered was not found.". Also tried another site (YAhoo Finance) and received a display of goose-eggs and N/A's in all fields with a last trade time of Dec 31.
Where are y'all find hard data on CVSU besides references in sec filings like the 8K?
