Agreed Bearclaw - most were buys and that was some massive accumulation going on all in the span of a couple of hours.

Definitely NOT CD sellling in to the market. The price would never have held up, and it would have shown as selling in to the market if it had been the case.

Hey Gator...
I wish I knew what the heck was going on here. The trading yesterday and on other days is very interesting. I have many more questions than I do answers at this point...but...If I go by the charts we have a gap to fill at .002 from the last run and retrace...We had a strong PPS yesterday holding on from that morning barrage...So for now I'll go with that...

it held strong against the a.m. very curious indeed.

and if all the bottom players are in CNES I think this board would be more active than it has been the last few days.

Good Morning Everyone. PPS fluctuations drives everyone nuts, including me. It is always a gamble when there is no news. But if we look at the potential, we may derive a little more patience:

1.) We know that they will PR the NOC. The NOC is necessary to read the meters data. It is also necessary to disseminate data. There are two options here. CNES NOC can collect data and forward it to a billing center of a utility. They will be paid for the data. Also, the NOC can be the billing center for the utility. Which will also generate revenue. So the NOC start up is a bench mark.

2.) The MDMA Certification is done by substantiating data collection and accuracy for two months / 60 days. The data is reviewed by the certifying body, i.e. utility that will use the data. The announcement of MDMA in June gives us a tentative timeline, which could possibly, be sooner, who knows. This certification, being the first will be the most critical. All other certifications will be easier, as running data from this NOC can be used to substantiate the technology. So, future MDMA in other locals or states will be easier.

3.) As discussed before, the NOC and MDMA cert. Is not necessary for a possible joint venture with other AMR technologies, nor necessary for a partnership or merger. Both of which the company has stated they would be willing to do and have stated they are pursuing.

4.) CNES has joined CABA. Please research this, as it is far more than I can explain here. Suffice it to say, CNES has joined:
CABA Standards Committee: This group is responsible for investigating the latest in technology standards, their impacts on the industry and is committed to facilitating technology/standard interoperability.
CABA Information Council: Responsible for collecting and reviewing potential CABA Information Series reports.
CABA Intelligent & Integrated Buildings Council: Responsible for identifying and investigating opportunities in the large building automation industry.
CABA Connected Home Council: The Council will examine industry opportunities that can accelerate the adoption of new technologies, consumer electronics and broadband services within the burgeoning connected home market.
CABA is intimately involved in developing SMART HOME subdivisions, which include metering energy. I have posted that, here in the recent past also. CABA directs inquiries form their organization to CNES. CNES is the only member in CABA that offers AMR solutions in meter reading.

5.) Chartwell, I hope many of you know who Chartwell is, if not you need to research them, they are the world’s largest and most respected firm for AMR on the planet. Their studies have directed and guided this industry for eon’s. Suffice it to say, Chartwell has requested information from CNES, because of the Real Time aspect and the fact they offer the NOC/MDMA as well as the metering technology. They offer BOTH. We may possibly see a study from Chartwell that includes CNES technology as the basis, we can hope. I have done my DD, and have talked to Chartwell. PLEASE DO NOT inundate anyone with calls. If this happens I will not post information from my DD here.

6.) I talked to Compete Coalition, Conectisys has joined Compete Coalition, and the membership list very well could be updated today. Check out Compete Coalition, they are cost effectiveness advocates for energy efficiency. They are influential and based in Wash., DC.. This is solid, in the aspect that the technology will be purported to be cost effective. Please read the AMR Business Case study attached to the recent MR.

It's hard for me to understand why the volume went way down from yesterday but the ask/bid hovered right around the same place. Is there some inside work at play here. Chart this thing and it looks like it should take off any time. I should change my name to confusedjim. I'm getting impatient with CNES and JPHC.

New news from Edgar online. Looks like the company is trading some 20 mil in shares for some operational cash. Probably something we were expecting anyway.

So that would be ~0.06 per share. How will this affect the trading pps if at all?

Entry into Material Agreement, Financial Statements and Exhibits


Item 1.01. Entry Into a Material Definitive Agreement.
On March 14, 2006, ConectiSys Corporation (the "Company") and AJW Partners, LLC, AJW Offshore, Ltd., AJW Qualified Partners, LLC and New Millennium Capital Partners II, LLC, (the "Investors") executed a Securities Purchase Agreement dated as of March 8, 2006 that provides for the issuance by the Company of Callable Secured Convertible Notes in the aggregate principal amount of $1,270,000 and the issuance of Stock Purchase Warrants to purchase up to an aggregate of 20,320,000 shares of common stock of the Company ("Common Stock") in exchange for aggregate consideration of up to $1,270,000 in cash.

The Securities Purchase Agreement contemplates an initial investment of $370,000 and nine equal monthly investments in the amount of $100,000 each for aggregate proceeds to the Company of $1,270,000. The subsequent monthly investments contemplated by the Securities Purchase Agreement are terminable upon 30 days advance notice by either the Company or a majority- in-interest of the Investors.

The Callable Secured Convertible Notes are due March 8, 2009, accrue interest at the per annum rate of 6% and are convertible into shares of Common Stock at the lesser of $.03 per share and 40% of the average of the lowest three intraday trading prices of a share of Common Stock during the 20 trading days immediately preceding conversion. The Stock Purchase Warrants are exercisable into shares of Common Stock at a fixed exercise price of $.0009 per share.

In connection with the Securities Purchase Agreement, the Company also has entered into a Registration Rights Agreement with the Investors. The Registration Rights Agreement provides that the Investors may, subject to certain customary limitations, demand that the Company, and that the Company shall thereafter be obligated to, register for resale with the Securities and Exchange Commission an amount of shares of Common Stock equal to 200% of the number of shares of Common Stock underlying the Callable Secured Convertible Notes and the Stock Purchase Warrants. In addition, the Registration Rights Agreement provides that in the event that the Company undertakes to file with the Securities and Exchange Commission a Registration Statement covering shares of Common Stock to be sold by the Company or by one or more holders other than the Investors, the Company shall provide the Investors with notice and the opportunity to, subject to certain customary limitations, cause the Company to include in such Registration Statement an amount of shares of Common Stock equal to 200% of the number of shares of Common Stock underlying the Callable Secured Convertible Notes and the Stock Purchase Warrants.

The obligations of the Company under the Securities Purchase Agreement, the Callable Secured Convertible Notes, the Stock Purchase Warrants and the Registration Rights Agreement are secured by substantially all of the assets of the Company pursuant to a Security Agreement and an Intellectual Property Security Agreement.

The Company has previously entered into various Securities Purchase Agreements and related instruments and agreements with the Investors concerning financing transactions on terms substantially similar to those described above.
