My take on it would be that the SEC would have a country wide set of rules that provide a minimum basis of rules. then you would have your state rules that would enhance and add rules to the federal rules.

so my guess it that the state would add thier rules and they would be the more stringent and therefore would be the guideline for company's that are registered in that state.

if the township decides to add more rules, then they would be above the sec and the state.

that is the way that it works in the political world and i would believe that it would flow the same way in this case.

For instance there is nothing in the federal laws that state anything about the property standards that i have to abide by.

there is nothing in the state guidelines either.

but our township has passed by laws that state that we can not have more then x number of cars in our yard, and that we are not to use extension cords in the house as a permanent use, and that we have to allow home inspections by the bylaw officers to check for compliance to this rule.

so to say that the federal laws dont support a ban on electrical cords in the house does not mean that it over rides the township rules. and the federal law does not support the guidelines that i have to allow an inspection of my home, does not mean it over rides the township rules.

so i guess what im saying is that if the Washington state would be like the township and the SEC would be like the Federal government.

i hope that made some sense

(a) The right of a shareholder to inspect records under RCW 23B.07.200 or, if the shareholder is in litigation with the corporation, to the same extent as any other litigant; or

(b) The power of a court, independently of this title, to compel the production of corporate records for examination.

(6) For purposes of this section, "shareholder" includes a beneficial owner whose shares are held in a voting trust or by a nominee on the beneficial owner's behalf.


What I am trying to find and have had no luck, does the SEC Federal rules over rule the Washington State rules or enforce the above rules. So far all I have found out is that each State has its own rules above the SEC rules and work in conjunction with each other. Reason for asking is a discussion with someone I work with and I am trying to find an answer to an interesting question. If some one does know, could you post the link.

well i had a theory that they are buying back but lately there are too many getting filled at .0001 for that to be true.

so im not sure.

the thing that has me wondering is all the billions that we seen moving and everyone is reporting only 420 million volume.

i cant see how that is leagal if those numbers are true.

things look really funky right now. may be they are trying to shake loose more shares? so they are paining the ticker with massive volume to make it look like people are dumping.

I dont know. this one is strange.

I would like to talk to David Janis some more to find out what he is getting at with his posts today.

Court-ordered inspection.

(1) If a corporation does not allow a shareholder who complies with RCW 23B.16.020(1) to inspect and copy any records required by that subsection to be available for inspection, the superior court of the county where the corporation's principal office, or, if none in this state, its registered office, is located may summarily order inspection and copying of the records demanded at the corporation's expense upon application of the shareholder.

(2) If a corporation does not within a reasonable time allow a shareholder to inspect and copy any other record, the shareholder who complies with RCW 23B.16.020 (2) and (3) may apply to the superior court of the county where the corporation's principal office, or, if none in this state, its registered office, is located for an order to permit inspection and copying of the records demanded. The court shall dispose of an application under this subsection on an expedited basis.

(3) If the court orders inspection and copying of the records demanded, it shall also order the corporation to pay the shareholder's costs, including reasonable counsel fees, incurred to obtain the order unless the corporation proves that it refused inspection in good faith because it had a reasonable basis for doubt about the right of the shareholder to inspect the records demanded.

(4) If the court orders inspection and copying of the records demanded, it may impose reasonable restrictions on the use or distribution of the records by the demanding shareholder.

Right on, I'm taking a Business Computer Info Systems class this semester, where we're delving into Excel, Access, and some others. We've touched a little on what you're doing and it sounds fascinating.
im bored right now, its material ive already been over at the college i transfered from. However since i was bored there too i ditched the last 2 weeks of school and the final and got a d in both classes. So now im paying the price for an easy A i could of had. But its cool because now im like the "MENTOR" of the students who dont know anything. Which in C++ programming and AutoCad Drawing, its just about everybody. I keep telling people its easy but they just say "Ya for you" ....

I'ts funny, my C++ teach will hand out a quiz starting with me and by the time shes done passing them out im handing in my quiz. Just makes me laugh, and i just ask myself "why am i here, OH yeah i didnt do what i should have previously (TAKE NOTES MJM). But for the most part its fun im learning a few minute details i didnt know before so i guess i can look at this as fine tuning and sharpening my skills [Smile] .... (take notes bashers, thats being positive)...

Well have a good weekend all and enjoy my visual prediction. If a picture is worth a thousand words then what i did must be pricesless [Cool]

If there is a limit on how many shares can be bought back in a day(25% of daily vol.), is there a limit on how much the company can dump in a day? Why the 9 mil blocks, is there a signifigance to that # ?

Theory: OUTTV was bought with shares. They had to cash in some to pay payroll, crucial obligations, some cash to ceo/owners, etc., Holding the rest to make money in the near future.

Huge discrepancy between Ameritrade vol totals and calculating the A/H's...approx. 420m vs. 5.48b...that's ludicrous.

uwlungman, they were NOT afterhour trades, you should know by now that Pink sheets do NOT trade AH. They were settlement prints from trades that happened earlier, most likely between MM's.......

I look at this past week with over 30 Billion shares trading as POSITIVE for us shareholders. My goodness who do you think bought most of those 30 Billion shares? It sure wasn't us shareholders. I' would guess that less than 15% of all those shares ended up in our hands. What better way to to gain substantial ownership of a company than to acquire a large part of the O/S A/S. Imagine if Company QQQ announced that Company XXX was buying a large part of Company QQQ shares on the open market or even through a private placement, WOW, the share price would have gone crazy. Well that has been circumvented by Company QQQ making those shares available publicly to everyone and now Company XXX could now buy the majority they needed and every wins. Company QQQ sells their majority control, the individual shareholders (you and I) have also been privileged to take advantage of the artificially low share price.

Chicago, IL – For those who have dreamed of performing to a packed stadium in front of a live television audience, the Gay Games Opening and Closing Ceremonies might be that break-out opportunity of a lifetime.

Chicago Games, Inc., the organizers of the 2006 Gay Games VII Sports & Cultural Festival, today issued a Call for Talented Individuals across a spectrum of performance categories for participation in the Opening and Closing Ceremonies for the 2006 Gay Games. Gay Games VII will take place 15-22 July 2006. The Opening Ceremony will take place on Saturday, 15 July, at the 60,000 seat Soldier Field and the Closing Ceremony will take place on Saturday, 22 July, at the 40,000 seat Wrigley Field. Both ceremonies will be produced by Chicago-based Jam Productions, Ltd, and will be carried live by the Q Television Network throughout the USA with international live and taped feeds.

The global search for talent is on and the doors are open to enthusiastic and talented individuals interested in participating in the spectacular field performances being planned for these ceremonies. “If you’ve ever wanted to perform before tens of thousands of people in a huge stadium, this is a powerful opportunity,” said Kile Ozier, creative director of the 2006 Opening and Closing Ceremonies. “The Gay Games are a once-in-a-lifetime chance for the world to experience internationally famous entertainers along with artists and performers from the entire performance spectrum in an environment focused on societal change. We are seeking a diverse and highly talented pool of artists from which to draw performances that people will remember for a lifetime.”

Ozier, who delivered the Gay Games 1994 Opening and Closing Ceremonies in New York, is known for the creation of compelling spectacle in Civic Arenas, stadiums and theme parks. He is gathering an accomplished corps of choreographers and dance community icons to collaborate with him in the creation of powerful field performance for the 2006 ceremonies.

Already on board are Joel Hall, creator and director of the legendary Joel Hall Dancers, and Kevin Iega Jeff, founder of the Deeply Rooted Dance Company; both of Chicago. Broadway choreographer and former Radio City Rockette Michele Lynch has joined the team. Lynch brings worldwide experience choreographing Broadway touring productions and was a part of the crew for the 1994 Gay Games.

All types of artists are asked to participate in this call. The primary focus during the first round of review will be on talented dancers, gymnasts, aerialists and performers of movement. NBC elevates three Burbank executives

NBC announced a shake-up in its Burbank executive ranks, according to reports.

Katherine Pope, an executive at NBC Universal Television Studio, was named executive vice president of NBC Entertainment, the chief deputy to Entertainment President Kevin Reilly. Pope will be in charge of NBC's new series development. Another studio executive, Jeff Ingold, was named head of NBC's comedy development.

NBC said that Michael Thorn was leaving. Roles for Ghen Maynard, Reilly's previous second in command, and comedy development chief Cheryl Dolins have not been determined.

Restaurant to host Chamber mixer

Picanha, a restaurant, will host the Burbank Chamber of Commerce January mixer from 5:30 to 7:30 p.m. Jan. 26 at 269 E. Palm Ave.

Admission is $10 for members and $15 for nonmembers. The cash drawing will be worth $600.

Q Television Network, based in Burbank, added Steve Kmetko to anchor the revamped network news program "QTN World News with Steve Kmetko."

The program airs daily at 4 p.m.

Kmetko, a veteran television personality, was with KCBS in Los Angeles for more than 11 years and appeared frequently as a CBS "This Morning" entertainment reporter.

Kmetko was the co-anchor of "E! News Daily," "E! News Weekend" and E!'s correspondent covering the Academy Awards and Golden Globes.

QTN World News covers current events from the United States and around the world, with correspondents in Orlando, New York City, Boston, Los Angeles, San Francisco, Washington, D.C., London and Moscow

New staffing firm established

Matt Johnston recently founded Workway, a Burbank-based staffing firm specializing in serving the financial industry, to provide temporary, temp-to-hire and direct-hire employees.

The company identifies highly qualified potential employees through an extensive screening process of interviewing, skills testing and reference checking.

Within the financial industry, Workway fills staffing positions that include loan processors, bank tellers, escrow officers and accountants.

Workway employs 45 full-time staff and has 150 customers in Burbank and several other cities and including Irvine, Oak Park, Ill.; Phoenix; Fort Lauderdale, Fla. and Las Vegas.

Johnston previously co-founded and operated TitleTemps, which later became OnStaff, a staffing firm serving the title, escrow and financial industries.

Triangle adds Q network television

Burbank-based Triangle Multi-Media will start accounting for Q Television Network as a 100% wholly owned subsidiary on Tuesday.

Triangle Multi-Media common shareholders now own all of the network's total asset base, including its contracts with Time Warner, Cox Communications, and Australia's SelecTV, as well as advertising revenue, tangible property, subscriber base and an independently audited film library worth over several hundred million dollars, said Frank Olsen, chief executive officer of Triangle Multi-Media and Q Television Network.

Up to 30% of the network might be used for future financing and debt.
