I'm simply relaying what happened on Friday: called Sandy after the PR, got Jennifer's number at NASD; she confirmed that without ex-date, Friday was the last to buy because Monday was a holiday; called back and asked about selling this week and still receiving divvy--she said, basically, "no investment advice, here...call your broker." Later, I spoke with NASD guy in regional office (Dallas). He checked and said TA would account for all divvy shares as of Friday; I asked again, explicitly, "so I can sell Tuesday or any day next week and still get the divvies?"

"Yes," he said, "That is correct."

I suppose my ultimate point here is DD, of course--but also this: Why can't we as traders as get straight answers from our reg agencies?

Tex, I agree with your feelings, but myself, I would be very very nervous about relying on that info! There's an actual 'PAY-DATE' or there is not an actual 'PAY-DATE' for selling.

Date of payment (payable date) – This is the date the company mails out the dividend to the holder of record. This date is generally a week or more after the date of record so that the company has sufficient time to ensure that it accurately pays all those who are entitled.

If shares are not under your control by paydate the dividends convey. The shares are yours T+3 Date of Record...but if you sell your rights to the dividends before being in your possession they convey. Ask youself, why would the SEC address the facts of the Pay-Date and when you can sell?

Rasica: Tape, I have read that some people have had dividends shown in their accounts and they sold only to see the shares convey. I cannot verify this, so take this with tongue in cheek.

Rasica: If the shares of SNYY are predicted to be worthless by some on the board, then Kachina Gold is worthless, the new 15 oil drilling contracts for the first quarter of 2006 are worthless, Terra Block and their contracts are worthless, and any attempt by management for the up-comming year to increase is worthless.

So you see, a 'WARNING' here is necessary to counter all the whining. The WARNING is this, to make such a cursory conclusion that SNYY will be worthless you need a barometer to measure and predict by. WHAT IS THIS BAROMETER, please show it to me?

On the other hand, I bought in at .0003 and at this level of risk, I say spin the wheel and lets see where Kachina Gold Mine, Terra Block, and the OIL goes in a year. I feel comfortable in that. Maybe other do not...I then must ask...why did you buy in the first place, if some MM can SCARE you now in less than a week or two?

Maybe today we get some pr.....I hope. Maybe something like the 2 year, 1 billion share buy back has begun, which I dont think that they can legally anounce. Or maybe they will anounce the merger with Blackout. I dont know....Just something!

That anwser doesn't really make any sense to me. Are they saying that if you have a Scottrade account they won't let you hold restricted shares??? I think there is a communication problem in there somewhere.

Well,

Today and tomorrow should both be very large volume days if what Rascia has been saying is true. If it ends up that way we could see a climb in pps. I tend to think we are going to stay in the cellar here until January. Wouldn't be suprised to see 500-600 mil change hands though.

Ive had nothing but problems with Scottrade customer service. I tried to do a wire transfer THREE times and it NEVER happened. Of course when i wanted to wire funds INTO my Scottrade account it was there in about .2 seconds! How the hell does this company get awarded best in customer service?

How can they just choose NOT to hold restricted stock?

bug, someone else asked Scottrade what would happen, and the rep said the shares would just show up in the account, no need to do anything.

I have restricted shares with scottrade. It cost a small fee to have them transfered.

Below you will find some basic information on how Ameritrade handles restricted stock. Please let us know if you have any additional questions.

RESTRICTED-STOCK HANDLING GUIDELINES - SEC RULE 144

Important information: Please retain for future reference.

- Restricted stock requires legal items and special handling, and will be subject to a $250 restricted security processing fee per submission to the transfer agent.

Please note: you may be subject to multiple restricted security processing fees.

- Ameritrade requires you to deposit your restricted stock into an account with margin privileges. Please complete a Margin/Option Account Upgrade Form if you do not currently hold a margin account.

- Ameritrade requires you to hold at least $2,000 in equity in your account in addition to your deposit of restricted stock.

- Ameritrade must receive your stock certificate, completed Rule 144 Client Pledge, completed Rule 144 Client Statement, and completed SEC Form 144 before your sale is initiated.

- Ameritrade must receive a legal opinion prior to sending the shares to the transfer agent for processing.

- The total processing time normally ranges from four to six weeks.

- Ameritrade will file the required forms on your behalf.

- You will have approximately ninety (90) days from the date stated on the SEC Form 144 to liquidate your shares. After ninety (90) days the certificate will be subject to delivery of any shares sold, which can include a break down of the shares. Shares not sold may be sent back to you or held for continued processing. Additional restricted security processing fees may be assessed at this time.

- If you wish to extend the trading period for an additional ninety (90) days, a new SEC Form 144 and a Stock Power will be required. Additional fees may apply.

- Your transactions may also be subject to additional fees:

- Extension fees of $25 per executed order may apply if any of the stock is sold before processing is completed. These charges will occur every ten (10)-business days per executed order until shares have cleared.

- Fees charged to Ameritrade ("Pass Through" fees) may also be assessed to your account. These fees may vary in amount.

-For instructions on other types of restrictions, please go to "Open an Account" on the Ameritrade Web site. You will find these documents under "Additional Forms" and then "Stock Certificate Transfers". Or, if you are logged into your trading account, the Forms menu is located under the "Account" menu.

-Proceeds from sale transactions are not available for withdrawal or trading purposes until processing has been completed, funds are cleared and shares are delivered. Your account is subject to repurchase of shares if they are sold prior to completion of any required processing.

I contacted STrade again yesterday to verify, and now they gave me different info:

We would suggest contacting the company that issued the shares and ask them what their procedure is once the shares become un-restricted. You will probably need to submit the old "restricted" shares and would receive new shares that are un-restricted. There may or may not be a charge for this. But the company should be able to provide details on how to proceed.

Trying to get consistent information from any major company is a crapshoot. I'm not concerned about the restricted divvies right now. If SNYY has value a year from now, I'll find the best way to proceed from there.

Anyone else notice the last couple trades seem like too much of a patern?

A long gap in trading... a small buy at .0007 followed immediately by a small buy at .0006

A gap for exactly twenty minutes and then the same thing happens.

I'm not really a "Big Bad MM" type guy but the activity seems a little bit odd.

Foot, kinda looks like mirror trades to keep us at 6. I don't think they want this running, rather I think they want to continue to pick up as many shares as they can at this level so they can cover any shorts.

I would caution against going through the time and expense to have your shares of SNYY unrestricted, because I don't think at this point you'd get your sell order filled.

PEOPLE....can we get over the restriction talk. the past like 4-6 pages are repeat of the same info! copy and pastes of SEC rules...this subject has been coverd enough.


you have a one year restriction unless the company doesnt let it go. thats basically it. you wont be able to do crap with the divy for at least a year so get over it already!

Agreed Sleep,

Right now SNYY has very little activity or interest on the market. A lot can change in a year which would be nice...but I'm not counting on it. I am counting on a good bounce from FCDH this Jan. We will see.

Tech, I don't really know what to make of it. Then again the rest of my radar is sluggish today as well. Could be just a crap day on the markets. I'll watch for a while longer but I think I am going to shut down this afternoon and wait til tomorrow. See-saw's just aren't that much fun anymore. [Smile]
