I don't think there is any question of the BIG picture the os is still small in terms of the otc. Someone is buying these shares. When they let this go which I am assuming will be in Jan we could go to .15-.20 easily...I think we get more news into the new year and maybe some promotion that would be nice

Unfortunately I dumped ALL my monies into MOTG when it hit 0.055 thinking that this great co. can't go any lower. I still believe in Welch just don't have any more $$$ available to buy at this bargain basement price. Good luck to all, hold long and lets rock this thing. Merry Christmas.

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing On December 20, 2005, Harvey Electronics, Inc. ("Harvey" or the "Company") received a Nasdaq Staff deficiency letter (the "Letter"), indicating that the Company is not in compliance with the $1.00 minimum closing bid price requirement for continued listing on The Nasdaq Capital Market as set forth in Marketplace Rule 4310(c)(4) (the "Rule"). Harvey received the Letter because the bid price of Harvey's Common Stock closed below $1.00 per share for 30 consecutive business days.
The Letter also stated that, in accordance with Marketplace Rule 4310(c)(8)(D), Harvey will be provided 180 calendar days, or until June 19, 2006, to regain compliance. In accordance with Marketplace Rule 4310(c)(8)(E), if at any time before June 19, 2006, the bid price of the Company's common stock closes at or above $1.00 per share for a minimum of ten consecutive business days, the Company will be provided written notice that it complies under the Rule.
If compliance with the Rule cannot be demonstrated by June 19, 2006, the Staff will determine whether Harvey meets The Nasdaq Capital Market initial listing criteria set forth in Marketplace Rule 4310(c), except for the bid price requirement. If the Company meets the initial listing criteria, the Company will be given notice that it has been granted an additional 180 calendar-day period to comply with the Rule. If it is determined that the Company is not eligible for this additional compliance period, the Company will be provided written notice that its securities will be delisted. At that time, the Company may appeal to a Listing Qualifications Panel the Staff's determination to delist its securities.
Harvey has not yet determined what action, if any, it will take in response to this notice, although Harvey intends to monitor the closing bid price of its Common Stock between now and June 19, 2006, and to consider available options if its Common Stock does not trade at a level likely to result in Harvey regaining compliance with the Nasdaq minimum closing bid price requirement.
I think he is very close to striking a deal with Harvey Electronics...In fact, I know he is....

It makes the most sense doesn't it. Is it that far of a stretch....HRVE wants to stay on the Nasdaq and we want on the Nasdaq....so we do a Statuatory merger...HRVE has an os of 3.5mil and is illiquid...their shareholders are in somewhat of a pickle they are facing delisting. If we come in and combine we would have a company doing 60-70 mil in rev's. We wouldn't have to face to much dillution. 1.5 mil could buy half the company via shares. Secondly if we were to offer shareholder 3 shares of motg that would only dillute us by 10-15 mil at most. I say 3 because of forward valuation. After the deal there is no way we are at .05 cents. Right now we should be at .30 so if I held hrve and it was going lower what would i do. Take shares of the new company...we could easily be two dollars as a 70mil dollar company...What you guys might want to think about is that Welch used to work for Maxim LLC the market maker...he worked in mergers and aquisitons this isn't his first go around either.........

WOW thanks WHG. You are right emich HRVE only has a market cap of 2.6 million AND FALLING. If would be so easy for MOTG to buy out this company. MOTG's headquarters are very close to HRVE's they are located in LYNDHURST, N.J.

**on another note I havent recieved a response from Welch, he must still be on vacation lol
I tried all morning the other day to get in under .05 and they wouldn't let me Ever since, I've seen it at bargain prices, hehe. Go figure!
