(1) Our Articles of Incorporation was amended to change our name to Nord Oil International, Inc.; and
(2) We effected a 1-for-12 reverse stock split of our issued and outstanding Common Stock.
The Board of Directors has fixed the close of business on August 29, 2005, as the Record Date for determining the Stockholders entitled to Notice of the foregoing.
The Company has asked brokers and other custodians, nominees and fiduciaries to forward this Information Statement to the beneficial owners of the Common Stock held of record by such persons and will reimburse such persons for out-of-pocket expenses incurred in forwarding such material.
THIS IS NOT A NOTICE OF A MEETING OF STOCKHOLDERS AND NO STOCKHOLDERS' MEETING WILL BE HELD TO CONSIDER ANY MATTER DESCRIBED HEREIN.
Shareholders of record at the close of business on August 18, 2005, the Record Date, are entitled to notice of the action to be effective on or about September 19, 2005. Each share of our common stock entitles its holder to one vote on each matter submitted to the shareholders. However, because the shareholders holding at least a majority of the voting rights of all outstanding shares of capital stock as of the Record Date have voted in favor of the foregoing actions by resolution; and having sufficient voting power to approve such proposals through their ownership of the capital stock, no other consents will be solicited in connection with this Information Statement.

This was in the Sept 19 Press Release The company also announced that the website http://www.nordoil.com will be officially launched on September 28, 2005. The company also planned to be fully reporting by no later than October 15, 2005 and expects the reverse split and name change to occur on or before September 28, 2005.

hi every body i wish i could be here in the days this is sure an exciting time i did pick up some more shares today as far as i can see unless we here some different news tomorrow is the day we are nord i heard that mr amoyt got back from moscow today that was from r/b so maybe a good pr tomorrow glta

Toronto- and London-listed Nelson (CA:NLG: news, chart, profile) (UK:NLG: news, chart, profile) , an oil exploration and production company with operations in the Republic of Kazakhstan, said it has formed a committee to review the C$2.57 a share proposal. Nelson added that both parties have agreed to negotiate definitive agreements by Oct. 12.
The price offered by Lukoil (LUKOY: news, chart, profile) (UK:LKOB: news, chart, profile) is 13% lower than Nelson's closing price of C$2.96 on Thursday. Nelson shares slid 7% in London.
The offer comes on the heels of Russian gas group Gazprom's deal to buy oil group Sibneft for $13.1 billion.
Nelson said that the committee is particularly focused on insuring that an offer is made for 100% of Nelson shares. Nelson's principal shareholders hold 57% of the company.
Lukoil, which is 14.5%-owned by ConocoPhillips (COP: news, chart, profile) , is trying to expand beyond Russia to escape a rising tax burden there.
As part of a drive to grow its reserves, Lukoil is also in talks to buy half of the Kazakh oil venture it has with the China National Petroleum Corp.
Lukoil is also one of three serious contenders for the acquisition of Yukos' stake in Lithuanian producer Mazeiku Nafta, along with TNK-BP and Austrian Baltic Holding.
Earlier this month, Nelson said it remains confident it will meet its 2005 guideline production guidance of 32,531 barrels a day on ramped-up drilling activities in the second half of the year.
Looking ahead to 2006, BMO Nesbitt Burn said in a note to clients that it sees growth at the Alibekmola and North Buzachi fields to underpin production, which is expected to average 45,348 barrels a day.
Still, higher taxes could take a toll.
"Although Nelson stands to benefit from a currently robust crude oil price environment, excess profit taxes may very well be incurred in 2006, thereby resulting in a higher than expected effective tax rate and effectively truncating profitability upside," the broker said

I'm considering calling. I suppose multiple calls are better than single ones. No explanation seems odd, but I guess they are adhering to the penny stock mentality.

i don't understand why this is taking so long... stocks are splitting all around us but here we sit. maybe its taking longer because they want to go the the nasdaq or amex instead of just otc. that would be a kick wouldn't it?

I just called Nord. A lady answered the phine in french. I asked her if la fles le petit bouguw. She said No. just kidding. She said she speaks english and connected me with Amoyt. Got a recording that he is unavailable today. Leave a message. I hung up. Thats the name of that tune. 59 cents a minute to call Quebec on my plan. There should be news soon. Nord said they were going to do something by the 15th of Oct.
