MONTREAL, Aug 18, 2005 (PRIMEZONE via COMTEX) -- Bio-Tracking Security Inc./ Nord Oil International Inc. (Pink Sheets:BTSI) released a corporate update today, further to the numerous telephone and e-mail inquiries received by stockholders and investors.
Status of the Acquisition of Nord Oil
The acquisition of Nord Oil was concluded and announced on June 23, 2005. The transaction consists of the acquisition of 100% of Nord Oil and all subsidiaries, including but not limited to the oil option rights on the samara properties licenses of Yemelyanov and Khelbnov, which have a total of 15 million barrels in proven reserves and 33 million in probable reserves, and where such acquisition will be done on a share exchange basis. BTSI will issue a total of 180 million shares post a reverse stock split of 1 for 12.
BTSI currently has 342 million shares outstanding, which will result in approximately 28.5 million shares post reverse stock split and once the shares issued for the acquisition as well as the finders fee, Nord Oil International will have a total of approximately 216 million shares outstanding.
The transaction and the shares are deemed to have been concluded and issued, where the company will now proceed to file the required 14c form with the Securities and Exchange Commission to perform the reverse stock split of 1 for 12, change the name from Bio-Tracking Security Inc. to Nord Oil International Inc. and change the ticker symbol.
Bio-Tracking/ Nord Oil International Inc. is currently concluding the consolidated financial statements with RSM Top-Audit of Moscow, Russia, and will be filing any and all required financials and or information required by the Securities and Exchange Commission and the NASD in order to be current and reinstated to the OTCBB, or if requirement can be met, the company will request to trade on the AMEX or NASDAQ SCM.
The company announced on June 24, 2005 that it was planning to have its corporate website available with any and all information on the company and its properties by middle of August. However, even though the corporate website's URL is available www.nordoil.com, management have not been able to launch the website as planned due to the amount of technical translation required from Russian to English. The company's new objective is to complete all required filings and launch its corporate website by or before October 1, 2005.

I don't see the calc where you get .37 pre split.

Currently (pre-split):
342 million shares O/S = 975/342 = 2.85 pps

Post Split:
216 Million shares O/S = 975/216 = 3.51 pps

Current pps = .02

So, qq still remains: Is the rs completed?

I calculate post R/S at near 4.00/share for proven reserves. ($ 975 million divided by 216 million Nord shares and 28.5 million BTSI shares; or about 244 million post R/S shares). But remember that's gross revenue generated over several years. Still that's an awesome amount of income for the price of these shares.

And If I see this correctly, it's a bad buy presplit in this case becuase there is massive dilution happening (180 million shares)?

News isnt that good. Most people in this are long term and the date just went from Aug - Sept to Oct.

I for one am long. Disappointed with the Oct. 1 date, but with the PROVEN oil fields... I can wait. I went into this one knowing I was going to hold for a year at least, so I'm not too jazzed up over a month.

(1) Our Articles of Incorporation was amended to change our name to Nord Oil International, Inc.; and


(2) We effected a 1-for-12 reverse stock split of our issued and outstanding Common Stock.

The Board of Directors has fixed the close of business on August 29, 2005, as the Record Date for determining the Stockholders entitled to Notice of the foregoing.

The Company has asked brokers and other custodians, nominees and fiduciaries to forward this Information Statement to the beneficial owners of the Common Stock held of record by such persons and will reimburse such persons for out-of-pocket expenses incurred in forwarding such material.

Shareholders of record at the close of business on August 18, 2005, the Record Date, are entitled to notice of the action to be effective on or about September 19, 2005. Each share of our common stock entitles its holder to one vote on each matter submitted to the shareholders. However, because the shareholders holding at least a majority of the voting rights of all outstanding shares of capital stock as of the Record Date have voted in favor of the foregoing actions by resolution; and having sufficient voting power to approve such proposals through their ownership of the capital stock, no other consents will be solicited in connection with this Information Statement.


The elimination of the need for a meeting of stockholders to approve this action is made possible by Section 607.0704 of the Florida Business Corporation Act which provides that the written consent of the holders of outstanding shares of voting capital stock, having not less than the minimum number of votes which would be necessary to authorize or take such action at a meeting at which all shares entitled to vote thereon were present and voted, may be substituted for such a meeting. In order to eliminate the costs involved in holding a special meeting of our stockholders, our Board of Directors voted to utilize the written consent of the holders of a majority in interest of our voting securities. THE COMPANY


History and Development of Bio-Tracking Security Systems, Inc.


Bio-Tracking security Inc. of Montreal, Quebec, designs and manufactures vehicle and asset tracking and security systems, based on patent pending, Inertial Navigation, Biometric Fingerprint Identification and Spread Spectrum Communication technologies.

The Bio Tracking Security’s proprietary technology precisely determines if a person is an authorized user of a vehicle or any other piece of equipment protected by Bio-Tracking. Our proprietary Biometric Fingerprint ID is a technology unmatched and amazingly reliable.

The Company has a new product and service offering in the field of vehicle security, which, once installed, becomes a platform for new in-vehicle information, communication and entertainment products. In addition to effective theft prevention, this platform demonstrates measurable value for the vehicle owner, driver, dealership, manufacturer, insurance company and law enforcement agency. The device when combined with a programmable computer and a biometric identification system, wireless interconnection methods and inertial tracking technology, provides such features as driver privilege control, remote shutdown and unlock, and tracking under the most extreme circumstances. The antitheft system, which has already been prototyped and field tested, far exceeds the industry’s current standard features, effectiveness, and overall value. The next generation system can offer two-way messaging and remote diagnostics.

On June 15, we completed our acquisition of Nord Oil, Inc., a Delaware corporation, pursuant to a Share Exchange Agreement.

AMEND THE ARTICLES OF INCORPORATION TO
CHANGE OF NAME OF THE COMPANY

On June 15, we completed our acquisition of Nord Oil, Inc., a Delaware corporation, pursuant to a Share Exchange Agreement. One condition to the Shares Exchange Agreement was a s follows:


Section 7.07. Board and Shareholder Approval. (a) Prior to the Closing, Bio-Tracking shall obtain the approval of its Board of Directors of this Agreement and the transactions contemplated hereby.


(b) Bio-Tracking shall cause an Information Statement on Schedule 14C to be filed with the SEC and mailed to its shareholders of record disclosing that Bio-Tracking has entered into this Agreement and also the transactions contemplated hereby. Such Information Statement shall also provide that Bio-Tracking intends to change its name to “Nord Oil International Inc.”, along with any other action of which Bio-Tracking requires shareholder approval in order to close this Agreement in accordance with the terms hereof. Shareholders of Bio-Tracking holding at least a majority of Bio-Tracking’s issued and outstanding shares of common stock, as of the record date, shall approve of this Agreement and the transactions contemplated hereby either by proxy or written consent.


Accordingly, we are fulfilling our contractual obligation pursuant to the Share Exchange Agreement by changing our name to Nord Oil International, Inc.


This action has been approved by the Board and the written consents of the holders of the majority of the outstanding voting capital stock of the Company.


REVERSE SPLIT

MATERIAL TERMS OF THE REVERSE SPLIT

The Board has unanimously adopted and shareholders holding a majority of the Common Stock have approved a resolution to effect a one-for-one twelve (1:12) reverse stock split (the "Reverse Split") of the Common Stock. The Board and such shareholders believe that the Reverse Split is in the Company's best interests, principally because it may increase the trading price of the Common Stock. An increase in the price of the Common Stock may, in turn, generate greater investor interest in the Common Stock, thereby enhancing the marketability of the Common Stock to the financial community. In addition, the resulting reduction in the number of issued and outstanding shares of Common Stock will provide the Company with additional authorized but unissued shares which could be utilized for future acquisitions or mergers or to otherwise carry out the Company's business objectives. Presently, our stock is trading on the “pink sheets” under the symbol of BTSI. On August 18, 2005, the closing price of our shares of common stock was $0.02.

The immediate effect of the Reverse Split will be to reduce the number of presently issued and outstanding shares of Common Stock from approximately 342,865,401 to approximately 28,572,117. Although the Reverse Split may increase the market price of the Common Stock, no such increase can be assured or calculated. The market price of the Common Stock may not rise in proportion to the reduction in the number of shares outstanding as a result of the Reverse Split, nor can there be any assurances that the Reverse Split will lead to a sustained increase in the market price of the Common Stock. The market price of the Common Stock may also change as a result of other unrelated factors, including the Company's operating performance and other factors related to its business as well as general market conditions.

Another potential benefit of the Reverse Split would be a substantial reduction in the transaction costs associated with trading in the Common Stock. In most cases, trading costs include both "brokers" trading commissions and the "indirect cost" of "dealer markup" - that is, the difference between the buying and selling prices of dealers in a given stock (the "bid-ask spread"). Further, the Board of Directors and the majority shareholders believe that the reduction in the number of shares of Common Stock outstanding, without any corresponding material alteration in the economic composition of the Company or the relative interests of the stockholders could enhance the public and institutional perception of the Company's Common Stock and thus generate investor interest.

The Reverse Split will affect all of the holders of the Company's Common Stock uniformly and will not affect any shareholder's percentage ownership interest in the Company or proportionate voting power, except for insignificant changes that will result from the rounding up of fractional shares.

The Reverse Split of the Common Stock is expected to become effective on or about August ___, 2005 (the "Effective Date"). Upon the Effective Date, the Company will notify the National Association of Securities Dealers, requesting that the split be made effective on the Effective Date. The Reverse Split will take place on the Effective Date without any action on the part of the holders of the Common Stock and without regard to current certificates representing shares of Common Stock being physically surrendered for certificates representing the number of shares of Common Stock each shareholder is entitled to receive as a result of the Reverse Split. New certificates of Common Stock will not be issued at this time.

No fractional shares will be issued in connection with the Reverse Split. Shareholders who would otherwise be entitled to receive fractional shares because they hold a number of shares of Common Stock that is not evenly divisible by 12 will have the number of new shares to which they are entitled rounded to the nearest whole number of shares. No shareholders will receive cash in lieu of fractional shares.

We do not have any provisions in our Articles, by laws, or employment or credit agreements to which we are party that have anti-takeover consequences. We do not currently have any plans to adopt anti-takeover provisions or enter into any arrangements or understandings that would have anti-takeover consequences. In certain circumstances, our management may issue additional shares to resist a third party takeover transaction, even if done at an above market premium and favored by a majority of independent shareholders.

The Company cannot predict whether the Reverse Split will increase the market price for the Common Stock. The history of similar stock split combinations for companies in like circumstances is varied. There can be no assurance that:

· the market price per share of the Common Stock after the Reverse Split will rise in proportion to the reduction in the number of shares of the Common Stock outstanding before the Reverse Split;


· will not adversely impact the market price of the Common Stock as a result of negative investor opinion;


· the Reverse Split will result in a per share price that will attract brokers and investors who do not trade in lower priced shares; and


· the Reverse Split will result in a per share price that will increase the Company's ability to attract and retain employees and other service providers.




The Company does not, at this time, have any specific plans, proposals or arrangements to issue any of the newly authorized shares of common stock for any purpose, including future acquisitions and/or financings.

The following summary of material federal income tax consequences of the Reverse Split does not purport to be a complete discussion of all of the possible federal income tax consequences. Further, it does not address any state, local, foreign or other income tax consequences, nor does it address the tax consequences to shareholders that are subject to special tax rules, such as banks, insurance companies, regulated investment companies, personal holding companies, foreign entities, nonresident alien individuals, broker-dealers and tax-exempt entities. Pre-Split -vs- Post Split PPS valuation...

I had posted this on RB about a month ago. It seems a few of your here are asking the same questions as we did. Also keep in mind I have been through this before with SPRL...And it was MUCH BETTER to have bought in Pre R/S-Split -vs- Post R/S Split...In that case too, the MM's tried to bring the PPS down during the weeks/days prior to effecting the split. So I am ready!...Bring it down!...I will be adding until September 19th! (The approx. post-split day of our new Symbol and name change as per the as per the 14c Filing)
Now here is the copy of valuation below:

In terms of an accumulation point pre-split, the most 'modest' or conservative method would be to use the (when-issued O/S share count) of 216 million (times 12) to get a representation of share structure pre-split (thus would equal for math purposes) 2.592 billion. That said the proven and probable reserves of 48 Mbls of Oil @ $30/Bl = $ 1,444,000,000. (Lets Minus 80% discount to PPS for time of extraction and other factors) Then = @ 288,000,000. (Divided by the 2.592 billion 'as If-Issued" pre-split shares) Then we would value basic accumulation/value at $.12/share pre-split.
HOWEVER, that said, every 1 million shares now will be 83,333, post-split. That given and the fact that there is ONLY 340,000,000. O/S right now gives us EXTRA leverage because there are NOT 2.592 billion O/S! In fact there is About 7 Times LESS then that right now O/S. So IF lets just say you purchased ALL 340,000,000. O/S pre-split...Then you would own 28,333,333. of the post-split 36 million public float (of 216 million total) O/S after split. This would cost you $ 6,800,000. @ .02 right now.
Follow me here...THIS is why the shares are SO CHEAP Right Now: Conversely, using the same values as above, now take your same (Mrkt. cap) value as above of $ 288,000,000. Now (divide that by the post-split O/S shares of 216 million) It = $ 1.34/share.....Now HOW Many do you have? 28,333,333. Right!?... (Times the equivalent post-split valuation) of $1.34/share...How much is it Worth?
$ 37,966,666.! Remember it ONLY Cost you $ 6,800,000.!
The above example CLEARLY demonstrates that we have Significant Leverage pre-split as compared to buying post-split shares! NOT to mention that once we are post-split, shares will be harder/less available then now because of the fact that 180 mil. of the 216 Mil. O/S will be RESTRICTED! [Wink]

Clancy's Judgment Against Basher Upheld

Monday July 26, 12:19 pm ET

DENVER--(BUSINESS WIRE)--July 26, 2004--Clancy Systems International, Inc. (OTCBB:CLSI - News), a leading developer of parking enforcement solutions, was notified on Friday that it's judgment against a basher who had harassed the company for almost three years at various chat room sites, including Raging Bull, was upheld by the Massachusetts Supreme Court. The Company intends to pursue the judgment award.

In a case originally filed with the Superior Court of the Trial Court of the Commonwealth of Massachusetts in September of 2000, the Company sought the identities of John Does 1-10 and filed a claim for damages. This was done as a result of an ongoing barrage of false, defamatory and slanderous remarks about the Company, its officers, its employees and shareholders that were made on Raging Bull and other chat room sites. The persons who perpetrated these falsehoods did so by posting their remarks under alias identities. Once the true identities were disclosed, the individuals were notified to cease and desist their actions. One individual continued his activities which included profanities and death threats. As the postings by this individual did not cease, the Company pursued the case.

The Company was awarded a judgment against the defendant on October 31, 2001. The defendant then began a process of filing appeals through the Massachusetts Court System. The final appeal to the Massachusetts Supreme Court was filed in June 2004.

Throughout this lengthy process, the defendant never provided proof that he at any time owned shares of the Company. He never contacted the Company directly to verify information. It appears that this was a recreational activity. There were over 5,000 posts during the period, and on some days the posts were continual for 10 to 12 hours.

While the Company feels the verdict is just, Company officials expressed sadness that they were forced to take this matter to the courts in the first place. "It has been a terrible ordeal for the Company and its shareholders. We have spent a great deal of time on this matter and wasted valuable Company financial resources. While we understand that a forum like Raging Bull offers an opportunity for favorable and unfavorable comments about publicly held companies, this individual violated all terms of service and went beyond the acceptable rules for posting," stated L. Wolfson, a Company spokesperson.

History and Development of Bio-Tracking Security Systems, Inc.


Bio-Tracking security Inc. of Montreal, Quebec, designs and manufactures vehicle and asset tracking and security systems, based on patent pending, Inertial Navigation, Biometric Fingerprint Identification and Spread Spectrum Communication technologies.

The Bio Tracking Security’s proprietary technology precisely determines if a person is an authorized user of a vehicle or any other piece of equipment protected by Bio-Tracking. Our proprietary Biometric Fingerprint ID is a technology unmatched and amazingly reliable.

The Company has a new product and service offering in the field of vehicle security, which, once installed, becomes a platform for new in-vehicle information, communication and entertainment products. In addition to effective theft prevention, this platform demonstrates measurable value for the vehicle owner, driver, dealership, manufacturer, insurance company and law enforcement agency. The device when combined with a programmable computer and a biometric identification system, wireless interconnection methods and inertial tracking technology, provides such features as driver privilege control, remote shutdown and unlock, and tracking under the most extreme circumstances. The antitheft system, which has already been prototyped and field tested, far exceeds the industry’s current standard features, effectiveness, and overall value. The next generation system can offer two-way messaging and remote diagnostics.

On June 15, we completed our acquisition of Nord Oil, Inc., a Delaware corporation, pursuant to a Share Exchange Agreement.

AMEND THE ARTICLES OF INCORPORATION TO
CHANGE OF NAME OF THE COMPANY

On June 15, we completed our acquisition of Nord Oil, Inc., a Delaware corporation, pursuant to a Share Exchange Agreement. One condition to the Shares Exchange Agreement was a s follows:


Section 7.07. Board and Shareholder Approval. (a) Prior to the Closing, Bio-Tracking shall obtain the approval of its Board of Directors of this Agreement and the transactions contemplated hereby.


(b) Bio-Tracking shall cause an Information Statement on Schedule 14C to be filed with the SEC and mailed to its shareholders of record disclosing that Bio-Tracking has entered into this Agreement and also the transactions contemplated hereby. Such Information Statement shall also provide that Bio-Tracking intends to change its name to “Nord Oil International Inc.”, along with any other action of which Bio-Tracking requires shareholder approval in order to close this Agreement in accordance with the terms hereof. Shareholders of Bio-Tracking holding at least a majority of Bio-Tracking’s issued and outstanding shares of common stock, as of the record date, shall approve of this Agreement and the transactions contemplated hereby either by proxy or written consent.


Accordingly, we are fulfilling our contractual obligation pursuant to the Share Exchange Agreement by changing our name to Nord Oil International, Inc.


This action has been approved by the Board and the written consents of the holders of the majority of the outstanding voting capital stock of the Company.


REVERSE SPLIT

MATERIAL TERMS OF THE REVERSE SPLIT

The Board has unanimously adopted and shareholders holding a majority of the Common Stock have approved a resolution to effect a one-for-one twelve (1:12) reverse stock split (the "Reverse Split") of the Common Stock. The Board and such shareholders believe that the Reverse Split is in the Company's best interests, principally because it may increase the trading price of the Common Stock. An increase in the price of the Common Stock may, in turn, generate greater investor interest in the Common Stock, thereby enhancing the marketability of the Common Stock to the financial community. In addition, the resulting reduction in the number of issued and outstanding shares of Common Stock will provide the Company with additional authorized but unissued shares which could be utilized for future acquisitions or mergers or to otherwise carry out the Company's business objectives. Presently, our stock is trading on the “pink sheets” under the symbol of BTSI. On August 29, 2005, the closing price of our shares of common stock was $0.02.

The immediate effect of the Reverse Split will be to reduce the number of presently issued and outstanding shares of Common Stock from approximately 342,865,401 to approximately 28,572,117. Although the Reverse Split may increase the market price of the Common Stock, no such increase can be assured or calculated. The market price of the Common Stock may not rise in proportion to the reduction in the number of shares outstanding as a result of the Reverse Split, nor can there be any assurances that the Reverse Split will lead to a sustained increase in the market price of the Common Stock. The market price of the Common Stock may also change as a result of other unrelated factors, including the Company's operating performance and other factors related to its business as well as general market conditions.

Another potential benefit of the Reverse Split would be a substantial reduction in the transaction costs associated with trading in the Common Stock. In most cases, trading costs include both "brokers" trading commissions and the "indirect cost" of "dealer markup" - that is, the difference between the buying and selling prices of dealers in a given stock (the "bid-ask spread"). Further, the Board of Directors and the majority shareholders believe that the reduction in the number of shares of Common Stock outstanding, without any corresponding material alteration in the economic composition of the Company or the relative interests of the stockholders could enhance the public and institutional perception of the Company's Common Stock and thus generate investor interest.

The Reverse Split will affect all of the holders of the Company's Common Stock uniformly and will not affect any shareholder's percentage ownership interest in the Company or proportionate voting power, except for insignificant changes that will result from the rounding up of fractional shares.

The Reverse Split of the Common Stock is expected to become effective on or about August ___, 2005 (the "Effective Date"). Upon the Effective Date, the Company will notify the National Association of Securities Dealers, requesting that the split be made effective on the Effective Date. The Reverse Split will take place on the Effective Date without any action on the part of the holders of the Common Stock and without regard to current certificates representing shares of Common Stock being physically surrendered for certificates representing the number of shares of Common Stock each shareholder is entitled to receive as a result of the Reverse Split. New certificates of Common Stock will not be issued at this time.

No fractional shares will be issued in connection with the Reverse Split. Shareholders who would otherwise be entitled to receive fractional shares because they hold a number of shares of Common Stock that is not evenly divisible by 12 will have the number of new shares to which they are entitled rounded to the nearest whole number of shares. No shareholders will receive cash in lieu of fractional shares.

We do not have any provisions in our Articles, by laws, or employment or credit agreements to which we are party that have anti-takeover consequences. We do not currently have any plans to adopt anti-takeover provisions or enter into any arrangements or understandings that would have anti-takeover consequences. In certain circumstances, our management may issue additional shares to resist a third party takeover transaction, even if done at an above market premium and favored by a majority of independent shareholders.

The Company cannot predict whether the Reverse Split will increase the market price for the Common Stock. The history of similar stock split combinations for companies in like circumstances is varied. There can be no assurance that:

· the market price per share of the Common Stock after the Reverse Split will rise in proportion to the reduction in the number of shares of the Common Stock outstanding before the Reverse Split;


· will not adversely impact the market price of the Common Stock as a result of negative investor opinion;

Kids Kids, nothing is happening with this stock for another 2 weeks.....it's gonna go from .016 -.024 fluxuation.
Folks are putting their money into other things until then.
From another board, from a reliable source, a guy chatted on the phone with the president today and Mr Amyot the pres. said the reverse split will be happening in about 30 days, so no need to freask on this. Just rest. The pay off will come in october

Pre-Split -vs- Post Split PPS valuation...

I had posted this on RB about a month ago. It seems a few of your here are asking the same questions as we did. Also keep in mind I have been through this before with SPRL...And it was MUCH BETTER to have bought in Pre R/S-Split -vs- Post R/S Split...In that case too, the MM's tried to bring the PPS down during the weeks/days prior to effecting the split. So I am ready!...Bring it down!...I will be adding until September 19th! (The approx. post-split day of our new Symbol and name change as per the as per the 14c Filing)
Now here is the copy of valuation below:

In terms of an accumulation point pre-split, the most 'modest' or conservative method would be to use the (when-issued O/S share count) of 216 million (times 12) to get a representation of share structure pre-split (thus would equal for math purposes) 2.592 billion. That said the proven and probable reserves of 48 Mbls of Oil @ $30/Bl = $ 1,444,000,000. (Lets Minus 80% discount to PPS for time of extraction and other factors) Then = @ 288,000,000. (Divided by the 2.592 billion 'as If-Issued" pre-split shares) Then we would value basic accumulation/value at $.12/share pre-split.
HOWEVER, that said, every 1 million shares now will be 83,333, post-split. That given and the fact that there is ONLY 340,000,000. O/S right now gives us EXTRA leverage because there are NOT 2.592 billion O/S! In fact there is About 7 Times LESS then that right now O/S. So IF lets just say you purchased ALL 340,000,000. O/S pre-split...Then you would own 28,333,333. of the post-split 36 million public float (of 216 million total) O/S after split. This would cost you $ 6,800,000. @ .02 right now.
Follow me here...THIS is why the shares are SO CHEAP Right Now: Conversely, using the same values as above, now take your same (Mrkt. cap) value as above of $ 288,000,000. Now (divide that by the post-split O/S shares of 216 million) It = $ 1.34/share.....Now HOW Many do you have? 28,333,333. Right!?... (Times the equivalent post-split valuation) of $1.34/share...How much is it Worth?
$ 37,966,666.! Remember it ONLY Cost you $ 6,800,000.!
The above example CLEARLY demonstrates that we have Significant Leverage pre-split as compared to buying post-split shares! NOT to mention that once we are post-split, shares will be harder/less available then now because of the fact that 180 mil. of the 216 Mil. O/S will be RESTRICTED!

I have no idea what the split will to do it..usually it is not a good sign, but in this situation with an appropriate PR out, pointing out that one (pre-split) share of .02 equal something like $ 4.00/in oil reserves - anything could happen...

this whole picture is going to change when people see the actual name change and posted business plan looks like from every thing i have read that the r/s and name change are going on time as well as the posted business plan and numbers right before the r/s takes place so on friday we may see the pps go up who knows i am going to roll the dice and buy whati can tomorrow i have been in this a long time now waiting for this day glta and remember nothing is for sure in this game but i have done more dd on this than i have ever done on anything most of it when oil was about $40. a barrel

this is so under valued, people are all over AMEP and that company has less than 1 / 200TH the potential of BTSI/NORD! . when this stock hits four bucks a share there will be people all over this thread talking about how they cant beleive they missed this one. AMEP may be a good company with real potential but BTSI/NORD has them beat hands down! more than 800$ million in proven reserves and over 1.5$ billion in probable reserves in one of the richest oil regions on the planet!, this is one R/S people should be buying, after the split and name change the news that comes out will make this fly!! 2$,3$ 5$ 8$!!!! these numbers mean exspansion in a BIG way! NORD will be a multi billion dollar company! and I got in on the ground floor!! yee ha!!

Here's my very conservative post on this......

It seems the overall sentiment of many investors is to wait till after the r/s before getting in because they beleive there will be a dip at the split.
I think this will have dips, but this also could take off from the r/s and not look back, well at least from where it's at now. This is why I urge anyone who's juiced on this to get in now, if you're looking long.
I just read a post. It said Profits flow from the impatient to the patient. There's some patience required here. With all the hurricane and oil stocks spiking lately, investors are all feverish to get into one of those stocks.
That will all die down and then they will have to go back to looking at hard numbers on undervalued companies for their picks. That's where this pick comes in. The hard numbers will reflect the value of this gem in due time.
If you are tired of loosing money swing or day trading, and the purpose you got into the market in the first place was to make alot of money, this is your play. Remember the reason why you got into the market, not really to be rich, but to make your life better. This is an easy 5 bagger in 6 months and 10 bagger in a year or so, maybe sooner.......I'm looking at being a 100 thousand aire by then. I will be patient and stop these silly day trading schemes with the MM's manipulating everything under the sun and invest in a solid multi bagger well on its way. That's this!
There's alot of things going on with this stock. The drilling is going to begin soon. This company does'nt need to drill new wells. They're already there. They just need to upgrade the equipement.
Real profits will be coming in soon.......There's another stock making all kinds of claims of natural gas reserves called FNGC. It's been hovering at .50 with no real profits and drilling rigs to drill new wells are hard to come by right now because of demand.....if that company has .50 stock with nothing real happening in the company for months, then compare that to this. Right now, this is at .25-.30 a share post r/s. This will be an easy double in a month and in two months, they will be posting profits and sales from the already established wells. That will make this a probable 4 bagger and more to come. The day and swing traders will play with this and there will be profits to get at the peaks, but buying back in and playing long on this will make us alot of money.......while alot of oil claims out there will continue to proclaim their "reserves", NORD will be actually selling oil and making real profits.... and that's what a real stock is all about, real profits with a real product.........that's what qualifies companies for better exchanges, where the masses of investors are who will drive this baby up even further.
Which of those companies out there drilling right now, who's stock is at .50-.70 can claim even close to 15 million barrels of oil and 33 probable B.O.O. No no, those kind of companies are well over $1 a share......
A little patience, and this baby is going to take us for a nice ride to the sky!

This news/update came in very late today...Only about 1/2 hour before close.
Most investors have not even heard of Nord Oil yet...and probably won't until 'after the R/S is effective...and then even more when we move to a higher exchange...probably within 30 days [Wink]
You are still 'very' early here.

As you know I have done a enormous amount of DD on this and I for one, have not owned such a powerful penny stock...EVER.
Anyone who waits to get in post split, IMO, will not be getting the significant discount to value that is available now. Because of the HUGE retracted share amount post split...it is simply mathematically impossible

Now, who was it that got in the day it first went up...first day of the news? You know, back when it was trading for .005? And it didn't start going up til 2 hours later after the news came out. And then it went up 400%.

I got some of my holdings before that wonderful day (up 400% and then some). Of course, i also got some at 0.05 about 14 or 15 months ago i think at 0.05. The symbol was still CXIN back then. Now i regret selling some back in December for tax purposes. Oh well. Hopefully this will go up 25% per day for the rest of my life. Ahhh, who needs Ed McMahon when they have NORD?

I have some questions to anyone who can provide answers, preferably before Monday.

On the NORD website there are two tables: planned production located on the technical data page, and Financial Projections on the Investor Relations page.

If you divide the sales figure for each year by the number of barrels of oil you will come up with less than $32/barrel for each of the years 2006 through 2010.

I realize that oil isn't the only source of sales but this fact should actually cause my calculations to be higher than reality.

Now for the questions:

Anyone know how old that financial projections table is? Maybe it's from 3 years ago?

Do oil companies sell oil in bulk for less than what i see as the price per barrel? Price per barrel is in the $65 range so is there any way our oil is going to sell for 1/2 that?

I suppose the projection numbers could be wrong but i actually put more faith in those than the financials. Given this, i guess i'm concluding that the financial are actually very very low estimates (worst case scenario maybe).

Thoughts?

First, I agree that the tables are very conservative estimates. And yes, they do have other revenue-generating subsidiaries such as there Bulk processing plant, tanker farms and transportation services. Second, you must understand the way Russia Oil stocks are taxed. Current regulation allow for Russian producers to keep only 10% over the 'Normalized' rates; which are currently set at $29/Brl. HOWEVER allow me to post some RECENT GREAT NEWS regarding this topic here, where by NEW proposed legislation will be INCREASING this ,normalized' amount to $37. :

come together you are not kidding 2create not only price per barrel in russia world conditions and looks like even the weather to boot. i have a hard time with that one but it is even going to throw more attention on oil stocks imho which can't hurt a bit. along with price per gallon at the pumps. so even the delay looks like it was benificial. here we go monday is going to be interesting to say the least. [Eek!] when i say price per barrell in russia i mean the russian tax structure

I hate being the one to point this out but the weather and world events doesn't benefit this company. 2Create is correct-- all "windfall profit" goes to the Russian government to be placed in the "Stabilization Fund". This means that when the price of oil rises, the company won't be better off because that increase is more for the Russian government. Unfortunately, it could be worse for the company if oil prices rise because when prices go up everyone tries to reduce their usage or find alternatives. While this may not be immediate for oil, it will happen eventually.

I really wish i knew this before I put so much of my portfolio into this. I'm still expecting this to be my best performing stock over the next week, month, year, but i'm not as excited as I once was. I'm still very excited about the potential here, just not super duper excited.

I wonder how many others are unaware of the oil pricing rules in Russia. This may cause our stock to experience a bubble and this bubble could pop when enough investors find out about the pricing.

Didn't you read the news release that I included? You should be just as if not more excited. The current legislation changes taking affect are very beneficial to all Russian Oil stocks [Wink] Not to mention the proposed tax incentives/beaks for developing new fields, that is also on the table. This is a Reserves game as much as it is an earnings game. You have NOTHING to be unexcited about! [Wink]
Look at LUKOIL HOLDING CO SP/ADR (LUKOY)
Look at PETROKAZAKHSTAN INC (NYSE:PKZ)
Look at SURGUTNEFTEGAZ SPON ADR (SGTZY)
Not to mention other sources of revenue, like bulk processing, storage, and transportation services.

Thanks 2create. I did miss the news you posted about CSFB, though i don't put much faith in these firms I do realize others do so that means Russian stocks will rise.

I'm 100% sure that i'm not selling any shares until at least a week after the name/symbol change. Actually i may try to pick up some more shares before that happens as I think with the word "oil" in the company name we will show up on more investors' radar when they search for oil companies to invest in.

I'm fairly sure I will hold 90% of my shares 1 month from now. There may come a time where i'll take my investment out and let the profit ride. Time will tell.

In my opinon, this is will see at least a 500 percent run-up in the next 8-12 weeks. The attached is a response from the CEO:

1. The acquisition of Nord Oil is the first in the new direction of the company business plan. The current issued and outstanding shares of BTSI is approx. 340 million and a reverse split of 1:12 will be performed by or before September 1, 2005 resulting in the corporation have a total issue and outstanding post issuance of the acquisition and reverse split to be 216 million. It is fair to say that the short term net asset value of the properties to be closer to $350 million since this would be the use of the actual wells and no further exploration on the probable reserve. Having said that, the net asset value per share is $1.62 and if account any and all reserves of proven and probable without discounting by any recovery rate, the value of the asset is well above $2.5 billion.

3. We expect to complete ground work by end of August and begin production by third week of September.

4. Current management of BTSI does not bring any Oil and Gas experience but financing experience and corporate finance advisory. We will be nominated several other people to the board and US management. We have a strong team onsite in Russia with long history of successful exploration and production.

allow me to respond to what is on the link you provide.

1) Cheney said "By some estimates, ..."
This means that there are those with this opinion, not that everyone is in agreement with this view.

The decline in production he mentioned back in 1999 could have been foresight of a Gulf war. How much oil is not coming from Iraq?

2) Not all oil countries are operating at maximum production. Russia, 2nd to Saudi Arabia, for example, isn't. Iraq clearly isn't at maximum production.

3) Just because prices are high doesn't mean we've passed or are about to pass the "peak oil" mark. There are many other factors that could explain the current high prices.

4) The reason oil companies explore for oil is that many reserves exist that haven't yet been found. Many of these are in Russia, according to some. Certainly high prices allows many non-Russia oil companies put the extra profit back into the company (i.e. oil exploration).

5) Producing at full capacity is often times (dare I say most times if not all of the time) not profit maximizing for the oil companies. They certainly won't be at full production if they believe they could get higher prices in the future.

That's all that i can think of now.

The bottom line is that I don't think we need to fear this peak oil theory -- at least not yet.

I appreciate any and all info on the oil industry so i can be better informed of fact, and beliefs.

I just felt I had to give my 2 cents on the peak oil theory so as to delay any potential drop in oil stocks. Call me selfish. I just want to become rich from Nord and some other oil based holdings before we start down the path of non-oil energy sources. Truth be told i invested in a solar company already and it's doing pretty good so far.

So if i wanted to put a limit order for some more nord tonite anyone know what a good and reasonable buy price would be? It's kind of a pain having to wake up at 3:30am (Hawaii time) to watch the market open. Though i seem to be doing it without an alarm clock lately. I've come to hate weekends. I'm too impatient waiting for monday so i can watch the stocks.

It is interesting to me that so many shares are available to purchase. The people selling don't need the money or they are desperate for a few bucks or don't think there is a future in this stock? Go figure. I got some more at 9:40 for cheap.

Dig, it could be that the sellers are actually longs who got in very very very low compared to where it is now. I know i have some shares that i got at a very very very low price though i'm holding out for at least a nickel a share. Even then i'll be holding most of my shares.

It could also be the market makers naked shorting which they're allowed to do on the pinks.

g_ho, you would have 50K at the same price. If the R/S dosent cause the price to go down!!! Which happens freqently. Alot of people believe it wont. Time will tell.

As someone explained to me once some time ago on this board, reverse mergers are bad typically, because the reasons behind it. For a company having value, a reverse merger will tend to be good. It's the value that drives the pps.

revers merger don't forget we are going to a different co that makes money we are dropping to 216 million shares 180 million of them are going to be restricted that will mean a float of 36 million shares.

I Thought that it was proper practice to nail down the date of a split in a stock. In such a way that the share holder is aware of the exact time. It makes sense to me. This on or about Sept 28th part is vague. Could have been yesterday.

A presplit purchase sounds good to me. Theres no gaurantee, but the odds of this stock being worth more later, even after the r/s is feasible. Given the status of the oil market (compare to gold) and the comparison to other oil cos that are already producing oil every day it looks like Nord stands a chance to be very profitable.
I'm not pumping this stock. I'm just giving my own observation.

Before Thorn! Guess I could have gotten a bit more of a discount on my return trip in here, but as my ST acount is showing the RS listing I'm guessing that it may happen at the close today! I'm watching the Daily List but no info yet! This could very well be the last shot at this pre split and seeing as they are adding around 350m in assets to it after the split, it looks good to me! I may have to break my day rule and hold this for 2-3 days! [Smile]

The company also announced that the website http://www.nordoil.com will be officially launched on September 28, 2005. The company also planned to be fully reporting by no later than October 15, 2005 and expects the reverse split and name change to occur on or before September 28, 2005.

Toronto- and London-listed Nelson (CA:NLG: news, chart, profile) (UK:NLG: news, chart, profile) , an oil exploration and production company with operations in the Republic of Kazakhstan, said it has formed a committee to review the C$2.57 a share proposal. Nelson added that both parties have agreed to negotiate definitive agreements by Oct. 12.

The price offered by Lukoil (LUKOY: news, chart, profile) (UK:LKOB: news, chart, profile) is 13% lower than Nelson's closing price of C$2.96 on Thursday. Nelson shares slid 7% in London.

The offer comes on the heels of Russian gas group Gazprom's deal to buy oil group Sibneft for $13.1 billion.

Nelson said that the committee is particularly focused on insuring that an offer is made for 100% of Nelson shares. Nelson's principal shareholders hold 57% of the company.

Lukoil, which is 14.5%-owned by ConocoPhillips (COP: news, chart, profile) , is trying to expand beyond Russia to escape a rising tax burden there.

As part of a drive to grow its reserves, Lukoil is also in talks to buy half of the Kazakh oil venture it has with the China National Petroleum Corp.

Lukoil is also one of three serious contenders for the acquisition of Yukos' stake in Lithuanian producer Mazeiku Nafta, along with TNK-BP and Austrian Baltic Holding.

Earlier this month, Nelson said it remains confident it will meet its 2005 guideline production guidance of 32,531 barrels a day on ramped-up drilling activities in the second half of the year.

Looking ahead to 2006, BMO Nesbitt Burn said in a note to clients that it sees growth at the Alibekmola and North Buzachi fields to underpin production, which is expected to average 45,348 barrels a day.

Still, higher taxes could take a toll.

"Although Nelson stands to benefit from a currently robust crude oil price environment, excess profit taxes may very well be incurred in 2006, thereby resulting in a higher than expected effective tax rate and effectively truncating profitability upside," the broker said

She said she speaks english and connected me with Amoyt. Got a recording that he is unavailable today. Leave a message. I hung up. Thats the name of that tune. 59 cents a minute to call Quebec on my plan. There should be news soon. Nord said they were going to do something by the 15th of Oct.

I called Finkelstein Capital yesterday but Mr. Ayot was was out of the office but should be back today.

I think the recent decline is not very indicate of what is to come. There is pretty thin volume -really no major selling under way. It would probably just take one sizeable 500'000 share order to get it back to .03...seems like most are just holding and some are too impatient..

Correct me if i'm wrong please.

Given that there's a windfall profit tax on oil companies in Russia, BTSI is worth the same at $80/barrel as it is at $50/barrel?

Maybe not everyone knows this and this explains the recent drop in price (aside from the market makers doing their pre-split price drop).

no need to correct you Hawaii the Russian tax was brought up several times on the last post and first post and all the valuations are figured on the higher tax on the first post which still makes this stock very under valued there is all rumors of the tax sittuation even becomeing less of a burden by being lifted some. this is just a rumor.any i am sure we are going to make money in this and i am buying imho

In order for me to buy more i'd have to sell other stocks that i don't want to sell...yet.

As it stands, this is the single largest holding of mine by far.

Given that i'm not buying any more i wish it would stop dropping and go up up up...and up some more. Today was good; though I was happier when it was at 0.03/share.

I had a couple of stop losses get hit in other stocks so am now buying more of this.

You know the saying "don't put all your eggs in the one basket"? What if you can't afford another basket? I'm not there yet, but my eggs are definitely weighing the basket down.

We are waiting for confirmation from the NASDAQ to make the ticker and name change effective. This should happen over the next several days. As far as drilling plans, the company already has 9 wells in-place and new wells are only planned for 2006 and 2007 as we expect to start the production again in early 2006 as indicated by the website. The company expect to produce 2,3 million barrels in 2006 and continue to increase production over the next 5 years with the introduction of new wells. The company expects to produce over 29 million barrels over the next 6 years.

Flyboy, This is pretty much what he has been saying all along they offically purchased this on June 15 and it has taken us this long to get where we are at Amoyt has so far done everything he has said he would do and we are 99% there.I don't see any reason for this to change and i have put my money where my mouth is. glta [Smile]

That is exactly why I love this company so much. When they release a PR, you can count on them following through with it! I also love the fact that Mr. Amyot is so confident with the direction of the company that there is no need to worry about the short term price of the stock. And of course I love that BTSI is so undervalued right now, and I will continue to buy while I can.
Unlike other pennies, I see BTSI as huge long term performer that will be consistant with their forcasts. GLTA

I have a problem with exactly when the reverse split is nailed down to. People are still buying shares at the original valuation as I type. Including myself. So, thats a little confusing. It sounded to me like everything is up in the air except that we are supposed to hear something on the 15th.

As I understand it Dig, we are awaiting either the SEC and/or NASDAQ to implement the split and symbol/name change. All the other approvals have been completed apparently.

The 15th was the original goal stated in a past PR but other items were completed earlier than that like the website being made available and filled with information and bringing financial filings upto date.

So now we just wait, or buy more and then wait.

This just in regarding split!.....

Contacted the TA this afternoon. They got a hold of the company...Company had to amend the 'Articles' and Corporate Resolution....The Attorney has the amendments ready...(was 'rushed to the hospital'...with the files), no details as to what happened, but no indication of anything too serious...will be back on Monday, is o.k.
Filing of amended docs to the NASDAQ on Monday (I believe by electronic submission)...Split will them most likely take effect on Wednesday. [Wink] Whew....This is like watching a good movie! LOL

It means that BTSI is now fully reporting. That's one of the hurdles that must be jumped in order to move to different trading venue (NASDAQ/OTC or maybe even AMEX). This of course means that there would likely be more interested in this stock and would provide more liquidity and possibly even higher prices.

From 2Create on Raging Bull 2nd call to transfer agent.

GM, the latest filing that occurred on Monday was late in the day after 1700 hours...So even 2 days form that would be tonight....However I did talk to the TA again this afternoon...JF Amyot contacted her this morning via email with yet another part of the required filings.....However she was under the impression that it was the Corp Res and Articles that were still missing....Which JF Amyot resent to her this AM...However I reminded her/brought her attention that the latest filing indicated that they were being filed concurrent with and attached thereto by addendum as Exhibits 3.1, 3.11, 3.2...whatever it was, as indicated at the very end of the filing....She was not aware of that inclusion...Is checking on that now and is suppose to call me later. That's all for now.

juniour producer has to mean that Nord is not a major player in the oil biz. Amount of resources etc., compared to other oil companies.

They are also a very mysterious juniour player at this time, as it is anybodys guess what is going on.

I'm ready to hear something about something.

It closed at 2 cents, so with 12X, $0.24 PPS should be the start tomorrow. If the MMs try to pay around with it, I’ll be looking to scoop up any cheapies. I feel this will be another one of the few reverse-splits that works out well for shareholders (like recently SCRE to HFGB).

The current 432M O/S is being split 1:12 to become 36M and then added to 180M restricted shares.
This 36M float should move nicely on any additional leases/reserves that Nord may have to announce.
Regardless it is already a very undervalued play.

Scottrade shows bid at .23 and ask at .50 with no activity. And it looks like it is unavailable for trade at the moment if I'm not mistaken. I'm glad to see things are rolling along again here.

I think it depends on how your broker handles accounts. Mine on Scottrade shows that I hold btsi#... with a lb symbol following it. # Not available for sale due to a reorg or a tender offer

Ameritrade's streamer shows blank for NDOL, but shows NDOL in my account page with a "last" of 0.24. BTSI is still listed on the streamer and shows -91% (lol).

I got tired of waiting for NDOL to trade so i placed a limit order of 5000 shares at 0.25 and it just hit. Maybe this will help the market makers adjust their spread accordingly to encourage more trading.

todays volume was light but the price is holding up well. here is a list of todays trades, small blocks but wide price swings. looking for a range?. L2`s look good but holders may be anxious as sell side pressure seems high, we need more exsposure and interest witch i think will come soon. good luck longs!. I`m in!!

Hmm, if the wide swings continue, there might still be some buy opportunities, even at pre-split levels (.24=.02). At this point this now seems like a real investement - no longer a 'penny stock'...
