Management History
Cery B. Perle was the President and CEO of Waldron & Co., a California-based registered broker-dealer.
According to the Company’s 2003 10-K filing, in September of 1998, the Securities and Exchange Commission
(SEC) commenced a civil action against Mr. Perle and Waldron & Co. In a May 14, 1999 litigation release (No.
16146), a federal judge in Los Angeles found that Mr. Perle manipulated the stock of Shopping.com and that he
planned, directed, and executed a scheme to fraudulently increase Shopping.com’s stock by 255%. Waldron was
found to have profited over $4.1 million. The litigation release also states that the court permanently enjoined
Waldron and Mr. Perle from violating the antifraud provisions of the federal securities laws, Section 17 (a) of the
Securities Act of 1933 and Sections 10 (b) and 15 (c) (1) of the Securities Exchange Act of 1934 and Rules 10b-5
and 15cl-2 thereunder. The court also imposed $110,000 in civil penalties against Mr. Perle.
According to the Company’s 2003 10-K filing, in January 2001, the U.S. Department of Labor brought an action
against Waldron & Co. and Mr. Perle for violations of the Employee Retirement Income Security Act of 1974
(ERISA) alleging that violation occurred when they failed to forward contributions of approximately $50,000
withheld from employee paychecks to Waldron’ 401(k) Plan. The suit sought to permanently bar Mr. Perle from
serving as a fiduciary of or service provider to any plan covered by ERISA. Although Mr. Perle was never
formally notified of the outcome of the action, he has assumed that such an order was issued.

you could always look at it though that maybe perle doesnt have it in him to completely run a p&d again...just the little spark to have his insiders get paid off this last sell-off

i still think its not a complete p&d and those with patience will be rewarded..there is some substance to the product

There is enough DD on this thread to make rational decisions based upon your risk tolerance. As anybody can see, this is an emerging company with a product which the BIG companies feel there is a demand.

You choose, but base your position on DD not naysayers.

Eric, the SEC is watching I am sure! He has already be legally banned from administering retirements plans for the company.

The first offense was a slap on the wrist, the second would not be pretty. I feel he is acting on the advice of legal counsel.

That is what I am thinking as well. There was obviously a sell off the past couple days, but it could have been MM manipulation in combination with the promotional firms cashing in their stock payment, or people simply collecting profits after a great run and a peaked RSI.

Looks like horrible PR:

I own Microsoft (MSFT:Nasdaq - commentary - research), Southwest Airlines (LUV:NYSE - commentary - research), Sanmina (SANM:Nasdaq - commentary - research) and Newport International (NWPO:OTC BB - commentary - research). Am I diversified?

James J. Cramer: You have three of a kind in tech stocks. That's good in poker, but not a good idea for investing. You have decent companies in Microsoft and Southwest, but I would add an oil company to offset the latter's exposure to rising fuel prices. And while I think speculation is OK, I'd stay away from the sub-$1 stocks like Newport, especially those that trade on the Bulletin Board.

Yea, and investment brokers have all the right answeres. That is why they work for a living.

Whoever just suggested oil stocks doesn't have foresight. Oil plays made money 6 months ago. If you bought oil now, you would be buying at the highs. The only way you would make money is if the price of oil went up from these historical highs. Our government couldn't afford that big of an increase. Our economy would crash.

No analyst would recommend any OTC BB stock no matter the symbol IMO, too much very them to lose by endorsing it.

Futurama, that wasn't a PR from that yahoo. That was a paid advertisement from a guy who wants you to buy his services.

He is buying advertising on Yahoo. Don't believe me, e-mail yahoo and ask them.

If people are that foolish to listen to a guy that claims to have all the answeres and yet still has to work for a living, they will believe anything.

And, my financial advisor in my retirement account says to stay away from OTCBB and the like and to diversify. He makes more money that way.

fyi, cramer is a multi-millionaire that enjoys what he does. he wants to work as do a lot of eccentric managers.

however, i do agree with you all that everyone say stay away from OTCBB and pinkies. It is a risky venture with lots of ups and downs.

This is Cramer! We should all find out about the people we follow before we follow. He made his money by pumping the stocks he owned previous to the pump. He may have done solid research, but he still pumped for a fee.

We did the new high school at 21 and card. and all of those subs by romeo plank and 23 mile.

used to. managed the truck division for 15 years took an early retirement beginning of this year and got back into stocks
