Meanwhile, says the state: "Boykin received $4,000 and Young received $6,000 in commissions as a result of the investors’ first payout."

Pretty slick...

the picture the state's evidence seems to be painting is *not* the typical dumb criminal...notice MR1 actually made some dough--if I'm reading correctly (and not bad dough, either)--it will be very tough to convict on MR1's case. ("WHAT? You gave 'em a grand or so and got back $1,600?--in a matter of weeks!")

If I were Boykin/Young? I would give MR2 the $1600, from our 10k...

The picture I'm getting is that of a sophisticated group (have mentioned before am impressed with the apparent level of planning) who are versed in the law, know the "edges," and are quite focused on using other folks' capital instead of their own.

Put it this way: If I wanted to borrow a grand that would make *me* 10 grand, "but I'll you pay back"....would you lend it to me? Maybe...

If I told you, "Invest your grand, get 11 grand" then I gave you $500 and walked away with $10,000... then what?


Am *not* saying the math is that simple...but I do believe we are seeing an escalation in sophistication in using other other's funds without truthful disclosure...

it's all ALLEGED so far, i keep using alleged... i'm pretty sure it's importans cuz the lawyers use it...

Very slick. Classic Ponzi Scam. Quite common
for Ponzi crooks to use new scam money to pay
early scam victims to create an appearance of
a legitimate deal. Those early victims perform
as walking advertisment, "Helen! Look, we made
money! Let's go tell Ozzie and Harriet!"

Appears these crooks were caught about halfway
through their scam.

Readers are again cautioned to research, read
and learn about civil litigation of this type
rather than be misled by armchair lawyers.

There is no trial. Darn it. Research and read.

This is a state securities commission action,
not a trial. This might lead to civil litigation,
if Canady and others do not cooperate. Might even
lead to a criminal trial, far down the road, if
Canady and others fight this.

One thing is absolutely certain. A securities
commission investigation which announces results
of this type, is _always_ right.

Readers will not find a single instance of any
securities commission, state or federal, ever
performing a turn-about, "opps, we were wrong."

Darn it, play it straight with readers. I do not
like these ego games, not one bit.

Example, there is no right to face your accuser
in civil litigation. Plaintiff and defendent do
not even need to attend civil litigation. Suits
of this sort are decided upon factual information
and have nothing to do with criminal proceedings,
heck, you only need a jury majority opinion for
civil litigation.

Right to face your accuser! I suppose this means
Enron's constitutional rights were violated because
they could not cross exam all tens of thousands
of complaining parties during civil proceedings.
Boy Howdy, that is a lot of Bible swearing! Should
not take more than a decade to accomplish this.

Play it straight with readers. Knock off the
armchair lawyer games.

Yes, most annoying.

Those of us who are seasoned traders spend too
much of our time working at protecting readers
from all the mule manure being slung around
rather than simply helping others to make money.

Greatest problem is participants are so arrogant
to believe they are never wrong, ignoring those
who deliberately lie. Darn it, a little research
is all that is needed to be sure of being right.

My habit is to research and verify my notions
as correct before ever going public, just like
you do, Tex, before you write a newspaper item.

Your research today, which you share with readers,
is an excellent example of investing a little time
and effort into learning, and, more important,
investing a little time and effort into being sure
you are right.

Yep, Custer is stoopid and I sometimes think we
are stoopid for giving so much of our personal

one little bit I did indicates more phone numbers at that Peachway bldg than actually show up in reverse search... *usually* (not always) I can find neighbors, links etc...

Most of the seasoned traders do help folks to make money. You are the only one I really see "ranting and raving" on and on and on telling folk how stooped they are for not DD'ing to "your" standard. Alot of us just really don't care and are willing to ride a "scam" if be it what you call it. That is why we ignore your post as you ask. But then get ridiculed for that.......

Most folks aren't near as arrogant as the personality you play at the computer. Many times we learn new things along the way about a stock that may be hard to "accept" and will or could change our minds in the end decision. Folks take care of their money as well as they can and if they can't then they don't play the game.

here's the chart: looks like RSI heading up nicely. Bollinger bands looking good and the accum distrib is low and could be turning with the news out recently even though we don't know how much of the recent bond is really CSHD's.

money.. IMO not too huge a bounce here.. dip and run maybe.. (PR effect not included).. shall try to fill the gap. but will be pushed up by traders.. might close even or minor red.. but if it gets PR bounce hard, then HOD of 1.4-1.5 is an easy take..

Paragraph (c)

2.3 MERGER CONSIDERATION.

(a) Subject to Sections 2.2, 2.4, 2.5, 2.6 and 2.8 , at the Effective Time, the holders of Company Shares outstanding at the Effective Time, other than the Buyer and its Affiliates, shall be entitled to receive, and the Buyer shall issue and deliver, for each Company Share held by such Person: (i) 1.0 share of the Buyer's stock or

(b) No fractional shares of the Buyer's Stock shall be issued or delivered in connection with the Merger. (c) In the event the Buyer changes the number of shares of the Buyer's Stock issued and outstanding prior to the Effective Time as a result of a stock split, stock dividend or other distribution payable in Buyer's Stock or securities convertible into Buyer's Stock or similar recapitalization with respect to such stock or effects a reclassification, combination or other change with respect to Buyer's Stock (each a "Stock Adjustment" ) and the record date therefore (in the case of a stock dividend) or the effective date thereof (in the case of a stock split or similar recapitalization, reclassification or combination for which a record date is not established) shall be prior to the Effective Time.
