Item 2.04 Triggering Event that Accelerates a Direct Fiancial Obligation
On August 15, 2005 the registrant recieved a notice of default from Devine Capital Msarkets, LLC, pursuant to a Securities Purchase Agreement, entered into March 28, 2003, with the Troy and Jennifer Otillio revocable Trust as the purchaser and Registrant as the seller. Devine Capital Market's notice of default alleges that Registrant failed to issue shares pursuant to debenture conversion rights. If the Registrant is deemed to be in default it is subject to acceleration of the debenture according to which the Registrant would be obligated to repurchase the note for its original amout of $50,000, less the amount of principal paid on the debenture, prior the debenture Due Date of March 28,2006.
THE REGISTRANT DISPUTES THAT IT IS IN DEFAULT ON THE AGREEMENT AND IS CURRENTLY WORKING TO ADDRESS AND , IF APPROPRIATE, SETTLE THE PURCHASER'S CONCERNS.

I tried for over 45 minutes to buy on the bid at .0013 when the price was that low and sells were going through at .0013. The MM's wouldn't fill me and my MM was the only one at .0013, he showed up on the bid at .0013 about 10 seconds after I placed my order.
I then bumped my bid up to .0014(the ask price) and it took about 15 minutes for my order to fill.
The shorts are gonna be sorry if they don't buy back soon I strongly believe. If I couldn't fill on the bid, they sure aren't gonna be able to. I've seen some of them move their bids up from .0012 to .0014. They still won't get filled I'm believing. MM's are only buying shares on the bid for themselves to sell at a higher price.

Nannaco Announces Intent to File 10-Q Tomorrow

GIG HARBOR, Wash. and FT. LAUDERDALE, Fla., Aug 25, 2005 (PRIMEZONE via COMTEX) -- Nannaco, Inc. (OTCBB:NNNC) ("Nannaco") announced that due to unavoidable delays, the Company was unable to file its 10-Q in a timely fashion. The 10-Q is in final stages and the Company intends to file the 10-Q with the SEC by August 26, 2005.
