Nannaco, Inc. Announces Execution of Definitive Merger Agreement with Premier Developer and Manufacturer of Nutraceuticals

GIG HARBOR, Wash., Aug 9, 2005 (PRIMEZONE via COMTEX) -- Nannaco, Inc. (OTCBB:NNNC) ("Nannaco") announced that on July 21, 2005 it entered into a Definitive Merger Agreement with Amenni, Inc. ("Amenni") located in Ft. Lauderdale, Florida.

Amenni is a premier developer and manufacturer of Nutraceuticals. Amenni develops and manufactures joint-care nutraceutical products for dogs and horses. In addition to Ft. Lauderdale, Amenni has facilities located in London (United Kingdom), Dubai (United Arab Emirates) and Zurich (Switzerland).

Amenni has initially distributed these product lines through a distribution agreement with an internationally recognized pharmaceutical firm. Revenues in the first 12 months from this agreement exceeded $1 million, and the first product was launched in 10 countries. Amenni anticipates a roll-out to an additional 15-20 countries, including the U.S., within the next 12 months.

Amenni has also initiated the launch of its highly innovative Sports Patch into the U.S. OTC market. Its primary active ingredients have been developed in conjunction with its highly successful research into Veterinary Science.

The Sports Patch is targeting the fast-growing Sports Healthcare market and has shown significant benefits to aid the recovery from a sports injury. Joint and ligament injuries happen to all athletes. The Amenni Sports Patch applied immediately after injury helps with quicker recovery times. Currently, there are no direct competitors in the marketplace.

Amenni has already begun production of patches for a substantial U.S. client.

Amenni is developing additional products for distribution by this and other distribution partners. Furthermore, Amenni continues to develop nutraceutical products aimed at the human (as well as animal) marketplace. For 2004, Amenni has indicated that its combined revenues exceeded $3 million and anticipates strong growth in 2005.

On July 21, 2005, Nannaco entered into an agreement to merge a wholly owned subsidiary of Registrant with and into Amenni, and to rename Registrant "Amenni Inc." (the "reverse merger"). The agreement provides that all of the shares of common stock of Amenni, issued and outstanding at the time the merger becomes effective under applicable state law (the "Effective Time"), will be converted into common stock of Registrant such that the current holders of Amenni common stock will hold 97% of all shares of Registrant's common stock outstanding immediately after the closing of this merger transaction.

Among the key factors that may have a direct bearing on the operating results, performance or financial condition are the company's ability to achieve and manage growth; the company's ability to attract and retain qualified personnel; the company's ability to secure necessary financing; potential litigation by shareholders and/or former or current advisors against the company; the company's success in securing third-party commitments, production agreements and/or licensing contracts; the company's ability to comply with federal, state and local government regulations and/or unforeseen changes in federal or and government regulation; and the company's ability to develop new services; and other factors discussed in Nannaco's filings with the Securities and Exchange Commission.

Is it to be voted on in a shareholder meeting?

Depends on what you bought in at. I got in yesterday and sold half my shares on the ride up today. Holding free shares now. Unclear if this is just a shake or a full retrace. Seems to have some support here at high .004's. Watch closely to make your determination. But always secure profits on ride up IMO.

How do you guys buy and sell the same day? Most online sites require $10,000 in order to do that since it's daytrading if you do it a certain amount of times.

Do you get around it by just doing it once a week or quarter?

Pretty good run on this stock! I was gonna buy it last night at .0018 and have the order filled first thing today. I didn't do it though. I bought some later on.

Posted by Pagan on :

$25,000 required to be pattern daytrader(no trading restrictions). But if you have less than that, you are still allowed 3 round trips per every 5 trading days. No settlement dates either if using margin account.

Another good strategy in avoiding daytrading rules is to buy before close if you are sure it is gonna gap the next day.

Just a thought......In Oregon our governor is passing a law to make nearly all cold medications prescription only.

The numbscull [democrat]believe's he can stop the clandestine manufacturing of Crank [ Meth ]
by requiring people to have to go to the Dr. just to get a prescription for a nyquil!!!

If NNNC can come up with a patch [ that can't be messed with ] we're in um, big time! FISH-ON, anyway get the idea?

S-8 filing previous dillution thats why the drop, not the "bashing" looking good for a rebound, maybe not today.

Posted by patiencemaster on :

keithsan please explain s-8 filling dillution?

Posted by patiencemaster on :

on ragingbull someone that market maker SCHB is short with 200 MIO share is this right?

Posted by keithsan on :

this is the s-8 filing, was filed on 8/1 you need to pay attention to your filings,

http://www.pinksheets.com/quote/print_filings.jsp?url=%2Fredirect.asp%3Ffilename%3D0001144204%252D05%252D023223%252Etxt%26filepath%3D%255C2005%255C08%255C01%255C&symbol=NNNC

I havent been watchin but SCHB is probably the mm that was given the shares to sell. carefull with message boards not everyone knows what they're talking about.

the s-8 states they registered 150 million shares at .0005 this will always cause a stock to drop.

Amount to be Offering Price Aggregate Maximum

thanks keithsan!

Posted by Bryan on :

Keithsan: i have a question for you, if you dont mind.
The price drops are due to dilution? thanks.

Posted by explorer186 on :

Man the S-8 shares were gone long ago! The AS is only 500 mil, and the OS is near that. This stock might very well head back up if
1. There is no panic selling.
2. There are buyers.
3. The company keeps coming out with good news.

It makes me sick when I hear people trying to scare others out of their shares.

Posted by keithsan on :

The S-8 was not done long ago these take time. you need to do the math.

The good thing is when the s-8 dries up it will bounce. they almost all do, thats why its on my radar, should be done this week. If i'm around I'll try to catch it near the bottom.

Posted by explorer186 on :

You mean after NNNC has traded 1.5 billion shares since the S-8 was filed, the S-8 shares are not done yet. Yeah okay buddy....

what you think i'm a basher....LOL must be a newbie go back to RB. What I want it for .0002 cheaper to make an extra 20 bucks. LOL

again do the math. Don't be lazy with peoples money.

Time line.

August 2nd s-8 filed there were barely any trades until the 9th on the news. At this point company has 2 options either sell into the news or sell after the news. IMO they did a little of both.

Besides the s-8 shares, you have to calculate normall daytraders flipping in and out/scalping.

Look for it to bounce soon but don't be surprised if it drops hard first. A lot of s-8 plays drop hard the last day. But every stock is different, this one should bounce nicely.

p.s. i've just given people a reason it went down and a reason it will go back up shortly...
That is hardly bashing.

I question whether you have been in this stock during the run, or whether you are even experience. You are not even aware of the kinds of returns you play for when you buy in at 0.0002.

Again, how did i put down your precious stock?
it has gone down for 3 days and you offer nothing.

I was not in on this run as I was away last week. But I am watching now.

I didn't state getting in at .0002 just .0002 less.

if you have a question about me ask others or read my posts.

I just got it here, catching up on-thread and caught that...

So, keithsan, looking for a bounce here--even after that run, you think?

Explorer....cmon' dude....DD Keith's history on this board.....you're dead wrong....in fact you look like an A$$ right now......

Tex, all s-8's bounce....this think is running a teeny OS its just a matter of when.

Posted by explorer186 on :

LOL without context his posts mean squat, but by no means am I impressed by them. Tex I am just as baffled at his 0.0002 nonsense. I stopped wondering after my attempt to set it straight took the road to no man's land.

Posted by keithsan on :

Learn to read, Tex isn't baffled.
you infered I was bashing to get a lower price..

My posts have context, pull up a chart and buy/sell times for those days.

Think what you want but definately no reason to attack me. Raptors right, you do.

Explorer: Double lol, man--what's to be baffled at? He said he'd like to buy a little cheaper...

and, just FYFI, my friendly suggestion is to get impressed, quick. You're insulting one of the most respected vets on the board and he's being about as nice as he can in response...

************

Keith, never put that together about S-8s--learn sumpin everyday. Good to have you back regular...

Posted by explorer186 on :

Okay smarties, vets, geniuses, or whatever you like to call yourselves. LET'S HAVE THE TA! THAT SAYS THIS IS GOING 97% LOWER!!!

Posted by keithsan on :

LOL- why are you lost, I said it should bounce, that means go up.

Posted by BuyTex on :

lol, what ARE you raving about? He said he'd like to see a dip of .0002, a dip, a dip, a dip, not a vaporization. Calmate, senor...nobody, repeat, nobody has said anything about a 97% anything.

And "we" don't call "ourselves" anything. I simply tried to explain about a leader of the board--that's just fact. There is no "we" for there to be a "yourselves." You signed up in July while said leader was away. You get the benefit of the doubt--for awhile...

Take a deep breath, man...nobody's bashing your stock. We're talking about a bounce play.

Posted by explorer186 on :

Yeah okay, I was wrong and looked like an a$$. I admit it. Misread, maybe more than once. Oh well, it happens to all of us. At least it emphasized keith's point.

BTW you can call yourself anything you want, don't expect others to treat you according to your self-proclaimed status.

Again: From SA on BB's board on IHub:

NNNC chart: If it does not bounce off the 50 MA price of .0003 tomorrow then this might be in for a long drop back to .0015 range imo. Indicators are down but trying to curl back up. Watch for a bounce off the MA line but if it does not hold there, then we might free fall

Financial Obligation matter

Item 2.04 Triggering Event that Accelerates a Direct Fiancial Obligation

On August 15, 2005 the registrant recieved a notice of default from Devine Capital Msarkets, LLC, pursuant to a Securities Purchase Agreement, entered into March 28, 2003, with the Troy and Jennifer Otillio revocable Trust as the purchaser and Registrant as the seller. Devine Capital Market's notice of default alleges that Registrant failed to issue shares pursuant to debenture conversion rights. If the Registrant is deemed to be in default it is subject to acceleration of the debenture according to which the Registrant would be obligated to repurchase the note for its original amout of $50,000, less the amount of principal paid on the debenture, prior the debenture Due Date of March 28,2006.

THE REGISTRANT DISPUTES THAT IT IS IN DEFAULT ON THE AGREEMENT AND IS CURRENTLY WORKING TO ADDRESS AND , IF APPROPRIATE, SETTLE THE PURCHASER'S CONCERNS.

My guess is that this will close around .0019 today.

Posted by Peaser01 on :

I tried for over 45 minutes to buy on the bid at .0013 when the price was that low and sells were going through at .0013. The MM's wouldn't fill me and my MM was the only one at .0013, he showed up on the bid at .0013 about 10 seconds after I placed my order.

I then bumped my bid up to .0014(the ask price) and it took about 15 minutes for my order to fill.

The shorts are gonna be sorry if they don't buy back soon I strongly believe. If I couldn't fill on the bid, they sure aren't gonna be able to. I've seen some of them move their bids up from .0012 to .0014. They still won't get filled I'm believing. MM's are only buying shares on the bid for themselves to sell at a higher price.

It was a legitimate question and I hold a significant position. At least check someone's previous posts before you make some half-baked judgement. I don't mind if you don't want to answer, but no need to be a wanker.

Question still holds for anyone who could enlighten me. Would appreciate it. Thanks.

[QUOTE]Originally posted by mrgr8avill:

Now, since I always thought the purpose of these boards was to engage in friendly dialogue, share DD, and generally kind of help each other out, and since I really don't think there was anything wrong with my question (yes, I know what the E means, I am just wondering what anyone's ideas are on the potential implications if they don't file by today's extension guidelines, as I have never held a position that missed the 10-day grace period).

Sorry if bringing up a question based on a FACTUAL negative condition about an issue I hold 3,200,000 shares of is considered bashing -- but seeing as how that position translates to real cash somewhere, I would think that my question is both reasonable and warranted.

I think it's odd that I ask a reasonable question but get called a basher because I happen to consider a possible negative implication that I never hope happens.

I have no idea why this putz decided he wanted to launch some personal attack from behind the privacy of his internet connection, and I apologize to other readers for the negativity. If you don't want to answer, then don't -- no biggie.

Anybody besides this sizzle-chest who would like to actually talk about the stock, I would really appreciate the discussion, and I am only rude in response -- I never attack people unless they are rude themselves.

-------------------------------------------------

Sounds good to me, maybe we could go coyote hunting.

Jesus, what the hell is wrong with you people? I asked a question -- I didn't say "THIS STOCK IS GOING TO TANK AND GET DE-LISTED BECAUSE THEY HAVE AN E"

It is all over Google as a scarlet letter -- all kinds of crap like that. I was hoping for a little re-assurance that this wasn't a big deal if they missed their deadline. Hopefully it will be a moot point anyway by EOD, but DAMN... all I did was ask a question.

So now your saying you already had the answer to your lame a$$ bash question?

In this case, delayed earnings report.

Posted by Peaser01 on :

Or Extension. The E has been attached since yesterday.

I have a funny feeling that this company has some pretty big news coming.

Posted by mrgr8avill on :

Okay, fine -- look, I am sorry -- having a bad week and probably reacted too quickly to getting attacked. I could (and should) have worded m question differently especially for my first post in a new thread.

So if you guys are up to it, I'll apologize and try again the way I should have from the beginning.

First -- the apology. I didn't mean to sound like a basher, I looking at my first post, I can see how I pretty much just jumped into the thread with a negative. Sorry about that, and all the melee that ensued.

Now, the question. I am thinking this issue shows some real potential, especially on the Amenni side (at least for now). And they are certainly getting a lot of exposure. This morning's run was even more encouraging, and it looks like we found strong support above the open. It's still only 10:00 local time to the company, so they have a lot of time to get the 10-Q filed today, but I have never held a position in a company that missed a filing extnesion, so I am hoping someone can help me out by sharing some experince in this area. I admit I got a little nervous when this morning's quick run-up didn't hold. I started to worry if it just wasn't purely on spec that the 10Q would be filed first thing, and then the steam blew out when it didn't. Doesn't look that way any more, but I am wondering if someone who has been there before could explain what the possible impact might be if they don't file today.

Hopefully this doesn't make any difference at all, but I am just wondering if you guys have "been there" and can help with what to expect.

Thanks, and sorry again for the bad entry... I tried to go back and yank my last posts, but the time for editing had expired on all but the last...

Posted by Dustoff101 on :

Haven't checked the other boards, but, when bashers show up in this kind of a situation, it generaly means they're trying to hold the price down, so they can load up.

Posted by Dustoff101 on :

We are even in the name calling department!

So, apology accepted.

mrgr8avill...
Below is the normal procedure pertaining to your previous question. Hope this answers your question.

Symbol Changes - If Nasdaq has no information that the issuer is compliant, it will append the issuer’s symbol with a fifth character of "E". Notification of a symbol change will appear on the OTCBB Daily List prior to the effective date of the change.

Grace Periods - Companies that file with the SEC are given a grace period of 30 calendar days. Banks and insurance companies that do not file with the SEC are given a grace period of 60 calendar days. The grace period begins on the date the symbol change notification appears on the OTCBB Daily List, not the effective date of the symbol change.

Demonstrate Compliance - If Nasdaq receives notification that a delinquent issuer is compliant with the filing requirement during the grace period, the fifth character identifier ("E") will be removed. Notification of the symbol change to remove the "E" will appear on the OTCBB Daily List prior to the effective date of the change.

Removal - If Nasdaq has no information that the issuer is compliant, upon expiration of the grace period, the issuer’s security(ies) will be removed from the OTCBB. Deletions will appear on the OTCBB Daily List prior to their effective date. Note that an issuer can request review of the decision to remove the issuer’s securities by an independent hearings panel.

Cool, Dust -- I appreciate that, and I wrote the moderator asking that my first posts be deleted. I am loaded to the hilt on this one, thinking it will take off as soon as the Q gets filed. I just hope they do it early enough to let it fly. We have to be getting all kinds of exposure today with volume alerts -- I am betting that's where the support came from pushing it up from 21.

I am showing we are getting close to 30x daily volume -- DA-yam! If we can get close to this morning's high, and people see a run with this kind of volume -- well, that would just make for a dman fine weekend!

This should run again come EOD I believe.

If the 10Q comes out before the close, we will have some nice momentum going into the close as well as carried over to Monday and possibly even Tuesday. Let's hope that it comes out about 30 minutes to 1 hr before the close for our sake.

I haven't even been following BCIT -- swung some of my PLNI and came right on over here. Hope she gave you a little some-some for the weekend though.

Right now Me-in Edgar are hanging out taking a few Valiums together. He hasn't been talking much today. I'm probably on some kind of gubment watchlist for how many times I have hit "refresh" over there -- but I am just impatient.

There has only been ONE damn red bar ALL DAY LONG. This has held up 10-times better than I thought it would without the Q, and I just want it to run before the weekend. I don't want to wait, and I definately don't want any reason to start liking MOnday mornings.

Amenni, Inc., Merger Partner of Nannaco, Moves into $1 Billion Pain-Killer Marketplace
Thursday August 11, 11:07 am ET

GIG HARBOR, Wash. and FT. LAUDERDALE, Fla., Aug. 11, 2005 (PRIMEZONE) -- Amenni, Inc. (``Amenni''), merger partner of Nannaco, Inc. (OTC BB:NNNC.OB - News) (``Nannaco''), announced today that it has entered the over-the-counter (``OTC'') pain-killer marketplace. Amenni will begin trials of their innovative ibuprofen patch.

Amenni believes that this new product will be of great benefit for those patients who have difficulty in taking pain-killers orally. Amenni's market research has indicated the Ibuprofen patch will fill a significant niche in the $1 billion + OTC pain-killer market.

Nannaco previously announced July 21, 2005 it entered into a Definitive Merger Agreement with Amenni. Amenni, with offices in Ft. Lauderdale, and facilities located in London (United Kingdom), Dubai (United Arab Emirates) and Zurich (Switzerland), develops and manufactures joint-care nutraceutical products for dogs and horses.

Amenni has initially distributed these product lines through a distribution agreement with an internationally recognized pharmaceutical firm. Revenues in the first 12 months from this agreement exceeded $1 million, and the first product was launched in 10 countries. Amenni anticipates a roll-out to the U.S. marketplace, as well as 14-19 additional countries, within the next 12 months.

For 2004, Amenni's combined revenues exceeded $3 million. Amenni anticipates generating more than $6 million in 2005.

Amenni has also initiated the launch of their highly innovative Sports Patch into the U.S.

Currently there are no direct competitors in the marketplace.

Amenni is developing additional products for distribution by this and other distribution partners. Furthermore, Amenni continues to develop nutraceutical products aimed at the human (as well as animal) marketplace.

Looks like the first merger has taken place after two years of attempted mergers. I believe Amenni was the best choice with the best product available. I wonder if any other mergers will be taking place in the future?

Just wait until we see the profits coming in during the next 10Q. The merger had taken place after the Quarter that ended in June was up for the current 10Q. The next 10Q will be sweet.

Just one dumb question I have here.

Why is the stock price so low if they are gonna be making all that money?????

I have shares of this also so im not a basher. The price keeps falling every day on it though.

Posted by Peaser01 on :

Read the above posts. People haven't done the research on this that they need to. The merger didn't take place until after this current 10Q, therefore this years dilution of the stock along with folks expecting a good 10Q have helped the decrease in share price. The next 10Q should be sweet. I was wrong, and expected a good 10Q, I messed up as the merger didn't take place until after the June Quarterly financials.

First I’ll apologize if this information has been posted before.

When doing my DD I’ve noticed something quite interesting. Let me lay it out for you.
Small world huh? Many links below to support findings.

2004 ART acquires 30% of Amenni
July 13, 2005 RWNW announces merger with ART
July 21, 2005 Nannoca merges with Amenni

Interesting time line? Now Amenni looks to have some very interesting products in the pipeline and could be a nice breakout stock. But how will this play out? Once RWNW and ART are one, will they acquire the other 70% of the new Nannoca and Amenni company, or will they still be two. If two, should we own both? If one, which will be the parent company?

Is this all a pump and dump? Or is it keeping everybody intermingled so each is assured of forward movement without being left out?

I’m posting this to both board here and hope for some cross talk. Perhaps someone can set up a board for cross talk between the two entities.

My curiosity still inquires of which stock is the one to play? The new entity created with the Amenni/Naccaco merger or Recab International? Recab International will be Saudi owned and we know they don’t do anything without making money, and the Amenni/Naccaco merger also has roots in Saudi Arabia where I’m sure Recab International will ‘help’ get through some red tape.

Will Recab International acquire the drug company, or maintain their 30% share only?

Any thoughts??

Hello,

I've been following this stock for approximately 5 weeks now. I've jumped in and out a couple times and made a few bucks however, I don't see anything (in my external research) that gives me a warm and fuzzy feeling . Just glad I dumped 500k shares on 8/10. I'm dumping the rest tomorrow.

I did find a filing: (08/30/2005)

NANNACO INC 0001112748 DEF 14C 8/30/2005 6/13/2005

Talks about a 1:400 reverse split. I got burned a week back with another stock that R/S. They stole my money.

On a positive note... trading the pennies provides a great learning experience with minimal investment.

Good luck to you folks that are hanging on...I'm outta here

Posted by BuyTex on :

well, i'll be: that seems like simply the most pleasant and polite bash I've ever seen...good day, sir, nice tie--WHACK!

Fellas? Isn't that filing the "old news" *possible r/s* that was decided against? Or am I mixed up?

Posted by directorX on :

Hello BuyTex,

Not really a bash...just an error in judgement on my part. I should have invested more into Mr Carreas (sp?) other company RWNW(E). At least Reality Wireless has some interesting things in the works. It's been over 30 days since the agreement was signed with Arabian Recab and I do not see anything to the effect that the deal has not gone through.

As far as the filing is concerned...yes, I saw that come up a while back however, browsing through the pinksheets web site for recent SEC filings I came across the 14C filing submitted on the 30th of this month. From reading the entries in this post there seems to be differing opinions as to whether the split will actually take place. When I saw the filing today I decided to jump.

On another note. Mr Carreas(sp?) seems to have quite a number of irons in the fire. Seems as though the man is pretty sharp. I just feel more comfortable with Reality Wireless. Good luck to him (and us)

Cheers

I think on hedging my bets on RWNW also due to the logic that the trucking company already makes $29 million and when all the buying out takes place, NNNC still won’t have huge revenues.

Here is the play.

Buy more RWNW and see where the acquisition takes the pps and if any further news causes more of an up swing. Cleave off some profits and buy into NNNC before they announce any large sales or new products that would raise the pps too far.

Ya, he is hustler, just like the rest of the CEO'S on Wall Street..

But, he has an angle that can be exploited..

What if he can hustle up another disaster clean-up and repair company??

He already has the expertise to do it.

Maybe even the connections..

Hey, I am in the stock real heavy and naturaly I am biased in my view-point.

Dustoff,

I am also bias and would welcome such an idea. But my contentment will be satisfied with the success of the acquisition and eventual $2 per share followed by the acquisition by NNNC and its success.

Hello AI,

Seems as though we made a good choice dumping NNNC in favor of RWNW. I believe we have a winner here. .003 here we come....

Hey directorX

I hope so [Smile] i'm in for only 200k at the moment, but we'll see what happens today.

If this does go through, these stocks will be attached to a company worth over $50m in annual revenue. That *has* to bring us out of the pennies.

But RWNW has been known to back out of acquisitions before.

good luck to all

Did i miss something or did NNNC turn into NANN? The ticker defiantly changed, but no news. Also the price went through the roof, but no indication of past lows. previous close was $.56 and opened at $.25.

Any thoughts?

scottrade indicates a reverse split on NANN. that would do it

Another garbage stock. 400-1 reverse split! Thank you guys for leaving me with 25 shares of nothing.

Didn't even announce the reverse split ahead of time.

Hopefully nobody will invest in this stock no more. Get the word out guys.

lol, troll, you should be familiar enough with the board by now to read Mag's posts on the splits thread...

WRNWE IS merging with a Arabian Recab a lost company... they couldn't pay the rent in Dubay, so their offices here are closed...
