I was just thinking about something....
Nasdaq runs the OTCCBB, so the minimum bid need not apply to be there.

Not mentioning that to burst any bubbles. I have been floating since yesterday myself, and maybe I need to come down a bit to reality. We have to make sure everything is in order here and we are interpreting everything correctly.

wit ur right..their goal was name change/symbol change, then release the financials to get to the NASDAQ...not the otcbb but the NASDAQ..and that is why everyone keeps throwing out the $4.00+ pps...correct me if im wrong, but come monday SLJB will be offically on the OTCBB, but then once they release the fins that is when they plan on going to the NASDAQ..and i believe the paperwork was already filed and cleared..just waiting on the pps to meet uplisting requirments.

Before the financials are released, I would like LFWK
to disclose the terms and structure of the deal with SULJA.

I don't think we can be doing cartwheels just yet...there maybe some hidden terms we are not yet aware of.

Wit, remember...that 55 shares short figure is only for the month of July. Most of the shorting took place prior to that...hence, the reason for that particular PR in March 06 that has the A/S, O/S, restricted...etc shares included in it.

Quick note from March 06 PR -
Sulja Bros. will serve as the centralized and primary distributor of materials for all future projects. They recently posted earnings of $26M+ for fiscal year 2005 netting $2.4M. They currently have assets totaling more than $25M. This information will be available in detail as is practical according to an LFWK spokesperson, who also relayed that the financial reports' disclosure was forthcoming prior to finalizing the merger at Consultech's request.

It is projected that once Sulja Bros. settles into its new role, revenues should reach $200M annually within a twenty-four month period.

Hmm, still just wondering why there was only 55 shares shorted as of July, 15th.

With all the buying & and little selling, that is still very small.

it should be so, since i remember that few guys on ihubs owned more then free float few months ago.
i have even still 2 milions of shares, hope that that number of shares in free float hasnt changed.

Pepa z depa, you're exactly right! The Float has not changed a bit, the only thing that has changed was the A/S (from 500million to 800million, and that extra 300million was "only" reserved for reverse mergers and will be restricted when issued). So we are still looking at a negative float.
For the most part, only 2 MMs were playing LFWK last week UBSS and NITE (hmmm, aren't they always involved in naked shorting? I do believe so). Shorts are toast and we even traded well over 100 million all last week.

Here's to a great up and coming stock!

IMO

this is shorted 150-200 million shares, this was stated back in February by the ceo of lfwk's at that time, and the company insured themselves by insiders holding more than the entire float....i doubt these insiders sold there shares back, thus it is still shorted 150-200m++

Can I get your opinion on these comments made:

Do you think it's possible that Sulja bought the public vehicle from LFWK and LFWK will be a private company now?

Also, is there anyway of finding out if Sulja acquired 96% of the a/s with the vehicle? And, have you heard anywhere that Sulja will disclose they will 504, and liquidate the 96% of the a/s they acquired and then cancel the LFWK common before doing the 504 and registering Sulja common with the SEC?

These are bothersome remarks being made, that I would like to put to rest.

I guess my question is what shares will be trading on monday. There will be a change to a new name and cusip number. Unless more shares are added who will be able to trade? I use Scottrade and it usually takes them a day or two to effect the change. So what will be tradeable on Monday?

Just a FACT and yes there are ALOT more heavy weight players entering cause I have brought several ASSOCIATES in as of LATELY along with having them scoop up many of shrs when they were cheaper but they will FOLLOW my lead and were HOLDING out for the BIG pay days to come over next couple weeks/months/and maybe a yr or 2 never know here after all I've made alot of money in REAL ESTATE and it's kinda like buying property in my mind when buying SLJB(kinda)....

When I say several I can atest for several guys NOT here but Investors that have bought 6figs worth of STK ea..in SLJB

Below is an update of some thoughts that we can derive from the PRs as to the valuation of LFWK. Keep in mind that all of this is speculative until we see financials, Forms 3, 4, and/or 5, 8Ks, etc. filed with the SEC. The LFWK PRs are written in a very challenging tone daring any official regulatory authority to prove them wrong. I believe they are serious. I think it s just a matter of time before the market acknowledges its current, future, and potential value.

On 13 Mar 06, the PR below mentioned about two Insiders that represent 86 million shares that have agreed to return their dividend to the company. It also mentioned in that same PR that the quarterly cash dividend will be paid out on 114 Million shares. This leads me to think that the share structure is as below:

I will base my calculations on the above share structure presumptions. Replace whatever numbers needed to be replaced if for any reason they are later reported differently for better or worse.


On 13 Mar 06, one of their PRs also mentioned that they recently netted $2.4M out of $26M in Revenues for the fiscal year 2005. That s a profit margin of:

$2,400,000 ÷ $26,000,000 = .092 or 9.2% per million dollars

This means we can conservatively think that for every $1M made in Revenues, 9.2% of that will be netted as profit.

According to the company, we should soon see financials filed with the SEC to confirm a fundamental profit as shown below:

$2,400,000 ÷ 200,000,000 shares = .012 EPS

Using a conservative PE Ratio of 12 reflects below:

12 PE Ratio x .012 EPS = .144 per share

In that same PR released on 13 Mar 06, the company stated that it is projected that once Sulja Bros. settles into its new role, Revenues should reach $200M annually within a twenty-four month period.

People buy stocks because of their actual value and also because of their confirmed potential. If LFWK comes through with their financials to deliver what I posted above to confirm its fundamental value of .144 per share, then the market would normally react with a huge vote of confidence in the belief of its future potential that it is claiming. They would reduce the reasons for others to not believe what they have been claiming. Therefore, the anticipated Revenues of $200M annually within a twenty-four month period would reflect the potential fundamental value below:

$200,000,000 x .092 (9.2%) = $18,400,000 Income/Earnings/Profit

$18,400,000 ÷ 200,000,000 shares = .092 EPS

Using a conservative PE Ratio of 12 reflects below:

12 PE Ratio x .092 EPS = $1.10+ per share

This means that LFWK has the potential to grow into a fundamental value of being worth trading in the area of $1.10+ per share.

On 15 Mar 06, the PR below mentioned that LFWK is in the process of securing two new buildings in Louisville, KY. The collective purchase price is $3.98M. The estimated net profit upon project completion is $1.8M. I m guessing that this is annually too.

This means that given the $18,400,000 indicated as profit above and the profits of $1,800,000 from the Louisville, KY project, LFWK could potentially reflect a value as indicated below:

$20,200,000 ÷ 200,000,000 shares = .101 EPS

Using a conservative PE Ratio of 12 reflects below:

This means that LFWK has the potential to grow into a fundamental value of being worth trading in the area of $1.21+ per share.

In the 17 Mar 06 PR below, LFWK mentions that it is in the process of finalizing their plans for hurricane relief reconstruction outside Biloxi, Mississippi for the construction of 300 permanent residential units and several commercial properties that will begin May 1st 2006.

Each unit will cost anywhere from $80,000 to $185,000 per unit. I will go with a middle conservative average of $132,500 per unit. That gives a conservative potential for Revenues made from this project to be:

$132,500 x 300 = $39,750,000 for Revenue potential

The net profit margin for this project is expected to exceed 28% from those revenues. This reflects profits at least in the amount of:

$39,750,000 x .28 = $11,130,000 in profits/earnings

Now if you were to apply this $11,130,000 potential for profits to the potential $20,200,000 for profits I posted above, please observe:

$20,200,000 + $11,130,000 = $31,330,000

$31,330,000 ÷ 200,000,000 shares = .15665 EPS

Using a conservative PE Ratio of 12 reflects below:

12 PE Ratio x .15665 EPS = $1.87+ per share

As I stated before, people buy stocks because of the facts that are brought out about a stock, but also because of the potential that has been revealed too. Right now, none of us are really officially sure as to where LFWK should be trading from unconfirmed potential, but once the financials are filed with the SEC to initially confirm the $2.4M in profits, then LFWK should immediately trade anywhere from .144 per share to $1.87+ per share based on actual and potential valuation.

Now throw in the fact the awarding of a quarterly cash dividend of .0025 per share and those prices should fundamentally shift to the right as more long term shareholders are obtained. I m not sure when they plan on implementing the cash dividend, but expect a huge increase in price once it shows up on the OTCBB dividend list to confirm validity even further.

The quarterly cash dividend will remind the guilty culprits behind naked shorting LFWK that it will cost them directly and quarterly in cash until they resolve the issue. Their fate will be to pay out to all illegitimate positions of LFWK the .0025 per share dividend on those positions due in which they failed to deliver. That could get quite expensive for masking a covering per quarter. The company would be responsible for paying out on the OS.

Overstock.com (OSTK) and other NASDAQ stocks trading at much higher prices than LFWK have not been able to force a covering of their naked short positions. I think LFWK has a chance because you can t fictitiously create cash to put in people s account as how the naked short shares are fictitiously created electronically. As the supply for LFWK shares further decreases beyond zero and the demand for LFWK shares continue to increase, things will become more and more interesting
