Al, you don't suppose our friend Welch or other insiders may be dumping do you? I hope not... I can't imagine why he would. But just keeping all possibilities in mind.

I don't really want to think about that. He has a superb track record with companies. He should be BUYING right now if anything. The presence of institutional investors and large buys on the ask today would indicate that a lot of people have done their homework on this stock and are soaking it up in the 6's.
Notice Smith Barney hasn't gotten filled yet. If he doesn't get filled on the bid, expect to see a large buy on the ask when he pulls his bid out imo.
I will admit to being stumped by all the selling today though.
You are right for asking. It is still a penny stock, after all! Caution is always a requirement in this market!
They seem to think that 1.2 was a MM to MM transaction. ETRADE was the one that got the 1.2m shares. So the thinking is NITE is covered, maybe SCHB, now ETRD. That means no more shorting games, and UP UP UP!
Or that Welch dumped 1.2m shares and we're all going to hell.

Got a question: Due diligence is obviously an important part of trading. When I read how it is done there are the usual ways as described by board members, Buffett, pinksheets.com, etc.
What if one looked at the total assets of a company, divided that by the number of shares and established a value per share. Or in the case of MOTG, determine the value per share before vs. the value after the acquisition, merge, or whatever to see if the value per share is going to go up or not and use that to predict the future price of MOTG stock. Do the same with the two income statements.
Is this already a part of a quality due diligence? I see a long list of items that many check when doing DD, but a lot of it just doesn't seem to be worth checking to me. Accounting is such a joke, it seems that a lot of what could be done by checking the numbers isn't done because of garbage in and garbage out and the way that GAAP accounting is done.
Soooo, what do y'all think? Is there a way to make sense of the future stock price at MTOG or is it already being done? And if so, who's got the answer?

Interesting Dont know if anyone paid much attention to this but...
Its revenues for the year ended June 30, 2005 were $3,078,145. These revenues include only the revenues from the DATE OF ACQUISITION of Sound City.
What exactly does this mean?? the word "only" in the sentence makes it sound like there are other revenues they havent incorporated into the filing?
MOTG acquired sound city on February 1st. So this tells me that the K only included 4 months of revenues??? I somehow have overlooked this detail. If my theory is correct we will see over 7 million in revenue from Sound City alone for the quarterly report coming
Anyone have any thoughts on this?! =)

If Sound city continues on the track they are on with great deals, their customer base of 950,000 (old numbers) will grow and GROW and GROOWWW. I wouldnt be surprised if Sound city takes out Sound advice in the future. After all Welch plans to expand all the business under MOTG. heres to a great future ahead of us
BB, Regarding your post "Get Out while you still Can" What are you basing that on? Do you believe that the people on this board that believe in this stock are incorrect or simply out for their own gain? Do you believe that AW is lying about where he says he's going to take this company? Yes the stock is going down, possibliy due to the addition of the E again today. The 10, 20 and 40 day volatility is decreasing but the 15 and 45 day MAI is upward looking while the 100 day MAI is downward looking. Not at all trying to start anything here, just get an informed opinion and find out what that opinion is in fact formed on.

This from their 10K: "On January 24, 2005, the Company purchased 51% of Sound City for $2,000,000 with an option to acquire the remaining 49%."
So you're right, MOTG had revenues of $3,000,000 last year and ALL of it came from Sound City between Jan 24 and June 30. That means that this Q will show revenues from SC from June 30 to Oct 31. It stands to reason that SC's revenues PROBABLY did not increase substantially in those 3 months. So their revenue roughly should be the revenue for the first 5 months, divided by 2. So revs from Sound City should be about 1.5 mill on this Q.
They also have added HNet since the last K.
"On July 10, 2005, Modern Technology Corp. entered into an Asset Purchase Agreement with Anton Stephens, Dba H-NET."
So MOTG will also show revenues from HNET between July 10 and Oct 31. HNet (which sounds like a very profitbale business full of expansion potential, btw!) is supposed to bring in 5 mill a year, year over year. So 5 mill divided by 4 quarters is 1.25 mill, less a month or so. MOTG should see HNet revenues around 1 mill or so.
So by my best estimation, MOTG's Q will show revenues around 2.5 mill. ASSETS will be through the roof on this one though since they own one more company since the K.

I agree movingup, we will see a sharp decline due to the addition of the E, but that will be temporary. We still have plenty of news coming to hold. That's my opinion anyway

Make up your mind buddy. We're down from .07 to .065 on the acquisition of the E. There has been ONE substantial sale all day! The rest are MM transactions of mostly 5000 shares. If I were you I would just suck it up and buy it now! You're not going to get .04 or .05 before next week when the 10Q, Inmark acquisition, and other pr all come out Buy it now man and save us the grief of all your bashing.

Moving. I base that on, "The Lack of details/Annousement of so Called Accusition". They said the accusition will be completed by Oct 15 (Which is a month behind) and since that annousement they had 2 "e" on there name. They say they want to list on a higher exchange, there track record with the "e" and there lack of q reports on time will make that even harder task.
IMJO: I think the Deal is Dead. JMHO. Could be wrong though.

Our newest acquisition, InMarketing Group, is under closing now and is expected to add $11,000,000 in profitable revenues. Our other subsidiaries and current sales expectations will likely bring our internal revenue totals around $20,000,000. We have transactions underway now that, if completed, will catapult revenues over $50,000,000 for 2005 and will likely allow us to list the company on a national exchange as a result of the transaction.

BB I think we all saw the E coming about midday Wednesday. There was more selling that day than there has been today, by far. Those who want out are out, imo.
There are 3 members on this board who have contacts in the organization. ALL have said independently this week that there are a string of pr's coming out next week. One of which will put to rest the Inm acquision one way or the other. Another should be the Q and a third may be a pr regarding naked shorting.
The K was late because MOTG has acquired two compaines this year and is working on acquiring two more. That's a lot of work. A week or so after the K came out, the Q was due. So of course they were late getting started on it. Do you all realize that this last K was their first? Yes, they have only been trading publicly for one year and this was the first 10K they have had to file since trading on the OTCBB.
Personally, I give Welch credit for working on 4 acquistions in the same year and if the K's and Q's are late, so be it. It will only shake out the weak hands and leave the long term investors who have done their research, looked at the success of Welch's other company, NMKT, and are holding long into the .10's and beyond.
If you're right and the Inmarketing acq fell through, then it will drop and I will sell, then buy it back again because Welch knows what he is doing and there will be another acquisition, and more revenues, and MOTG will be the steal of the century.
Buy it now man, she's going up one way or the other.
