The reverse merger occurs when a public shell company acquires an existing private company. The shell has no assets and therefore the consideration that it gives to the seller of the private company is newly issued stock. Generally, millions of new shares are issued to purchase the private company.
The number of shares issued is so great that the seller of the private company ends up with a substantial majority of the shares in the public company. It is called a reverse merger because the seller of the private company, at the end of the process, is the majority owner of the public company.
Two things here: 1) If thats what they are planning they will have to issue a substantial amount of new shares to do this not the 31 mil they have now,100 mil to 200 mil is more like it. 2) Reverse mergers only work if the shell company has 0 income and 0 assets = 0 liabilities. Motg has 51% ownership of SoundCity, and they own H-net, and they have a convertiable on Demarco.

Same Guidelines! But only both companys need to be Public companys with share holders that have voting power. when they annouse it they have to have a meeting of Both shareholders to approve of it and the one at the end of the day with the most votes gets to run the company.
Statutory only works with 2 well run companys that have alot of revenue/ earnings history.

Guys, come on... let's make some money. Whether it's here or somewhere else. But the bickering doesn't do anyone any good. Some left RB for this reason. Let's keep that type of activity over there.
Maybe this is like being cooped up with 20 of your closest friends in a small room with no air conditioning... we can get on each other's nerves.

I am glad bigbuyer is posting this about the mergers...I don't understand the intricacies here, and, unless he is flat out wrong, I think it is good to know. People should know the float might substantially increase. I just would hope that when people disagree we can do so without name calling. It is possible. Look at what's happening on RB, it's just anarchy over there. If you have a difference in opinion, you can say so without bashing.
BB--I called you Bipolar--only in jest, called myself a name too, so hope you didn't take it too hard. we were just fooling around.
I still think there is no was we see 4 again. Maybe low 6s.

BB-I don't think you are bashing-- I think what you say has a lot of merit. But sometimes the way you say it upsets people. It's all in the delivery, ya know. And most people here are holding long.
If your strategy is to flip this, more power to ya, but you don't have to antagonize those who have decided to hold long. Two different strategies, eveyone here wants to make the green stuff.
