356,000,000+ mil shares yet to hit O/S: Both of these in last Form 10-Q. Is this wrong? That would be bad for us if this happens!

1. Company re-filed the Form with the SEC, with an effective date of June 30, 2005. The Form 2-E filing discloses that the Company received $1,820,000 of proceeds from the offering, net of $30,000 of expenses, through the sale of 171,000,000 shares of the Companys $0.001 par value common stock.

2. In June 2005, the Company received $185,000 of proceeds from the sale of common stock to two groups. The stock was valued at $0.01, the fair market value on the date of the sale. As of June 30, 2005, the shares had not been issued and have been recorded as Common Stock Issuable in the accompanying Financial Statements. ==== 185,000,000 shares

Strike...even a total of 356 mill in the OS,you think thats a lot?Look around and see other stocks some over $1 or more with twice that many shares or even more.Don't let the potential OS scare you,look at the business plan and the CEO's statement about not adding any more shares,what we have is all we have according to that.And it looks like AMEP is going to be getting some more attention,a few boys on the others boards are starting to pick up on good ONG picks and AMEP is one of the top ones from what I hear.

3 picks to have at least a fair position in imo..

AMEP-American Energy Product--Oil and Gas(Natural Gas)

CLBE-CalbaTech inc.- BioTech (focus Adult stem cell and DNA and Molecular R&D)

PMED-Paradigm Medical Industries-Med sector(surgical and diagnostic high-tech, proprietary equipment and consumable products)

I noticed your part 2 should be 18.5 million shares not 185 million.
From the last 10Q at the top of page 57:

In June 2005, the Company received $185,000 of proceeds from the sale of 18,500,000 shares of common stock to two groups. The stock was valued at $0.01, the fair market value on the date of the sale. As of June 30, 2005, the shares had not been issued and have been recorded as Common Stock Issuable in the accompanying Financial Statements.


I'm a little confused about part 1 and the 171,000,000 shares. I wonder if the 171,000,000 shares are already included in the issued and outstanding. Note what I've made bold taken from the bottom of page 11 of the last 10Q:

On February 22, 2005, the Company’s Board of Directors determined that it was in the best interest of the Company to discontinue the offering discussed above and to investigate other financing alternatives. Accordingly, the Company filed a Form 2-E pursuant to the Securities Act of 1933 notifying the SEC of the Company’s termination of the offering. However, the filing was not acknowledged by the SEC and the Company re-filed the Form with the SEC, with an effective date of June 30, 2005. The Form 2-E filing discloses that the Company received $1,820,000 of proceeds from the offering, net of $30,000 of expenses, through the sale of 171,000,000 shares of the Company’s $0.001 par value common stock (See Note 7 - Commitments and Contingencies).

Looks like what they re-filed was the form to discontinue the offering.
And looking at the paragraph on page 11 above this one, which is referred to where it says "discussed above":

On January 12, 2004, the Company filed a Form N-54 with the Securities and Exchange Commission (“SEC”) to be regulated as a Business Development Company (“BDC”) pursuant to the provisions of section 54(a) of the Investment Company Act of 1940 (“the 1940 Act”), to be subject to the provisions of section 55 through 65 of the 1940 Act. The Company has determined that its operating model best approximates that of an investment company and intends to make investments into developing businesses in the oil and gas and other industries. Additionally, the Board of Directors determined that it was necessary to raise additional capital to carry out the company’s business plan and the Company filed a Form 1-E pursuant to the Securities Act of 1933 notifying the SEC of the Company’s intent to sell up to $4,000,000 of the Company’s common stock at prices between $0.01 and $0.10 per share, or 40,000,000 and 400,000,000 shares, respectively. On January 29, 2004, the 1-E filing notification with the SEC became effective. The Company is presently registered as an Investment Company under the 1940 Act and as such, is authorized to issue up to $4,000,000 in “free-trading” stock at prices ranging from $0.01 to $0.10 per share.


Sounds like maybe the 171,000,000 shares were part of the inital 400,000,000 shares they requested to sell upon being regulated as a Business Development Company on January 12, 2004 and represent what was already sold before they attempted to discontinue that offering with the form 2-E. If so, wouldn't those shares then be part of the current 302,030,234 issued and outstanding? Again if so, that would mean just the 18,500,000 shares would be expected to be added. From June 30th to August 10th, it looks like 5,000,000 have been added leaving 13,500,000 remaining, not 356,000,000.

I don't know if this is correct but just my interpretation. As of the last 10Q there's still a little under 200,000,000 before reaching the A/S maximum.

The A/S is 500,000,000 currently and shares issued and outstanding:
From 2004 Q3 10Q as of Nov 10, 2004 - 269,530,234
From 2004 10K as of April 8, 2005 - 298,030,234
From 2005 Q1 10Q as of May 15, 2005 - 298,030,234
From 2005 Q2 10Q as of August 10, 2005 - 302,030,234

amep is inching down on worrys of inflation.The fed is reporting tom.on intrest rates and we will be looking at his wording for how many more hikes before hes done.Utilities oil and healthcare are a great place to be .I think rate hikes are figured in to the rock bottom price right now could be a great day for the ONG secter this week!!! [Cool]

The drilling rig work over should be completed and the rig operational in the next ten days....

We're witnessing today a demand driven bull market in oil which already caused oil to triple in price in just two years only. The scary thing however is that this increase in price won't be temporary since the world is heading towards 'PEAK-OIL' at an alarmingly high speed. Oil industry expert Matt Simmons says that we could be at the peak of world oil production here and now already. If that horror-scenario turns out to be true then we should prepare ourselves for oil prices heading towards $200 before the end of this decade. (Matt Simmons just warned last week that oil could double to triple this winter to the $125 - $190 range due to severe shortages…) Why is this so important ? Simple, higher oil prices will lead to higher PPI/CPI rates.

Just think about it, you simply can't produce any item without the availability of energy. So when the price of energy goes up producers will be faced with higher costs of production. Sure enough sooner or later they have to pass through those increased costs to the end user (consumer)

We should here some news on how the drilling rig .Thursday they said they would start drilling in a few days,prob started Monday should get update in afew days.What Im waiting for is the anouncement of the partner subscription then amep will jet...

hey why are we sweating man its not even winter yet.just stay calm this puppy will fly again.
look at the chart we have very nice upwards accumulation going on.when people start running their heat all day every day amep will be flying off the shelfs.i am currently holding 2.5 million shares. for the past two weeks i have made great money over on the big board.starting next week maybe even late this week i will be buying 2-3 million more i would very much like to have 5-6 million shares before the heating starts.once the drill starts punching money makers into the ground and the thermostats are cranked up we make money.remember the gas tank is still very low this year gas wont be cheap.but we will be alot richer.
so see you all again soon right now im going on vacation for a few days maybe do a little fishing.

MINERAL WELLS, Texas--(BUSINESS WIRE)--Nov. 4, 2005--American Energy Production Inc. (OTCBB:AMEP - News) announced today, two of AMEP Investees Bend Arch Petroleum Inc. and Oil America Group have initiated work on an extensive 3D seismic study on 2500+ acres, consisting of two tracts, in Central and North Central Palo Pinto County, Texas. The purpose of the seismic evaluation is to prepare the way for the re-entry and deepening of two existing wells by Bend Arch Petroleum Inc. into the Barnett Shale formation with horizontal lines and two proposed new joint venture horizontal Barnett Shale wells to be drilled by Oil America Group over the next few months.




"We know the Barnett Shale formation is there. The question is what is the best way to approach its development? The purpose of this study is to develop a clearer picture of the formation in order to attempt to use the specific characteristics of the formation underlying these tracts to our advantage. There are naturally occurring fractures in the formation and we want use the data of this 3-D seismic shoot in both our lateral direction of drilling, and the design of the hydraulic "slick water" fracture used to complete the wells." said Charles Bitters, President of American Energy Production Inc.

"We are cautiously optimistic at the prospect of a substantial increase in the production of both oil and gas in these horizontal wells, over the production rates of the vertical wells we currently have in the immediate vicinity. Drilling horizontal wells in the Barnett Shale has evolved from picking any location to adding a great deal of science and new technology such as the 3-D seismic. With the cost of drilling, completing and equipping a Barnett Shale well today there is very little room for mistakes," stated Mr. Bitters.

Joe Christopher, President of Oil America Group said, "We are thrilled that a spot opened up for us to be able to do this 3-D seismic shoot now because we hope to be drilling on the first well of our program in the next several weeks."

I decided to pick up a new position here in AMEP because of that. Good entry point even w/o an official drilling PR.

200K order just went through and the bid dropped. MMs are trying to keep this down, so they're looking to accumulate imo.

Looks like this is the bottom of a swing.

Time to buy more on Monday if it opens at current price. I don't get the panic sells, if people are that uneasy they shouldn't be playing penny stocks. JMO.
