ProActive Computer Services, Inc. Seeks Share Buyback - CEO; Architectural Drawings To Be Posted on Corporate Website

HOUSTON, Mar 31, 2004 (BUSINESS WIRE) -- ProActive Computer Services Inc. (PAVP: Pink Sheets) will launch a share buyback program as early as next week, Chief Executive Andrea Cortellazzi said on Wednesday. The company will seek to repurchase its shares due to management's belief that the price is far below other real estate development companies on a projected price-to-cash-flow basis. PAVP projects revenues from operations to reach approximately $3.5M by the end of 2004. This is forecast to be generated, following the construction of the hangar and adjoining structure, from leasing contracts signed with tenants and the fuel farm to be installed at St. Hubert airport.

PAVP is pleased to announce that the architectural drawings of the hangar and proposed modernization of St. Hubert airport will be posted on CortDev's new corporate website, which will be released by the end of the week. PAVP has received approval for the name change to CortDev Inc. from the State of Nevada. According to the Transfer Agent, Bill Little, the company is awaiting the issuance of the new trading symbol by NASDAQ to complete the process. The company expects to receive it any day now.

PAVP is committed to attaining OTC Bulletin Board status and will use its recently acquired OTC shell to expedite the process. The shell will acquire PAVP, which will help to render it fully-reporting and eligible to trade on the OTC. Shareholders of PAVP will not be affected as they will retain all their shares and the capital structure of the company will remain unchanged. There will be no reverse split of PAVP shares.

Finally, Chief Executive Andrea Cortellazzi would like to take this opportunity to assure all shareholders that the company is doing all it can to build a viable and profitable business while at the same time maximizing shareholder value. HOUSTON, Mar 25, 2004 (BUSINESS WIRE) -- ProActive Computer Services Inc. (PAVP: Pink Sheets) is pleased to announce that the architectural drawings for the modernization of the St. Hubert Airport is being drafted. PAVP has retained an experienced and well-respected Montreal-based architectural firm, Groupe Eleclerc, to complete the layout. These drawings illustrate the 52,000 square-foot building construction hangar on a 160,000 square-foot lot, complete with new offices, workshop, larger ramp and additional aircraft parking spaces. Once the drawings have been finalized, they will be submitted to the Director General of the St. Hubert Airport, Mr. Michel Beaudoin. These documents along with the CortDev Inc. Charter and business plan that Mr. Beaudoin already has in his possession will secure the lease of the St. Hubert property. PAVP is currently screening candidates for the project manager position and anticipates that it will be filled by the end of next week.

I like that part, makes me think that once we get our OTCBB shell that we will be getting more companies rolled into PAVP

Etrade now shows symbol change to CDVJ, but current price is listed as .00309 in my account.
Hoping this is a mistake, and someone will confirm same price as closing today, after symbol change.

.0062 is the last sale

.0062 is a hell of alot better than .0035 from mid week

That's STRANGE. PAVP tried to buy a FInger Print Tech. CO. over a YEAR ago?????

Andrea was NOT the owner then though. Tells me one thing at least. There's good money in this Fingerprint Tech!

Good Luck to us ALL and our new CDJV. May she NEVER see red for at LEAST 8 days. Then it can retrace and run some more! Hey - what went down should come up!! And Up and Up we Hope!!

look at these dates feb 8 2004 on both charts..... they took off at the same time.... interesting

also on the declines around march 8th it seems itdj is a week behind pavp with itdj's rsi at a strong buy level...

made a easy 100% plus and it's still growing on pavp itdj is primed to do the same!!!

Just got a quick question about PAVP shareholders aquiring shares of CSJJ:

"PAVP shareholders will benefit from this acquisition of CSJJ. Shares of CSJJ will be distributed to PAVP shareholders of record as of the close of business on April 9, 2004. PAVP shareholders will receive 1 share of CSJJ common stock for every 100 shares of PAVP common stock owned. There will be no change to PAVP shareholders' positions. "

It just seems too easy. I have 330,000 shares of PAVP so I should get 3,300 shares of CSJJ for free, and at .047 that's a little bit over $1500 added to my portfolio. Is it really that easy or is there some catch to it somewhere?

I would just think that if it were that easy people would just buy PAVP just to get the shares of CSJJ and then they would dump both to take a nice profit...

well there was a strong effort on rb and on L2 to make people panic sell and alot did.

MAYBE CSJJ IS THAT GOOD.....we need more details from the finger printing part of cdvj.

i would expect csjj news this week before the april 8th deadline. It would make both stocks very interesting to watch in the day's to come....

Doji, bought ITDJ 4/2/04. Had a buy in at .0038, it traded at .037, and I didn't get filled. Had to go to .0039. Going to put another buy in Monday at .003, just incase it drops a bit more. Looks like it gets good support at .0035. I like CYTP, tryng to buy at .0013, and MSITF if it drops to .0075 again. Oops! This is the PAVP thread, but I think everything has been said about this one. Besides I can't contribute. I own it, but wax and wain on my opinions, so I won't say sh*t, just sell pocket my profits, and go to the next one.
Although, as facts change, and hopes become or do not become reality, I think it is normal, maybe even prudent, to change your opinion. I made an error in judgement and sold off my shares for a modest profit that I bought at .0053. I had to buy back in at .0063. This time I'll only sell to hold free shares, and keep those for future action.

One thing is that you actually have to buy the stock by the 7th of April because it takes a couple of days for the stock certificate to actually be transferred to your account. Most people don't actually know that so they will buy just the day before without realizing that they actually had to buy the 7th.....but besides all that, yes it really is that easy to gain more shares for free of CSJJ. I am of the opinion that CDVJ (hmmm, take some getting used to...lol) has a very exciting 2 months ahead. Some irons in the fire.....

1. Name change and new website, including architectural drafts of airport project....immediately

2. Will launch a share buyback program as early as next week

3. PAVP has retained an experienced and well-respected Montreal-based architectural firm, Groupe Eleclerc, to complete the layout. These drawings illustrate the 52,000 square-foot building construction hangar on a 160,000 square-foot lot, complete with new offices, workshop, larger ramp and additional aircraft parking spaces (plus a fuel farm?)

4. PAVP projects revenues from operations to reach approximately $3.5M BY THE END OF 2004. This is forecast to be generated, following the construction of the hangar and adjoining structure, from leasing contracts signed with tenants and the FUEL FARM to be installed at St. Hubert airport.

5. St. Hubert property project manager position .... anticipates that it will be filled by the end of next week

6. Acquisition of a privately-held fingerprint technology company, Digitalus Technology Inc. (DTI). Under the terms of the agreement, PAVP acquired DTI in exchange for cash.
DTI's goal is to achieve profitability by the end of 2005 with at least $15M in annual revenue.

7.PAVP will perform a reverse-merger of Digitalus Technology Inc. into a public shell, CSJJ (already purchased). Shares of CSJJ will then be distributed to PAVP shareholders of record as of the close of business on April 9, 2004. PAVP shareholders will receive 10 shares of CSJJ's common stock for each 1000 shares of PAVP common stock owned.

8. Potentially 3 new firms to be acquired to merge into either CSJJ or CDVJ...PAVP has been in negotiations for the past three weeks to acquire three privately-held companies...

9. Purchase of OTCBB shell..."PAVP has entered into an agreement to acquire an OTC Bulletin Board shell"....
"PAVP is committed to attaining OTC Bulletin Board status and will use its RECENTLY ACQUIRED OTC SHELL to expedite the process. The shell will acquire PAVP, which will help to render it fully-reporting and eligible to trade on the OTC. Shareholders of PAVP will not be affected as they will retain all their shares and the capital structure of the company will remain unchanged. There will be NO REVERSE SPLIT of PAVP shares.

10. PAVP has also retained the services of an accountant who will prepare the necessary filings to submit as part of the OTC application

11. Opening of company offices....entered into negotiations to lease office space on the 18th floor at 1 Place Ville Marie, Montreal, PQ. In addition, PAVP is negotiating for office space in the Galleria district of Houston, TX.

12. I think you get the idea.


should be a crazy week with this one......

and just think if csjj can be linked to the needed fingerprint machines need at airports.........we all could kill it for taking the risk on pavp/cdvj
more money

So when the symbol changes, will there still be a csjj or will pavp and csjj be combined into cdvj? If that happens, will we just get .01 new shares of cdvj for every 1 share that we own? But if csjj and cdvj do stay as separate ticker symbols, then how does that work because they are both owned by the same company? Can the same company have more than one ticker symbol? just wondering? With all that put aside, we should have a very good week. Hopefully we'll get PR's about every other day to keep the price strong. They definetely have alot of subjects to do PR's on....airport, fingerprint technology, name change, additional mergers, etc. A PR on any one of those topics would help the price spike to continue. Is everyone else as excited for monday as I am??

WASHINGTON (AP) -- A program requiring foreigners to be fingerprinted and photographed before entering the country is being expanded to include millions of travelers from some of America's closest allies, U.S. officials said Friday.

The move affects citizens in 27 countries -- including Britain, Japan and Australia -- who had been allowed to travel within the United States without a visa for up to 90 days, according to the Homeland Security Department.

Under changes in the US-VISIT program that will take effect by September 30, they will be fingerprinted and photographed when they enter through any of 115 international airports and 14 seaports. There are no changes in unique rules covering visits by Canadians and Mexicans.

The Bush administration made the move after determining most of the so-called "visa-waiver countries" won't meet an October deadline to have biometric passports, said Asa Hutchinson, undersecretary for border and transportation security. Such passports include fingerprint and iris identification features that make the documents virtually impossible to counterfeit.

Citizens from those countries still won't have to go through the consulate interviews, background checks, fingerprinting and photographing that people from other nations must do to obtain a visa.

The US-VISIT program was passed by Congress in response to the September 11, 2001, attacks. In January, the U.S. government began fingerprinting and photographing visitors from nations other than the visa-waiver countries.

About 5 million people have been processed so far and more than 200 with prior or suspected criminal or immigration violations have been stopped, according to Homeland Security.

Hutchinson said adding the estimated 13 million annual visitors from visa-waiver countries should not create massive backlogs at airports and seaports. He said it takes only 23 seconds per person to take fingerprints and photos and check them against government files.

However, fingerprinting the visa-waiver citizens could have ramifications for Americans when they travel abroad. When US-VISIT began last winter, Brazil retaliated by requiring Americans visiting that country to be fingerprinted and photographed.

Hutchinson said he does not expect other countries will follow Brazil's example. He and other U.S. officials have been talking to their counterparts in the visa-waiver countries and told them their nations could be added to US-VISIT. None expressed strong reservations, he said.

"Our allies, they will see this as a good security measure," he said.

The visa-waiver countries are: Andorra, Australia, Austria, Belgium, Brunei, Denmark, Finland, France, Germany, Iceland, Ireland, Italy, Japan, Liechtenstein, Luxembourg, Monaco, Netherlands, New Zealand, Norway, Portugal, San Marino, Singapore, Slovenia, Spain, Sweden, Switzerland and the United Kingdom.

BAD NEWS FOR AMERITRADE ACCOUNT HOLDERS:

PAVP SHARES WILL NOT UPDATE TO CDVJ SHARES UNTIL TEUSDAY. THIS MEANS WE PROBABLY WONT BE ABLE TO SELL IF IT SPIKES MONDAY, STILL WAITING FOR A RESPONSE ABOUT SELLING IT, BUT NO ACCOUNT UPDATE UNTIL TESUDAY.

Are you kidding Roger? I didn't get an email from them, but my PAVP is with them.

How the hell can they do that. They HAVE to let us trade it of we WANT to. Once the symbol is changed - Ameritrade can't decide when THEY want to change it in their records.

I hope it's just one of their people screwing up and giving you bad info.....

I think if you call the broker monday they will tell you what to do. I am pretty sure you can still trade it...

how do we know that the symbol change is going to happen at 12:20 tomorrow, and if so, wouldn't PAVP have done a PR by now?

Its possible you wont be able to sell tomorrow, but why would you want to, free shares are FRIDAY. Plus, the less people that can sell, the higher it can go!

Same thing happened with BTLY->BLYC
