This is a summary of the company that I found.

SUMMARY

BTLY has progressed substantially since we last covered it in July 2002. It is applying its e-commerce Internet payment technology to a new, fast growth business. It added a strong management team with a great success record, & is making what we consider to be very sensible acquisitions.

On 2/19/2003, it announced the acquisitions of BartercardUSA (www.bartercardusa.com), as well as First National Information Network (www.fnin.com). Each will be a wholly owned subsidiary of BTLY.

Chairman Gordon Lee stated: "Both companies are cash flow positive & will continue aggressive growth as a result of going public, as well as increase shareholder value for us."

BartercardUSA holds the American licensing rights for Bartercard International which, as reflected in the * note above, is the world's largest business-to-business trade exchange. Its trade & barter franchises operate from about 120 offices in 15 countries, including such examples as Australia, Hong Kong, Malaysia, New Zealand, Sri Lanka, Thailand, United Kingdom, & several others -- & since April 2002, of course, the USA Singapore has just been added, Mexico & Canada are expected to be added this year, & others are pending – 20 are expected by 2005. In the 15 countries, Bartercard has over 70,000 member-businesses, & that number is expanding by about 20% each year. That base provides the largest captive market in this worldwide industry. The parent company, established in 1991 as an electronic, computerized marketplace for barter transactions, generated more than $1.2 billion in trade in 2002, & had over $50 million in earnings in 2002. Lee stated: "Many analysts agree that the U.S. alone is capable of eclipsing these numbers."

BartercardUSA already has offices in Arrowhead/Big Bear, Baltimore, Bel Air (MD), Boise (ID), Chatsworth, El Cajon, Fresno, Hollywood/Los Angeles, Houston, Las Vegas, Orange, Palm Springs, Redlands, San Diego, San Jose, Sarasota (FL), Temecula, & Ventura. It has more than 2,000 member businesses. Projected growth is to over 20,000 member businesses by 2005. BartercardUSA makes a significant cash override on every transaction. This service currently generates over $50,000 per week in gross revenues.

Before the set of acquisitions now being completed, BTLY's focus was on the implementation of such e-commerce services as Internet payments via ATM cards as well as barter & financial transactions of all types. The application of its system will provide heightened security to the consumer & provide instantaneous transaction credits to the merchant, whether it is a cash or trade transaction, or a blend of the two. BTLY provides payment solutions for any company on or off line. It is in the process of transforming BartercardUSA to a completely automated payment system. Look this is also related with The second acquisition of BTLY-- First National Information Network (FNIN)

Just my thoughts...

I'm think I'm definitly gonna play this for the symbol change, since from what I've seen huge gains can be made the days before, of, and after the change. But I think there are some great long term possibilities for this company, I'll for sure hold onto some freeshares after monday the 12th.

If the business owner operates a hotel, there may be an additional benefit. A hotel room that isn't utilized for a night constitutes a value that is lost forever. Barter is an effective way to gain value from something that might otherwise be made worthless.

Barter offers a way to gain a customer who would not have tried your product or service if the full price had to be paid in cash. He or she may well try your product or service when they can pay in barter dollars. Actually, a member will seek out opportunities to do business with a business that accepts barter dollars. The CEO explained to me the company and concept in detail. It was a great conversation. I was very enlightened. He stated that i needed to look at barter as a form of financing/alternative financing that many companies are using. He gave me several examples... and finally when he was done educating me... I was very excited about the opportunity here! mach

Yes... you can see the MACD positive divergence as well. As the price was consolidating the MACD has been rising... when it crosses 0.00 which will happen soon... the stock will become very Bullish!

CEO told me that the Cusip and name will change... but will keep the same symbol. The Cusip number is the key identifier. Take care. mach

I agree Mach, as i posted on my technicals before, we can see that we are in an accumulation trend with a slow move up the hill, once MACD crosses 0.00 the uptrend will be confirm. This prices are good for entry point. I am also looking very closely the DMI, when the time is right this will also flash us the confirmation of uptrend, this will happen soon. So, in my opinion we are on time here.

Yes. The cusip number is the actual identifer(tag) of the stock. They will have to cover. The goal here and as noted by the December 30th PR is to identify physical shareholders... thus eliminated naked shorts. Isn't that great! Ive read several articles. BTLY is one of over 106 companies doing battle with these MM tactics. Take care! mach

This information is regarding the market where BTLY is based on. I think it has a lot of potential.

MARKET

Today, more than 500,000 businesses engage in bartering. They include such well known companies as Hilton, Mattel, McDonnell Douglas, Pepsi Cola, Ramada Inns, & Xerox. The diversity of businesses that participate is wide. Technical Analysis

Bollinger Bands- Tightening, shows the stock has consolidated, price has been moving towards the upper bollinger band - BULLISH

MACD- Fast line has been sitting on the slow line for a while, also shows consolidation, Fast has crossed over the slow line, showing an upward trend- BULLISH

Slow Stokes- 50 moving upwards. Showing the stock is in a healthy pattern and under accumulation- BULLISH

EMA's- Price has crossed 8 day EMA- BULLISH, Price is just under 40 day EMA and about to cross- VERY BULLISH

Other Factors to Consider:

Company Name Change- the company is changing their name from Bentley Communications to Bentley Commerce. This will stop people from naked shorting, since all shorts need to be COVERED before the name change and will put buying pressure on the stock.
