CURRENT BUSINESS INFORMATION: Cybertel Communications Corporation is a fully integrated telecommunications service provider that supplies telecommunications services. The Company offers competitive rates to its residential customers on long-distance, personal 1-800 numbers, calling cards, as well as completely free traditional Internet dial-up access with its Internet call-waiting feature.
For businesses, the Company offers a variety services. These include virtual private networks (VPN), unified messaging and Web hosting services.
The Company shaped its strategy to build an IP based network due to a fundamental shift that is occurring in the communications industry, a shift as important as that from the telegraph to the telephone or from mainframe to personal computer.
The company's goal is to become a one-stop service provider for a variety of services. Management is being established through an acquisition strategy which is intended to (i) enhance the Company's sales force capability, (ii) broaden its service offerings, and (iii) increase its customer base and revenue.
HISTORICAL BUSINESS INFORMATION: Cybertel Communications Corporation, a Nevada corporation, was organized on June 13, 1996, for the purpose of engaging in any lawful activity.
As of March 30, 2000, Cybertel Communications Corporation's revenue has been dependent on a few major clients, including American Telephone & Telegraph Company (AT&T), Bull HN Information Systems, Inc., Computer Sciences Incorporated, Compaq Computer Corporation, EMC Corporation, International Business Machines Corporation (IBM), Merrill Lynch, Pierce Fenner & Smith Incorporated, Metropolitan Life Insurance Company, MicroAge Computer Center, Inc., and Telesector Resources Group Inc.
July 24, 2001 Cybertel Communications Corporation adopted a buyback program pursuant to which it may repurchase shares of its outstanding shares of common stock.
August 23, 2001 Cybertel Communications Corporation dispelled rumors that its officers or affiliates are liquidating shares of Cybertel Communications Corporation's stock. Cybertel Communications Corporation knows of no affiliated party that has sold any shares of its stock this year.
September 11, 2001 Cybertel Communications Corporation divested itself of its wholly owned subsidiaries Telenomics, LDVL and Like Dat Music.
November 1, 2001 Cybertel Communications Corporation signed a marketing agreement with Global Internet Market Group, Inc. (GIMG). The agreement calls for GIMG to market Cybertel Communications Corporation's long distance and other telecommunications products to its distributor network and later to the distributor customer base worldwide.
December 11, 2001 Cybertel Communications Corporation signed a Memorandum Of Understanding (MOU) for the acquisition of 3S Technologies.
December 18, 2001 Cybertel Communications Corporation partnered with Whispering Winds Catholic Conference Center, a Catholic Organization, to provide its telecommunications services to Whispering Winds membership. Whispering Winds will offer long distance, Internet access, calling cards, toll free numbers and other communications services to all of its members through the Partnership. The services are to be offered at very competitive prices.
December 20, 2001 Team Platinum will begin using and marketing Cybertel Communications Corporation's Telecommunications services worldwide beginning January 2002. Team Platinum is a Salt Lake City based direct marketing company that has a history of product marketing. Their distributors will use Cybertel Communications Corporation's services and also market their newest offering "My Cybertel," a unified messaging service that enables Cybertel Communications Corporation's customers to access their email via telephone and respond over the telephone to send an email reply.
January 10, 2002 Ameriplast chose Cybertel Communications Corporation as its telecommunications provider. Cybertel Communications Corporation will provide long distance, toll free, unified messaging, high-speed Internet access and IP services such as virtual private networks to Ameriplast. Ameriplast is a privately owned company with a five-year track record of exceptional growth.
January 16, 2002 Cybertel Communications Corporation agreed with Ameriplast to joint venture the wholesale of block time usage to Ameriplast's existing customers. Ameriplast's customers are currently using approximately twenty five million plus minutes per month. Ameriplast is currently manufacturing telephone calling cards for approximately 1,000 clients with international calling markets. The joint venture will offer lower rates and better customer service than Ameriplast's customers are currently receiving. Ameriplast is a private owned company.
January 24, 2002 CyberVest chose Cybertel Communications Corporation as its telecommunications provider. Cybertel Communications Corporation will provide long distance, toll free, unified messaging, high-speed Internet access and IP services such as virtual private networks to CyberVest. CyberVest Securities, Inc. is a full service licensed broker dealer founded in 1995 and is registered with the Securities and Exchange Commission.
January 31, 2002 Cybertel Communications Corporation launched a new service, "My Cybertel" which will enable customers to access their email via a telephone line and be able to respond to their emails over the same telephone line. With My Cybertel service, busy business persons will be able to access and respond to emails on the fly without having to carry a laptop or have access to a desk top computer. Cybertel Communications Corporation will initially market My Cybertel to direct marketing organizations and anticipates signing up 10,000 new customers over the first 6 months.
February 26, 2002, V G Holdings Corporation of South Florida chose Cybertel Communications Corporation as its telecommunications provider. Cybertel Communications Corporation will provide long distance, toll free, unified messaging, high-speed Internet access and IP services such as virtual private networks (VPN's) to V G Holdings. V G Holdings is a boutique Broker Dealer in Boca Raton, Florida currently serving 3,000 clients.
February 28, 2002, Cybertel Communications Corporation brought its new website on line Monday March 4, 2002. The new website incorporates the services offered by Cybertel Communications Corporation with the ability for customers to sign up for services on line. Cybertel Communications Corporation also offers its agent network the ability to manage their business on line with Cybertel Communications Corporation's proprietary browser based agent network management software. Customers will also be able to sign up for MY Cybertel, Cybertel Communications Corporation's new TALKING EMAIL phone based service that enables My Cybertel customers to both access and respond to their e-mails with a telephone.
March 5, 2002, America's Health Choice chose Cybertel Communications Corporation as its telecommunications provider for its 18 health clinics in South Fla. Cybertel Communications Corporation will provide long distance, toll free service, high-speed Internet access and IP services such as virtual private networks. In addition Cybertel Communications Corporation is providing its latest product offering of My Cybertel unified messaging to America's Health Choice clinics.
March 7, 2002, Cybertel Communications Corporation entered into an agreement with TAG Management Group (TAG) to market a variety of Cybertel Communications Corporation's telecommunications services to their clients. The agreement is expected to generate approximately $20 Million in new revenues for Cybertel Communications Corporation over the next 30 months. TAG has executed agreements with some of the nation's largest marketing firms. TAG, in conjunction with these marketing firms will introduce Cybertel Communications Corporation's telecommunications services to affinity groups, affiliate marketing companies, retail organizations, and various corporations. They will offer Cybertel Communications Corporation's telecommunications services to its members, customers, and employees respectively.
April 4, 2002, Cybertel Communications Corporation filed an 8-K reporting a private placement agreement with Alpha Capital Aktiengesellschaft. The $200,000 placement includes a convertible note and warrants. 8% Convertible Note for $200,000 due March 26, 2007. The Note is convertible at the lesser of (i) $.216; or (ii) eighty percent (80%) of the three lowest closing bid prices for the common stock as reported by the NASD OTC Warrants to purchase 200,000 shares of common stock at an exercise price of $0.33.
April 24, 2002 Cybertel Communications Corporation launched a custom-branded communications program for Nature's Sunshine Products Independent Distributor Association, a member organization of Nature's Sunshine Products to market to its 300,000 members and over 7,000,000 customers throughout the United States. TAG Management estimates that the program is expected to generate approximately $15 Million in revenues for Cybertel Communications Corporation over the next 30 months. On June 21, 2002, Cybertel Communications Corporation confirmed that the program has been put on hold due to a misunderstanding between Nature's Sunshine Products and Nature's Sunshine Products Independent Agents Association. It is Cybertel Communications Corporation's understanding that at issue is the use of Nature's Sunshine Products logo and trademarks by the Association.
May 15, 2002, Cybertel Communications Corporation filed an S-3 registering 15,025,153 shares of common stock as follows: 200,000 shares issuable upon the exercise of warrants and having an exercise price of $0.33 per share; 1,190,476 maximum number of shares issuable upon conversion of an 8% Convertible Note in the amount of $200,000. As of 5/13/2002, the conversion price of the Note was $0.168 per share; and 13,634,677 shares issuable upon the conversion of 2,020 shares of 6% Convertible Series A Preferred Stock having a stated value of $1,000 per share. As of 5/13/2002, the conversion price of the Preferred Stock was $0.168 per share.
May 28, 2002, Cybertel Communications Corporation engaged the services of global strategy consulting firm of A.G. Spencer Corporation (AGS) of San Francisco/Los Angeles, California, to accelerate Cybertel Communications Corporation's aggressive growth strategies. AGS will be providing consulting services in the areas of strategy, partnerships, joint ventures, large-scale alliances, customer acquisition, marketing, growth, operational excellence, financial, manpower solutions, mergers and acquisitions.
June 4, 2002, Cybertel Communications Corporation formed a synergistic strategic alliance with eKnowledge Group Inc. to improve both companies' bottom-line, expand business and thereby increasing Shareholder value. This synergistic alliance will encompass everything from selling of each other's products to providing services or products at preferred rates to each other. The foundation of this partnership was built upon the goal of achieving and sustaining shareholder value growth through the development, enhancement, and implementation of innovative marketing tools for the expansion of market share and maximization of cost efficiency.
June 12, 2002, eKnowledge Group, Inc. received a $500,000 order from Cybertel Communications Corporation and to form Knowledge Telephony Inc. as a wholly owned subsidiary. The $500,000 order is spread over the next 12-months at an average rate of $42,000 per month and will consist of producing marketing CD-ROM's with full multi-media components (video, text, interactive navigation bars, etc.) to convey a message from an organization to its members presenting the call to action to have the members of the organization enroll in Cybertel Communications Corporation's services. Separately, eKnowledge and Cybertel Communications Corporation have agreed to enter into a Master Agent Agreement through which Knowledge Telephony Inc. will become a reseller for Cybertel Communications Corporation.
July 12, 2002, Cybertel Communications Corporation filed an S-8 registering 10,000,000 shares of common stock. 6,000,000 shares are issuable under the 2002 Employee Stock Incentive Plan and 4,000,000 shares are issuable under the 2002 Non-Employee Directors and Consultants Retained Stock Plan.
August 09, 2002, Cybertel Communications Corporation acquired AWI Global Technologies Inc. and formed Cybertel Holdings and Cybertel Financial International as wholly owned subsidiaries for the purpose of expansion through mergers and acquisitions with the global strategy-consulting firm of A. G. Spencer Corp. (AGS) of San Francisco/Los Angeles, as Coach.
August 15, 2002, Cybertel Communications Corporation entered into a bilateral Letter Of Intent with Universal Broadband Communications Inc. (UBCI) whereby Cybertel Communications Corporation will spin-off a wholly-owned subsidiary to (UBCI) in a tax-free exchange.
September 4, 2002, Cybertel Communications Corporation's subsidiary AWI Global Technologies Inc. has been acquired by Universal Broadband Communications of Irvine, California.
September 12, 2002, Cybertel Communications Corporation will distribute a stock dividend to the shareholders of record as of September 24, 2002. The dividend will consist of common shares of Universal Broadband Communications issued at the rate of one common share of UBC for every 20 common shares of Cybertel Communications Corporation owned by a shareholder as of the record date.
September 20, 2002, Cybertel Communications Corporation filed an S-8 registering 15,000,000 shares of common stock for Employee Stock Incentive Plan No. 2 for the Year 2002 and Non-Employee Directors and Consultants Retainer Stock Plan No.2 for the Year 2002.
September 24, 2002, Cybertel Communications entered into a strategic partnership with facility based carrier Universal Broadband Communications (UBC) that will result in lowering Cybertel's costs by 40 per cent. The savings will be realized from lower carrier costs and eliminating various operational expenses. This partnership includes the use of UBC's infrastructure and a master carrier agreement. Cybertel recently announced a dividend distribution of Universal Broadband Communications stock to Cybertel shareholders of record as of September 24, 2002. The dividend shares will be free trading upon the effective date of UBC's SB-2 registration that is currently in progress. Cybertel also will retain UBC shares as a corporate asset and anticipates that these shares will add substantially to the company's assets.
November 14, 2002, Cybertel Communications Corporation informed shareholders that Universal Broadband Communications (UBC) has filed a registration Statement with the Securities and Exchange Commission and has stated a value of $2.00 per share for its common stock. In addition Cybertel will retain one million shares.
November 19, 2002, Cybertel Communications entered into a bilateral Letter Of Intent with Food and Beverage International whereby Cybertel will exchange its stock ownership in a subsidiary in a tax-free exchange for shares of Food and Beverage International common stock. Under the terms of the LOI, a portion of the shares retained would be distributed to Cybertel shareholders on a future record date to be announced.
November 21, 2002, Cybertel Communications Corporation formed Cybertel Financial International, a wholly owned subsidiary, to be a holding company for the purpose to seek out acquisition/merger candidates. This strategy will allow Cybertel Communications to own all or part of public companies and distribute shares of the acquired/merged companies to Cybertel shareholders as dividend distributions. Cybertel recently announced the dividend distribution of Universal Broadband Communications. UBC's recent filing with the Securities and Exchange Commission stated a value of $2.00 per share. One million UBC shares will be distributed to Cybertel shareholders of record as of September 24, 2002.
December 4, 2002, Cybertel Communications entered into a bilateral Letter Of Intent with The Small Business Company whereby Cybertel will exchange its stock ownership in a subsidiary in a tax-free exchange for shares of The Small Business Company common stock. Under the terms of the LOI, a portion of the shares retained would be distributed to Cybertel shareholders on a future record date to be announced.
December 10, 2002, Universal Broadband Communications filed its form 15C211 requesting a trading symbol and permission to initiate trading in its common stock. The NASD has 30 days to comment or give permission to begin trading. Cybertel shareholders will receive a dividend of one (1) share of UBC stock for each twenty (20) shares of Cybertel shares owned as of September 24,2002.
December 13, 2002, Cybertel Communications Corporation filed an S-8 registering 35,000,000 shares of common stock issuable under the Employee Stock Incentive Plan for the Year 2002 No.3 and the Non-Employee Directors and Consultants Retainer Stock Plan for the Year 2002.
December 16, 2002, Cybertel Communications Corporation adopted a buyback program pursuant to which it may repurchase shares of its outstanding shares of common stock.
December 17, 2002, Cybertel Communications Corporation will be assisted with its stock buyback program by Dan Landau and Finance 500. Cybertel will not purchase stock during the first 1/2 hour of the trading day or the last 1/2 hour of the trading day. Purchases will be made between the bid and ask prices on the day of purchase. December 18, 2002, Cybertel Communications Corporation will distribute a stock dividend to Cybertel common stock shareholders of record as of January 14, 2003. The dividend will consist of common shares of Food and Beverages issued at a rate to be determined upon completion of the Food and Beverage's audit. The stock dividend will be payable to common stock shareholders of record date January 14, 2003. This date is the last date for settlement of CYTP shares bought previously. In many cases, brokers require three days to settle or finalize a purchase transaction. If this were the case the last day to buy and be eligible for the dividend would be January 10, 2002. Stock purchasers should check with their brokers as to the last date to buy and still be legally eligible for the stock dividend. Common shareholders of record date of January 14, 2003 will receive dividend shares. Fractional dividend shares will not be issued and shareholders must own a minimum number of common shares to be eligible for a dividend distribution. That minimum number of shares will be determined upon completion of the Food and Beverage audit.
December 19, 2002, Cybertel Communications entered into a bilateral Letter Of Intent with Ever Ready Technologies, Ltd. whereby Cybertel will exchange its stock ownership in a subsidiary in a tax-free exchange for shares of the Ever Ready Technologies, Ltd. common stock. Under the terms of the LOI, a portion of the shares retained would be distributed to Cybertel shareholders on a future record date to be announced. The Ever Ready stock Cybertel receives in this transaction will be used to distribute to Cybertel shareholders as a dividend and to enhance Cybertel's balance sheet. It is anticipated that, subject to due diligence, the transaction will be completed in Q1 2003. Several states require a fire rated door by code and Ever Ready Technologies, Ltd. product has been patented and UL approved and is ideal for use in institutional buildings, dormitories, hotels, long term care facilities and hospitals.
December 24, 2002, Cybertel Communications is launching its global prepaid calling card program. Cybertel claims that the card offers rates lower than those currently available through retail outlets including "member only" programs such as Sam's Club and Costco prepaid cards. Business will be conducted through a partnership and facilities arrangement with Dancris Telecom, Cybertel will utilizes the Dancris network for prepaid card services. With this arrangement Cybertel will be able to offer global prepaid card services to every city and major market in North America. This relationship allows Cybertel to offer competitive rates to China and the Pacific Rim in addition to Cybertel's already low rates for domestic calling cards.
December 30, 2002, Cybertel Financial International, the wholly owned financial services subsidiary of CYBERTEL Communications Corporation will be the parent of all merger/spinoff activity associated with Cybertel's Partner Program. Cybertel Financial International will be the depository of all shares earned by Cybertel through its merger/spinoff Partner Program. Cybertel is building balance sheet strength by acquiring stock in merger/spinoff partner companies. Cybertel Financial International will manage those assets for parent CYBERTEL Communications Corporation.
MISCELLANEOUS BUSINESS INFORMATION: As of September 30, 2002 the company had a deficit of $12,216,790 and total stockholder's deficit of $956,697.

now thats gotta be the pivot point right there. Gosh. I so wish I would have sold this thing at .012. I love the stock, I could have had almost twice as much of it now though. Lets go cytp, we need another run up.

And my greed is coming back to bite me in the ass. I didn't sell to get free shares after I hit 100% and now look at it. I'm still up, but it sure would have been nice to take some of that money off the table now.

I still believe it will see another great run and surpass .01 again.. just have to wait it out.

Guys... hate to point out the obvious... Buy as much as you can at today's lows... I am... mach. I picked up 1 million at .0065 and will continue to load the semi now...

Skatchmo... Once it pops... it surges... but also retraces on profit taking... It will continue up again...

I think we were right about the .007 floor, it tried to go below that, but it didn't last more than a few minutes and is already up above that level. The charts usually don't lie

Well guys the charts are always accurate in the trend... but don't give you exact entry points... You will see strong support around .0065. Very Strong. Today is buy day... I'm telling you. When .0065 was broken... after many days the stock soared to new highs.... This is a psychological entry point... Those whom missed the last run will enter in this area... And those who road this up and down will not sell here.... If it should happen to be pushed below that by MM... I'm telling you... buy the heck out of it... I am....... This is it.... You can make huge gains by buying at these lows... It may take a few days... but buy buy buy... mach...............

I think CYTP is going to have to decide which way it wants to go from here. The Bollinger bands are tightening somewhat. That means it's either going to go up or down shortly. With the MACD still hovering below 0.00, I think my free shares and I will wait to see which way it chooses!

It could trade sideways for a day... but I do not see a reverse in sentiment... This is strictly profit taking after a big run.

When looking for a floor I always stagger entry points... Let's say I plan on buying 1 million shares. I buy in increments of 200,000 @ ..068, .0067, 0065... and then if they should drop it to .006 Then if goes down a bit lower I will buy addional @ .0061 and .006... because of the strength @ .0065... I am very confident buying at these levels. Stairstep entry is great when you are confident in a stock... and are not sure about where the bottom is. mach

I think CYTP is going to have to decide which way it wants to go from here. The Bollinger bands are tightening somewhat. That means it's either going to go up or down shortly. With the MACD still hovering below 0.00, I think my free shares and I will wait to see which way it chooses!

Anyone know anything about WNMI.OB? It is up over 95% so far this morning.

Just looked at the chart... It's very volatile... trading between .002 and .005... I wouldn't trade it... Dangerous. Could lose a lot of money fast. If you can pick some up @ .001 in the near future... go for it... MACD going down. mach

Guys, by looking at the chars, i get the feeling that CYTP is gonna finish strong today...I say at around 1 pm Eastern time, CYTP will be in the .008, possibly lower .009...Decide wisely...Look at the charts and see what you want to do...And Mach last time i posted and said the floor will be .007...YOu said i'm killing you...I hope this doesn't kill you as well...good luck all...zo...

IMO, CYTP is going to fall until at least tomorrow. Then it will pick back up.

What do you guys think about isyn these days?

I bought in at .017
It's only down by about 20%, but I just don't know what to think of the chart.

Help please

It looks to me as if it may swing more Northbound or at least lay flat today....so far it formed a little w, which can mean a good thing. Good Luck All!!!

If you look at the chart, always after a good run it seems to be falling for about 3-4 days before it picks back up. I think time to buy might be sometime tomorrow or early Monday. That's just my opinion though.

No comments on ISYN?

You may be right.... but I'm entering positions in and around .0065... If it goes lower so be it... I will pick up as much as possible below that....

one variable that could always change consolidation is a really good PR that could be released anytime... I at least like to have a few in the back pocket at these levels... It's a pretty safe point of entry.... mach
